Abstract

Micro, Small, and Medium Enterprises (MSMEs) are small-scale businesses and home industries that produce various products. Generally, they operate using simple methods, with minimal use of technology and limited capital, which hinders business growth. The government plays a role in fostering MSMEs, as they are the backbone of both community and national economies. MSMEs contribute to job creation. Given the importance of MSMEs and the challenges they face in running their businesses, government intervention is needed to provide support. This support includes facilitating access to business capital, licensing, and technology utilization for product marketing. The government also assists MSMEs in continuously improving quality and standards through product innovation to enhance competitiveness. Furthermore, fostering collaborations and partnerships with other countries, relevant institutions such as BPOM, the Ministry of Tourism and Creative Economy, BNSP, domestic and foreign investment companies, and higher education institutions is essential.

Abstract

Abstract

Copyright disputes in the music industry often arise due to unclear mechanisms for royalty payments. The case of Ari Bias vs. Agnez Mo, regarding the unauthorized use of the song "Bilang Saja" in a concert, sparked legal debate over royalty payment responsibilities. The Central Jakarta Commercial Court's ruling, which held Agnez Mo accountable, raised questions about civil law interpretations in copyright protection. This study uses a qualitative method with a normative juridical approach, examining Copyright Law No. 28 of 2014, collective management organization (LMK) regulations, and music industry contracts. The findings reveal that unclear royalty payment responsibilities, lack of transparency by LMKs, and weak legal awareness within the music industry are major causes of disputes. Furthermore, music contracts often fail to clearly define royalty obligations, creating legal loopholes. This study concludes that clearer regulations on royalty responsibilities in concerts, improved LMK transparency, and legal education for musicians and songwriters are essential. With stronger policy reforms, similar disputes can be reduced, and the copyright and royalty protection system in Indonesia can operate more effectively and fairly.

Abstract

The business process of development that occurs in Indonesia is increasingly marked by the rampant implementation of nominee agreements to form Limited Liability Companies (PT), especially carried out by foreign parties who want to avoid restrictions on share ownership. Although contractually nominee agreements can be categorized as agreements that are appropriate to meet the legal requirements as stipulated in Article 1320 of the Civil Code. However, substantially, its existence is contrary to the principles and provisions of corporate law, especially in Law Number 40 of 2007 concerning Limited Liability Companies. This study aims to analyze the legal disharmony between the legality of agreements according to civil law and the principle of legality of establishment and ownership of shares in company law. This research uses normative juridical methods with laws and regulations, conceptual, and case study approaches. The results of the study show that the nominee agreement creates legal ambiguity that has the potential to harm the legal interests of the parties and weaken the integrity of the national legal system. Therefore, synchronization between the two needs to be done. This synchronization can be done through strengthening supervision, enforcing the principle of transparency, and harmonizing regulations across sectors.
