Abstract

Legal aid is a form of legal support and services provided to people who need help understanding, handling, and resolving legal issues. Legal aid is typically provided by institutions or organizations that are committed to ensuring that justice is accessible to everyone, regardless of their social or economic status. The location of the Central Jakarta Class 1A State Prison, also known as Salemba Prison, is located on Jalan Percetakan Negara Number 88, Central Jakarta. The Salemba Detention Center is used as a place for the detention and treatment of defendants or suspects during investigations, prosecutions, and examinations in court. The research method of this activity involves speakers and lawyers. The inmates of Salemba Prison are the target of counseling. In this counseling, the speakers provided information in a one-way manner to the participants, which was then followed by a question and answer discussion with the inmates about the topics discussed. The purpose of this legal aid is to guarantee human rights and equality before the law. This legal aid is provided to defend the community or prisoners regardless of religion, ethnicity, ethnicity, social status, ideology, race, and other social groups. The socialization of Community Service (PKM) law was carried out offline at the Legal Consultation and Aid Center (PKBH FH UNTAR), Faculty of Law, Tarumanagara University. This is a form of active participation in increasing the knowledge of prisoners about their rights during the trial process of criminal cases. ABSTRAK Bantuan hukum adalah bentuk dukungan dan layanan hukum yang diberikan kepada orang yang membutuhkan bantuan untuk memahami, menangani, dan menyelesaikan masalah hukum. Bantuan hukum biasanya diberikan oleh lembaga atau organisasi yang berkomitmen untuk memastikan bahwa keadilan dapat diakses oleh semua orang, tanpa memandang status sosial atau ekonomi mereka. Lokasi Rutan Tahanan Negara Kelas 1A Jakarta Pusat, yang juga dikenal sebagai Rutan Salemba, terletak di Jalan Percetakan Negara Nomor 88, Jakarta Pusat. Rutan Salemba digunakan sebagai tempat penahanan dan perawatan terdakwa atau tersangka selama penyidikan, penuntutan, dan pemeriksaan di pengadilan. Metode penelitian kegiatan ini melibatkan pembicara dan pengacara. Warga binaan Rutan Salemba adalah sasaran penyuluhan. Pada penyuluhan ini, para pembicara memberikan informasi secara satu arah kepada peserta, yang kemudian diikuti dengan diskusi tanya jawab dengan warga binaan tentang topik yang dibahas. Tujuan dari bantuan hukum ini adalah untuk menjamin hak asasi manusia dan persamaan kedudukan dihadapan hukum. Bantuan hukum ini diberikan untuk membela masyarakat atau tahanan terlepas dari agama, etnis, suku, status sosial, ideologi, ras, dan kelompok sosial lainnya. Sosialisasi hukum Pengabdian kepada Masyarakat (PKM) ini dilakukan secara luring di Pusat Konsultasi dan Bantuan Hukum (PKBH FH UNTAR) Fakultas Hukum Universitas Tarumanagara. Ini adalah bentuk partisipasi aktif dalam meningkatkan pengetahuan tahanan tentang hak-haknya selama proses persidangan perkara pidana.

Abstract

The General Meeting of Shareholders (GMS), as the highest governing body of a Limited Liability Company, must be conducted in accordance with the formal and material procedures mandated by Law Number 40 of 2007 to ensure that its resolutions carry binding legal effect. This study employs a normative legal research method using a statutory approach to examine the validity of GMS resolutions in instances of procedural deviation, including improper notice, omission of the meeting agenda, or failure to satisfy attendance and decision-making quorum requirements. The findings show that such procedural violations generally render GMS resolutions invalid and may provide grounds for shareholders to file a claim before the district court under Article 61 of the Company Law, except in situations where all shareholders are present and unanimously approve the resolutions as permitted under Article 82(5). Beyond invalidating resolutions, procedural deviations may also give rise to civil liability for directors or commissioners, underscoring the importance of adherence to GMS procedures in safeguarding shareholder rights and supporting sound corporate governance
