Notaris Suprayitno The position of the deed of the authority to sell in build-operate transfer contract is a part of the contract which cannot be independent. The authority to sell can be given before and after the construction has been done in condition that both parties agree to use the deed of the authority to sell. The legal protection for the land owner in the implementation of a build-operate transfer contract is by conducting prevention through an agreement of both parties by including a clause which provides legal protection for them in using the deed of the authority to sell.Keywords: Stakeholders, Legal Protection, Build-Operate Transfer Contract

Keizerina Devi A A limited liability company is established according to an “agreement”; it is a capital association among the founders and/or share-holders, and it has to fulfill the requirements in a contract law. The research uses juridical normative method which analyzes the prevailing legal. The nature of the research was descriptive analytic. The research uses juridical normative method which analyzes the prevailing legal provisions such as Law No. 40/2007 on Limited Liability Company and PP (Government Regulation) No. 29/2016 on the Amendment of Initial Capital of the Limited Liability Company. The result of the research shows that a shareholder who does not deposit full initial capital is considered legally defective and does not have any legality and validity as a shareholder. He has no right of the company’s dividend and is categorized as having done a default against the contract of establishing a Limited Liability Company and an illegal act against the legal provisions concerning a limited liability company and against Article 33 of Law No 40/2007 on Limited Liability Company in particular.Keywords: Shareholder, Not Deposit Initial Capital, Default/Illegal Act

Syahril Sofyan The Handover of Tasks in the General Department of Setda, Medan, on the regulation of Building Right above the Right of Management which causes obstacles in giving permit/approval of title transfer in the Logistics and Asset Department because the Right of Management of Medan Municipality is the Regional Government-Owned Property of Medan and its operation cannot be transferred to other party. It can only be extended within 5 years which is similar to the Right of Lease, Building Rights on the Right of Management can be transferred by referring to the agreement for using the land form the holder of the Right of Management provided that its Building Right is in effect, and the legal consequence of delaying giving the approval to the holder of the Right of Management will cause certificate deficiency and legal uncertainty toward the buyer.Keywords: Transfer, Building Rights, the Right of Management

Madiasa Ablizar One of the negligence cases about false object was given by the personsappearing who want to make sales deeds in the Bandung Appellate Court’s VerdictNo. 451/PDT/2015.PT.BDG. PPAT did negligence in making the contract a SalesDeed No. 250/2012 on June 19, 2012 and a Sales Deed No. 251/2012 on June 19,2012 because the buyer had given false object. The research conclusion is that the legal domicile and the evidence of thesales deeds made by PPAT which contain false object cause them to be degradedinto underhanded certificates and can be revoked. A PPAT who makes an authenticdeed which contains false object can be imposed with administrative and civilsanction. It is recommended that a PPAT be guided by the prevailing laws andregulations on sales deeds and in making sales contracts. Keywords: PPAT’s Liability, False Object, Sales Deeds

The consequence of a divorce is responsibility of the parents. In spite of a divorce, the children’s rights should remain protected. Parents’ responsibility after a divorce is a very important thing for the survival of the minors who cannot take care of themselves yet, regarding their property or their own lives; or, in other words, they are incompetent of taking legal action. Based on this background, there were three problems in this research, i.e. what legal consequence children got after their parents had been divorced, what responsibilities parents had for their children’s civil rights after the divorce, and how their responsibility for their children was supervised after the divorce.The research used descriptive analytic and judicial normative design using statue approach which described, analyzed, and explained the regulations about Legal Consequence on Children after divorce, Parents’ responsibility for Children’s Civil Rights and Parents’ Responsibility Supervision on Children after divorce.Keywords: Parents’ Divorce, Parents’ Responsibility after Divorce, Right to Child Custody

Syafnil Gani A wife only has the right to get her own property and cannot do anything without her husband’s consent, and a son as an heir will continue his father’s offspring while a daughter only gets what her parents give her as the compensation for her good manners. When a husband dies, joint property is usually distributed according to Batak Toba adat law. In the Batak Toba adat law, there is no distribution and calculation of inheritance, but it is only based on consideration on the objects and what the heirs need. Juridical analysis on the Court’s Ruling No. 429/PDT.G/2013/PN.JKT.TIM on joint property and inheritance in the Batak Toba adat marriage law is that the judge’s decision is correct since it is in accordance with Article 5, paragraph (1) of Law No. 48/2009 on Judicial Authority.Keywords: Joint Property, Inheritance, Batak Toba Adat

Syafnil Gani One of the business companies is CV (Commanditaire Vennootschap or or limited partnership) which is established by some people who are liable both jointly and severally as moneylenders. Cooperation agreement between one of the shareholders of a CV and the third party is aimed to give profit for the former although it is not in accordance with the statutes of CV so that it suffers financial loss. The background of the research includes three problems as follows: how about the position of shareholders in CV, how about the validity of cooperation agreement made by one of the shareholders without the consent of the other shareholders, and how about legal consequence of cooperation agreement made by one of the shareholders without the consent of the other shareholders.Keywords: Commanditaire Vennootschap, Cooperation Agreement, Shareholder

When a debtor does not return an object of rent, keeps taking the possession of and using it in spite of the expiry date, the creditor may file a lawsuit for default and unlawful act at the same time. How to differentiate an unlawful act from default according to the prevailing provisions and how the judge’s consideration in distinguishing these actions in the Ruling No. 44/Pdt.G/2014/PN.Jkt.Sel.An act of keeping a property which he has no right over it to the more rightful owner, and of not countering anything for using the property while the agreement term has been terminated is an unlawful act i.e. opposing against other person’s subjective rights and his own legal obligation; it is not regarded as violating the agreement because the agreement has been terminated. The consideration of the panel of judges who do not differentiate an unlawful act from a default in this case offends the defendant’s sense of justice. Keizerina Devi A A firm is an enterprise which does not have any legal entity that is established to run the firm under a collective name as stipulated from Article 16 until Article 35 of KUHD (Commercial Law Code). An enterprise that has legal entity is the one that can be declared bankrupt. As mentioned in the Commercial Court’s Ruling at the Makassar District Court No. 01/PKPU/2012/PN. NIAGA. MKS, it is declared that FIRMA LITHA & CO is bankrupt it then files a request for PK (Review) against this ruling. The ground and argument in the record of the Review filed by Firma Litha & CO is that it does not have any legal entity that it is ended with the Supreme Court’s Ruling No.156 PK/Pdt.Sus/2012 that revokes the Commercial Court’s Ruling at the Makassar District Court No. 01/PKPU/2012/PN. NIAGA. MKS. This thesis discusses the position of the firm that does not have any legal entity in the Bankruptcy Law System in Indonesia as well as the ground of the objection of the Supreme Court to the Firm that files a request for PKPU (Postponement of Obligation to Pay Debt) in the Supreme Court’s Ruling No. 156 PK/Pdt.Sus/2012.
