Keizerina Devi A The results of the research showed that the regulations concerning adequacy of National Laws on internal auditing in bank management to implement GCG (Good Corporate Governance) is adequately fulfilled and its implementation is written in some regulations. The implementation of GCG is one of the important factors to improve the performance of the company especially bank. The role of internal auditing is to prevent and detect fraud (deceit). Internal auditing evaluates the risk encountered by an organization based on auditing planning by an accurate testing. Furthermore, internal auditors can help to prevent fraud by testing and evaluating the effectiveness of the internal control. The accountability of a Director for the results of the internal auditing i.e. findings found by the auditor is taken into the Director’s consideration. the Director forwards the result repot to the Board of Commissioner with many considerations and assessment for the auditing result report and the Board of Commissioner forwards it to the Ministry of BUMN (State Owned Enterprise).Keywords: Auditing Role, Internal Auditing, Good Corporate Governance Principle

DOSEN PEMBIMBING:1. Muhd. Yamin2. Abdul Rahim Lubis3. Suprayitno One of the ways to settle bad credit done by a bank is cessie or debt transfer and or hand over (Article 613 of the Civil Code). The case in the ruling of Pekanbaru District Court No.22/Pdt.G/2016/PN.Pbr is a claim by a new creditor (Nelmawati) who has bought the debt from PT Bank Tabungan Negara (Persero) Tbk Pekanbaru against the debtor (Ema Damayanti) who has bad credit to Pekanbaru District Court to permit the transfer of Land Title Certificate which is made collateral of the debtor on behalf of herself. The research problems are related to the legal consequence of the debtor’s collateral if the former creditor transfers the debt by cessie to the new creditor, the efforts to settle the bad credit that can be made by the new creditor related to the prohibition of beding, and the legal analysis of the Ruling of Pekanbaru District Court No.22/Pdt.G/2016/PN.Pbr.Keywords: Debt Transfer, Cessie, Collateral

Dedi Harianto In the establishment of CV as regulated in KUHD (Commercial Law Code), its organizer has to consist of a minimum of 2 (two) persons i.e. active and passive corporations;both corporations can monitor one to another in every activity it does. According to the result of the research, it is found out that the procedures of CV establishment deed issuance are started from an agreement among parties to establish a CV; they all come before a notary by taking their ID cards with them and providing information of the CV. The CV establishment deed is registered to the Registrar of the local District Court in the CV domicile in the Registrar Room. The requirements are the NPWP CV (the tax ID number of the CV). Copies of ID Cards, copies of the CV establishment deed and the Letter notifying the domicile of the CV. After the registration is done, the establishment of the CV is announced in the Additional News of The Republic of Indonesia. CV (Limited Partnership) manages the activities which are daily routines, nota daily routines, not routine but are new or special. The establishment contract of CV.A does not meet the objective requirement of its legality; the legitimate reasons and its juridical results is that the contract is annulled before the law.Keywords : Deed, Limited Partnership, Legal Force.

DOSEN PEMBIMBING:1. Suprayitno2. Rudy Haposan3. Tony In doing his job to draw up authentic deeds, a Notary has to be limited in his working area which is in his own province. In practice, however, some Notaries have violated against the regulation concerning their working area, and some of them even have more than one office. The sanction will, of course, be imposed on them. Their non-compliance with the regulation concerning their position and their working area is related to the violation against the Notarial Act, Oath of Notarial Position, and Notarial Code of Ethics. The sanction can be dismissal, suspension, and dishonorable dismissal. Some factors which make a Notary do his job outside of his working area are related to drawing up deeds, regional extension, lack of Notaries in the remote areas, the Notarial Act, Oath of notarial position, Notarial Code of Ethics, and notarial supervision and couching.Keywords: Violation, Notary, Notary’s Position and Working Area

The disaster of tsunami taking place on December 26, 2014 in the capital of Aceh, Banda Aceh, has incapacitated all human’s life aspects including all infrastructures in the city.Therefore, the government relocated or resettled the victims of tsunami or earthquake to a safe area for permanent settlement. It is expected that they can undergo their life as before again or even better. The implementation of Spatial Planning of Banda Aceh after tsunami, with the areal development in the new settlement area for the tsunami victims who are relocated, there is a question about how actually the certainty of the title of their old land after relocation is. Suprayitno The role of a Notary is very important in giving legal certainty, especially civil case since people today need authentic written evidence. Therefore, a Notary has to be cautious in doing his job because it is not uncommon that a Notary is summoned by the Court. One of the causes is that there is a denial of the signature on a legalized underhanded certificate. The certificate has to provide legal certainty, especially about the date and the signatures of the persons appearing. However, the problem arises when some of them deny their signatures. The research problems are how about the procedure of legalization of an underhanded certificate, how about legal consequence of stakeholders concerning denial of signatures on a legalized underhanded certificate, and how about some measures which have to be taken by a Notary to prevent from denial of signatures.Keywords: Denial of Signature, Underhanded Certificate, Legalization

The Law No. 10/1998 is known as credit default redemption system as stipulated in Article 7 paragraph c. The objective of the research was to discover the mechanism of restructuring in conventional banks, to find out the criteria of problem credit that can be restructured, and to discover and analyze the process of restructuring in the Lubuk Pakam Branch Office of PT. Bank Rakyat Indonesia (Persero) Tbk. This is a normative legal research with descriptive analysis. The data studied consist of primary legal materials such as the civil laws and the law no. 10/1992 on the amendment of the Law No. 7/1992 on Banking and field research. The theory of Legal Certainty is applied in this thesis. The research employed qualitative method for the data analysis. The results of the research find out that credit is one of banking products that provides many advantages to banks, yet it has the highest risk as well among the other banking products. In case of problem credits, there are efforts to safe them from becoming credit default i.e. debt restructuring.Keywords: Bank;Credit Default;Restructuring.

Acquisitions are legal actions by a legal entity or an individual to acquire shares of the Company that result in the transfer of control over the Company. Due to the rapid development of economic globalization led to developments in acquisitions that led to the emergence of cross-border acquisitions. Cross-border Acquisitions are acquisitions made by parties with different nationalities. This thesis will discuss the acquisition process based on the regulation in Indonesia and the change of company status due to cross-border acquisition and prohibition of acquisition implementation.Keywords: Acquisition; Cross-border; Foreign investment.

Syafnil Gani Plantation revitalization is the effort to accelerate the development of smallholdings by expansion, rejuvenation and plant rehabilitation supported by loan investment from bank and subsidy from government. It involves companies in plantation field to be partners to develop the plantation, manufacturing and product marketing. However, there are several problems concerning the land in the plantation revitalization program i.e. a dispute over a piece of land between Maju Jaya Farming Group and PT. Bumi Daya Abadi in Kota Baharu Subdistrict. This thesis applies normative legal research which is descriptive analytical. It uses secondary data consisting of primary data such as the Constitution 1945, the Law No. 5/1960 concerning the Basic Regulations on Agrarian Principles, the Law No. 39/2014 concerning Plantation, Regulation of Head of National Land Department no. 4/2010 concerning the Procedures for the Issuance of Abandoned Land. The secondary legal materials consist of books, and the tertiary data are general and legal dictionaries The legal protection for the member farmers for the act done by their business partners who have abandoned the plantation revitalization land which has not been protected; the legal protection for the government is that it can revoke the license of the relevant plantation company; the legal protection for the business partner is that it has fulfilled its rights as executor of the revitalization program such as paying the expenses during the program and the commissions of the business partners. The efforts of the government to settle the dispute over the land between Maju Jaya Farming Group and PT. Bumi Daya Abadi against the plantation revitalization land that has been abandoned are providing mediation among the involved parties directly from the revitalization program by the regional administration to reappraisal.Keywords: Revitalization, Plantation, Land Dispute.

Jelly Leviza Passing off secara kepustakaan hukum Indonesia belum dikenal, namun dapat diartikan sebagai suatu perbuatan pemboncengan reputasi merek yang sudah terkenal di masyarakat. Jenis penelitian yang digunakan dalam penelitian ini adalah penelitian hukum normatif yaitu penelitian yang dilakukan terhadap Undang-Undang No. 20 Tahun 2016 tentang Merek dan putusan No. 450K/PDT.SUS-HKI/2016. Sifat penelitian ini adalah deskriptif analitis. Pasal 21 dan Pasal 83 UU No. 20 Tahun 2016 tentang Merek dan Indikasi Geografis. Putusan Mahkamah Agung No. 450.K/Pdt.Sus/2016 adalah bahwa majelis hakim Mahkamah Agung menyatakan bahwa perbuatan Pemboncengan Reputasi merek terdaftar yang sudah dikenal di masyarakat yaitu merek LGS milik JK yang dibonceng merek LGS 74 milik AX terbukti pada fakta persidangan sebagai perbuatan permohonan pendaftaran merek yang dilakukan tergugat AX dengan itikad tidak baik sesuai ketentuan Pasal 21 UU No. 20 Tahun 2016 tentang merek dan indikasi geografis, dan oleh karena itu perbuatan tersebut dinyatakan sebagai perbuatan melawan hukum.Kata kunci : Perlindungan Hukum, Merek Terdaftar, Passing Off
