Abstract

This study examines the application of Islamic legal principles in Indonesian civil law, with a focus on obligations in agreements and contracts. Although principles of Islamic law, such as Justice (‘adl), transparency (bayan), and the Prohibition of usury, have been applied in some sectors of civil law, there are significant challenges in integrating these two legal systems. This study found harmony in several aspects, such as protection against weak parties to the contract, but there are also discrepancies, especially in freedom of contract which is more emphasized in civil law. In addition, the lack of harmonized regulations and the lack of uniform implementation guidelines often lead to legal conflicts and uncertainty. The study recommends revisions to legislation to accommodate Sharia principles in civil agreements and contracts, as well as the drafting of uniform guidelines for Legal Practitioners. The results of this study are expected to be a theoretical foundation for the development of national law that is more inclusive and relevant to the needs of the Indonesian people.

Abstract

This study aims to analyze the concept of customary land customary law, as well as to examine the protection of indigenous peoples in a customary land forest. The type of research in this writing is a normative juridical research method. The approach used in this study is a Statute Approach and a case approach. The results showed customary forests, sometimes referred to as customary forests, are forests within the territory of customary law communities. To be designated as customary Forest, local customary law communities can apply to the Minister of Environment and Forestry. Customary Forests, before Indonesian law is, protected as the legal protection of customary land. This legal protection is a form of concrete action from the state in implementing the mandate of the Constitution of the Republic of Indonesia Constitution of 1945 contained in Article 18b. Moreover, in this case, the government has issued a decree of the Minister of Environment and Forestry to establish customary forest areas and the rights and obligations of Indigenous Peoples.

Abstract

Perlindungan hukum bagi pemegang saham minoritas merupakan elemen krusial dalam menciptakan keadilan dan kepastian hukum di lingkungan bisnis modern. Penelitian ini bertujuan untuk menganalisis implementasi Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas (UU PT) dalam melindungi hak-hak pemegang saham minoritas serta mengidentifikasi hambatan yang dihadapi dalam praktik. Metode penelitian yang digunakan adalah yuridis normatif, dengan pendekatan analisis terhadap peraturan perundang-undangan, doktrin hukum, serta studi kasus terkait tata kelola perusahaan di Indonesia. Hasil penelitian menunjukkan bahwa meskipun UU PT telah memberikan sejumlah mekanisme perlindungan, seperti hak mengajukan gugatan derivatif dan hak meminta Rapat Umum Pemegang Saham (RUPS), implementasinya seringkali terhambat oleh dominasi pemegang saham mayoritas, ketimpangan sumber daya, dan lemahnya transparansi perusahaan. Hambatan ini mengakibatkan ketidakadilan dalam pengambilan keputusan strategis, yang berdampak negatif pada stabilitas bisnis dan kepercayaan investor. Penelitian ini merekomendasikan harmonisasi regulasi, penguatan pengawasan hukum, dan penerapan prinsip tata kelola perusahaan yang baik untuk meningkatkan perlindungan pemegang saham minoritas.

Abstract

This study examines the Determinants of Performance Factors of Regional Government Agencies in Papua Province. The test was conducted on a sample of 77 respondents. The sample method used is purposive sampling. Data collection is done by direct survey. Hypothesis testing is tested empirically using multiple linear regression. The results of the analysis show that regional financial management has proven to have an effect on the performance of government agencies in the Papua Provincial Government, the Regional Financial Accounting System has no effect on the performance of government agencies in the Papua Provincial Government. governance is proven to have no effect on the performance of government agencies in the Papua Provincial Government and finally Regional financial management, regional financial accounting systems, supervision and good governance are proven to have a positive and significant effect on the performance of government agencies in the Papua Provincial Government.
