Abstract

The purpose of this study is to find out the legal consequences if a company does not make a Shareholder Register, the second is to know the Notary's Responsibilities in making any Deed that does not have a Shareholder Register. This study uses a normative juridical writing type by using secondary data sources. The results of this study that the Board of Directors is obliged to make a Register of Shareholders, related to the legal consequences if this is not done, it is not regulated in the Company Law, then it is considered that there was negligence on the part of the Board of Directors because this is an obligation of the Board of Directors. Furthermore, the Notary's Responsibilities in the preparation of any Deed for which there is no Register of Shareholders that the responsibilities of the notary prior to the making of the deed relate to the notary's thoroughness and prudence in viewing and examining documents according to the facts.

Abstract

Publikasi penanganan kepailitan dan penundaan utang menjadi salah satu aspek penting dalam membuat sistem kepailitan menjadi efektif dan murah. Globalisasi membuat batasan-batasan waktu dan wilayah menjadi semu. Kondisi ini berpengaruh pada yurisdiksi hukum yang berlaku dalam penanganan kepailitan dan penundaan utang sehingga publikasi juga dituntut tetap dapat diakses dimanapun pihak yang berkepentingan berada. Portal website telah diterapkan sebagai solusi penyelenggaraan publikasi yang efektif di era digital seperti sekarang. Terlebih dengan situasi pandemi sekarang, semakin banyak perusahaan yang membutuhkan penanganan kepailitan maupun penundaan utang. Dalam menjawab permasalahan tersebut digunakan metode penelitian hukum normatif (yuridis normative) yang selain kajian perundang-undangan (statute approach), juga kajian perbandingan hukum (comparative approach), dan sejarah (historical approach), dengan pendekatan kualitatif. Dengan situasi yang sulit, debitur sangat terbantu dengan adanya portal website karena tidak adanya lagi kewajiban untuk pemasangan iklan di surat kabar yang berbiaya mahal. Dalam hal ini penyelenggaraan publikasi penanganan kepailitan dan penundaan utang menjadi upaya pemerintah dalam meningkatkan akses keadilan di Indonesia, dan membantu pemulihan ekonomi saat ini. Pengadaan portal website ini merupakan terobosan dalam meningkatkan aksesibilitas dalam iklim bisnis di era ekonomi digital dan terciptanya sistem hukum bisnis di Indonesia yang berkelanjutan.

Abstract

When an application for Bankruptcy occurs by the Debtor or Creditor, as well as the parties authorized to file a bankruptcy application, the role of the Curator is needed as the administrator and performs the settlement of the bankruptcy estate. In Law Number 37 of 2004 concerning Bankruptcy and Postponement of Obligation for Payment of Debt, it provides a definition that the Curator is the Balai Harta Peninggalan or an individual who is appointed by the Court to manage and settle the assets of the Bankrupt Debtor under the supervision of the Supervisory Judge. In current practice, the role of Balai Harta Peninggalan as Curator in Bankruptcy seems to have diminished since the emergence of the role of Private Curator. In order to use the services of a Curator, the appointment of a Curator to manage and settle the bankruptcy estate may be requested by the Debtor or Creditor in Bankruptcy for appointment. However, when the Debtor or Creditor does not apply for the appointment of a Curator to manage and settle the bankruptcy estate, the Supervisory Judge will appoint the Curator from the Balai Harta Peninggalan to manage and settle the bankruptcy estate belonging to the Bankrupt Debtor. As a result of this arrangement, the role of Balai Harta Peninggalan as Curator becomes noticeably limited, because only when the Debtor or Creditor does not apply for the appointment of a Curator, the role of the Balai Harta Peninggalan as Curator will emerge. So, in this paper, the writer wants to know how the role of Balai Harta Peninggalan is in managing and settling bankrupt assets, which later can be the basis for deciding whether to use the services of Balai Harta Peninggalan as Curator or the services of a Private Curator in the management and settlement of bankrupt assets.

Abstract

Abstract Notary is a public official who has the authority to make an authentic deed. An authentic deed as regulated in Article 1868 of the Civil Code is a deed made in the form determined by law by or before a public official authorized to do so at the place where the deed was made. Based on the Law on Notary Positions, a Notary is a public official who is authorized to make an authentic deed and has other authorities as referred to in this Law or based on other laws. This study discusses the Notary's Responsibility for Unlawful Acts in making the deed of the general meeting of shareholders of a limited liability company. The research method used is juridical-normative research which refers to the use of written legal norms contained in statutory regulations. The data used in conducting research and collecting data is secondary data, namely as data obtained directly through tracing Court Decisions, library materials, document studies and interviews. The typology of this research is descriptive so that the results of this study are analytical. This study found that the authentic deed made by a notary that contained elements of forgery and fraud was void. The notary may be subject to administrative sanctions based on UUJN ranging from verbal reprimand, writing, temporary dismissal and disrespectful dismissal. In addition, the Notary can also be held accountable based on unlawful acts in a civil manner in accordance with Article 1365 of the Civil Code and forgery of letters based on the Criminal Code.

Abstract

The regulations getting renewed and revised, Utilization asset related regulations also become the one that are treated the same periodically. The release of newest regulation related of the State Owned Goods Utilization, in this case The Provisions of Minister of Finance Regulation Number 115/PMK.06/2020 about State Owned Goods Utilization is a simplified version of all regulations related on State Owned Goods Utilization so far. This purpose of this research is to describe the state of notary deed in terms of cooperation Agreements of utilization which requires several number of State Owned Goods utilization which is done based on agreement made in the form of notarial deed. The type of this research is normative juridical, with the approach of the related laws and regulations to the legal issues that have been researched. This research shows that agreement utilization in the form of rental, cooperation utilization, Build Transfer operate/Build Operate Transfer, Cooperation of infrastructure Provisions (KSPI), and Limited Cooperation for Infrastructure funding, (Ketupi) requires a notary. Notarial deed in the implementation State Owned Goods Utilization agreement, after The Provisions of Minister of Finance Regulation Number 115/PMK.06/2020 about State Owned Goods Utilization released, becomes an authentic proofing tool. The role of notary becomes important in terms of agreement about state owned goods utilization.

Abstract

Perjanjian lisensi pemakaian lagu dan/atau music antara Pencipta dan/atau Pemegang Hak Cipta (ahli waris, Publisher dsb) kerapkali tidak menggunakan Akta Otentik (Akta Notarial), dan yang membuat atau menyusun perjanjian tersebut seringkali adalah advokat non litigasi, atau karyawan di Departemen Hukum, atau juga adalah atau oleh karyawan di Departemen HKI. Perjanjian lisensi tersebut seringkali bentuknya sudah dibakukan, telah disediakan oleh Pencipta dan/atau Pemegang Hak Cipta, misalnya dalam perjanjian lisensi yang dilakukan antara perusahaan nasional dan perusahaan asing, beberapa ketentuan sudah ditentukan secara sepihak seperti ketentuan untuk memilih hukum (choice of law) negara pemberi lisensi (licensor) jika terjadi sengketa yang bermuara ke pengadilan atau arbitrase. Sehingga perjanjian tersebut bisa dikategorikan sebagai Akta Dibawah Tangan, dan jelas kekuatan pembuktiannya lebih lemah daripada Akta Otentik yang dibuat di hadapan Pejabat Umum yang berwenang, dalam hal ini Notaris. Dalam tulisan kali ini penulis ingin menulis penelitian tentang peran Notaris dalam perjanjian lisensi pemakaian lagu dan/atau musik oleh pihak ketiga, mengingat bahwa lagu dan/atau musik adalah intangible assets atau kebendaan tidak berwujud, dimana memiliki hak ekonomi selain hak moral.

Abstract

AbstractThis article aims to determine and analyze the forms of accountability of the PPAT on deeds that are legally flawed. Accountability is the accountability of the PPAT on the deeds it requires, in this case the sale deed, This legal research is a descriptive normative research. Data type used is primary data and secondary data. Data analysis technique used is qualitative analysis. The PPAT is responsible for examining the requirements for the validity of the relevant legal acts, such as matching the data contained in the certificate with the lists in the Land Office, but in Decision Number 17 / Pdt.G / 2012 / PT.TK there is a mistake Of the PPAT so as to cause the deed to be deemed legally flawed. In essence, PPAT is personally responsible for the implementation of duties and positions in every act of deed. So to minimize the occurrence of errors should be more careful PPAT to produce quality legal products. Keywords : Accountability; Deed of sale and Purchase; PPAT AbstrakArtikel ini bertujuan untuk mengetahui dan menganalisis bentuk pertanggungjawaban PPAT atas akta yang cacat hukum. Pertanggungjawaban yang dimaksud adalah pertanggungjawaban PPAT terhadap akta yang dibutanya, dalam hal ini akta jual beli, Penelitian hukum ini merupakan penelitian normatif yang bersifat deskriptif. Jenis data yang digunakan dalah data primer dan data sekunder. Teknik analisa data yang digunakan adalah analisa kualitatif. PPAT bertanggung jawab untuk memeriksa syarat-syarat untuk sahnya perbuatan hukum yang bersangkutan, seperti mencocokan data yang terdapat dalam sertipikat dengan daftar-daftar yang ada di Kantor Pertanahan, namun dalam Putusan Nomor : 17/Pdt.G/2012/PT.TK terdapat kekeliruan dari PPAT sehingga menyebabkan aktanya dinyatakan cacat hukum. Pada dasarnya PPAT bertanggungjawab secara pribadi atas pelaksanaan tugas dan jabatannya dalam setiap pembuatan akta. Sehingga untuk meminimalisir terjadinya kesalahan sebaiknya PPAT bersikap lebih teliti agar menghasilkan produk hukum yang berkualitas. Kata kunci : Pertanggungjawaban; Akta Jual Beli;PAT.

Abstract

Abstrak Ketidakmampuan debitor dalam menyelesaikan kewajiban hutangnya memberikan pengaruh terhadap hartanya sebagai solusi untuk melunasi peminjamannya. Debitor status suami yang dinyatakan pailit dalam status pernikahan berkaitan dengan harta bersama. Di dalamnya tidak menutup kemungkinan terdapat harta istri. Inilah yang perlu ditegaskan apakah istri ikut menanggung kepailitan suami pada harta bersama atau hanya suami yang perlu menanggungnya. Jenis penelitian ini mengacu pada perspektif hukum normatif. Metode analisisnya dengan mengumpulkan perundangan secara tertulis dan sumber tulisan lainnya yang saling berkaitan. Adapun sumber bahan hukumnya barasal dari bahan hukum primer, sekunder dan tersier. Hasil penelitian ini adalah berdasarkan Putusan No. 510/Pdt.G/2019/PN.Jkt.Sel bahwa kepailitan suami harus ditanggung pada harta bersama. Sebagaimana sesuai dengan Pasal 64 Ayat 1 UU 37/2004 bahwa kepailitan suami istri yang kawin dalam persatuan harta diperlakukan sebagai kepailitan persatuan harta tersebut. Selain itu, Pasal 23 UU 37/2004 juga mengatur bahwa debitur merujuk pada suami dan istri pada persatuan harta dalam ikatan pernikahan. Dengan kata lain, pailitnya seorang suami maka berlaku bagi istri begitupun berlaku sebaliknya. Suami dan istri memiliki tanggung jawab dalam melakukan pembayaran.   Kata kunci: Harta Bersama, Hubungan Suami Isteri, Kepailitan  Abstract The debtor's inability to settle his debt obligations has an effect on his assets as a solution to repay the loan. The debtor's husband status who is declared bankrupt in marital status is related to joint assets. It does not rule out the possibility of the wife's property. This is what needs to be emphasized whether the wife shares in the husband's bankruptcy on joint assets or only the husband has to bear it. This type of research refers to a normative legal perspective. The method of analysis is to collect written legislation and other related written sources. The sources of legal material based on primary, secondary and tertiary legal sources. The results of this study are based on Court Decision No. 510/Pdt.G/2019/PN.Jkt.Sel that the husband's bankruptcy must be borne on joint assets. As in accordance with Article 64 Paragraph 1 of Law 37/2004 that the bankruptcy of husband and wife who marry in a union of assets is treated as the bankruptcy of the union of assets. In addition, Article 23 of Law 37/2004 also stipulates that debtors refer to husband and wife in the union of assets in a marriage bond. In other words, the bankruptcy of a husband then applies to the wife and vice versa. Abstract

Abstrak Untuk melindungi kepentingan kreditor yang dirugikan akibat perbuatan hukum yang dilakukan oleh debitor, Undang-undang Nomor 37 Tahun 2004 memberikan upaya hukum melalui actio pauliana. Penelitian berdasarkan Putusan Nomor 01/Pdt.Sus/ActioPauliana/2016 /PN.Niaga.Jkt.Pst yang bertujuan untuk menganalisis lebih lanjut terkait dengan kewenangan kurator dalam mengajukan gugatan actio pauliana berdasarkan Undang-undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang, kewenangan Tommy Simorangkir selaku kurator dalam mengajukan gugatan actio pauliana terhadap harta debitor pailit yang juga dimiliki oleh 2 (dua) orang lainnya serta sudah tepat atau tidaknya pertimbangan hukum majelis hakim dalam memutuskan kasus a quo. Jenis penelitian yang Penulis gunakan dalam Penelitian ini adalah penelitian normatif dengan menggunakan pendekatan perundang-undangan dan pendekatan kasus. Data yang digunakan dalam penelitian ini ialah data sekunder dengan menggunakan bahan hukum. Hasil penelitian menunjukkan bahwa kewenangan mengajukan gugatan actio pauliana dalam kepailitan dimiliki oleh kurator dan Tommy Simorangkir memiliki kewenangan untuk mengajukan actio pauliana dalam kasus a quo meskipun harta tersebut tidak hanya dimiliki oleh debitor sendiri, namun meskipun begitu actio pauliana dalam kasus a quo sudah seharusnya ditolak karena tidak terbukti bahwa debitor mengetahui bahwa perbuatan yang dilakukannya merugikan kreditor.  Kata Kunci : Kepailitan, Kurator, Actio Pauliana Abstract To protecting the interest of creditors which are prejudiced due to legal actions conducted by debtors, Law Number 37 Year 2004 provides a legal action through actio pauliana. The research based on Verdict Number 01/Pdt.Sus/ActioPauliana/2016/PN.Niaga.Jkt. The authority of Tommy Simorangkir as a curator in filing an actio pauliana suit towards the debtor’s bankrupt assets in the form of a plot of land which is owned by the bankrupt and 2 (two) other person, and whether the legal consideration of the panel of judges in deciding the case has been correct or incorrect. The type of research which the author uses in this research is a normative research and uses the statue and case approach. The data which is used in this research are secondary data by using legal materials. The result finds that the authority to file an actio pauliana suit in a bankruptcy case is possessed by curators and Tommy Simorangkir has the authority to file actio pauliana although the asset is not only owned by the debtor alone, however, actio pauliana filed in the said case shall be rejected since it is not proven that the debtor is aware that their conduct is prejudicial to the creditor. Keywords: Business Law, Bankruptcy, Curator, Actio Pauliana

Abstract

Artikel bertujuan untuk menganalisa terkait dengan pelaksanaan permohonan pendaftaran jaminan fidusia secara elektronik oleh Notaris, pasca dikeluarkannya Permenkumham Nomor 25 Tahun 2021. Masalah difokuskan pada penerapan perubahan mekanisme dalam pelaksanaan permohonan pendaftaran, perbaikan, perubahan dan penghapusan jaminan fidusia khususnya yang dilaksanakan oleh Notaris. Guna mendekati masalah ini dipergunakan acuan teori kepastian hukum. Tipe penelitian yang digunakan adalah tipe penelitian yuridis normatif, yaitu penelitian hukum doktriner yang mengacu pada norma-norma hukum. Kajian ini menyimpulkan bahwa pasca dikeluarkannya Permenkumham Nomor 25 Tahun 2021 Notaris sebagai pemohon harus terlebih dahulu memperoleh hak akses yang merupakan hak yang diberikan kepada Pemohon untuk mengakses sistem pendaftaran Jaminan Fidusia dalam bentuk akun yang terdiri atas nama pengguna dan kata sandi, selain itu dalam ketentuan ini juga memuat mekanisme terkait dengan permohonan pendaftaran, perbaikan, perubahan dan penghapusan sertifikat jaminan fidusia.
