Abstract

Fakultas Hukum Universitas Brawijaya   Email : rizal.all.star@gmail.com   ABSTRAK Penelitian ini membahas mengenai batasan makna ‘tidak adil’ dan ‘tanpa alasan yang wajar’ pada Pasal 61 Ayat (1) Undang-Undang Nomor 40 Tahun 2007 sebagai dasar pengajuan gugatan direct oleh pemegang saham ke Pengadilan Negeri. Akan tetapi dalam penjelasan undang-undang tidak dijelaskan batasan makna dari perbuatan yang dianggap ‘tidak adil’ dan ‘tanpa alasan wajar’ itu seperti apa sehingga dinilai luas dan dapat ditafsirkan berbeda-beda oleh masing-masing pihak sehingga sulit untuk mendapatkan kepastian hukum. Sehingga menjadi permasalahan hukum yang dikemukakan dalam penelitian ini adalah Bagaimana batasan makna‘tidak adil dan tanpa alasan wajar’ dalam Pasal 61 Ayat 1 UUPT mengenai pengajuan gugatan direct oleh pemegang saham? Maka dari itu, penelitian ini bertujuan untuk menganalisis dan mengemukakan batasan makna‘tidak adil dan tanpa alasan wajar’ dalam Pasal 61 Ayat 1 Undang-Undang Nomor 40 Tahun 2007 mengenai pengajuan gugatan direct oleh pemegang saham. Kata Kunci : Dasar Pengajuan Gugatan, Gugatan Direct, Batasan makna  Pasal 61 Ayat (1) Undang-Undang Nomor 40 Tahun 2007. ABSTRACT This research discusses the scope of definition of the term ‘unfair’ and ‘without reasonable ground’ in Article 61 Paragraph (1) of Law Number 40 of 2007 as a basis of filing a direct lawsuit done by shareholders to District Court. However, the Law does not include any further explanation concerning the scope of the definition of the two terms, thus they hold general meaning and may be multi-interpreted, which may lead to lack of legal certainty. The research problem studied is what is the scope of the definition of the term ‘unfair and without reasonable ground’ in Article 61 Paragraph 1 of Law concerning Limited Liability Company (UUPT) over filing a direct lawsuit by shareholders? This research is aimed to analyse and explain the scope of definition of the term as mentioned in Article 61 Paragraph 1 of Law Number 40 of 2007 regarding direct lawsuit filing done by shareholders. Keywords: the basis of lawsuit filing, direct lawsuit, scope of definition in Article 61 Paragraph (1) of Law Number 40 of 2007.

Abstract

Tulisan ini bertujuan untuk melihat pembangunan dari perspektif Tawhidi String Relation (TSR). Choudhury (2002) menjelaskan bahwa TSR merupakan epistimologi yang menjadikan Al-Qur’an sebagai sumber pengetahuan yang melahirkan tatanan kehidupan. Pesan tawhid yang tertuang dalam al-quran dan sunah itu disimbolkan dengan (?,S), yang selanjutnya melahirkan pengetahuan yang disimbolkan dengan (?). Pengetahuan itu berinteraksi, integrasi dan berevolusi dengan alam semesta, proses itu disimbolkan dengan X(?) dan pada akhirnya akan memunculkan fungsi kesejahteraan yakni W (?, X(?))

Abstract

Introduction to The Problem: The existence of the Covid-19 pandemic caused the government to implement various policies, these policies were relevant to the Industrial revolution 4.0, which in this era was the main characteristic of information systems in software, in this era the main objects were humans and technology. Purpose: Therefore this research aims to discuss the development of human communication in facing the era of the industrial revolution 4.0 and Covid-19. Design/methods/approach: This research is a document or library study. data collected through documentation. Literature review method through literature relevant to research. Then the data were analyzed using content analysis based on the theme. Findings: The results of the study show that in the face of the industrial revolution era, human communication development can be done by improving communication, improving digital skills. Research implications/limitations: This study recommends that the next researcher further develop research, especially in the type of research, research subjects and data analysis techniques. Originality/value: this research provides new information about communication in the era of the industrial revolution 4.0 about how communication was formed during Covid- 19.

Abstract

Community happiness is an important indicator of the country's welfare and is related to the quality of life. The Malacca Strait Coastal Area, which includes Indonesia, Malaysia, Singapore, and Thailand, has cultural, religious, and economic policy differences that affect people's happiness. This study aims to analyze the influence of the Islamicity Index, economic growth, and Human Development Index (HDI) on happiness in this region. The research method used is a quantitative-descriptive design, with secondary data from 2020 to 2024 covering the Islamicity Index, HDI, and economic growth. Descriptive analysis shows that the Islamicity Index has a significant negative effect on happiness with a coefficient of -0.257985 (p-value 0.0067), while economic growth has a varied impact. HDI had the most significant positive influence with a coefficient of 7.616624 (p-value 0.0000). These findings show that HDI is the dominant factor in increasing happiness, while the Islamicity Index and economic growth require a more inclusive approach. The results of this study are expected to provide insight for policymakers to prioritize increasing HDI to achieve sustainable happiness in the Malacca Strait Coastal area.

Abstract

The issue of economic sustainability and the global environmental crisis has created an urgent need for a just, sustainable, and environmentally friendly development system. The green economy has emerged as a solution, emphasizing resource efficiency, carbon emission reduction, and social equity. In this context, Islamic economic principles and Sharia-based monetary instruments can play a strategic role in supporting the transition to green development. This article aims to examine the integration of Sharia-compliant monetary instruments such as green sukuk, mudharabah, musyarakah, productive zakat, and environmental waqf in realizing economic sustainability based on Islamic green economy principles. This research uses a qualitative method with a literature study approach. The findings show that Islamic financial instruments are not only aligned with sustainability values but also capable of promoting economic stability, empowering the real sector, and enhancing equitable wealth distribution. This integration is in line with maqashid shariah and contributes significantly to achieving the Sustainable Development Goals (SDGs). However, its implementation still faces challenges, including regulatory gaps, low public literacy, and limited access to green infrastructure. Therefore, cross-sectoral collaboration is essential to strengthen policy, expand education, and foster innovation in Sharia-based financing to achieve inclusive and sustainable development..
