Abstract

The Sale and Purchase Agreement (in Indonesian Version: Perjanjian Pengikatan Jual Beli (PPJB)) is a crucial foundation before the formation of the Akta Jual Beli (AJB). However, in practice, serious obstacles often arise when the seller is unable to be present before the Notary-PPAT. This phenomenon not only hinders administrative processes but also potentially undermines the validity of the deed, increases the risk of breach of contract, and weakens the legal protection that the buyer should receive. In this complex situation, the principle of bona fide (itikad baik) becomes a fundamental pillar that demands honesty, transparency, and compliance with legal obligations from all parties involved. This study uses a doctrinal method to analyze legislation, legal doctrines, and evaluate how court decisions (case studies of Decision Number 28/Pdt/2022/PT SMG, Decision Number 20/Pdt.G/2023/PN.Tgt, and Decision Number 36/PDT/2020/PT.Smg) refer to the principle of bona fide in cases of seller absence in PPJB, and to what extent these decisions can serve as a basis or consideration in choosing dispute resolution mechanisms (litigation, mediation, or arbitration). In-depth analysis shows that judicial bodies consistently emphasize the importance of the principle of bona fide and deed formality. The main results of the analysis indicate that these decisions, by reinforcing the validity of the deed or highlighting violations of good faith, implicitly and explicitly encourage the parties to consider alternative dispute resolution methods such as mediation or arbitration as faster, more efficient efforts that potentially maintain good relations, while striving to reach agreements reflecting the principle of bona fide for legal certainty.

Abstract

Pencantuman nama dan tandatangan notaris pada Akta Pernyataan Keputusan Rapat (untuk selanjutnya disebut ”Akta PKR”) yang dibuatnya, sering ditafsirkan bahwa notaris sebagai pihak dalam akta, sehingga ketika isi akta dipermasalahkan dan terjadi konflik antara para pihak, notaris sering ditempatkan sebagai tergugat atau turut tergugat. Mendudukkan dan menempatkan notaris dengan kualifikasi seperti itu, maka telah terjadi kriminalisasi terhadap jabatan notaris ketika ia dalam pelaksanaan tugas jabatan notaris, misalnya pada contoh kasus Putusan Mahkamah Agung Nomor 94/Pdt.G/2021/PN Srg. Penelitian ini menggunakan metode penelitian doktrinal yang menggunakan data sekunder yang dikumpulkan melalui studi kepustakaan. Data yang diperoleh dianalisis secara kualititatif. Hasil tulisan menunjukkan bahwa tindakan Notaris BU dalam membuat akta PKR tidak masuk kedalam kelalaian ataupun kesalahan dikarenakan tidak ada kewajiban hukum yang tidak dipenuhi atau dilanggar dalam proses pembuatan akta PKR. Keterlibatan notaris dalam akta PKR hanya sebatas kewenangannya untuk menuangkan keterangan para pihak ke dalam akta autentik yang didasarkan pada notulen RUPS dan memastikan kebenaran formal telah terpenuhi, sehingga apabila ada keterangan palsu yang disampaikan oleh penghadap haruslah menjadi tanggung jawab dari para pihak tersebut. Upaya dalam meminimalisir kriminalisasi terhadap notaris dalam pembuatan akta PKR adalah penerapan prinsip kehati-hatian dan bertindak saksama, sebagaimana diatur dalam Pasal 16 ayat (1) huruf a UUJN.

Abstract

The development of technology forces humans to keep updated with the digital technology. At first the  buying and selling transactions have been affected the digital technology and then continuous to service provisions in the notarial field. A cyber notary is a new service that creates electronic deeds on behalf of a notary and serves as an authentic deed. However, there are difficulties in putting it into action because of the Civil Code's Law No.2 of 2014 jo.Law no.30 of 2004 regarding the Notary Position and Law No.11 of 2008 regarding conflicting information and electronic transactions. As the authority of the notary to make authentic deeds is viewed from the perspective of the Civil Code, Law no. 1, it is necessary to investigate this issue so that, in the future, the application of the cyber notary does not conflict with the principle of the tablelionis officium fideliter exercebo. Law No. 11 of 2008 regarding Electronic Transactions and Information and Law No.2 of 2014 regarding the Notary Position.This study is important because it shows that a cyber notary can help notaries carry out their responsibilities more effectively. Abstract

The existence of an annulment of marriage raises the question on how the attitude of the Notary Public towards the request for the cancelation of the prenuptial agreement deed as a result of the marriage annulment and the consequences for third parties. This study aims to provide an understanding to the reader about how the regulation and consequences of marriage annulment on the prenuptial agreement deed in Indonesia. Based on the study that has been done, it can be concluded that the cancelation of the existing prenuptial agreement deed should be done through an application to the Court, not with a notarial deed of cancelation, so that if the cancelation is problematic or detrimental to a third party in the future, the third party cannot file a civil lawsuit or criminal charge against a Notary Public. The existence of an agreement made with a third party is still valid based on the making of the agreement itself, which is assumed to have fulfilled the requirements stipulated in the Civil Code, laws and regulations, and does not violate the law also the prenuptial agreement deed which remained valid when it became the basis for making the agreement with a third party. Therefore, the agreement remains valid and must be implemented so that third parties with good intentions are not harmed. Regarding who should be responsible later, by all means, is who makes the agreement with the third party.

Abstract

Restructuring of a Legal Entity, in this case, a Limited Liability Company, is known in four forms, namely consolidate, consolidation, takeover, and separation. The restructuring has implications for various aspects, including capital structure and share ownership, the composition of management and supervisors, articles of association, and taxation. In this article, we will discuss the Consolidation of the Company, and specifically regarding the implications for the taxation of Limited Liability Companies. Likewise with the role of a notary regarding the requirements of the Business Purpose Test.  The research method used in writing this article is a normative juridical research method, namely by conducting a literature study. The results of the study showed that the Government has set a policy regarding the requirements of the business purposes test for company consolidation and there is a notary role that is needed to support all the requirements of the business purposes test. In addition, the results of this study also provide advice and solutions for the government, notaries, and of course, a company that will consolidate.
