Abstract

The law gives great authority to directors so that directors have freedom in running the company in order to achieve the company's goals and objectives. For this reason, when running a company, directors are required to always be careful in making decisions. The principle of prudence is part of the board of directors' fiduciary duty which must be implemented by every member of the board of directors. This research is aimed at analyzing the limits of prudence of insurance company directors in placing investments in company funds, as well as the legal consequences and responsibilities of company directors for violating the precautionary principle by making the case of PT. ASABRI as an object of study. This research is descriptive normative legal research with a statutory approach and a case approach. Data sources were obtained from primary and secondary legal materials collected using literature study techniques and analyzed using qualitative analysis methods. The results of this research found and concluded that legislation does not regulate in detail the limits of the prudential principle of directors in managing investments. However, directors are required to prepare an investment management plan that reflects investment policies and strategies, through a careful and accountable risk analysis and feasibility study process. In the case of the decision of the directors of PT. ASABRI which resulted in losses to PT. ASABRI, can be qualified as an unlawful act because it violates the precautionary principle, which is indicated by the actions of the directors who knew and approved the placement of PT investment funds. ASABRI in a number of companies without going through a risk analysis process and feasibility study. As a result of this violation of the precautionary principle, the directors of PT. ASABRI is personally and jointly responsible for the company's losses.

Abstract

This research examines the issue of banks refusing to disburse joint deposits by analyzing Medan District Court Decision Number 201/Pdt.G/2018/PN Mdn through a normative juridical approach. The main findings indicate that the absence of explicit regulations in legislation regarding banking authority in disbursing joint deposits causes banks to implement varied internal policies. In the case studied, the bank refused disbursement due to incomplete requirements and unclear legal relationship between the plaintiff and the deceased customer, although heirs should legally receive protection as consumers of banking services. This research highlights the importance of clearer regulations to protect customer interests in banking transactions

Abstract

Auctions of collateral by Rural Credit Banks (BPR) without going through a credit restructuring process raise legal issues related to debtor protection and the fulfillment of the principle of fairness in banking practices. This study aims to analyze the legality of auctions of collateral by BPR without prior credit restructuring, focusing on Decision Number 260/Pdt.G/2019/PN Dps. The research method used is a normative legal research method, applying the Theory of Statement, Legal Certainty, and Justice to discuss legal issues concerning the validity of collateral auctions without restructuring. This study relies on previously available information (secondary sources). Data collection was conducted through document review and relevant literature, while data analysis techniques were performed using qualitative data analysis. The results of this study include: Credit restructuring is not required in cases of non-performing loans, in accordance with Bank Indonesia Regulation No. 14/15/PBI/2012. This means that banks can auction collateral immediately without restructuring if there is no agreement between the bank and the debtor. Regarding collateral auctioned without prior restructuring, debtors may pursue legal remedies, both non-litigious and litigious. In accordance with Article 21(1) of the Indonesian Financial Services Authority Regulation No. 33/Pojk.03/2018 regarding the Quality of Productive Assets and the Formation of Provisions for the Write-off of Productive Assets of Rural Banks (BPR), the auction conducted by PT. BPR without credit restructuring is valid.

Abstract

Credit card hacking (carding) constitutes a form of cybercrime in which offenders unlawfully access and use another person’s credit card for payment transactions without the owner’s consent or knowledge. This study aims to examine and analyze: (1) the legal framework governing the theft of credit card information that causes financial losses to customers through cyberspace; (2) the scope of criminal liability for such offenses; and (3) judicial considerations in Decision Number 240/Pid.Sus/2021/PN.Dps. The research focuses on relevant provisions in Indonesian law, specifically Article 30 paragraph (1) of Law No. 19 of 2016 concerning Amendments to Law No. 11 of 2008 on Electronic Information and Transactions (ITE), which prohibits unauthorized access to another person’s computer or electronic system. In conjunction with Article 46 paragraph (1) of the ITE Law and Article 55 of the Criminal Code, these regulations form the legal basis for prosecuting carding offenses. Decision Number 240/Pid.Sus/2021/PN.Dps reflects the application of these provisions, where the court imposed penalties on perpetrators consistent with statutory mandates. This research underscores the significance of robust legal enforcement to address the evolving challenges of cybercrime and to safeguard public trust in electronic transactions.

Abstract

Merek merupakan barang bergerang yang memiliki nilai komersial yang sangat tinggi dan dapat dimanfaatkan sebagai sumber daya perdagangan dalam sebuah perusahaan. Merek memiliki hak kekayaan intelektual, merek dikategorikan sebagai hak milik mekanis. Pemilik merek mendapatkan jaminan hukum atas kebutuhan terbesar untuk mendaftarkan merek mereka, baik secara nasional maupun global. Metode yang digunakan adalah penelitian hukum normatif yaitu penelitian  yang bersifat deskriptif-analitis yang dengan mengkaji hukum yang di konsepkan sebagai norma atau kaidah yang berlaku dalam masyarakat yang bersumber dari library research dan field research dengan menganalisis putusan Nomor 325 K/Pdt/2019. Dalam Putusan Mahkamah Agung Nomor 325 K/Pdt/2019, kedudukan merek primagama sebagai objek perjanjian waralaba yang telah dinyatakan pailit, Petrus Arnold Catur Wibowo selaku penerima waralaba masih memiliki hak penuh untuk melakukan pengelolaan usaha dari primagama. Berdasarkan penelitian dapat disimpulkan kelanjutan perjanjian waralaba merek dagang primagama setelah dinyatakan pailit maka perjanjian waralaba antara Purdi E Chandra selaku pemberi waralaba (franchisor) dan Petrus Arnold Catur Wibowo sebagai penerima waralaba (franchusee) berakhir. Berakhirnya perjanjian waralaba Purdi E Chandra dan Petrus Arnold Catur Wibowo dikarenakan hak kepemilikan dan hak pengelolaan telah beralih terhadap pihak lain (H. Sunaryo Suhadi, Azhar Risyad Sunaryo, dan Adam Primaskara) selaku para pihak pemenang lelang pailit. Dan peralihan hak dan pengelolaan primagama terhadap pihak pemenang lelang pailit telah berkekuatan hukum tetap sebagaimana telah ditetapkan dalam Putusan Mahkamah Agung Nomor 325 K/Pdt/2019.
