Abstract

The 2019 merger between Bank Danamon and Bank Nusantara Parahyangan (BNP) raised a fundamental issue regarding the effectiveness of appraisal rights as a legal protection mechanism for minority shareholders. Although these rights are normatively regulated under Article 62 of the Indonesian Company Law (Law No. 40 of 2007) and the Financial Services Authority Regulation (POJK) No. 74/POJK.04/2016, their implementation in practice tends to be formalistic and has not fully ensured substantive justice. This study aims to analyze the application of appraisal rights in the Danamon–BNP merger and its legal implications for the protection of minority shareholders. The research employs a normative juridical method with statutory, conceptual, and comparative approaches. The findings reveal that although the merger procedure formally complies with existing regulations, its implementation does not fully reflect the fairness principle within good corporate governance. Limited transparency in fair value determination and weak supervisory oversight by the Financial Services Authority (OJK) have created potential inequities in protecting minority shareholders’ economic rights. Therefore, regulatory reform is required to enhance valuation transparency and strengthen OJK’s supervisory role, ensuring that appraisal rights function effectively as an instrument of corporate justice within Indonesia’s banking sector.

Abstract

This study aims to examine the legal construction of consumer protection against health benefit overclaims in non-medicinal supplements lacking clinical trials, as well as the scope of business actors’ liability within the Indonesian legal system. The research employs a normative juridical method, applying both a statutory approach and a conceptual approach. The statutory approach analyzes the hierarchical structure of norms, encompassing Law Number 8 of 1999 on Consumer Protection, the Indonesian Civil Code, and sectoral regulations governing drug and food supervision administered by the Badan Pengawas Obat dan Makanan Republik Indonesia. The conceptual approach is utilized to critically assess the doctrines of overclaim, misrepresentation, duty of care, and the principle of actori incumbit probatio in the allocation of the burden of proof. Primary, secondary, and tertiary legal materials are examined through qualitative analysis using systematic and grammatical interpretation. The study seeks to formulate a coherent legal argument concerning the permissible scope of health claims, the evidentiary standards required for therapeutic representations, and the layered framework of administrative, civil, and criminal liability in consumer protection law, emphasizing legal certainty and substantive justice.

Abstract

The dominance of informal sector workers in Indonesia has led to many employment relationships being based on oral agreements, which raises issues of legal certainty also protection of workers’ rights, particularly in evidentiary process of industrial relations disputes. Normatively, oral agreements are recognized under Article 50 and Article 51 paragraph (1) of Law Number 6 of 2023 concerning Job Creation, as long as they fulfill elements of work, wages, also orders; however, in practice, they have not provided optimal protection. Employs normative juridical method with statutory also conceptual approaches. Indicate absence of written evidence weakens workers’ positions and increases the risk of violations of normative rights, such as wages, working hours, social security, and protection against unilateral termination. Although regulated under Article 57 paragraph (1) and Article 88 paragraph (1) of the Job Creation Law, as well as supported by Government Regulation Number 35 of 2021 and Number 36 of 2021, their implementation remains suboptimal. Strengthening role of the state is necessary throughout preventive mechanisms, such as employment relationship registration and enhanced supervision, to ensure legal certainty as well as protection and welfare of workers.
