Abstract

The process of buying a house through a Home Ownership Credit all the time is always met with obstacles in installment payments, so that the buyer is in default because he does not pay the installments according to the agreement signed between the buyer and the bank. The formulation of this research problem is what are the legal consequences of the transfer of the purchase and sale of the object of home ownership credit guarantee in a credit pass transaction without the knowledge of the bank and how is the legal protection for consumers in the purchase and sale of home loan guarantee objects in a credit pass transaction without the knowledge of the bank. The theories used in this study are according to Moch, Ismaeni, Legal Protection Theory, Civil Contract Theory according to Sudikno Mertokusumo. The method used in this study is normative juridical (research on literature law or secondary data with sources of primary, secondary and tertiary legal materials). The research approach used is a legal, case, analytical approach and a conceptual approach with legal material collection techniques carried out by identifying and inventorying legal rules, book literature, and other legal materials. The technique of analyzing legal materials is carried out by grammatical legal interpretation and systematic interpretation. From the research, it was concluded that the transfer of home loans without the knowledge of the bank as a creditor before the credit is paid off is an act that should not be done by the debtor. The impact of this action is the emergence of risks to the debtor who accepts and sullito to take a certificate for the new debtor and in the credit over.

Abstract

The Covid-19 pandemic has had an impact on the economy in Indonesia. The government says that Covid-19 is a non-natural national disaster. The application of social distancing is a way to deal with the spread of the covid-19 virus, but with the presence of social distancing this makes the weakening of the economy that has an impact on business actors in Indonesia. Delay of debt payment obligation (PKPU) provides the purpose of the debtor or creditor applying for a delay in debt payment obligations (PKPU). In addition, the government also provides banking relaxation regulations to support companies that are affected by covid-19. The purpose of this research is to find out the implementation of PKPU supported by relaxation of banking issued by the government to overcome bad credit and know legal certainty in the implementation of PKPU with the relaxation of banking. This research is a normative juridical law research. The result of this research is the implementation of PKPU with the relaxation of banking has been running in accordance with Law No. 37 of 2004 and OJK No. 11 / OJK.03 / 2020. But for waivers that apply in accordance with OJK No. 11 /ṔOJK.03/2020 only applies to business actors who have a loan ceiling to Bank Negara only 03 /2020. Abstract

Perlindungan hukum terhadap pihak ketiga merupakan hal penting dalam hubungan bisnis, termasuk dalam hal perjanjian yang melibatkan perseroan komanditer. Penelitian ini bertujuan untuk menganalisa pertanggungjawaban perseroan komanditer akibat wanprestasi terhadap pihak ketiga perlindungan hukum terhadap pihak ketiga atas wanprestasi perseroan komanditer yang dikaji menggunakan teori pertanggungjawaban (Hans Kelsen) dan teori perlindungan hukum (Satjipto Rahardjo). Penelitian menggunakan metode yuridis normatif dengan pendekatan perundang-undangan, pendekatan konseptual, dan pendekatan kasus. Teknik pengumpulan bahan hukum dilakukan melalui studi kepustakaan yang kemudian dianalisa menggunakan penafsiran hukum gramatikal dan konstruksi hukum analogi. Penelitian ini menyimpulkan bentuk pertanggungjawaban para persero terkait wanprestasi perjanjian terhadap pihak ketiga diatur berdasarkan peran masing-masing persero sebagaimana merujuk pada Pasal 19 ayat (1) KUHD. Adapun perlindungan hukum terhadap pihak ketiga atas wanprestasi perseroan komanditer dapat dilakukan melalui tuntutan ganti rugi, pembatalan perjanjian, atau pelaksanaan prestasi sebagaimana diatur dalam Pasal 1267 KUHPerdata yang sejalan dengan asas pacta sunt servanda sebagaimana diatur dalam Pasal 1338 ayat (1) KUHPerdata. Pihak ketiga juga dapat mengajukan gugatan atas dasar Pasal 1365 KUHPerdata tentang perbuatan melawan hokum apabila perseroan terbukti tidak beritidak baik dalam penyelesaian perjanjian

Abstract

This study aims to analyze the legal responsibilities of directors and/or commissioners whose terms of office have expired in managing and supervising companies and examine the legal protection for third parties involved in civil agreements with such directors or commissioners. This study uses a normative juridical research method to review primary, secondary, and tertiary legal materials through statutory, conceptual, analytical, and case approaches. The results indicate that legal actions taken by directors or commissioners whose expired terms are considered legally invalid unless ratified through a General Meeting of Shareholders (GMS). In cases where third parties suffer losses due to such actions, the directors and commissioners are personally liable. Preventive legal protection can be achieved by ensuring the legality of corporate documents before entering into agreements, while repressive protection includes filing lawsuits in court. This study recommends the importance of ratifying legal actions taken by demissionary directors or commissioners to maintain legal certainty and protect the interests of third parties.

Abstract

Limited Liability Companies that have implemented the use of teleconferencing in the GMS decision making mechanism. Apart from being able to be held via teleconference media directly, GMS participants can also use the e-RUPS platform for decision making, both those who attend physically and those who attend using the teleconference media. The implementation of the use of the e-GMS platform in GMS, especially in Closed PTs, whether all GMS participants can attend it physically or there are GMS participants who attend via teleconferencing media is interesting to research because it is in Article 77 of the PT UUPT. The method used in this research is normative juridical legal research, which was carried out as an effort to obtain the necessary data regarding the problem. The data used is primary data as supporting legal material for secondary data. Data analysis was carried out using qualitative analysis methods. From the results of the research, the implementation of a teleconference GMS (zoom meeting) via electronic means still requires prior summons to Shareholders by registered letter. The summons is made no later than 14 (fourteen) days before the date the GMS is held and the teleconference GMS remains valid in the form of a deed of reassurance but must comply with The legal requirements for a GMS in a closed PT can be carried out as long as each meeting procedure and mechanism can be legally accounted for by holding the GMS via Zoom Meeting. The suggestion is to immediately create a media platform for the implementation of Teleconferencing/Video Conference GMS intended for closed Limited Liability Companies as per the Platform issued by the Indonesian Central Securities Depository for Public Limited Liability Company GMS, implementation through a certain system using a digital system must have a sustainable mechanism. to maintain novelty, clarity and responsibility. Immediately the Ministry of Law and Human Rights together with the DPR and related parties will make regulations regarding procedures for holding GMS by Teleconference/Video conference for Closed Limited Liability Companies so that legal certainty is guaranteed for the parties, and create a media platform for holding GMS that meets special standards for GMS

Abstract

The increasing demand for land due to population growth gave rise to a focus on agrarian law. The pre-1960 dualism of land law (Western land and customary law) ended with the agrarian Basic Law (UUPA) of 1960, which unified land regulation. The UUPA aims to simplify land law for the benefit of the people. The conversion of eigendom rights is regulated by the UUPA, but the settlement of land disputes, although it can be done through non-litigation channels, often leads to litigation, especially in complex cases such as eigendom rights, conversion, and land ownership. This study raises two problems, namely the legal consequences of the former Eigendom land that has not been registered but has been controlled by other parties and the legal construction of Land Dispute Resolution on the Land of the former Eigendom that has not been registered but has been controlled by other parties.This research is normative legal research, with legislation and case approach. The technique of collecting legal materials used by the authors in this study is to collect data by reading and reviewing some literature. The result of this study is that Article 24 of Government Regulation No. 24 of 1997 on land registration provides legal consequences for owners of eigendom deeds who have not registered their land, triggering disputes with communities who have controlled the land. To minimize disputes, it is necessary to establish an alternative institution for resolving land disputes in Indonesia, such as the ex-Eigendom land examination Institute

Abstract

This study examines aspects of legal protection for customers in the context of the application of standard agreements in the public service sector. In an effort to provide public services, standard agreements are often used as a legal basis, but this can lead to potential inequalities between service providers and customers. The focus of the study includes the analysis of applicable legal provisions to protect the rights of customers in the public service sector standard agreements, with emphasis on the effectiveness of the protection provided. The research method involves a normative legal study approach to explore various regulations relating to customer protection in the public service sector standard agreements. Furthermore, case studies are used to illustrate the implementation of the raw Agreement and its impact on customers. Thus, this study aims to provide a deeper understanding of the effectiveness of legal protection for customers, with the hope that the results can contribute to improving regulations that pay more attention to customer rights, improve welfare, and ensure justice in public services. The result of this study is the application of standard agreements in the public service sector, as stipulated in Law No. 8 of 1999 on Consumer Protection, confirms that consumer protection is the responsibility of all citizens of Indonesia in accordance with national development goals in the Preamble to the 1945 Constitution. In the midst of the drive to achieve high economic profits and fierce competition, some business actors tend to act fraudulently, harming the interests of consumers. Therefore, legal protection in the public service sector for customers is regulated through standard clauses, which are rules and conditions set by business actors, although consumer protection laws have prohibited the use of standard clauses. Ironically, the conditions in the community indicate that standard agreements are still often used by business actors or entrepreneurs.

Abstract

This research aims to review and analyze the legal certainty of Limited Liability Companies (PT) after the end of bankruptcy, a condition in which the company is declared unable to fulfill its obligations to creditors in accordance with Law Number 37 of 2004 concerning Bankruptcy and Suspension of Debt Payment Obligations. Bankruptcy often brings complex legal consequences, both for the entity concerned and the creditors. In this context, legal certainty plays an important role to ensure that the legal rights of all parties involved are protected and respected. This research uses a normative juridical approach to evaluate how existing laws provide legal certainty for Limited Liability Companies after the end of bankruptcy. The findings in this study show that although there are fairly clear rules regarding the bankruptcy process, there are deficiencies in the regulations related to the restoration of the legal and operational status of Limited Liability Companies after bankruptcy is declared over. These deficiencies can lead to legal uncertainty, which has the potential to hamper the recovery and continuity of the Limited Liability Company's business, as well as pose a risk of further legal disputes. The results of this study indicate the need to strengthen the legal framework to ensure that after bankruptcy, Limited Liability Companies can resume operations with clear legal certainty. More detailed regulations and appropriate implementation guidelines are needed to ensure that Limited Liability Companies, as legal entities, have a solid foundation to continue their business activities without facing ongoing legal uncertainty. Thus, legal certainty becomes a key element in supporting post-bankruptcy business stability and sustainability

Abstract

Notaris merupakan jabatan kepercayaan bagi masyarakat hal ini mengandung makna bahwa Notaris yang menjalankan tugas jabatan dapat dipercaya dalam menjalankan tugas jabatannya. Dalam Pasal 1870 KUHPer mewajibkan notaris untuk memberikan suatu akta yang dapat menjadi pembuktian sempurna. Apabila terjadi suatu sengketa terhadap akta notaris maka akta tersebut bisa dibatalkan atau batal demi hukum. Rumusan masalah dalam tesis ini mengenai akibat hukum terhadap akta yang dibatalkan oleh Pengadilan dan tanggungjawab notaris terhadap akta yang dibatalkan oleh Pengadilan. Teori hukum yang digunakan dalam penelitian ini adalah teori Tanggung Jawab menurut Hans Kelsen dan teori Akibat hukum menurut Soeroso. Metode yang digunakan dalam penelitian ini dengan jenis penelitian ini dengan jenis penelitian yuridis normatif yaitu penelitian hukum kepustakaan atau data sekunder dengan sumber bahan hukum primer, sekunder, tersier. Adapun pendekatan penelitian yang dipergunakan seperti pendekatan perundang-undangan, konseptual, Analisis, serta pendekatan kasus dan teknik pengumpulan bahan hukum dilakukan dengan cara mengidentifikasi dan menginventarisasi aturan hukum positif, literatur buku, jurnal dan sumber bahan hukum lainnya. Untuk teknik analisa bahan hukum dilakukan dengan penafsiran hukum (interpretasi) dan metode konstruksi hukum. Dari hasil penelitian yang dapat diperoleh bahwa pembatalan akta notaris oleh pengadilan berdampak langsung pada keabsahan dan kekuatan pembuktian sempurna yang berubah menjadi batal demi hukum. Maka akta yang batal demi hukum menimbulkan isi kesepakatan tersebut menjadi tidak sah dan tidak mengikat bagi para pihak yang bersangkutan oleh sebab itu notaris wajib dalam mempertanggungjawabkan kesalahan yang menimbulkan kerugian bagi para pihak.

Abstract

Penelitian ini mengindikasikan analisis tentang kepastian hukum terkait ahli waris personal guarantee yang ikut dipailitkan karena pailitnya debitor prinsipal. Uraian ini mungkin mencakup pemahaman tentang ketentuan hukum yang mengatur tanggung jawab ahli waris dalam konteks personal guarantee ketika debitor utama mengalami kegagalan keuangan dan pailit. Metode penelitian yang dipakai adalah yuridis normatif dengan pendekatan perundang-undangan, konseptual, dan kasus. Analisis bahan hukum dilakukan melalui metode kualitatif. Hasil penelitian menunjukkan bahwa Bahwa Hak istimewa penanggung dalam pailit disamakan dengan debitor utama, tidak sesuai dengan teori penanggungan. Masalahnya timbul saat penanggung meninggal, ahli warisnya ikut dipailitkan, terutama jika harta penanggung tidak cukup untuk lunasi utang debitor. Ini menyebabkan kurator bisa menyita harta pribadi ahli waris dan dalam Pasal 1826 KUHPerdata jadi dasar putusan untuk ahli waris penanggung yang ikut dipailitkan dengan debitor utama. Ini membuat kekayaan ahli waris dianggap boedel pailit, tanpa bedakan harta pribadi dan warisan. Sebagai hasilnya, ahli waris penanggung bertanggung jawab tanpa batasan, padahal sebenarnya Pasal 209 UUKPKPU telah mengatur batasan harta warisan yang dapat disita. Inkonsistensi antara Pasal 1826 KUHPerdata dan Pasal 1100 KUHPerdata dengan Pasal 207 dan Pasal 209 UU kepailitan dan PKPU menciptakan ketidakpastian hukum bagi ahli waris penanggung.
