Abstract

The activity of buying and selling land followed by the transfer of ownership assets to land is commonly carried out as a fulfillment of investment needs in the community. As with the existence of land which is an object of investment, land can be used to bring financial benefits through sales, rentals, or as collateral for debts and receivables. Land as collateral for debts and receivables held through a mortgage agreement gives birth to rights and obligations that must be fulfilled between the owner of the house as the debtor and the holder of the mortgage as the creditor. Even though it has been bound by a mortgage agreement, the existence of land that is still in the control of the debtor is often detrimental to the creditor, as is the case when the land is sold without the knowledge of the creditor. Legal research with this normative juridical research method will examine the validity of the sale and purchase agreement of the mortgage object by the debtor without being known by the creditor. Meanwhile, through this research, it will also examine the rights, obligations and responsibilities of the parties in a debt and credit agreement with a mortgage guarantee mechanism.

Abstract

Doing Business, issued by the World Bank, emphasizes that it plays an important role in determining how easy it is to establish business indicators in Indonesia. The role of the Notary in the completion of a project. It's easy to test an index that combines speed and cost factors to determine how fast a business can grow. As a result, the faster and more precise the steps for creating a certificate, the easier it will be to determine your business indicators. The purpose of this research is to find out how dangerous the regulation of cybernotarius publicus under the Notary Position Law (UUJN) is to find out how easy business indicators are in Indonesia. This study uses normative legal methods. The findings of this study indicate that the Cyber Notary Agreement which regulates business transactions has been effective.

Abstract

Natural disasters in fact can result in the owner of land rights losing the right to control, use, or take advantage of the land, because the land is lost partially or completely. In addition to the land owner, losses due to the loss of land due to natural disasters can also be suffered by the creditors of the Bank as the holder of the mortgage right of the land that is the object of the mortgage due to the debt agreement. In this case, the debtor cannot be blamed for the destruction of the object or objects that are encumbered with the mortgage and are destroyed by a natural disaster, because when and where the disaster occurs is unpredictable and beyond the control of the parties, this is a state of coercion or overmacht/forje majeur. Therefore, through the normative juridical research method, the author will analyze the position of the bank's creditors and the existence of mortgage rights on land destroyed due to natural disasters, along with the position of creditors and debtors in the debt agreement that has been made.

Abstract

There are numerous ventures that are existed in the business world one of the example is Limited Liability Companies. The establishment of a Limited Liability Company has own terms set forth in the law number 40 of 2007 concerning Limited Liability Companies The articles of association are the goals of the company. Limited companies must consider a special budget in accordance with UUPT 40/2007 so as not to cause problems for interested parties.Limited companies organs make up of the General Meeting of Shareholders, the Board of Directors, and the Board of Commissioners. The Board of Directors is the most important organ in the Limited Liability Company because the Board of Directors may represent the Limited Company inside and outside the court. This important role has consequences on the importance of determining the members of the Board of Directors as stated in the Articles of Association whether or not it is authorized to represent a Limited Liability Company. The Articles of Association governing an unspecified term of office of the Board of Directors are contrary to the Law of Limited Liability Companies. This resulted in the law provision being null and void.

Abstract

Notaris adalah pejabat umum yang disumpah oleh Negara dalam perannya untuk memberikan jasa hukum kepada masyarakat. Salah satu kewenangan Notaris yang utama yaitu membuat akta notaris atau akta autentik yang merupakan bentuk dari alat bukti tertulis. Akta autentik merupakan akta yang dibuat oleh atau dihadapan Notaris, dan dibuat di tempat akta dibuatkan serta bentuknya diatur secara tegas dalam undang-undang. Adapun permasalahan yang diangkat pada penelitian ini yaitu bagaimana nilai pembuktian akta notaris atas suatu perbuatan hukum oleh para pihak. Metode penelitian yang digunakan adalah bentuk penelitian hukum yuridis normatif. Jenis data yang digunakan yaitu data sekunder. Data sekunder didapat dengan cara melaksanakan pencarian literatur/studi kepustakaan yang terdiri dari bahan hukum primer, bahan hukum sekunder, dan bahan hukum tersier. Tanggung jawab notaris yaitu untuk menjamin kebenaran terdapatnya suatu perbuatan hukum yang dilakukan oleh para pihak. Dalam praktik, Notaris seringkali dianggap sebagai pihak dalam akta, namun nyatanya dalam akta notaris berisikan suatu hal yang dikehendaki oleh para pihak yang mengikatkan diri dalam suatu perjanjian. Notaris hanya berwenang menuliskan kehendak para pihak ke dalam akta notaris sehingga akta dimaksud hanya berisi suatu pernyataan atau perbuatan hukum asli dari kehendak para pihak yang ditulis menggunakan kalimat hukum. Apabila isi akta tersebut dipermasalahkan, maka masalah tersebut seharusnya merupakan masalah dari para pihak tersebut.
