Abstract

In fact, the registration of mortgage rights after the implementation of business capital credit is an important stage. From the credit agreement to the registration of mortgage rights, it is inseparable from the role of a Notary, PPAT, and Bank. Because electronic deletion of mortgage rights has been implemented, it is also necessary to understand the differences between manual and electronic deletion of mortgage rights. This study aims to analyze the role of Notaries, PPATs, and Banks in the registration of HT-el for business capital credit and to analyze the differences between manual and electronic deletion of mortgage rights. The legal research used is normative legal research with a statutory approach. Primary data was obtained from interviews with two informants who were determined by purposive sampling, while secondary data was obtained through literature studies. In placing mortgage rights on business capital loans, the Notary, PPAT and Bank each have an important role. Starting from receiving the bank order letter to the issuance of the mortgage certificate, each holds an irreplaceable role and responsibility. Several differences were also found between manual and electronic deletion of mortgage rights, including: legal basis, method of implementation, role of PPAT, time limit, and final product.

Abstract

Introduction: The recognition of Individual LLCs is a concrete step from the government to support micro and small enterprises, which triggers Indonesia's economic growth. However, improvements to the regulation of Individual LLCs are needed immediately.        Purposes of the Research:  The research aims to explain and analyze the regulatory comparison of an Individual LLC in Indonesia and a Single-Member LLC owned by an Individual in Vietnam.Methods of the Research: The type of research is normative legal research with statutory and comparative approaches. Data was collected using library research with qualitative analysis.Results of the Research: The results can see from various aspects, such as the definition, company establishment, organizational structure, rights and obligations of company founders, and conversion. In Indonesia, the definition is outlined in Regulation of the Minister of LHR Number 21/2021, while in Vietnam is regulated in Law on Enterprises 2020. An Individual LLC in Indonesia can only establish by an individual, whereas in Vietnam, the owner of the Single-Member LLC can be an organization or an individual. Indonesia only knows the Company's Director, while there are President and a Director/General Director in Vietnam. The rights and obligations of the owner of an Individual LLC in Indonesia are not explicitly regulated, while Vietnam regulates it. It's possible to convert only an Individual LLC into a Capital Partnership LLC in Indonesia, while in Vietnam, it is possible to change either way. Evaluation and improvement of the regulation of Individual LLCs in Indonesia are urgently needed to create a firm legal umbrella for micro and small business actors.

Abstract

In practice, there often occurrs defective procedure when holding a Private Limited Company’s (PLC’s) General Meeting of Shareholders (GMS), which later stated in Deed of the Meeting Resolutions by a Notary. Regarding the defective procedure in GMS, shareholders will surely suffer losses because their rights are violated, especially minority shareholders. Two problems that arise and examined in this study are: How is the legal protection for minority shareholders in a PLC’s GMS? and How is the responsibility of the Notary for making Deed of the Meeting Resolutions from an Extraordinary GMS containing the defective procedures in a PLC? This research is normative legal research. Based on the research conducted, it can be concluded that legal protection for minority shareholders in PLC’s GMS, has been quite well regulated in Laws of the Republic of Indonesia number 40 of 2007 concerning Limited Liability Company. On the other hand, the responsibility of the Notary for making Deed of the Meeting Resolutions from an Extraordinary GMS containing the defective procedures in an LLC is a liability limited to formal truth or formal requirements. Regarding the material truth, it is not the responsibility of the notary but is the responsibility of the legal subject who performed the legal action. Notary in carrying out his position also requires having thoroughness and carefulness in doing any legal action, including making Deed of the Meeting Resolutions.Bahasa Indonesia Abstrak: Dalam praktek, sering sekali terjadi penyelenggaraan RUPS PT Tertutup yang mengandung cacat prosedur, yang kemudian dituangkan dalam Akta Pernyataan Keputusan Rapat oleh Notaris. Terhadap adanya penyelenggaraan RUPS yang mengandung cacat prosedur, para pemegang saham pasti akan mengalami kerugian karena hak-hak mereka dilanggar, khususnya para pemegang saham minoritas. Dua rumusan masalah yang timbul dan diteliti dalam penelitian ini adalah: Bagaimana perlindungan hukum bagi pemegang saham minoritas dalam RUPS PT Tertutup? serta Bagaimana pertanggungjawaban Notaris atas pembuatan Akta Pernyataan Keputusan Rapat dari penyelenggaraan RUPS Luar Biasa yang mengandung cacat prosedur pada PT Tertutup? Penelitian ini adalah penelitian hukum normatif. Berdasarkan penelitian yang telah dilakukan, diperoleh kesimpulan bahwa perlindungan hukum bagi pemegang saham minoritas sehubungan dengan penyelenggaraan RUPS dalam PT Tertutup sudah cukup baik diatur dalam Undang-Undang Republik Indonesia Nomor 40 Tahun 2007 Tentang Perseroan Terbatas (UU PT). Di samping itu, pertanggungjawaban Notaris atas pembuatan Akta Pernyataan Keputusan Rapat dari penyelenggaraan RUPS Luar Biasa yang mengandung cacat prosedur pada PT Tertutup merupakan pertanggungjawaban sebatas pada syarat formal atau kelengkapan formal. Kebenaran materiil bukan tanggung jawab notaris, melainkan masing-masing subjek hukum yang melakukan. Notaris dalam menjalankan jabatannya juga dituntut memiliki ketelitian dan kehati-hatian dalam melakukan setiap perbuatan hukum, termasuk pembuatan Akta Pernyataan Keputusan Rapat.

Abstract

Notary has the authority to certify the electronic transaction (cyber notary) according to the Elucidation of Article 15 paragraph (3) of Law Number 2 of 2014 (Law 2/2014). Thus, the authority has been the milestone for the concept of cyber notary in Indonesia. Although the enactment of Law 2/2014 presented a new concept in Notary in Indonesia, but it does not give a wide chance to the application of cyber notary itself. One of the roots that causes the obstacles are the absence of definite law in regulating cyber notary. Law 2/2014 mentioned cyber notary but did not give a normative definition on it. Therefore, the concept of cyber notary is limited to conduct the certification of electronic transaction. Several challenges on performing the authorities and obligations of notary could be found in the context of the implementation of cyber notary, as follows: 1) Notary is bounded to the form and procedure in drawing up authentic deeds set by Article 38 Law 2/2014; 2 ) The appearers shall be known to Notary or introduced to him/her; 3 ) Reading and signing of deeds have to done in specific procedure; and 4) Drawing up deeds in the form of Minutes of Deed and keep the same as a part of Notarial Protocols. This article was classified as legal normative research and meant to analyze the concept of regulation on cyber notary in Indonesia by using statute and conceptual approach.

Abstract

The purpose of this study is to compare HT registration before and after the implementation of Permen ATR/KBPN 5/2020 and legal protection for creditors in implementing HT-el registration. This research is normative-empirical with a legal systematic approach and examines the data with qualitative analysis. The results of the study show that there are 7 aspects of comparison: first, the parties that play a role in conventional HT are PPAT, Land Office, and debtors, while in HT-el, they are PPAT, Land Office, and creditors. Second, the HT registration method, conventional with physical interaction, and HT-el with an electronic system Third, HT registration requirements document, conventional with original and photocopy, HT-el with original scan and upload Fourth, the HT registration PNBP rate is in accordance with the provisions in PP 128/2015. Fifth, HT registration time, conventional on working days and hours, HT-el at any time Sixth, HT registration results, conventionally typed on paper, are issued electronically. Seventh, royal HT, conventional with physical interaction and acquisition of paper documents, and HT-el with electronic systems and electronic documents Then, the legal protection for creditors in the registration of conventional HT and HT-el is the same, namely through an HT certificate, which has executive powers.   Tujuan dari penelitian ini adalah untuk membandingkan pendaftaran HT sebelum dan sesudah pemberlakuan Permen ATR/KBPN 5/2020 serta perlindungan hukum bagi kreditur dalam penerapan pendaftaran HT-el. Penelitian ini merupakan penelitian normatif-empiris dengan pendekatan sistematika hukum serta mengkaji data-data dengan analisis kualitatif. Hasil penelitian menunjukkan terdapat 7 aspek perbandingan, pertama, para pihak yang berperan dalam HT konvensional adalah PPAT, Kantor Pertanahan, dan debitur, sedangkan dalam HT-el adalah PPAT, Kantor Pertanahan, dan kreditur. Kedua, metode pendaftaran HT, konvensional dengan interaksi fisik, HT-el dengan sistem elektronik. Ketiga, dokumen persyaratan pendaftaran HT, konvensional dengan asli dan fotocopy, HT-el dengan scan dan unggah asli. Keempat, tarif PNBP pendaftaran HT adalah sesuai pengaturan dalam PP 128/2015. Kelima, waktu pendaftaran HT, konvensional pada hari dan jam kerja, HT-el kapan saja. Keenam, hasil pendaftaran HT, konvensional diketik di kertas, HT-el diterbitkan secara elektronik. Ketujuh, roya HT, konvensional dengan interaksi fisik dan perolehan dokumen kertas, HT-el dengan sistem elektronik dan dokumen elektronik. Kemudian, perlindungan hukum bagi kreditur dalam pendaftaran HT konvensional dan HT-el adalah sama, yaitu melalui sertipikat HT yang memiliki kekuatan eksekutorial.

Abstract

Sea turtles are reptiles that live in the sea which have long been threatened, both from nature and human activities. Internationally, sea turtles are included in the 'red list' in the International Union for Conservation of Nature's (IUCN) and Appendix I of the Convention on International Trade in Endangered Species of Wild Flora and Fauna (CITES), which means that their existence in nature is threatened with extinction so that all the form of utilization and distribution must receive serious attention. Therefore, sea turtle conservation efforts are an important program to protect and save the populations, especially in Indonesia because there are 6 out of 7 sea turtles species still exist today in Indonesia. In order to support sea turtle conservation efforts in Indonesia, government roles are needed, both at the central and regional levels. This research focuses on the preserving sea turtles based in Indonesia through government policies and roles regarding conservations at Serangan Island and Tanjung Benoa, especially local government. The purpose of this research was to analyze government policies and their roles on sea turtle conservation efforts at Serangan Island and Tanjung Benoa. The research method used is normative using secondary data supported by primary data in the form of interviews with the management of the conservation centers. The research result shows that central government regulations are not always passed down to the regional level, but the government's awareness to protect the existence of turtles has been carried out together with the society even without regional regulations.

Abstract

ABSTRAKPenerbitan akta pernyataan keputusan rapat (PKR) dari penyelenggaraan rapat umum pemegang saham (RUPS) dilakukan untuk menjamin kepastian hukum telah diadakan RUPS dengan keputusan-keputusannya. Permasalahan muncul ketika akta PKR diterbitkan dari penyelenggaraan RUPS luar biasa yang mengandung perbuatan melawan hukum (PMH), sebagaimana RUPS luar biasa yang diselenggarakan PT ECO pada tanggal 21 Mei 2011, yang dipimpin komisaris utamanya yakni S. Fokus penelitian ini adalah akibat hukum dan langkah hukum yang ditempuh para pihak terhadap penerbitan akta PKR dari penyelenggaraan RUPS luar biasa yang mengandung PMH dengan pendekatan kasus terhadap Putusan Nomor 45/Pdt/2014/PTR. Penelitian ini merupakan penelitian hukum normatif dengan pendekatan studi kasus. Penelitian ini menyimpulkan bahwa penerbitan Akta PKR Nomor 56 dari penyelenggaraan RUPS luar biasa PT ECO yang kemudian diproses ke Kementerian Hukum dan Hak Asasi Manusia, menimbulkan akibat hukum terhadap para pihak terkait yakni pemegang saham, pelaku PMH, dan notaris yang menerbitkan dan memproses akta PKR tersebut. Langkah hukum yang ditempuh para pihak terhadap penerbitan Akta PKR Nomor 56 tersebut telah diproses melalui jalur pengadilan yakni dari Pengadilan Negeri Batam, Pengadilan Tinggi Pekanbaru, dan terakhir di Mahkamah Agung.Kata kunci: akta pernyataan keputusan rapat; rapat umum pemegang saham; perbuatan melawan hukum. ABSTRACT The issuance of the deed of meeting decision declaration from the holding of the general meeting of shareholders ensured legal certainty has been held by a general meeting of shareholders with its decisions. The problem arose when the deed of meeting decision declaration was published from the extraordinary general meeting of shareholders that contained unlawful acts, as was the extraordinary general meeting of shareholders held by PT ECO on 21st May 2011, led by its chief commissioner, S. This research focuses on the legal consequences and legal steps taken by the parties towards the deed of meeting decision declaration issuance from the holding of the extraordinary general meeting of shareholders containing unlawful acts with a case approach to the Decision Number 45/Pdt/2014/PTR. This research is normative legal research with a case study approach. This study concludes that the issuance of the Deed of Meeting Decision Declaration Number 56 from the holding of the extraordinary general meeting of shareholders of PT ECO on 21st May 2011, which then processed to the Ministry of Law and Human Rights produces legal consequences for the related parties, namely shareholders, unlawful acts actors, and notary who issued and processed the deed of meeting decision declaration. All the parties that take legal steps regarding the issuance of the Deed of Meeting Decision Declaration Number 56 have been processed through court channels from the Batam District Court, Pekanbaru High Court, and finally at the Supreme Court.
