Abstract

The board of directors' responsibilities for breaches of fiduciary duty that resulted in the company's bankruptcy are discussed. The approach method used in this legal research is a normative juridical approach that is backed up by empirical juridical evidence in the form of a detailed description, namely deductive research that begins with an analysis of the articles in the applicable laws and regulations governing the legal consequences for board of directors violations of fiduciary duty. Thus, the company becomes bankrupt, and the board of directors is responsible for violating the fiduciary duty and causing the company to become bankrupt. The Board of Directors, as a corporate organ, is obligated to act in the best interests of the corporation, not of the shareholders acting in their capacity as directors. In general, the board of directors must consider the interests of shareholders and other stakeholders when performing their duties as directors. In general, the board of directors must consider the interests of the corporation's shareholders and stakeholders. The Company Law regulates the directors' liability for losses or bankruptcy suffered by the company as a result of their actions.Keywords: Board of Director’s responsibility; Fiduciary duty; Bankruptcy Abstrak:Pembahasan tanggung jawab direksi atas pelanggaran fiduciary duty yang mengakibatkan perseroan pailit. Metode pendekatan yang dipergunakan dalam penelitian hukum ini adalah metode pendekatan yuridis normatif yang didukung dengan yuridis empiris dengan merinci uraian yaitu suatu penelitian yang secara deduktif dimulai analisa terhadap pasal-pasal dalam peraturan perundang- undangan yang mengatur terhadap permasalahan akibat hukum atas pelanggaran fiduciary duty oleh direksi, sehingga menyebabkan perseroan pailit serta tanggung jawab direksi yang melanggar fiduciary duty dan menyebabkan perseroan tersebut pailit. Direksi sebagai organ dari perseroan yang memiliki kewajiban menjalankan fiduciary duty terhadap korporasi, bukan terhadap pemegang saham menjalankan fungsinya sebagai direksi. Secara umum direksi juga harus memperhatikan kepentingan shareholder dan para stakeholder dari korporasi, dalam menjalankan fungsinya sebagai direksi. Secara umum  direksi juga harus memperhatikan kepentingan shareholder dan para stakeholder dari korporasi. UUPT mengatur tentang tanggung jawab Direksi perseroan atas kerugian atau kepailitan yang dialami perseroan yang dikarenakan perbuatan Direksi.Kata Kunci: Tanggungjawab Direksi; Fiduciary duty; Pailit

Abstract

Non-residential flats are buildings that are used for commercial purposes, like shopping areas, places of business, shops, kiosks, offices, industries, and so on. They are also called commercial flats. However, in practice, it is very hard to register the ownership rights of non-residential flat units that have been bought by people. This is because Law Number 20 of 2011 about Flats doesn't specify how non-residential flats can be used. Some rules make it hard for the National Land Agency to give out certificates of ownership of apartment units for non-residential flats. When the author did this study, he or she used a normative legal approach to look at things. Qualitative normative data analysis was used to look at the data. Because there are still laws and regulations in place that protect consumer property rights, land registration includes property rights to flat units, and the registration of certificates of ownership rights to non-residential flats is done because there are still laws and regulations that protect consumer property rights. Flats that aren't for a living are given to the National Land Agency Office.Keywords: Non-residential flats; Legal protection; Buyer Abstrak: Rumah susun bukan hunian (non-hunian) merupakan bangunan gedung yang diperuntukkan untuk tempat komersial, yang biasanya dijadikan tempat perbelanjaan, tempat usaha/pertokoan/kios, perkantoran, perindustrian dan lain sebagainya. Namun pada praktiknya pendaftaran hak milik atas satuan rumah susun bukan hunian yang telah dibeli oleh konsumen sangat sulit dilakukan. Hal ini dikarenakan dalam Undang-Undang Nomor 20 Tahun 2011 tentang Rumah Susun tidak memberikan pengaturan secara spesifik mengenai pemanfaatan rumah susun bukan hunian. Keterbatasan mengenai regulasi yang membuat Badan Pertanahan Nasional sering kali menolak dan tidak bersedia untuk mengeluarkan sertifikat hak milik satuan rumah susun atas rumah susun bukan hunian. Metode pendekatan yang digunakan penulis dalam penelitian ini adalah metode pendekatan yuridis normatif. Analisa data dilakukan dengan menggunakan metode normatif kualitatif. Hasil penelitian menunjukkan bahwa objek pendaftaran tanah meliputi hak milik atas satuan rumah susun dan pendaftaran sertifikat hak milik atas satuan rumah susun bukan hunian dilakukan dikarenakan masih ada peraturan perundangan-undangan mengakomodir serta memberikan kepastian hukum atas hak milik konsumen yang akan mendaftarkan hak milik atas satuan rumah susun bukan hunian ke Kantor Badan Pertanahan Nasional.Kata Kunci: Rumah susun bukan hunian; Perlindungan Hukum; Pembeli

Abstract

Restorative Justice and Diversity which are intended to avoid and keep children away from the judicial process so as to avoid stigmatization of children in conflict with the law and are expected to return children to the social environment naturally. The research method used in this study is normative juridical using three approaches, namely the statutory approach, conceptual approach, and historical approach. The data source used is secondary data, which consists of primary legal materials, secondary legal materials and tertiary legal materials. As a knife analysis, researchers use the Legal System Theory as Grand Theory, Authority Theory as Middle Range Theory, Criminal Theory as Applied Theory. The results of this study found that The application of diversion in the juvenile justice system in Indonesia, in realizing restorative justice in the court has been carried out, based on Government Regulation Number 65 of 2015 concerning Government Regulation Guidelines for the Implementation of Diversity and Handling of Children who are not yet 12 (Twelve) Years Old. Political Law that must be taken by the Government is amending Government Regulation Number 65 of 2015 concerning guidelines for implementing diversion and handling children who are not yet 12 years old, by adding provisions governing Special Investigators, Special Public Prosecutors and Special Judges, who handle diversion in the justice system child.

Abstract

A Limited Liability Company is a legal entity which is expressly recognized by law as a legal entity which is a legal subject. The main need for an authentic deed in the business sector is the deed of a limited liability company (PT) legal entity. This study aims to analyze and understand the policies related to obtaining business licenses for limited liability companies in the online single submission system in Indonesia and legal protection for limited liability companies in obtaining business licenses through online single submission in accordance with applicable laws and regulations. The method used in this research is normative juridical research. The data used is secondary data consisting of primary legal materials, secondary legal materials and tertiary legal materials. Besides that, primary data is also used as a support for secondary data legal material data. By using the theory of legal protection and the theory of legal certainty. From the results of the research that PP Number 24 of 2018 concerning electronically integrated business licensing services, namely weak laws and regulations do not regulate legal protection for business actors who do not make adjustments to OSS. Legal protection for Limited Liability Companies in the form of adjustments in implementing the OSS system, namely regarding changes to the Standard Classification of Indonesian Business Fields for Limited Liability Companies that already have and obtain a legal certificate of detention of a business entity issued by the Ministry of Law and Human Rights. Based on the research results, it can be interpreted that First, PTs that do not make adjustments to business licenses through OSS after the issuance of PP Number 24 of 2018, namely weak laws and regulations do not regulate legal protection for business actors who do not make adjustments

Abstract

The credit agreement is a main agreement that can be followed by additional agreements. If the debtor defaults, the creditor can settle by transferring the receivables by Cessie. Credit agreements often occur where the debtor borrows collateral belonging to another person or third party in the form of a land certificate and then that person acts as the provider of mortgage rights to guarantee repayment of the debtor's debt. The involvement of a third party in a guarantee agreement often results in losses if the debtor fails to pay. The problem in this research is how to transfer receivables in Cessie by the creditor in the event that the debtor fails to pay against third party mortgage guarantees and what form of legal protection exists for third parties as providers of mortgage rights regarding the transfer of receivables in Cessie by creditors in the event that the debtor fails to pay. The theories used in this research are legal protection theory and contract theory.From the research results, the transfer of receivables by Cessie by the creditor in the event that the debtor fails to pay the third party mortgage guarantee does not comply with the applicable provisions as regulated in Article 613 of the Civil Code and Law of the Republic of Indonesia Number 4 of 1996 concerning Mortgage Rights. Form legal protection for third parties by filing a lawsuit before or during the execution process. The government, stakeholders and related parties are expected to make changes to Law of the Republic of Indonesia Number 4 of 1996 concerning Mortgage Rights over Land and Objects related to Land, by accommodating third party protection which is explicitly regulated in guaranteeing rights to land, these regulations do not clearly regulate the rights and obligations of third parties so they cannot provide legal protection for collateral owners.
