Abstract

The board of directors' responsibilities for breaches of fiduciary duty that resulted in the company's bankruptcy are discussed. The approach method used in this legal research is a normative juridical approach that is backed up by empirical juridical evidence in the form of a detailed description, namely deductive research that begins with an analysis of the articles in the applicable laws and regulations governing the legal consequences for board of directors violations of fiduciary duty. Thus, the company becomes bankrupt, and the board of directors is responsible for violating the fiduciary duty and causing the company to become bankrupt. The Board of Directors, as a corporate organ, is obligated to act in the best interests of the corporation, not of the shareholders acting in their capacity as directors. In general, the board of directors must consider the interests of shareholders and other stakeholders when performing their duties as directors. In general, the board of directors must consider the interests of the corporation's shareholders and stakeholders. The Company Law regulates the directors' liability for losses or bankruptcy suffered by the company as a result of their actions.Keywords: Board of Director’s responsibility; Fiduciary duty; Bankruptcy Abstrak:Pembahasan tanggung jawab direksi atas pelanggaran fiduciary duty yang mengakibatkan perseroan pailit. Metode pendekatan yang dipergunakan dalam penelitian hukum ini adalah metode pendekatan yuridis normatif yang didukung dengan yuridis empiris dengan merinci uraian yaitu suatu penelitian yang secara deduktif dimulai analisa terhadap pasal-pasal dalam peraturan perundang- undangan yang mengatur terhadap permasalahan akibat hukum atas pelanggaran fiduciary duty oleh direksi, sehingga menyebabkan perseroan pailit serta tanggung jawab direksi yang melanggar fiduciary duty dan menyebabkan perseroan tersebut pailit. Direksi sebagai organ dari perseroan yang memiliki kewajiban menjalankan fiduciary duty terhadap korporasi, bukan terhadap pemegang saham menjalankan fungsinya sebagai direksi. Secara umum direksi juga harus memperhatikan kepentingan shareholder dan para stakeholder dari korporasi, dalam menjalankan fungsinya sebagai direksi. Secara umum  direksi juga harus memperhatikan kepentingan shareholder dan para stakeholder dari korporasi. UUPT mengatur tentang tanggung jawab Direksi perseroan atas kerugian atau kepailitan yang dialami perseroan yang dikarenakan perbuatan Direksi.Kata Kunci: Tanggungjawab Direksi; Fiduciary duty; Pailit

Abstract

Non-residential flats are buildings that are used for commercial purposes, like shopping areas, places of business, shops, kiosks, offices, industries, and so on. They are also called commercial flats. However, in practice, it is very hard to register the ownership rights of non-residential flat units that have been bought by people. This is because Law Number 20 of 2011 about Flats doesn't specify how non-residential flats can be used. Some rules make it hard for the National Land Agency to give out certificates of ownership of apartment units for non-residential flats. When the author did this study, he or she used a normative legal approach to look at things. Qualitative normative data analysis was used to look at the data. Because there are still laws and regulations in place that protect consumer property rights, land registration includes property rights to flat units, and the registration of certificates of ownership rights to non-residential flats is done because there are still laws and regulations that protect consumer property rights. Flats that aren't for a living are given to the National Land Agency Office.Keywords: Non-residential flats; Legal protection; Buyer Abstrak: Rumah susun bukan hunian (non-hunian) merupakan bangunan gedung yang diperuntukkan untuk tempat komersial, yang biasanya dijadikan tempat perbelanjaan, tempat usaha/pertokoan/kios, perkantoran, perindustrian dan lain sebagainya. Namun pada praktiknya pendaftaran hak milik atas satuan rumah susun bukan hunian yang telah dibeli oleh konsumen sangat sulit dilakukan. Hal ini dikarenakan dalam Undang-Undang Nomor 20 Tahun 2011 tentang Rumah Susun tidak memberikan pengaturan secara spesifik mengenai pemanfaatan rumah susun bukan hunian. Keterbatasan mengenai regulasi yang membuat Badan Pertanahan Nasional sering kali menolak dan tidak bersedia untuk mengeluarkan sertifikat hak milik satuan rumah susun atas rumah susun bukan hunian. Metode pendekatan yang digunakan penulis dalam penelitian ini adalah metode pendekatan yuridis normatif. Analisa data dilakukan dengan menggunakan metode normatif kualitatif. Hasil penelitian menunjukkan bahwa objek pendaftaran tanah meliputi hak milik atas satuan rumah susun dan pendaftaran sertifikat hak milik atas satuan rumah susun bukan hunian dilakukan dikarenakan masih ada peraturan perundangan-undangan mengakomodir serta memberikan kepastian hukum atas hak milik konsumen yang akan mendaftarkan hak milik atas satuan rumah susun bukan hunian ke Kantor Badan Pertanahan Nasional.Kata Kunci: Rumah susun bukan hunian; Perlindungan Hukum; Pembeli

Abstract

Restorative Justice and Diversity which are intended to avoid and keep children away from the judicial process so as to avoid stigmatization of children in conflict with the law and are expected to return children to the social environment naturally. The research method used in this study is normative juridical using three approaches, namely the statutory approach, conceptual approach, and historical approach. The data source used is secondary data, which consists of primary legal materials, secondary legal materials and tertiary legal materials. As a knife analysis, researchers use the Legal System Theory as Grand Theory, Authority Theory as Middle Range Theory, Criminal Theory as Applied Theory. The results of this study found that The application of diversion in the juvenile justice system in Indonesia, in realizing restorative justice in the court has been carried out, based on Government Regulation Number 65 of 2015 concerning Government Regulation Guidelines for the Implementation of Diversity and Handling of Children who are not yet 12 (Twelve) Years Old. Political Law that must be taken by the Government is amending Government Regulation Number 65 of 2015 concerning guidelines for implementing diversion and handling children who are not yet 12 years old, by adding provisions governing Special Investigators, Special Public Prosecutors and Special Judges, who handle diversion in the justice system child.

Abstract

A Limited Liability Company is a legal entity which is expressly recognized by law as a legal entity which is a legal subject. The main need for an authentic deed in the business sector is the deed of a limited liability company (PT) legal entity. This study aims to analyze and understand the policies related to obtaining business licenses for limited liability companies in the online single submission system in Indonesia and legal protection for limited liability companies in obtaining business licenses through online single submission in accordance with applicable laws and regulations. The method used in this research is normative juridical research. The data used is secondary data consisting of primary legal materials, secondary legal materials and tertiary legal materials. Besides that, primary data is also used as a support for secondary data legal material data. By using the theory of legal protection and the theory of legal certainty. From the results of the research that PP Number 24 of 2018 concerning electronically integrated business licensing services, namely weak laws and regulations do not regulate legal protection for business actors who do not make adjustments to OSS. Legal protection for Limited Liability Companies in the form of adjustments in implementing the OSS system, namely regarding changes to the Standard Classification of Indonesian Business Fields for Limited Liability Companies that already have and obtain a legal certificate of detention of a business entity issued by the Ministry of Law and Human Rights. Based on the research results, it can be interpreted that First, PTs that do not make adjustments to business licenses through OSS after the issuance of PP Number 24 of 2018, namely weak laws and regulations do not regulate legal protection for business actors who do not make adjustments

Abstract

Perubahan anggaran dasar Perseroan Terbatas dibuat berdasarkan akta notaris diikuti dengan Surat Keputusan oleh Kementerian Hukum dan HAM RI. Surat Keputusan, baik berupa persetujuan maupun pemberitahuan itu diterbitkan setelah Perseroan melakukan pelaporan akta dalam waktu 30 (tiga puluh) hari berdasarkan Pasal 21 ayat (7) dan (8) Undang-Undang Nomor 40 tahun 2007 tentang Perseroan Terbatas. Berhubung pelaporan akta hanya dapat dilakukan melalui akun notaris, maka kedudukan notaris adalah sebagai Kuasa dari Direksi Perseroan dan sebagai pemilik akun di sistem Administrasi Badan Hukum. Dalam praktiknya, jangka waktu pelaporan tersebut terlampaui akibat kelalaian maupun kesengajaan. Hal inil terjadi dalam Putusan Pengadilan Negeri Jakarta Selatan Nomor. 426/Pdt.G/ 2016/PN Jkt.Sel, dimana oknum internal Perseroan sengaja tidak melaporkan akta-akta notaris untuk merugikan kepentingan Perseroan. Akta yang melampaui batas waktu pelaporan tetap menjadi akta autentik, namun tidak memenuhi asas publikasi. Tidak dipenuhinya asas publikasi ini menjadi dasar penyalahgunaan wewenang oleh Direksi Perseroan yang baru diangkat karena tidak diketahui akta terakhir dari Perseroan Tersebut. Dalam hal ternyata ada tindakan penyalahgunaan wewenang, maka pihak yang dirugikan dapat mengajukan gugatan supaya akta tersebut dinyatakan tidak sah dan tidak mempunyai kekuatan hukum yang mengikat. Upaya hukum yang dapat dilakukan atas akta Perseroan yang tidak dilaporkan adalah mengadakan rapat internal untuk meminta pertanggungjawaban pengurus terkait dan upaya gugatan ke Pengadilan Negeri.

Abstract

Pasal 1338 KUH Perdata menegaskan bahwa segala perjanjian yang dibuat dengan sah berlaku sebagai undang-undang bagi yang membuatnya. Namun dalam praktiknya, dalam perjanjian penanaman modal, perubahan status perseroan terbatas menjadi perseroan terbatas bagi penanaman modal asing tidak memenuhi syarat formal karena adanya wanprestasi oleh salah satu pihak. Rumusan masalah dalam penelitian ini adalah bagaimana kepastian hukum perubahan status perseroan terbatas menjadi perseroan terbatas penanaman modal asing yang tidak memenuhi syarat formal akibat wanprestasi? Dan apa dampak dan akibat hukum dari perubahan status perseroan terbatas penanaman modal asing jika salah satu pihak wanprestasi? Teori yang digunakan dalam penelitian ini adalah teori kepastian hukum menurut Gustav Radbruch dan teori akibat hukum menurut Soeroso. Metode yang digunakan dalam penelitian ini adalah penelitian yuridis normatif berupa bahan hukum kepustakaan atau data sekunder dengan sumber bahan hukum primer, sekunder, dan tersier. Pendekatan penelitian menggunakan pendekatan undang-undang, konseptual, analitis dan kasus serta teknik pengumpulan bahan hukum dilakukan dengan cara mengidentifikasi dan menginventarisasi kaidah hukum positif, buku literatur, jurnal dan sumber bahan hukum lainnya. Untuk teknik analisis bahan hukum dilakukan dengan penafsiran hukum yang sistematis dan gramatikal. Hasil penelitian menunjukkan bahwa kepastian hukum perubahan status perseroan terbatas menjadi perseroan terbatas penanaman modal asing tidak memenuhi syarat formal karena wanprestasi yaitu tidak diperolehnya kepastian hukum karena perubahan status menjadi penanaman modal asing. perseroan terbatas dianggap tidak pernah terjadi dan masing-masing pihak dikembalikan kepada keadaan semula. semula sebelum terjadi perubahan perseroan terbatas penanaman modal asing, sehingga perseroan terbatas tersebut tetap berstatus sebagai perseroan terbatas penanaman modal dalam negeri. Dampak dan akibat hukum perubahan status perseroan terbatas penanaman modal asing apabila salah satu pihak yang wanprestasi yaitu perseroan terbatas penanaman modal asing tidak dapat menjalankan kegiatan usaha di Indonesia sebagai subjek hukum. Hal ini disebabkan karena pelaksanaan perubahan pada perseroan terbatas penanaman modal asing tidak memenuhi syarat sahnya perjanjian, dalam hal ini tidak terpenuhinya syarat obyektif yang terdiri atas syarat sebab tertentu dan syarat sebab halal karena untuk gagal bayar (default) di pihak investor.

Abstract

The dispute of default (wanprestasi) in Apartment Sale and Purchase Agreement (PPJB) is evident from numerous construction delays and buyer losses caused by the developer’s breach of promise (Dasein). Ideally, legal certainty should be upheld through the application of the Indonesian Civil Code (KUH Perdata) and related regulations so that the rights and obligations of the parties are fairly and securely protected (Dassollen). This raises two main issues: (1) How to resolved breach of contract disputes by developers in Apartment Sale and Purchase Agreement (PPJB)? and (2) How to ensure legal certainty in resolving breach of contract disputes by developers in Apartment Sale and Purchase Agreements (PPJB)? These questions are examined using Yahya Harahap’s Dispute Resolution Theory and Jan Michiel Otto’s Theory of Legal Certainty. The method used in this research is normative juridical research, specifically a legal library study or secondary data analysis. The legal sources include primary, secondary, and tertiary sources. The research approaches used are statute, case, conceptual, and analytical. The legal materials were collected by identifying and inventorying positive law, journals, and other legal sources. The legal materials were analyzed using grammatical, systematic, teleologis interpretations. The legal construction was carried out using analogy and argumentum a contrario methods. The result of this study is that the settlement of ppjb apartment default disputes is generally taken through litigation in court, although non-litigation options are available but rarely used and that legal certainty has been guaranteed by the Civil Code, The Flats law and the legal certainty of PPJB apartment default disputes have been regulated in the Civil Code, The Flats law, and the consumer protection law, but the implementation is still hampered by the execution of decisions, disparity in compensation, and standard clauses, so it is necessary to strengthen regulation and supervision so that consumer protection is more real.

Abstract

Sengketa pertanahan di Indonesia sering menimbulkan konflik berkepanjangan yang memengaruhi stabilitas sosial dan ekonomi. Salah satu bentuk penyelesaian non-litigasi yang ditempuh adalah mediasi oleh Ombudsman Republik Indonesia. Penelitian ini bertujuan menganalisis peran Ombudsman dalam mediasi sengketa pertanahan antara masyarakat dan PT Citra Mitra Graha (CMG) di Sei Nayon, Batam, Kepulauan Riau, serta mengidentifikasi kendala dan faktor pendukung efektivitas mekanisme musyawarah mufakat. Metode penelitian menggunakan pendekatan yuridis-empiris dengan analisis kualitatif, memadukan kajian normatif terhadap peraturan perundang-undangan dengan data lapangan. Hasil penelitian menunjukkan Ombudsman berperan sebagai fasilitator dialog, mediator netral, dan pengawas pelayanan publik yang adil. Faktor pendukung keberhasilan meliputi keterbukaan para pihak, legitimasi moral Ombudsman, dan dukungan pemerintah daerah, sedangkan kendala mencakup keterbatasan kewenangan eksekutorial dan resistensi pihak pemegang sertifikat tanah. Studi ini merekomendasikan penguatan kewenangan Ombudsman untuk meningkatkan efektivitas penyelesaian sengketa pertanahan di Indonesia

Abstract

The establishment of the Ombudsman Institution aims to change the paradigm of public service that tends to be long-winded and prioritizes certain parties to a public service that serves all levels of society and can satisfy the public as consumers. This institution is expected to be a solution to the many public dissatisfaction with the implementation of public services that often cause material and immaterial losses for the community. The public who experience disputes regarding public service maladministration can report these to the Ombudsman of the Republic of Indonesia. Research on the role of the Ombudsman in the effectiveness of resolving public service maladministration disputes is important to determine whether equality and justice for all people have been achieved. The purpose of this study is to determine the role of the Ombudsman in effectively resolving public service maladministration disputes. The research method used in this study is normative legal research. In this study, it was found that the effectiveness of the Ombudsman's role in resolving maladministration disputes was quite good and effective, but there were still many people who were not aware of the existence of this institution and also the regulations were still overlapping so that the results of the Ombudsman were not strong enough to be binding.

Abstract

The Ombudsman of the Republic of Indonesia, as an institution that assists in managing public services, plays an important role in the effective and efficient administration of public services. However, it is acknowledged that there are still issues in the implementation of public service oversight. First, the Ombudsman of the Republic of Indonesia is still unable to transfer its authority to invited parties because many believe that the Ombudsman should not be invited. Second, there are constraints due to the absence of regulations regarding the approval and sanctions that the Ombudsman must enforce. Third, there is no enforcement of penalties by the Government for the cancellation of public services by local government heads, as recommended by the Indonesian Ombudsman. Both the government and the general public must support the implementation of public administration oversight by the Ombudsman to promote the well-being of society.
