Abstract

Stock investment in the capital market is a high-risk high return investment. One of the risks faced by capital market investors is the stock trading suspension sanction imposed by the IDX as experienced by capital market investors in PT HK Metals Utama (HKMU) stocks. This suspension sanction is detrimental to investors due to the suspension of HKMU stock trading. Investors should be more careful to carry out risk management by cutting losses when they see a notation that HKMU shares will be suspended. This research aims to analyze the legal consequences and legal position of investors in the event of a suspension of stock trading and to analyze the legal actions or steps that can be taken by investors to sell their shares through off-exchange transactions.This research uses a research method with a normative juridical approach that is referred to the laws and regulations in the field of capital markets and applicable legal theories. The specification of this research is descriptive analytical. The data collection techniques used by researchers in this research are in the form of literature studies by searching for data as complete as possible from secondary data derived from primary and secondary legal materials that are relevant to related cases, then analyzed qualitatively. Based on the research results, the following can be obtained. First, the legal consequences experienced by investors are that investors cannot conduct buying and selling transactions of HKMU shares on the stock exchange as stated in Article I.5. IDX Regulation regarding Securities Suspension and investors have legal standing guaranteed by Articles 28-30 of the OJK Law and legal standing to conduct transactions outside the stock exchange as stipulated in Article 6 paragraph (3) POJK regarding Securities Transactions. Second, legal actions that can be taken by investors are selling their stocks through off-exchange transactions, submitting claims to OJK to make written orders by conducting disgrogement funds, and as a last resort can file a claim or lawsuit for compensation to the emiten.

Abstract

Penelitian ini dimaksudkan untuk menjawab dua isu hukum utama yaitu : 1). Indikator apakah yang menjadi syarat adanya cacat yuridis dan cacat administrasi dalam proses penerbitan sertifikat hak atas tanah oleh Badan Pertanahan Nasional (BPN)? 2). Bagaimanakah implikasi yuridis legalitas sertifikat kepemilikan hak atas tanah yang mengandung cacad yuridis dan cacad administrasi? Jenis penelitian yang digunakan yaitu penelitian hukum normatif Dengan menggunakan pedekatan, perundang-undangan, pendekatan konseptual dan pendekatan kasus. Tekhnik pengumpulan bahan hukum dilakukan dengan cara penelitian kepustakaan dan analisis secara kualitatif dengan pola berpikir menggunakan metode kajian induktif. Berdasarkan hasil penelitian menunjukkan bahwa : 1). Bahwa dengan mengacu pada Ketentuan Pasal 64 ayat (3) Perkaban No. 3 Tahun 2011 dapat disimpulkan bahwa pembatalan hak berdasarkan putusan pengadilan umum baik perdata maupun pidana dikategorikan sebagai pembatalan hak karena cacat administrasi dan hanya Putusan Peradilan Tata Usaha Negara yang dikategorikan sebagai cacat hukum karena hanya Putusan PTUN yang secara tegas memerintahkan pembatalan sertipikat hak atas. 2). Adanya Keputusan PTUN tidak secara otomatis merubah legalitas kepemilikan Hak atas tanah seseorang, melainkan dengan keputusan PTUN tersebut oleh para pihak dapat dijadikan alat bukti ketika mengajukan gugatan kepemilikan hak atas tanah ke Pengadilan Negeri. Sedangkan terhadap Putusan Pengadilan Negeri yang terkait dengan adanya cacad yuridis dalam proses penerbitan sertifikat dapat menjadi dasar bagi pemilik hak atas tanah untuk menindaklanjuti ke BPN untuk proses penerbitan sertifikat berdasarkan Putusan Pengadilan yang telah berkekuatan hukum tetap.

Abstract

This study seeks to examine and evaluate the efficacy of implementing the principle of "Bhinneka Tunggal Ika" (unity in diversity), which embodies local wisdom, in the governance of micro and small enterprises in Maluku Province as an aspect of local legal development. The principle of Bhinneka Tunggal Ika needs to be incorporated into laws and regulations, particularly regional legal mechanisms related to micro and small enterprises, in compliance with the Law on the Formation of Legislation. In Maluku's legal landscape, many regional legal products pertaining to micro and small enterprises fail to incorporate the principles of local wisdom into their content. This socio-legal investigation study integrates empirical legal research methods with doctrinal legal research. Primary and secondary data were gathered through interviews and literature reviews. The study results suggest that the legal protection provided to micro and small enterprise owners in Maluku has been ineffective. In addition, the legal content of regional legal products in Maluku fails to adequately account for value derived from local wisdom, as required by statutory provisions. Thus, it is necessary to reconsider incorporating values from local wisdom into various regional legal instruments related to developing and empowering micro and small enterprises in Maluku. This approach will support regional flagship products while facilitate the growth within the local economy, preserving the values of local wisdom in the face of global developments.

Abstract

The legal empowerment of Micro, Small, and Medium Enterprises (MSMEs) involves strategic policies aimed at enhancing the resilience and competitiveness of the MSME sector within a national legal framework. This encompasses aspects such as licensing, regulatory compliance, capacity building, market access, technological integration, financing mechanisms, and institutional collaboration among the government, private sector, and civil society. In the era of digital transformation, many Indonesian MSME owners face significant challenges due to limited capacity to adapt to rapid technological advancements, hindering their legal and commercial development. This research adopts a normative juridical method with a comparative legal approach, utilizing literature-based analysis to examine regulatory frameworks and institutional practices. As a contribution to strengthening the legal empowerment framework for MSMEs in Indonesia, this article offers a novel perspective by proposing a hybrid legal empowerment model that integrates Indonesia’s normative and principle-based legal tradition with a pragmatic, centralized governance approach as exemplified by China. It argues that legal empowerment for Indonesian MSMEs in the digital era cannot rely solely on deregulation or administrative simplification. Rather, a more comprehensive strategy is required—one that includes state-led legal facilitation, community-based digital legal literacy initiatives, and institutional redesign that systematically embeds MSMEs into the broader legal development agenda. This integrated model is proposed as a forward-looking framework to bridge Indonesia’s legal empowerment gap and to promote inclusive and sustainable growth of MSMEs within the digital economy.

Abstract

The protection of consumers’ personal data in digital MSME (Micro, Small, and Medium Enterprises) businesses poses a significant challenge in the era of digital transformation, particularly amid the rising cases of data breaches in Indonesia. Although Law No. 27 of 2022 on Personal Data Protection (PDP Law) has come into effect, its implementation still faces numerous obstacles, especially for MSMEs that are limited in terms of resources and technological understanding. By comparison, China, through its Personal Information Protection Law (PIPL), enforces strict supervision combined with AI-driven compliance technologies. This study aims to analyze the effectiveness of personal data protection frameworks in Indonesia and China and to propose a hybrid model that integrates government regulations with technological solutions. The research employs a normative juridical method using statutory, conceptual, and comparative law approaches, relying on secondary data such as regulations, academic journals, and policy documents. The findings indicate that adopting a hybrid model for the protection of consumers’ personal data in digital MSME businesses could serve as an effective solution. This model merges a compliance-based approach, as adopted under Indonesia’s PDP Law, with the strict oversight mechanisms implemented under China’s PIPL. By adapting mechanisms such as mandatory registration, periodic audits, and technology-based compliance incentives, Indonesia could enhance transparency, accountability, and data security within its digital MSME ecosystem.

Abstract

Port closure as an effort to slow the spread of the Covid-19 virus has had various impacts, such as port congestion which has led to delays and drastically increased transportation costs. This study examines the impacts caused by port closures and legal remedies that can be taken based on international sea transport law. Losses due to port closures cannot be borne by the carrier based on the conventions of sea shipping law as long as the carrier can prove that the fault was not his own. The closure of the port can be categorized as a hardship, in which there are fundamental changes that affect the agreement, namely the increase in shipping costs and delays. efforts that can be made based on the UPICC are renegotiation, and if it fails, the parties can seek a dispute settlement through the courts. In implementing the agreement, the parties must prioritize the principle of good faith and prove that the losses incurred and losses did not originate from themselves.

Abstract

ABSTRAK             Penelitian ini dilakukan karena adanya kondisi dimana terdapat beberapa contoh Notaris yang telah dijatuhkan putusan pidana yang telah berkekuatan hukum tetap, akan tetapi untuk proses keputusan pemberhentian secara tidak hormat nya mengalami ketimpangan atau ketidaksesuaian dengan ketentuan Undang-Undang Jabatan Notaris beserta aturan pelaksanaannya. Tujuan kajian ini untuk mengkaji pelaksanaan penerapan pemberhentian Notaris yang telah dijatuhi pidana yang berkekuatan hukum tetap dihubungkan dengan Undang-Undang Jabatan Notaris. Serta memberikan upaya yang dapat dilakukan terkait pemberhentian tidak hormat terhadap Notaris sesuai dengan Undang-Undang Jabatan Notaris dan peraturan pelaksaanya.Kajian ini menggunakan metode yuridis-normatif. Hasil kajian penelitian diketahui bahwa: pertama, pelaksanaan penerapan pemberhentian tidak hormat bagi Notaris yang telah diatur tidak memeiliki ketegasan dari segi tata cara pemberhetian dan tidak terdapat jangka waktu pasti untuk memberhentikan Notaris tersebut dan panjangnya birokrasi pemberhentian Notaris membuat belum optimal dilakukan. Kedua, upaya yang dapat dilakukan bagi Majelis Pengawas Notaris dengan berperan secara aktif dalam pengawasan, pemeriksaan teratur, serta bekerjasama dengan lembaga lain untuk memantau pelanggaran yang dilakukan oleh Notaris. Kata Kunci : Notaris, Putusan Pidana, Pemberhentian Tidak Hormat ABSTRACT  This research was carried out because of conditions where there were several examples of Notaries who had been handed down criminal decisions that had permanent legal force, but the decision process for dishonorably dismissing them experienced irregularities or nonconformities with the provisions of the Notary Position Law and its implementing regulations. The purpose of this study is to examine the implementation of the dismissal of Notaries who have been sentenced to criminal penalties which have legal force and are still linked to the Law on Notary Positions. As well as providing efforts that can be made regarding dishonorable dismissal of Notaries in accordance with the Notary Position Law and its implementing regulations. This study uses a juridical-normative method. The results of the research study show that: first, the implementation of dishonorable dismissals for Notaries that have been regulated does not have firmness in terms of procedures for dismissal and there is no definite time period for dismissing the Notary and the length of bureaucracy for dismissing the Notary means that it has not been carried out optimally. Second, efforts can be made by the Notary Supervisory Council by playing an active role in supervision, regular inspections, and collaborating with other institutions to monitor violations committed by Notaries. Keywords: Notary, Criminal Decision, Dishonorable Dismissal

Abstract

ABSTRAK Penelitian ini dilatarbelakangi oleh suatu kondisi dimana seorang notaris melakukan pelanggaran atau penyimpangan dalam pelaksanaan pembuatan akta perubahan anggaran dasar yang tidak memenuhi syarat pelaksanaan Rapat Umum Pemegang Saham (RUPS)/Rapat Umum Pemegang Saham Luar Biasa (RUPS-LB) dalam Undang-Undang Perseroan Terbatas, yang mana akta tersebut menjadi dasar untuk diterbitkannya Surat Keputusan Menteri Hukum dan Hak Asasi Manusia. Tujuan penelitian ini untuk mengkaji kepastian hukum terhadap surat Keputusan Menteri hukum dan Hak Asasi Manusia terkait perubahan anggaran dasar Perseroan terbatas yang didasarkan pada akta RUPS dikaitkan dengan Asas Presumptio Iustae Causa. Metode penelitian ini menggunakan metode yuridis-normatif. Hasil kajian penelitian ini diketahui bahwa: pertama, suatu akta dikatakan sah sampai dikeluarkannya suatu putusan yang berkekuatan hukum tetap. Kedua, seorang notaris tidak bertanggung jawab terhadap kebenaran formil terkait data atau substansi akta yang dikehendaki para pihak, selama notaris bersikap netral dan tidak memihak. Kata Kunci : Notaris, Rapat Umum Pemegang Saham, Asas Presumptio Iustae Causa ABSTRACT This research was motivated by a condition where a notary committed a violation or deviation in the implementation of the deed of amendment to the articles of association which did not meet the requirements for holding the General Meeting of Shareholders (GMS)/Extraordinary General Meeting of Shareholders (EGMS-LB) in the Limited Liability Company Law. , where the deed is the basis for the issuance of the Decree of the Minister of Law and Human Rights. The aim of this research is to examine the legal certainty regarding the Decree of the Minister of Law and Human Rights regarding changes to the articles of association of limited liability companies which are based on the GMS deed linked to the Presumptio Iustae Causa Principle. This research method uses a juridical-normative method. The results of this research study show that: first, a deed is said to be valid until a decision is issued which has permanent legal force. Second, a notary is not responsible for the formal correctness of the data or substance of the deed desired by the parties, as long as the notary is neutral and impartial. Abstract

This research examines Talcott Parsons' Structural Functionalist method to empowering Village-Owned Enterprises. BUMDes' economic and social dynamics are understood using this method. The Parsonian social framework's adaption factors, goal attainment, integration, and delay are studied. This normative, philosophical, and analytical research examines social and legal theories to characterize BUMDes' role in village development. The descriptive analytical research technique reviews BUMDes-related legislation, regulations, and practical practices. Qualitative data analysis yields extensive Parsons' theory application results. The research found that BUMDes promotes inclusive and sustainable village development. BUMDes adapts its economic approach to the village's possibilities, such as agricultural or tourist development. BUMDes may boost village revenue by fostering productive companies, achieving objectives by improving community welfare. The integration component emphasizes village institution-community engagement for social stability. Latency involves BUMDes' attempts to conserve local culture to retain village identity throughout development. However, financing and institutional coordination concerns are typically major barriers. This research found that Parson's strategy may help BUMDes improve Indonesian communities' economic and social growth.
