Abstract

Penelitian ini membahas mengenai pelaksanaan pemindahan hak atas saham pada PT Permitra Parahyangan Prakasa, dengan mekanisme jual beli yang pembayarannya menggunakan cek sebagaimana putusan Pengadilan Tinggi DKI Jakarta Register Perkara Nomor 51/PDT/2019/PT.DKI. Perselisihan terjadi sebagai akibat dari penggunaan cek dengan tanggal efektif mundur yang kemudian terbukti di dalam persidangan merupakan cek kosong, sehingga sejak semula pada saat penandatanganan akta jual beli dapat dipastikan tidak akan pernah terjadi pelaksanaan kewajiban pembayaran atas penjualan saham-saham tersebut. Saham sebagai karakteristik khusus dari bentuk badan hukum perseroan terbatas, dimana Undang-Undang Nomor 40 tahun 2007 tentang Perseroan Terbatas mengatur saham sebagai surat berharga dapat dialihkan atau dijadikan jaminan utang. Pembuatan akta jual beli saham secara akta autentik atau akta bawah tangan, wajib memenuhi unsur syarat-syarat sahnya perjanjian, dan unsur esensial dari jual beli sebagaimana dalam KUH Perdata. Penggunaan cek sebagai alat pembayaran adalah diperkenankan, namun untuk kepastian hukum dalam transaksi jual beli, maka tanggal efektif pencairan cek sekurang-kurangnya sama dengan tanggal penandatanganan akta jual beli atas saham. Notaris sebagai pihak yang diberikan kewenangan, berperan penting untuk memeriksa pernyataan dan dokumen para pihak terkait dengan akta jual beli yang hendak dibuat para penghadapnya. Dalam menjawab permasalahan tersebut digunakan metode penelitian hukum yuridis normatif, dengan teknik pengumpulan data yang diperoleh melalui studi dokumen dan dihubungkan dengan praktek pelaksanaan. Hasil analisis adalah bahwa untuk keabsahan akta jual beli saham wajib memenuhi syarat sahnya perjanjian, unsur esensial peristiwa jual beli, dan diperlukan pengaturan pada sistem administrasi data perseroan terbatas yang lebih detail, terkait dengan penyerahan bukti pelunasan pembayaran dalam transaksi jual beli saham, pada lingkup perseroan terbatas tertutup pada khususnya.Kata kunci: Pemindahan hak atas saham, Akta Jual Beli Saham, cek.

Abstract

In its implementation, the provision of bank credit cannot be separated from the guarantee provided by the debtor. One type of guarantee that is generally given in the implementation of lending is in the form of a cash guarantee in the guarantor's account which is tied to a pawn account and the signing of an account pawn agreement between the guarantor and the Bank, however, it is not uncommon to find situations where the guarantor will sign the agreement. This pawn is not in Indonesia. Upon the signing of this document abroad, Minister of Foreign Affairs Regulation No. 13/2019 requires the legalization and consularization of these documents, however, with the ratification of the Apostille provisions, there is a view that foreign documents do not need to go through the legalization and consularization process. Therefore, a study was conducted to determine how the validity of foreign documents in the process of granting credit did not go through the consularization and legalization process, and how the consularization and legalization obligations were with the ratification of the apostille convention. This research is a normative juridical research with analytical descriptive typology. The legal materials used are primary and secondary legal materials to be analyzed by qualitative methods. Based on this research, it can be said that the implementation of consularization and legalization of documents in Indonesia does not have a direct sanction and has no effect on the document. And with the ratification of the apostile convention, legalization and consularization of foreign documents is no longer required, however, for documents directly related to commercial activities, consularization and legalization are still mandatory.

Abstract

The auction for the execution of the mortgage right can be held by the creditor as the holder of the mortgage right for the defaulting debtor, but there are several important aspects in fulfilling a person who can be declared in default or not, this aims to avoid activities or conditions of illegal acts. This study discusses the consequences of an unlawful act in the auction of mortgage objects. In answering the problems in this research, a normative juridical approach is used with the type of analytical descriptive research and uses a qualitative data analysis method. The results of the analysis on the Kalianda District Court Decision No. 23/Pdt.G/2020/PN.Kla stated that there were circumstances that caused debts to be uncollectible immediately and all at once, paying attention to the unexpired term of the agreement is a determining aspect of whether a person can be declared in default and the value of the collateral that is greater than the debt causes the debtor to be in a position not yet eligible to be declared in default. An unlawful act is a determining aspect that can cancel the outcome of the execution of the mortgage due to violating the subjective rights of other people as the owner of the land object of the mortgage, because it violates the subjective rights of other people as the owner of the mortgage object land, causing losses to the debtor because the mortgage object is auctioned off or there is a causal relationship between the error and the loss suffered.

Abstract

The most fundamental regulations on mining and coal industries are articulted in the Minerba Act of the previous regulation in Law Number 11 of 1967 concerning the Mining Basic Provisions. This regulation has amendedthe requirements of mining consession namely from Mining Authorization and Coal Contract of Work / Coal Contract of Work (KK / PK2PB) to become Mining Business License (IUP), Special Mining Business License (IUPK), and Mining Permit (IPR).This has had an impact on the existing mining contracts in Indonesia including PT Freeport's contract of work. This study discusses issues related to the concept of Contract of Work in Indonesia, legal position of Contract of Work (KK) of PT. Freeport Indonesia after the enactment of Law No. 4 of 2009, the necessity of transferring to Special Mining Business License (IUPK), and Legal Risks caused by the transfer of Contract of Work of PT. Freeport Indonesia to the Special Mining Business License (IUPK).

Abstract

Companies are also an important business component and are widely available in the world, including in Indonesia where they are legal entities. The integrity of a member of the company's board of directors and board of commissioners to maintain their loyalty as the party entrusted with managing the company properly and correctly as a responsibility to stakeholders. This action is known as the Piercing the Corporate Veil doctrine, which in this paper is at issue if it turns out that there is a nominee agreement between the directors and shareholders of a third party who is actually the party who is one of the shareholders and what is the potential risk of legal action? If a dispute occurs in the company due to the nominee agreement, the company will experience the risk of loss. The author researches with normative legal research, which involves studying documents or written data, research on legal systematics, legal theory. In the initial stage the author conducted research on documents related to the subject of this discussion. Apart from that, use is based on the internet, newspapers and electronic media. In this case, the action of Piercing the Corporate Veil Shareholders in a Limited Liability Company turns out to be the discovery of a nominee agreement between the directors and shareholders from a third party who is actually the party who is one of the shareholders, so in this case the Nominee Agreement can be null and void by law and an attempt to smuggle the law because the Nominee Agreement has violated several regulations in Indonesia, namely Article 33 of the Investment Law and Article 1320 of the Civil Code and is not valid. The potential risk of a company lawsuit if a dispute occurs is due to the nominee agreement which results in the company experiencing a risk of loss because seen from the position of the Piercing the Corporate Veil Doctrine, it cannot be implemented properly because the agreement between shareholders and directors has been violated. regulations in Indonesia, namely Article 33 of the Investment Law and Article 1320 of the Civil Code. So there is less accountability.

Abstract

This research focuses on Indonesian Law No. 7 of 2011 on Currency. Over the past ten years, information technology has developed so rapidly that it has been necessary to take another look at whether this law is still relevant now and in the near future. The research uses normative legal analysis methods with a conceptual approach, analytical approach, comparative approach across multiple countries, and case studies. The rapid development has left the law behind when addressing violations of the currency law. To eliminate ambiguity and hesitation in the implementation of the use of currency, this law must be amended. It is necessary to establish clear laws on digital money or electronic money (e-money), which is currently only regulated at the level of Bank Indonesia and Bank Indonesia Circular Letter. The use of foreign currency in border markets and places of foreign tourists, money in some places due to technological advances, and about the local wisdom of a society that has a history of using certain goods as currency. Things that develop and are a reality in society should be contained in statutes to settle the law.

Abstract

This journal discusses the implementation of the Disgorgement Fund as an effort to provide protection for investors in the Indonesian capital market as outlined in POJK No. 65/POJK.04/2020 concerning Return of Illegal Profits and Investor Loss Compensation Fund in the Capital Market Sector. The issues raised are how to implement the Disgorgement Fund itself in Indonesia and analyze the advantages and disadvantages of implementing the Disgorgement Fund in Indonesia in an effort to provide protection to investors in Indonesia. In its implementation, the Disgorgement Fund can calm investors while minimizing the crime rate in the Indonesian capital market so that the integrity of the capital market can be maintained, even though there are weaknesses such as parties subject to illegal return of profits that can harm investors and the difficulty of proving crimes in the capital market. But with the disgorgement fund system, that is effective, proportional, and preventive so that it can make a party choose not to commit a violation. Returning illegal profits as a remedial action is expected to prevent parties who commit violations from enjoying the profits they have obtained illegally, compensate for losses from victims of violations, contain corrective elements, and are expected to provide a deterrent effect.

Abstract

Pasar modal merupakan salah satu instrumen keuangan di mana bertujuan untuk memperoleh dana atau modal jangka panjang dengan cara penjualan efek. Dalam mewujudkan pasar modal kondusif dibutuhkan adanya regulasi yang menciptakan perlindungan dan kepastian hukum bagi pelaku pasar termasuk pemegang saham minoritas. Regulasi di bidang pasar modal yang masih dinilai lemah diantaranya mengenai perlindungan hukum pemegang saham minoritas atas penghapusan pencatatan saham perusahaan tercatat secara paksa (forced delisting). Penelitian bertujuan menganalisis perlindungan hukum pemegang saham minoritas pada perusahaan tercatat akibat forced delisting di Indonesia dan Amerika Serikat. Metode penelitian ini menggunakan penelitian hukum normatif dengan pendekatan perbandingan (comparative approach). Hasil penelitian dimaksud adalah peraturan yang berlaku di Indonesia belum cukup memberikan perlindungan hukum terhadap pemegang saham minoritas akibat forced delisting, sedangkan bentuk perlindungan hukum terhadap pemegang saham minoritas akibat forced delisting di Amerika Serikat adalah dengan memberikan kesempatan Perusahaan Tercatat yang mengalami forced delisting untuk dapat memperdagangkan sahamnya melalui mekanisme Over-the-Counter Bulletin Board (OTCBB) atau the pink sheet. Abstract

Notaries conducting activities in the Capital Market must first be registered with the Financial Services Authority (OJK) or have a Registered Certificate (STTD). Since the OJK Regulation Number 67/POJK.04/2017 of 2017 concerning Notaries Conducting Activities in the Capital Market was enacted, the Notary STTD has a validity period of 5 years and the Notary is required to re-register to comply with the POJK and re-register if the STTD has passed the validity period. In the case of Decision Number 38/G/2020/PTUN-JKT, Notary Y has performed the re-registration obligation as stipulated in POJK 67/2017, but OJK still issued a cancellation letter. This research discusses the legal protection given to Capital Market Notaries in re-registering STTD. The purpose of this study is to analyze the provisions of re-registration since the enactment of POJK 67/2017 and to find out the legal protection of Notaries who have re-registered their STTD. The method used in this research is doctrinal with the scope of STTD re-registration of Capital Market Notary. The materials used are primary, secondary, and tertiary legal materials. The place of research is Jakarta and the data collection technique is in the form of literature study which is analyzed qualitatively. The result of this research is a form of legal protection for Capital Market Notary related to STTD re-registration.

Abstract

This paper examined the legal existence of condominium-hotel (“condotel”), by analyzing the existence of Property Law in Indonesia. The preparation of this paper uses a philosophical approach in legal research, by analyzing the prevailing flats regulations in Indonesia. In this case, there is no single regulation that is the legal umbrella of condotel. The implication of this is that it creates legal uncertainty for owners and parties who want to invest through condotel. In addition, Constitutional Court from Decision No. 62/2022 concerning the transformation of apartment into the condotel is the misusage of the Apartment, in addition, there is the punishment, it is could be revoke the SHMSRS as its property right. So, reform is needed in providing legal certainty for condotel. In this case, both to provide a basis for legal certainty for condotel and a prohibition on their existence in Indonesia.
