Abstract

The development of group companies today is an implication of the globalization era which makes business competition more open and free and at the same time can plunge business actors into monopoly practices. The aim of this research is to analyze the problems of group companies in the Indonesian legal system and to analyze forms of monopolistic practices and unfair business competition through the business strategy of group companies (groups). While the method used is the normative legal research method using statutory approaches, case approaches, and conceptual approaches. The results of this study indicate that the problems of group companies in Indonesia occur due to the regulation based on the 2007 UUPT using a single company approach, which legally recognizes that the parent company and subsidiaries in group companies are independent. The forms of monopolistic practices that are likely to be carried out by group companies are cross-share ownership, discriminatory practices and price fixing through multiple positions. This is an implication of the parent company's controlling power and full dominance in determining the policies and business activities of its subsidiaries.

Abstract

ABSTRAK The development of internet technology has transformed conventional life into digital, eliminating distance and time barriers and encouraging electronic transactions. E-commerce is now an essential part of online business activities, encompassing marketing, sales, and payments. Influencers on platforms such as Instagram and TikTok play a significant role in influencing consumers to shop online. However, it is often the case that their product review photos or videos are taken without permission by other parties for promotion, which constitutes copyright infringement. For example, the copyright infringement case by the Shopee account against TikTok influencer @softdescent3d. Law Number 28 Year 2014 on Copyright regulates the legal protection of photographic works for commercial purposes without permission. This research aims to explore the legal protection of influencer photos or videos and the remedies that aggrieved influencers can take. The method used is normative juridical, with approaches including statute and case approaches. The result of this research is that legal protection of influencer photo or video reviews is very important because copyright gives exclusive rights to the creator, including moral rights and economic rights. Influencers have a great influence on purchasing decisions, but unauthorized use of their work infringes copyright and can manipulate consumers. Legal protection is necessary to safeguard the rights of creators and ensure they get the economic benefits they deserve.

Abstract

The article reviews the locally incorporated company requirement for foreign investors in Indonesia. It uses a normative juridical method, focusing on examining positive law through a statute approach. It involves analyzing relevant laws, regulations, cases, and literature and includes interviews with law scholars and an official from Indonesia’s Investment Coordinating Board to gather expert opinions. The data obtained is analyzed using qualitative techniques. It discusses the advantages and disadvantages of the requirement in international foreign investment law and Indonesia concluding that its advantages outweigh the disadvantages, and some of the disadvantages have been resolved. Hence, the article argues that the requirement remains appropriate for Indonesia and should be maintained. However, certain investment treaties have weakened the requirement as a defense against legal action by locally incorporated companies in international arbitration. To overcome this problem, the country should renegotiate its bilateral investment treaties (BITs) that give the companies direct legal action rights and develop new BITs that contain balanced rights between foreign investors and Indonesia. Additionally, the locally incorporated company requirement should be reinforced by Indonesia’s negative list policy, prioritizing specific sectors for local investors.

Abstract

Salah satu kegiatan rentan dalam persaingan usaha  adalah penguasaan pasar. Perusahaan E-Commerce umumnya melakukan kegiatan usaha yang beroperasi di dua atau lebih sisi pasar dan mempunyai efek jaringan.  Efek jaringan tersebut bisa menjadi sumber utama kekuatan pasar bagi perusahaan e-commerce tersebut. Kekuatan pasar dari platform dominan  berdampak signifikan terhadap  perusahaan kecil. Penelitian ini bertujuan untuk  menganalisis mekanisme pengukuran pangsa pasar e-commerce di Indonesia serta peran KPPU dalam pencegahan penguasaan pasar pada sektor e-commerce. Jenis penelitian yang digunakan adalah penelitian hukum yuridis normatif. Teknik pengumpulan data dilakukan dengan studi kepustakaan dan wawancara. Hasil yang didapat dari penelitian ini adalah penentuan pasar bersangkutan secara umum memiliki dua aspek yaitu pasar bersangkutan menurut produk dan geografis yang dibuktikan melalui SSNIP Test, Substitusi dari Sisi Penawaran, dan Permintaan. Sedangkan penentuan pasar bersangkutan pada sektor e-commerce menurut geografis mengalami perubahan yang ditentukan oleh biaya kirim, harga barang, dan lama waktu kirim. Analisa tersebut dilakukan oleh KPPU berdasarkan data primer dan data sekunder. Peran KPPU dalam mencegah penguasaan pasar pada sektor e-commerce dilakukan dengan upaya pencegahan dan penegakan hukum. Upaya pencegahan dilakukan dengan penelitian berkala, rekomendasi, saran dan pertimbangan kepada pemerintah. Penegakan hukum dilakukan dengan berbagai putusan yang telah diputus oleh KPPU.

Abstract

The development of technology in Indonesia means that buying and selling transactions can also be done electronically without having to meet face-to-face between sellers and buyers, namely through electronic commerce platforms or e-commerce. Through this e-commerce platform, a buyer must include personal data such as name, residential address and mobile phone number. The purpose of this research is to find out how the regulations regarding the protection of personal data for e-commerce users in Indonesia and what sanctions are given to e-commerce companies as electronic system providers if there is a leak of user personal data. The research method used by the author is the normative juridical method and statute approach. From the research results obtained, the protection of personal data in Indonesia is regulated in Law Number 27 of 2022 and ITE Law. The conclusion is that the protection of personal data in Indonesia already has regulations that regulate so there is no need to worry if you are going to make buying and selling transactions through e-commerce

Abstract

Technological developments due to globalization affect various aspects of life. One of them is in the business world or how transactions have changed. The phenomenon of online transactions through e-commerce allows humans to transact across any boundaries without direct physical contact. However, this also has a negative impact on consumers because of the spread of counterfeit or kw goods that are easily obtained through e-commerce. The reason is that many Indonesians still do not understand the legal validity of the counterfeit goods on the pretext of not being able to buy the original goods so that sometimes it is detrimental to consumers who feel cheated by the seller. This writing examines how legal protection is given to consumers who feel harmed by counterfeit goods traded in e-commerce. Meanwhile, this research uses a type of juridical research sourced from secondary data which includes primary and secondary legal materials.

Abstract

In today's era of globalization, everyone has the convenience of accessing everything, one of which is online buying and selling transactions (e-commerce). Marketplace is one of the forms of e-commerce development. The content in the marketplace itself has a wide variety of products and prices accompanied by specifications of the product conditions offered. However, due to the absence of direct meetings, there are often negligence and fraud committed by business actors to consumers which of course is very detrimental to consumers. In advertising products on the marketplace, sellers must provide detailed and accurate information about the goods sold in order to fulfill consumer rights. Consumers who receive products that are not in accordance with their orders can be caused by negligence or fraud by business actors. This study aims to examine legal protection and legal consequences if consumer rights are not fulfilled by business actors. The type of research used by the author is normative juridical by means of literature data collection and qualitative data analyst techniques.

Hasil yang didapat dari penelitian ini adalah penentuan pasar bersangkutan secara umum memiliki dua aspek yaitu pasar bersangkutan menurut produk dan geografis yang dibuktikan melalui SSNIP Test, Substitusi dari Sisi Penawaran, dan Permintaan. Sedangkan penentuan pasar bersangkutan pada sektor e-commerce menurut geografis mengalami perubahan yang ditentukan oleh biaya kirim, harga barang, dan lama waktu kirim. Analisa tersebut dilakukan oleh KPPU berdasarkan data primer dan data sekunder. Peran KPPU dalam mencegah penguasaan pasar pada sektor e-commerce dilakukan dengan upaya pencegahan dan penegakan hukum. Upaya pencegahan dilakukan dengan penelitian berkala, rekomendasi, saran dan pertimbangan kepada pemerintah. Penegakan hukum dilakukan dengan berbagai putusan yang telah diputus oleh KPPU.

Abstract

In the Shopee marketplace, numerous sellers offer a wide variety of products. However, the responsibility of business actors to uphold consumer rights remains a persistent issue in consumer services. One of these rights—the right to accurate product information—is stipulated in Article 4(c) of Law Number 8 of 1999 concerning Consumer Protection. This research is a normative legal study that adopts a statutory approach and employs qualitative descriptive analysis. The findings indicate that legal protection for consumers’ rights to product information is clearly regulated by laws and government regulations. If a business actor violates these provisions, they may be subject to sanctions, including trading prohibitions, product withdrawal from circulation, and administrative penalties. Based on customer reviews on Shopee, it is evident that some business operators continue to breach consumers' rights by providing inaccurate or unclear product information. These violations demonstrate that consumers’ rights to accurate product information are not being properly upheld in accordance with the law. Although Shopee has established comprehensive guidelines regarding product descriptions, many sellers still fail to comply with both Shopee’s internal policies and applicable legal regulations, resulting in the continued neglect of consumers’ right to product information.

Abstract

Imported cosmetic products circulated through marketplaces without a distribution permit from the Food and Drug Administration (BPOM) are illegal. This action is regulated by various regulations to enforce legal protection for consumers. Legal protection of consumers in the sale and purchase of imported cosmetics without a distribution permit is carried out by the Food and Drug Supervisory Agency (BPOM) which is authorized to supervise the circulation of imported cosmetic products in the marketplace by issuing a distribution permit certification for an imported cosmetic product that meets the standards and/or requirements by the provisions. The purpose of this study is to understand the legal protection of consumers in buying and selling imported cosmetics without a distribution permit from the Food and Drug Supervisory Agency (BPOM) online through the marketplace. This research uses a normative juridical research method with an approach to legislation. This research is descriptive in nature using literature studies which are then processed and analyzed using qualitative data analysis methods. The final result of this research is that consumers and business actors have rights and obligations to uphold legal protection for consumers. Legal protection of consumers in buying and selling imported cosmetics through the marketplace requires cooperation between the government, business actors and consumers.
