The purpose of this research is to test the influence of profitability, managerial ownership, institutionalownership, and business risk to the capital structure through annual financial statement which has beenprepared by Food and Beverages companies which are listed in Indonesia Stock Exchange in 2013-2015 periods.The samples of this research has been obtained by using purposive sampling method and based on thepredetermined criteria, 12 companies with the numbers of observation are 36 companies have been obtained assamples. The analysis method has been carried out by using multiple linear regressions analysis. Based on theresult of the test, it can be concluded that: (1) profitability has negative influence to the capital structure. Itoccurs because when the company has high profitability, the company tends to have relatively low debt and whenthe profitability is high it has large amount of fund and retain earning so that companies tend to use their retainearning instead of debt; (2) Managerial ownership does not have any influence to the capital structure. It occursbecause of the stock ownership by the manager is low; (3) Institutional ownership does not have any influence tothe capital structure. It occurs because of the commissioner and institutional policies of a company has beenlimited by managerial policies as the corporate management mechanisms so the policies which are related to thecapital structure cannot be decided by the institutional itself; (4) Business risk has positive influence to thecapital structure. It occurs because when the business risk of a company is getting high, the debt ratio is gettinghigh as well.Keywords: Profitability, managerial ownership, institutional ownership, business risk, capitalstructure.

This research is meant to test whether there are some differences between financial performances in thecompany which has carried out the acquisition. The financial performance has been measured by usingfinancial ratio i.e. liquidity ratio, activity ratio, solvability ratio and profitability ratio. The population is allcompanies which have carried out the acquisition in 2011-2013 periods are listed in Indonesia Stock Exchange.The sample collection technique has been conducted by using purposive sampling technique and 11 companieswith the research period during 2 years before and after the acquisition have been obtained as samples. Thehypothesis test has been carried out by using non-parametric test i.e. Wilcoxon Signed Rank Test. Based on theresult of the research, it has been found that there are some differences between activity and profitability ratiobefore and after the acquisition. Meanwhile, liquidity and solvability ratio does not have any difference beforeand after the acquisition. It is caused by the synergy which has been obtained from the acquisition activitycannot be seen in the short term period, because a long period of time is required in order to increase thefinancial ratio of the company.Keyword: Acquisition, financial performance, financial ratio

This research is meant to find out and to evaluate the implementation of Balanced Scorecard method as themeasurement instrument of the performance of Rumah Sakit Islam Surabaya when it is reviewed from fourperspectives. Qualitative descriptive method which is a non hypothesis research is applied in this research.Therefore, a hypothesis is not necessary to be formulated.The result of the research shows that Rumah SakitIslam Surabaya has vision, mission, objectives, and strategic target. The performance indicators which have beenadjusted to the agreement of management party of Rumah Sakit Islam Surabaya on each of Balanced Scorecardperspective i.e.: financial perspective which can be seen on the revenue growth rate, operating ratio, and earningsratio of income. The ROI shows the rate of growth comparison has achieved the target. The customer perspectivecan be seen on BOR, BTO, and service satisfaction shows the success of Rumah Sakit Islam Surabaya inproviding their best services. The internal business process perspective consists of the rate drug inventory, thereplenishment of equipment and maintenance and environment sanitation has been carried out properly. Thegrowth and learning perspective shows that employee productivity, the length of work of the employee, shorttraining and seminar have been achieved so the target has been fulfilled. It can be concluded from the abovediscussion that the implementation of Balanced Scorecard can be used as the interpreter instrument of strategyand the measurement of performance which is reviewed from the financial and non-financial perspective.Keywords: balanced scorecard, performance strategy

ABSTRACTThis research is meant to find out and to analyze the strategy implementation by using balanced scorecard in order to measure the performance of management of a company so it is consistent with the mission and vision which want to be achieved. The research object is done by using PT Pembangkitan Jawa Bali Surabaya. The research method is done by using qualitative method which is the research procedure which generates the descriptive data in the form of written words or spoken of the observed behaviour. Based on the research result, the company has been using balanced scorecard as the strategy implementation instrument in order to measure the performance of management. The result of the analysis shows that balanced scorecard is the method which interprets vision, mission, and strategy in the strategy targets and the standard of performance in four perspectives i.e.: financial perspective which is measured by ROI has reached the target with the realization average is 2.84%, the profit growth level and the sales growth level show less good result with the realization average is (4.63)% and 7.65%. It is caused by the decrease of electric energy sales, the customer perspective is measured by using customers acquisition and customer retention show good result with the realization average is 6.04% and 94.99%, the internal business process perspective is measured by using new facility and service which is provided after the transaction shows that the capacity of the company is categorized as a good company, and the growth and learning perspective is measured by using the retention of employees and the training of employees shows a good result with the realization average is 4.89% and 67.85%. in order to find out the correlation between the perspectives from each measurement a strategy map is made. It can be concluded from the result of the analysis that balanced scorecard can be use as the strategy implementation instrument in measuring the performance of the management with financial and non-financial perspective.Keywords: Strategy Implementation, Balanced Scorecard, Management Performance Measurement.

The purpose of this research is to find out and to analyze the strategy implementaion which is done by using balanced scorecard in order to measure the management performance of a company so it is conformed to the vision and mission which is desired to be achieved. The research object is PT PELNI (Persero) Surabaya branch. The method has been done by using qualitative method. The result of the analysis shows that balanced scorecard is the method which interprets the vision, the mission and the strategy into strategy targets of performance measure in four perspectives i.e.: the financial perspective is measured by ROI, profit growth rate, and income growth rate shows unfavorable results due to the decrease in income; the customer perspective is measured by the customer acquisition, customer retention, and customer satisfaction survey which show quite well resut; the internal business process perspective is measured by new facilities and services which are provided after the transaction show the capacity of the company as a good company; and the growth and learning perspective is measured by employee retention, employee satisfaction surve, and employee training show a good result. It can be concluded from the result of the analysis that balanced scorecard can be used as strategy implementation instrument in measuring the management performance by using financial and non-financial perspective.Keywords: implementation strategy, balanced scorecard, management of performance measurement.

ABSTRACTThe purpose of this research is to examine the influence of good corporate governance and firm size to companies which experience financial distress.The population of this research is all manufacturing companies which arelisted in Indonesia Stock Exchange (IDX) in 2013-2015 periods, and 145 companies have been selected as samples. The research sampleshave beenselected by using purposive sampling method in accordance with the predetermined sample selection criteria 19 companies in 2013-2015 have been selected as samples so that there are 57 companies will be analyzed. This researchhas been done by using logistic regression method. The result of the research shows there none of the variables whichgive significant influence to the companies which experience financial distress. The good corporate governance mechanism is used only as the formality so itis unable to predict the companieswhich experience financial distress, in this case the mechanism should have good corporate governance of the company is required to be improved in order not to be regarded as the formality. Moreover,when the size of the company is small;, the company is prompt to experience financial distress due to lack of investors and borrowers, so that companies are required to increase the numbers of its assets in order to have the large size company and keep it away from financial distress because it is considered unable to pay liabilities of the company.Keywords: good corporate governance, firm size, financial distress.

This research is aimed to examine the influence of free cash flow, profitability, and managerial ownership to the debt policy of manufacturing companies in consumption goods sector which are listed in Indonesia Stock Exchange.The population is manufacturing companies in consumption goodssector which are listed in Indonesia Stock Exchange (IDX) in 2011-2015 periods. the sample collection has been done by using purposive sampling and based on the predetermined criteria, 15 manufacturing companies have been selected as samples with the amount of research observation is 75 observations.The result of the research shows that free cash flow gives significant positive influence to the debt policy. It shows that high free cash flow will increase company debt.Becausehigh free cash flow will make the stockholders desire to share it in the form of dividend. Profitability give significant and negative influence to the company debt policy. It shows that the high profit which has been obtained by the company will make the level of company debt low, because the high profit is used to fulfill the operational needs and company investment. Meanwhile, the managerial ownership does not give any influence to the debt policy. It reflects that the public company managers are not the defining factor in Indonesia in the making of funding decision policy from debt because the amount of managerial ownership is lower than the amount of institutional ownership in the company.Keywords: free cash flow, profitability, managerial ownership, debt policy.

The purpose of this research is to find out and to analyze implementation of balanced scorecard as a tool forstrategic translator and performance assessment of company. The research method has been done by usingqualitative method, because this research is not meant to prove a hypothesis but it is meant to explore facts andconditions which occur during the research. Based on the research result it has been found, the presence of thebalanced scorecard method which is reviewed from a financial perspectives has shown the good result of financialperformance since profit increases every year, it can be reviewed from customer perspectives can be stated quitegood because the taste of Japanese food has become one of the most popular culinary which are favored by thesociety, when it is reviewed from the internal business process perspective in which the presence of innovationand operation has shown the performance of the company is excellent becausethe company always makesinnovation every year by introducing a new menu, when it is reviewed from the growth and learning perspectiveshows the condition of the performance of the company is quite good because can enhance the quality of theemployees. Based on the result of the research, it can be concluded that the balanced scorecard can provide clearperformance assessment, measurable, well-planned and coherent in realizing the vision, the mission and the goalas well as the companyâs strategy so some improvements can be done. The purpose of this study was to examine the effect of total quality management and reward systems of employeeproductivity. The population in this study were employees of PT Darlin Audiya totaling 35 employees, thesampling technique using probability sampling. Data used in the study are primary data questionnaire. Whilethe analytical technique used is multiple regression analysis. Based on the results of the feasibility test modelsknown that variable total quality management and reward systems have a significant effect on employeeproductivity. Based on the next test with menngunakan t test showed that the independent variables havesignificant influence and positive impact on the companys employees, this indicates that the better total qualitymanagement (TQM) and the reward system in the company, it can improve employee productivity, whichmeans the better implementation total quality management and reward systems that can improve employeeproductivity in meeting and serving the needs of consumers. Penelitian ini bertujuan untuk menguji pengaruh kebijakan keuangan yang terdiri atas kebijakan utang, kebijakan investasi, kebijakan deviden dan profitabilitas terhadap nilai perusahaan. Populasi penelitian ini yaitu perusahaan manufaktur yang terdaftar di Bursa Efek Indonesia periode 2013-2016. Populasi dalam penelitian ini menggunakan metode porposive sampling, sehingga dapat diperoleh sampel sebanyak 41 perusahaan dengan jumlah observasi sebanyak 164 pengamatan. Metode analisis yang digunakan adalah analisis regresi linier berganda. Dari hasil pengujian menunjukan bahwa kebijakan utang berpengaruh positif dan signifikan terhadap nilai perusahaan artinya bahwa aktiva yang digunakan perusahaan yang sebagaian besar dibiyayai dengan hutang sudah digunakan secara efektif. Kebijakan investasi berpengaruh positif dan signifikan terhadap nilai perusahaan artinya bahwa kebijakan investasi perusahaan menandakan bahwa aset yang digukanakan di masa mendatang yang berupa investasi akan menghasilkan kinerja yang optimal. Kebijakan deviden tidak berpengaruh terhadap nilai perusahaan artinya besar kecilnya deviden bagi investor tidak membutuhkan deviden untuk mengkorvensi saham menjadi capital gain. Profitabilitas berpengaruh positif dan signifikan terhadap nilai perusahaan artinya semakin tinggi profit yang dihasilkan, maka semakin tinggi nilai perusahaan yang menunjukan prospek pertumbuhan perusahaan baik dimasa mendatang sehingga investor berminat dalam menanamkan modalnya.Kata kunci :kebijakan utang, kebijakan investasi, kebijakan dividen, profitabilitas, nilai perusahaan
