Abstract

The legal systems adopted by Indonesia and Australia have differences, Indonesia adheres to civil law while Australia adheres to common law. The author in this study intends to conduct a comparative study of the legal system between Indonesia and Australia regarding business judgment arrangements. The issues studied are about the similarities and differences between business judgment arrangements in Indonesia and Australia, as well as the factors that cause these similarities and differences. The author uses normative methods by using a legal approach in the preparation of this study. The results of the comparison of legal systems between Indonesia and Australia have similarities, namely in terms of legal rules where both already have written legal rules, and the second in terms of regulating business judgment for the Board of Directors, while the differences that are seen are different legal systems, implementation of written rules, origin of rules, substance of rules, and position of jurisprudence. The factors that cause these similarities and differences include historical factors of the country, thinking characteristics, and economics.

Abstract

This paper aims to examine the legal reform of the implementation of e-GMS in Private Companies. The issue focused on the regulation of the implementation of the e-GMS of the Private Company and legal reform. The writing of this study uses normative legal methods, and qualitative descriptive analysis. The results of the study show that the regulation of the e-GMS of a Private Company is contained in Article 77 of PT Law, however, the technical implementation has not been regulated. The implementation of the e-GMS of a Private Company can adopt the provisions for the implementation of the e-GMS of a Public Company as stated in POJK No. 16/2020. Basically, the implementation of the e-GMS of a Private Company is valid as long as the implementation is in accordance with the Law and other related technical rules. The role of legal reform in the field of PT has been reflected by the issuance of POJK No. 16/2020 which regulates the implementation of e-GMS of Public Companies as a form of responsive legal theory, however, it needs to be optimized because legal reform is still needed in the field of PT, especially regarding the implementation of e-GMS in Private Companies.

Abstract

Penggunaan Quick Response Code Indonesian Standard (QRIS) sebagai metode pembayaran digital semakin populer dalam beberapa tahun terakhir. Implementasinya tidak hanya melibatkan aspek teknis, tetapi juga dipengaruhi oleh faktor-faktor sosial dan hukum yang kompleks. Penelitian ini bertujuan untuk mengetahui mengkaji perkembangan QRIS di Indonesia dan mengeksplorasi hubungan antara pemberdayaan hukum dengan implementasi penggunaan QRIS dalam mendukung ekosistem pembayaran digital. Metode analisis kualitatif serta penggunaan data primer dan sekunder yang relevan digunakan dalam penelitian ini. Tinjauan atas literatur termasuk juga faktor sosial yang mempengaruhi adopsi QRIS, termasuk perilaku konsumen, tingkat literasi digital, dan keamanan data dengan dikaitkan pada regulasi hukum dalam membentuk ekosistem pembayaran digital yang aman dan tepercaya. Hasil penelitian menunjukkan bahwa perkembangan QRIS di Indonesia telah meningkatkan inklusi keuangan, namun masih terdapat kendala. Pemberdayaan hukum yang lebih optimal diperlukan guna memperkuat regulasi dan penegakan hukum sehingga tercipta kepastian hukum dalam ekosistem pembayaran digital. Penulis merekomendasikan penguatan regulasi yang lebih konsisten serta kolaborasi lintas sektor untuk meningkatkan kepercayaan konsumen, memperkuat infrastruktur pembayaran digital, dan memperluas adopsi QRIS secara berkelanjutan melalui edukasi kepada konsumen dan kampanye kesadaran akan pentingnya keamanan data.

Abstract

The purpose of this scientific research is to analyze the implementation of Article 2A paragraph (2) of Government Regulation Number 72/2016 concerning the obligation for the State of Indonesia, especially to have special shares in subsidiaries of former SOEs. The State of the Republic of Indonesia c.q the Ministry of SOEs followed up PP 72/2016 by issuing a letter to the Fertilizer SOE Holding to assign shares with privileges to PT PKT, PT PKG, PT PKC, and PT PIM. The establishment of the Fertilizer SOE Holding itself was carried out based on PP 28/1997 and PP 54/2011. The normative research method uses the law as a source of approach and research material to obtain conclusions that are carried out with the deductive method. The results of this study explain that the transfer of the same owned by the State of the Republic of Indonesia to PT PKT, PT PKG, PT PKC, and PT PIM to the Fertilizer SOE Holding was carried out before the enactment of PP 2/2016 which took effect on the date of promulgation on December 31, 2016. Based on this, PT PKT, PT PKG, PT PKC, and PT PIM have no obligation to issue Series A Dwi Warna Shares as per Article 2A paragraph (2) PP 72/2016. This obligation applies to ex-BUMN companies whose transfer of shares of the State of Indonesia to SOEs occurs after the entry into force and promulgation of PP 72/2016. Also included is PT PSP which is an ex-spin off company
