Abstract

The phenomenon that occurs is that there are many cases of forgery committed by employees of the Notary office in making authentic deeds that are not in accordance with the procedures in making authentic deeds. Based on this background, there is a formulation of the problem, namely, what are the legal consequences of authentic deeds related to the making of deeds forged by employees of the Notary office? and how is the legal protection for the parties related to the deed forged by the Notary office employee? The theories used are the Theory of Legal Consequences according to Soeroso and the Theory of Legal Protection according to Satjipto Rahardjo. The method used in this study is a type of normative juridical research, namely literature law research or secondary data with primary, secondary and tertiary legal sources. The research approach used is the legal and regulatory approach, the case approach, the analytical approach and the conceptual approach and the technique of collecting legal materials is carried out by identifying and inventorying positive legal rules, literature, books, journals and other sources of legal materials. For legal material analysis techniques, grammatical legal interpretation and systematic legal interpretation are carried out. From the results of the research, it can be concluded that the legal consequences of authentic deeds that contain elements of forgery and in making them violate the provisions of the applicable laws and regulations, then the authentic deed can be submitted for cancellation because it is an action that contains procedural defects, namely the incompetence of the Notary and/or as PPAT to make authentic deeds while legal protection for the parties due to the occurrence of forgery committed by Notary employees, namely the parties can report Notary employees to seek criminal liability Notary employees and Notary civil liability.

Abstract

Pengalihan piutang melalui mekanisme cessie merupakan salah satu bentuk perjanjian yang sah dalam hukum perdata Indonesia, sebagaimana diatur dalam Pasal 613 KUHPerdata. Pelaksanaan cessie harus memenuhi syarat formil dan materiil, antara lain terdapat perjanjian obligatoir yang sah sebagai dasar hukum serta pemberitahuan atau persetujuan kepada debitur sebagai pihak berutang. Apabila syarat-syarat tersebut tidak terpenuhi, maka akta cessie dapat mengandung cacat hukum yang berakibat pada batalnya perjanjian pengalihan piutang tersebut. Rumusan masalah dalam penelitian ini adalah bagaimana kedudukan dari pergantian kreditur pada akta cessie yang tidak memenuhi syarat formil dan bagaimana kepastian hukum kreditur baru pada akta cessie yang tidak memenuhi syarat formil. Dari hasil penelitian dapat diperoleh bahwa pergantian kreditur melalui akta cessie yang tidak memenuhi syarat formil menjadi tidak sah secara hukum. Cessie merupakan bentuk penyerahan (levering) atas hak tagih yang timbul dari peristiwa perdata (rechtstitel) sehingga tidak dapat berdiri sendiri tanpa adanya dasar perikatan. Akta cessie wajib didasari pada perjanjian obligatoir sebagai dasar pengalihan piutang. Apabila akta cessie tidak memenuhi syarat formil, dapat berakibat batal demi hukum. Sehingga kedudukan hukum kreditur baru menjadi tidak sah dan tidak memiliki legal standing untuk menagih piutang

Abstract

Notaries play a crucial role in ensuring the validity of legal transactions through authentic deeds with strong evidentiary power. However, procedural violations such as deeds not being read aloud or signed before the notary contradict Article 16 paragraph (1) letter m of Law No. 2 of 2014 on the Notary Position and may render the deed legally flawed, reducing it to the status of a private deed. This study aims to examine legal remedies available to the parties and the certainty provided by such flawed deeds. Using a normative legal research method supported by literature review, statutory analysis, and interviews with legal practitioners, the study finds that such deeds undermine legal certainty, and recommends stronger disciplinary enforcement against violating notaries.

Abstract

This study analyzes the concept of restorative justice in contemporary criminal law by highlighting comparative perspectives and current trends that are developing in various jurisdictions. Using a qualitative approach based on literature studies, this study searches academic literature, laws and regulations, and international and national court decisions to identify patterns of policy implementation and innovation. The results of the analysis show that restorative justice is increasingly integrated as an alternative to punishment that emphasizes the recovery of victims' losses, perpetrator participation, and social reconciliation, while challenging the dominant retributive paradigm. A comparison of practices in Europe, North America, and Asia shows significant variations in legal frameworks, mediation mechanisms, and institutional support, influenced by cultural and political contexts. In addition, global trends such as the digitization of the mediation process and the involvement of local communities are expanding the scope of restorative justice implementation, but still face challenges related to procedural standards and the protection of the rights of the parties involved. This study recommends strengthening regulations, enhancing facilitator capacity, and cross-border empirical research to ensure the effectiveness and sustainability of restorative justice implementation in the modern criminal justice system. These findings are expected to make a theoretical and practical contribution for policymakers, academics, and legal practitioners in designing criminal policies that are more humane and responsive to the needs of society.

Abstract

The development of the business world penetrates the boundaries of space, time and territory of a country. One of the breakthroughs made by business people is business development through a franchise system, which in Indonesia is termed a franchise. Republic of Indonesia government regulation no. 42 of 2007 concerning franchising provides a definition of a franchise as a special right owned by an individual or business entity to a business system with business characteristics in order to market goods and/or services that have been proven successful and can be utilized or used by other parties based on a franchise agreement. In Indonesia, the legal regulations regarding franchising are not yet complete, considering that regulation through law has not been touched by the government. This is necessary to prevent franchise business actors from unwanted losses due to the incomplete legal instruments that protect them. This research raises the issue of what are the legal consequences of franchise agreements in the event of unilateral changes to franchise products by the franchisor and what is the legal protection for franchisees? for unilateral changes to franchise products by the franchisor. By using two legal theories as analysis tools, namely the legal protection theory from Satjipto Rahardjo and the legal consequences theory from Soeroso. The method used in this research is a normative juridical research method, namely legal research carried out by examining library materials or secondary data only. The research approaches used are a statutory approach, a case approach, a conceptual approach, an analytical approach and techniques for collecting legal materials by identifying and inventorying positive legal materials, literature. books, journals and other source materials, the technique for analyzing legal materials is carried out using legal interpretation (interpretation), systematic interpretation and methods of analogous legal construction, legal refinement construction (rechtsverfijning) and a contrary argument. The legal consequences of a franchise agreement in the event of a unilateral change to the franchise product by the franchisor, is the disappearance of the legal situation and relationship between the franchiser and the franchisee due to the franchiser's default which has implications for the franchisee experiencing losses due to not providing products, tools and materials for the franchise object. as is the classification that has been agreed. Legal protection for franchisees for unilateral changes to franchise products by the franchisor will be better protected if the Franchise Agreement regulates specific protection of the suitability of the franchise object, and the franchise agreement is not made standardly by the franchisor but is formulated together with the franchisee. . Because standard agreements are more susceptible to taking sides for the unilateral benefit of the agreement maker.

Abstract

Teori badan hukum muncul dan berkembang pada sekitar tahun 1900-an ketika korporasi yang masih berbentuk persekutuan yang primitif, digantikan oleh korporasi yang dikendalikan oleh suatu manajemen yang terpusat. Sejak saat itu, korporasi berubah karakter dan memiliki eksistensi yang kuat. Korporasi tidak lagi dianggap identik dengan pendirinya, melainkan menjadi entitas yang mandiri, tindakan-tindakannya juga diakui independen sebagai produk organisasi dan manajemen. Sebagai badan hukum perseroan memiliki harta kekayaan tersendiri dan terpisah dari kekayaan pemegang saham. Selain itu, tanggungjawab pemegang saham bersifat terbatas. Prinsip ini melindungi aset perusahaan terhadap klaim kreditor pemegang saham. Penelitian ini adalah penelitian yuridis normative dengan sifat penelitian desktiptif analisis. Perubahan paling penting dalam rezim derivative action di negara-negara maju Asia yang menganut sistem common law dan civil law, terjadi sebagai hasil dari perkembangan kodifikasi di negara common law dan perkembangan putusan pengadilan di negara civil law . Di Indonesia, hal yang mendasar adalah adanya persyaratan jumlah minimal persentase kepemilikan saham untuk dapat mengajukan gugatan derivatif, dan tidak adanya persyaratan untuk terlebih dahulu meminta direksi untuk mengambil tindakan pemulihan, atau menggugat anggota direksi yang bersalah dan menimbulkan kerugian bagi perseroan. Perlu pula ada pengaturan konkret mengenai kategori  tindakan direksi yang dapat menjadi dasar gugatan derivatif, dan pengaturan tentang prosedur pengajuan gugatan derivatif.

Abstract

Climate change is one of the most significant challenges facing the world today. International law has a crucial role to play in addressing these issues through legal and policy frameworks. This study aims to analyze the role of international law in addressing climate change from a legal perspective and find effective policy solutions. The method used is a literature review with analysis of international legal documents and related policies, as well as case studies of policy implementation in several countries. The results show that although there have been some advances in international legislation and policy, there are still many challenges in its implementation that require innovative and collaborative solutions. The study also identified several policy solutions that could be improved through closer international cooperation, including harmonization of emission standards and more effective funding mechanisms. The recommendations of this study are expected to contribute to policymakers, legal practitioners, and other relevant parties in increasing the effectiveness of international law as a tool to address climate change.

Abstract

The study purpose was to examine the legal protection for heirs of account owners whose bank accounts are unlawfully blocked by banks without a valid court decision or the consent of the heirs. This issue arises because such actions contradict the principle of prudence in banking operations and may cause losses to the heirs, thus raising questions regarding the authority of banks and the legal remedies available. The research aims to analyze: (1) the authority of banks to block the accounts of deceased customers against their heirs; and (2) the legal protection available to heirs when banks commit unlawful blocking of accounts. This research employed a normative juridical legal research method, relying on secondary data obtained from primary, secondary, and tertiary legal sources. The approaches used included the Legislation Approach, Case Approach, Analytical Approach, and Conceptual Approach. Data were collected through literature study, identifying and inventorying statutory regulations, legal doctrines, and relevant case studies. The legal analysis techniques applied consisted of Grammatical Interpretation, Systematic Interpretation, and legal construction methods. The findings demonstrate that banks have no authority to unilaterally block the accounts of deceased customers, as this contradicts Article 29 paragraph (3) of Law Number 10 of 1998 concerning Banking. The action is deemed unlawful since it disregards the principle of prudence and the obligation to protect customer rights. Heirs who suffer losses due to such acts are entitled to legal protection and may file a civil lawsuit under Article 1365 of the Indonesian Civil Code to demand recognition and restoration of their rights. The study concludes that unilateral blocking of deceased customers’ accounts by banks constitutes an unlawful act. Legal protection for heirs is available through civil remedies, ensuring the protection of property rights and upholding justice in banking practices.
