Abstract

Adol sende is a form of assurance that currently exists in rural and indigenous communities. Adol sende is implemented as an effort to fulfill people's life needs. But in practice, there is an extortion element in the implementation of adol sende because the object of guarantee is too long controlled by the creditor (controlled and used). This causes the debtor does not get the economic rights of the land which is used as the object of adol sende. In Article 7 of Act Number 56 Prp.1960 the government provides a limitation of the timing of adol sende implementation to overcome the extortion in farming practices. The purpose of this research is to know how to implement pawn transaction (adol sende) and constraints faced by people who live in Pentong Hamlet, Selorejo Subdistrict, Pundhong District, Bantul Regency in connection with the implementation of Article 7 of Law Number 56 Prp 1960. The research method is empirical sociology, research location is Pentong Hamlet, Selorejo Village, Pundhong District, Bantul Regency. The result of the research is the implementation of adol sende by the people of Pentong Hamlet, in relation to the implementation of Article 7 of Law Number 56 Prp 1960, there was no harmony. The Pentong community remains in their living law, where the implementation of adol sende is unlimited. The obstacles in the implementation of adol sende consists of 2 things, internal constraints because of ignorance of the community itself over the time limits set by the government. While external constraints exist in the absence of education in the form of socialization of the government against the provisions of Article 7 of Law Number 56 Prp 1960.

Abstract

The problems studied in this research include: first, what is the conception of the independence of BUMN Persero (State Owned Enterprise) as separate legal entity based on the theory and legal doctrine of Liability Company and all of its legal consequences? Second, what is the status of state  assets in regard to the capital of State Owned Enterprise? Third, how is the relation of State Owned Enterprise and its subsidiaries in accordance with the theory and doctrine of regulation of limited company? This research is conducted using legal normative. The findings in this research show that : first, BUMN Persero as separate legal entity is entitled to have its own assets that are separated from the assets of its management including the personal assets of its share holders, second, in the context of State Owned Enterprise, the inclusion of state assets into the capital of BUMN is a result of separating the state owned assets as regulated in Law Number 19 Year 2003 about BUMN, and third, State Owned Enterprise along with its subsidiaries is an independent legal entity in which its management must be done in accordance with certain rules (good corporate governance) without any interfere from any parties.

Abstract

The problem of this research is related to the roles and responsibilities of Deposit Insurance Agency (LPS) in handling and rescuing Bank Mutiara as a failed bank leading to systemic effects. This research used empirical legal method. The findings show that the management and rescue of Bank Mutiara was done by LPS by conducting temporary capital investment. At the final stage of the rescue process, LPS conducted share divestment of Bank Mutiara to J. Trust Ltd as a potential investor by making agreement of conditional purchase and sale of share.

Abstract

The problems of this research included: first, how is the legal relationship between parties on the implementation of Branchless Banking in Indonesia? Second, how is the legal responsibility of an agent on the implementation of Branchless Banking in Indonesia? This research is conducted using normative legal method supported by empirical data. The findings show that the legal relationship between agent and bank on the Branchless Banking mechanism different from the legal relationship between an agent and its principal based on the agency agreement. The legal responsibility of an agent on the implementation of Branchless Banking also has the different concept from the legal responsibility of an agent based on the agency agreement.

Abstract

The problems in this study include First, how is the regulation of suspension and its implications on the legal certainty for listed companies? Sekond, what are the implications of the absence of time limit for suspension on investor protection? Third, how is the time limit for suspension in the United States? This study used normative legal method. The results of the study indicated that First, the absence of regulation regarding the time limit for suspension by the Indonesia Stock Exchange results in the absence of legal certainty for listed companies subject to suspension. Sekond, the absence of time limit for suspension has an impact in the form of a low legal protection for investors. Third, Suspension in the United States imposed by the Securities Exchange Commission (SEC) is limited to a certain period of time. The regulated time limit for imposing suspensions in the United States provides more legal certainty for listed companies and more legal protection for investors.

Abstract

The reciprocity principle is the main principle in the integration of banking service in the ASEAN region, where it is scheduled to take place in 2020. The banking industry is complex and strictly regulated, therefore, research on the meaning of reciprocity in the ASEAN Banking Integration Framework (ABIF) becomes an interesting and relevant study. The problems examined in this study include: first, how are the meaning and the legal binding power of the reciprocity principle based on ABIF? Second, how is the Indonesian Government's effort to implement the reciprocity principle based on ABIF? This research was conducted by using normative method. The results of the study concluded that, first, the reciprocity principle based on ABIF is a basic principle of reciprocal treatment between member countries aimed at realizing ease of access and banking operational flexibility. This principle does not apply automatically and without conditions, but is based on the commitment and readiness of each country. Second, the Indonesian Government's efforts to implement the reciprocity principle have been carried out through the issuance of Law Number 4 of 2018 on the Ratification of the Protocol to Implement the Sixth Commitment Package in Financial Services in the ASEAN Framework in Services.

Abstract

Public interest in financial technology in the form of peer-to-peer lending (P2PL) is growing rapidly as an alternative provider of loans. In addition, it is a promising investment platform. The process of lending and borrowing between the lender and the recipient of the loan takes place through a system provided and managed by the organizing company that it provides various conveniences. However, the implementation of P2PL is also inseparable from the occurrence of non-performing loans. Regulating and implementing the risk mitigation of non-performing loans is an important issue in the implementation of P2PL. So far, there is no specific regulation regarding risk mitigation of P2PL implementation for non-performing loans, which results in weak legal certainty and protection for lenders. Therefore, the problems examined in this study include: First, how is the risk mitigation arrangement for non-performing loans in the implementation of P2PL in Indonesia? Second, how is the implementation of risk mitigation by the companies that carry out P2PL as an effort to prevent non-performing loans? This research is a normative legal research with a statutory and a conceptual approach. The results of the study concluded that: first, the P2PL risk mitigation arrangements, especially the risk of non-performing loans in Indonesia, are still scattered in several Financial Services Authority regulations and Bank Indonesia regulations. Second, the organizing company implements non-performing loan risk mitigation based on their respective internal policies.

Abstract

The development of peer to peer lending (P2PL) in Indonesia will always be followed by the formation of the latest regulations. However, the existing regulations do not sufficiently regulate the disclosure of information. On the other hand, in the United States as the country with the largest P2PL, information disclosure is a major part in the implementation of P2PL. The approaches used in this research are a conceptual approach, a statutory approach, and a comparative law approach. The results conclude that obtained are that the regulation regarding P2PL does have an obligation to disclose information, but the regulation is not comprehensive because it is exclusive and limited. In fact, the disclosure of information can be a part of risk mitigation in P2PL, for example, minimizing the risk of problem loans. Meanwhile, in the United States, through the Security Exchange Commission (SEC) and the Consumer Financial Protection Bureau (CFPB), detailed and periodic information disclosure is available. So that both prospective borrowers and potential lenders can consider the risks and capabilities of each party more before making transactions in P2PL. This then can be one of the risk mitigation for P2PL in the United States.

Abstract

The implementation of equity crowdfunding (ECF) is part of capital market activities. Capital market activities prioritize the principle of transparency in order to safeguard the trust of the investors. However, Financial Services Authority (OJK) regulations regarding ECF do not provide clear and adequate arrangements for the obligations of the principle of transparency. The problems studied in this research include: First, what is the urgency of regulating the principle of transparency in ECF? Second, what are the implications of the void in the regulation of the ECF principle of transparency to investor protection? The type of research used is normative legal research. This study uses statutory and conceptual approaches with a qualitative descriptive analysis method. The results of the study conclude: First, considering the crucial role of the principle of transparency as the main principle of the capital market, the existence of regulations regarding the principle of transparency is also needed in the implementation of ECF as part of capital market activities. Second, the absence of regulation regarding transparency in the administration of ECF results in non-optimal legal protection for investors. This is understandable because the substance of the ECF can actually be compared to a public offering in the capital market. In addition, the current OJK regulations related to investor protection have not specifically accommodated the interests of ECF investors. This is due to the nature of the regulation which is still scattered in several regulations and the nature of the regulation which is still repressive. Key Words: Urgency; the principle of transparency; equity crowdfunding; investor protection Abstrak Penyelenggaraan equity crowdfunding (ECF) merupakan bagian dari kegiatan pasar modal. Kegiatan pasar modal sangat mengedepankan prinsip keterbukaan guna menjaga kepercayaan investor. Namun demikian, peraturan OJK mengenai ECF tidak memberikan pengaturan yang jelas dan memadai terhadap kewajiban prinsip keterbukaan. Permasalahan yang dikaji dalam penelitian ini meliputi: Pertama, apa urgensi pengaturan prinsip keterbukaan pada Equity Crowdfunding? Kedua, bagaimana implikasi atas kekosongan pengaturan prinsip keterbukaan Equity Crowdfunding terhadap perlindungan investor? Jenis penelitian yang digunakan ialah penelitian hukum normatif. Penelitian ini menggunakan pendekatan perundang-undangan dan pendekatan konseptual dengan metode analisis deskripif kualitatif. Hasil penelitian menyimpulkan: Pertama, mengingat peran krusial prinsip keterbukaan sebagai prinsip utama pasar modal, maka keberadaan pengaturan mengenai prinsip keterbukaan juga dibutuhkan dalam penyelenggaraan ECF sebagai bagian dari kegiatan pasar modal. Kedua, ketiadaan pengaturan mengenai keterbukaan dalam penyelenggaraan ECF berakibat pada tidak optimalnya perlindungan hukum bagi investor. Hal ini dapat dipahami karena substansi ECF sejatinya dapat dipersamakan dengan penawaran umum dalam pasar modal. Selain itu, peraturan OJK terkait dengan perlindungan investor saat ini juga belum mengakomodir kepentingan investor ECF secara khusus. Hal ini disebabkan karena sifat pengaturan yang masih tersebar pada beberapa peraturan dan sifat pengaturan yang masih represif.
