Abstract

Majority banks in Indonesia still use loans as the main income to finance their operations. The effects of the NPL will result in dividend payments, high-interest rates and low investment rates resulting in the lower economic development of the country. Based on this, this study was conducted to find out the factors that affect the risk of problematic credit. In this study, the authors used quantitative methods. The independent variables in the study were Return on Assets (ROA), Income Diversification, Bank Capital and Bank Efficiency while the dependent variables were Non-Performing Loans (NPL). The study collected data from 35 banking companies listed on the Indonesia Stock Exchange over 5 years (2016-2020) and used the panel's data regression model for its testing. Findings from this study suggest that Return on Assets (ROA), Bank Capital and Bank Efficiency have a significant negative effect on Non-Performing Loans (NPLs). Income Diversification has no significant effect on non-performing loans (NPLs). The results of this study can be used to present a successful model for banking companies in Indonesia to pay more attention to the mitigation of bad credit risk. All studies have used IBM SPSS 25 as an analysis tool. The conclusions of the results of the study that can be taken are as follows Return on Assets, Bank Capital, and Bank Efficiency have a negative influence on Non-Performing Loans while Income Diversification does not influence Non-Performing Loans

According to Peter R. Monge and Noshir S, Network Theory is "connectedness" or "connectedness" which is the idea that there is a relatively stable line of communication between individuals and members of the organization. Relationship Management Theory focuses on building or establishing mutually beneficial relationships in organizations, this theory is known as Organization Public Relationship (OPR) theory. According to Kriyantoni (2017), this OPR departs from the co-creational paradigm that considers communication is used to stimulate the public to jointly create meaning (co-creator meaning) and suppress it in building relationships with all public. Public Relations is an activity related to establishing good relations with the target public, PR establishing good communication to external and internal organizations. (Effendy, 2011). Research with this qualitative method looks at how influential organizational communication strategies are in building a company's image on members through case studies on AMPHURI work programs. The results of this research show that AMPHURI's work program is an organizational communication strategy implemented by AMPHURI to support the company's operations with the aim of creating an image in its member companies. AMPHURI's work program has been well received and run by members by following and supporting all work programs and training programs for its members.

Abstract

Merger is one of the ways used by banks in Indonesia to expand their business, increase capital and create banking synergies which are business strategies in the future. This action must be taken through the General Meeting of Shareholders (GMS). Participants in the General Meeting of Shareholders (GMS) are the Shareholders, Commissioners and Directors. In reality, in a company that is already in the form of a company, shareholders will be divided into two types when viewed from the composition of share ownership, namely majority shareholders and minority shareholders. The interests of the dominant or majority shareholder and the minority shareholder in running the company's business are often inconsistent with one another. If in the General Meeting of Shareholders (GMS) there is a difference of opinion between the majority shareholder and the minority shareholder and the decision-making mechanism is the largest vote based on the most shares, the minority shareholder will always lose compared to the majority shareholder. This is very detrimental to minority shareholders because their goals and objectives are not achieved because they are defeated by the voting system based on the majority of shares. Therefore, minority shareholders need to be protected. The type of research used in this research is normative juridical. Sources of data used are secondary data consisting of primary, secondary, and tertiary legal materials. The data collection technique used in this research is library research. The rights of minority shareholders are personal rights, appraisal rights, preemptive rights, enquette rights, and derivative rights. There are two forms of legal protection, namely preventive and repressive. A form of preventive protection, namely legal protection given to minority shareholders, especially public limited liability companies. Preventive protection is protection to prevent disputes. In this preventive protection, legal subjects are given the opportunity to submit their objections or opinions before a government decision gets a definitive form. While repressive legal protection aims to resolve disputes that occur in the community in order to achieve a fair settlement. The handling of legal protection by general courts and administrative courts in Indonesia belongs to this category of legal protection

This is the negative influence of this technology so that it can remove the economic rights of creators and copyright holders. The form of research carried out in this paper is a form of diagnostic research, meaning that diagnostic research methods are research methods designed by guiding a researcher towards an action, so that with this research method researchers will be directed at the causes of the onset of a symptom. In particular, the protection needed by art people and in the world of the music industry is protection of economic rights and protection of moral rights. There is an economic gap seen in the world of the music industry against songwriters as song copyright holders compared to the fame of songs created, which means that the songs they create are in high demand by the public and played or listened to in various places over and over again. If a copyrighted work is said to be a related to the economy, most of the use of the song or music is always accompanied by economic activity (Nainggolan, 2016). The songwriters should be able to enjoy their intellectual property which the object of intellectual property (song / music) is so favored by other people. Intellectual Property Rights are the right to enjoy economically the results of an intellectual creativity, where the objects stipulated in the IPR are works that arise or are born due to human intellectual ability
