Abstract

As human civilization develops, it also causes changes in aspects of lifestyle, one of which is marked by the emergence of various new business fields. As a relatively new business sector, the practice of entrustment services still does not have specific regulations governing it. This article was written with the aim of describing what entrustment services are like in the eyes of positive law in Indonesia, then describing the risks in entrustment services businesses and providing an analysis of the legal protection provided by referring to the relevant regulations currently available. The approach used is a normative legal approach by exploring several laws and regulations that are still related to entrustment services and then analyzing them so that conclusions can be drawn. The results of the study state that entrustment services as a business sector are in principle an agreement, but have special characteristics. Meanwhile, the legal protection provided is in principle similar to other contract-based business fields

Abstract

The validity of a contract in the business world is often debated. Basically, the conditions for the validity of a contract have been regulated in Article 1320 of the Civil Code. However, in some conditions, the validity of a contract raises big questions that have an impact on business contract problems. One of these problems is about how the validity of contract made without stating the name of the promise. In identifying and analyzing this research, researchers used normative juridical research methods with a statutory approach, case approach, conceptual approach and comparative approach. In the end, the researcher found that Article 1320 of the Civil Code does not clearly write the inclusion of the name of the contract as a condition for the validity of the contract. However, in some circumstances, the inclusion of names can become an obligation that affects the validity of a contract, if the parties to the agreement are known to have committed deceit, lies, or fraud. In addition, a contract with the inclusion of a name will become an obligation that affects the validity of the contract, if the laws and regulations regulate such obligations.Abstrak Keabsahan suatu perjanjian dalam dunia bisnis menjadi suatu permasalahan yang seringkali menjadi perdebatan. Pada dasarnya syarat sah perjanjian diatur di dalam Pasal 1320 Kitab Undang-Undang Hukum Perdata. Akan tetapi, dalam beberapa kondisi, syarat sah perjanjian tersebut menimbulkan pertanyaan besar yang sehingga menciptakan masalah dalam perjanjian dunia bisnis. Salah satu permasalahannya adalah tentang bagaimana keabsahan dari suatu perjanjian yang dibuat tanpa menyematkan nama pihak yang berjanji. Adapun untuk mengidentifikasi serta menganalisis penelitian ini, peneliti menggunakan metode penelitian yuridis normatif dengan pendekatan peraturan perundang-undangan, pendekatan kasus, pendekatan konseptual dan pendekatan perbandingan. Sehingga pada akhirnya, peneliti menemukan hasil bahwa dalam Pasal 1320 Kitab Undang-Undang Hukum Perdata memang tidak menulis secara jelas tentang menyematkan nama pihak yang berjanji sebagai syarat sah dari perjanjian. Akan tetapi, dalam beberapa kondisi, menyematkan nama dapat menjadi suatu kewajiban yang mempengaruhi keabsahan dari suatu perjanjian, apabila para pihak yang membentuk perjanjian ternyata melakukan tipu muslihat, karangan perkataan bohong atau penipuan. Selain itu, perjanjian dengan menyematkan nama akan menjadi kewajiban yang mempengaruhi keabsahan perjanjian, apabila di dalam peraturan perundang-undangan mengatur tentang kewajiban tersebut.

Abstract

Interfaith marriages often occur in several countries such as Indonesia and Singapore. The regulations applied in each country regarding interfaith marriages often differ, leading individuals who wish to enter into interfaith marriages to change their citizenship or follow their partner who holds citizenship in a country with legal provisions allowing interfaith marriages. This research will discuss the application of comparative law on interfaith marriages between Indonesia and Singapore along with its cases using a normative juridical research method with a qualitative approach consisting of legal, case, and comparative approaches. This research aims to analyze the comparison of applicable laws in Indonesia and Singapore in a specific case. This research will compare the civil law foundations of both countries to identify the strengths and weaknesses of each regarding interfaith marriages occurring among their citizens. Interfaith marriages that occur between Indonesia and Singapore also serve as a guideline in the case study in Indonesia based on judicial decisions and the guidelines for interfaith marriages conducted in Singapore, thereby providing legality with permanent and binding legal force.

Abstract

In the context of trade, rivalry or business competition is an inevitable phenomenon in a country's economic ecosystem. Competition law is an important tool in a market economy, because through this tool the government seeks to protect fair competition between economic actors in the market. The Business Competition Supervisory Commission (KPPU) was established based on Law Number 5 of 1999. This research uses normative legal research methods. Normative legal research method is library research conducted by examining library documents or secondary data. By applying the deductive method, which is a way of thinking that draws conclusions based on general matters that have been proven correct, and these conclusions are applied to special matters. The issuance of Law Number 11 of 2020 concerning Job Creation, changes in provisions related to the points of change in articles 44, 45, 46, 47, 48 and the abolition of Article 49. These changes also create legal uncertainty regarding ongoing adjustments, especially regarding the provisions of administrative sanctions and changes to the main criminal sanctions. The Business Competition Supervisory Commission (KPPU) in investigating reports of unfair business competition relies on indirect evidence. The reason is that the Business Competition Supervisory Commission (KPPU) does not have the authority to conduct investigations, searches, and seizures in investigating business competition cases. This causes the decision to not be able to reflect and realise legal certainty. For this reason, it is necessary to have a judicial body that specifically handles business competition issues to enforce the law and ensure legal certainty of business competition.

Abstract

Early marriage in Indonesia is a complex issue influenced by various legal, cultural, and social factors. This study identifies the legal challenges in implementing marriage age limits, including regulatory disharmony and the high number of marriage dispensations. Additionally, cultural norms and social practices in various regions, such as Madura and Tana Toraja, contribute to this phenomenon by creating social pressures that encourage early marriage. The methodology used in this research includes secondary data analysis from government reports and case studies in several areas. The conclusion indicates that collaborative efforts between the government, society, and related institutions are necessary to raise legal awareness and reduce the incidence of early marriage. Education and strict law enforcement are key to protecting the rights of children and women and creating a better environment for future generations.

Abstract

This study aims to analyze the basis of the judge's consideration and its implications for legal certainty in Decision Number 26/Pdt.G/2022/PN NGB regarding land ownership disputes that have not been reversed. The research method used is normative juridical by collecting primary, secondary, and tertiary legal materials. The results of the study show that the basis of the judge's consideration has juridical weaknesses because it ignores Articles 1320 and 1472 of the Civil Code, which states that the sale and purchase of land should be void if the object does not belong to the seller. In addition, Article 37 of Government Regulation No. 24 of 1997 which requires a Deed of Sale and Purchase from PPAT and Article 64 of Government Regulation No. 18 of 2021 concerning an objection period of 5 years are also not considered. Sociologically, this decision provides temporary legal certainty for the Plaintiff, but still risks causing new disputes. Philosophically, this decision prioritizes formal legal certainty over substantive justice. In conclusion, a process of changing the name and the Deed of Sale and Purchase at PPAT is needed to ensure stronger legal certainty.

Abstract

One aspect that is often disputed in the business world is about agreements, especially cooperation agreements. Generally, disputes regarding cooperation agreements arise after one party has committed a breach of contract. In this situation, each party will try to get what is considered their right. The courts play an important role in resolving these disputes. The judicial institution functions as a medium for the Plaintiff and Defendant to convey their arguments, especially in an effort to defend their respective rights. This study aims to explore and understand the legal implications of terminating the agreement through a philosophical, legal, and sociological approach. The method used is a normative legal study that analyzes the conflict of norms between the decision of the panel of judges and the provisions of the Civil Code (KUH Perdata), especially Article 1266 which regulates the terms of termination of the agreement. The results of the analysis show that the unilateral termination carried out by the defendant was in accordance with applicable legal provisions, but left a significant legal impact on the relationship between the parties. This means that aspects of justice, legal certainty, and legal benefits must be considered in a balanced manner in every termination of a cooperation agreement. The article is expected to contribute to the development of civil law in Indonesia and become a reference for further research in the field of contract law.

Abstract

The digital economy has grown rapidly with the emergence of blockchain technology, which serves as the foundation for digital assets such as Non-Fungible Tokens (NFTs). NFTs enable unique digital ownership of artworks, music, and other digital assets. However, regulations governing NFTs in Indonesia remain limited, posing legal challenges, particularly in multi-party transactions and ownership protection. This study aims to analyze the regulations governing NFT ownership in Indonesia, identify legal challenges arising in multi-party transactions, and evaluate dispute resolution mechanisms in NFT transactions. Using a normative approach and descriptive analysis method, this research finds that existing regulations do not specifically accommodate the unique characteristics of NFTs, leading to legal uncertainty in ownership and copyright protection. Therefore, more comprehensive and specific regulations are needed to create legal certainty and support the development of the NFT industry in Indonesia.

Abstract

Mergers are often carried out to strengthen the position of corporations in the market, in some cases mergers carried out by corporations lead to conspiracy actions that can have an impact on unfair business competition. Alleged violations of fair business competition carried out by corporations by conducting mergers have prompted KPPU to impose post-merger notification requirements, to ensure that the behaviour of mergers carried out by corporations does not disturb the principles of fair business competition. The problem is that when the merger has been carried out and it turns out that the post-merger assessment is indicated to violate fair business competition, KPPU can provide witnesses for the corporation, of course this becomes ineffective and causes losses to the parties. Based on this, a discussion on the concept of pre-notification of mergers needs to be conducted in order to fulfil the application of the principle of legal expediency in the regulation of merger notification that creates fair business competition in Indonesia. By referring to Law No. 5 Year 1999, it explains the importance of pre- and post-merger notification system. This research uses a comparative law approach that looks at how South Korea and Japan have enacted pre-notification of mergers which is in fact more effective and efficient for the implementation of competition law certainty in their countries. The findings are that the change to a pre-merger notification system will be more effective in preventing monopolistic practices, supporting fair business competition, and providing better legal certainty for business actors. This pre-merger notification acts as a repressive measure for alleged unfair business competition.
