Formation of a Joint Venture which can be said as a joint venture has its own uniqueness. This uniqueness can be found because there is involvement of foreign parties who invest in Indonesia either as individuals or foreign legal entities. This joint venture company was established in the form of a Limited Liability Company, which is subject to Law Number 40 of 2007 concerning Limited Liability Companies. Before forming a Joint Venture Company, the parties first make a joint venture agreement which forms the basis for establishing a joint venture company. In formulating a joint venture agreement, the parties are bound by the principles contained in contract law, both national and international, such as pacta sunt servanda, consensus, and freedom of contract, because the parties come from different countries. There are many parameters and benchmarks which must be a reference for legal consultants, especially in carrying out Legal Aspect Due Diligence and making Legal Opinions for these clients in order to minimize and find out what risks can legally impact the activities to be carried out by these clients.

The Covid 19 pandemic, which began to enter Indonesia since March 2020, has had a significant impact on the sustainability of Micro, Small and Medium Enterprises (MSMEs). The people's economy experienced a significant decline. MSMEs in the Special Region of Yogyakarta that rely on income from the tourism sector and shopping from nomads or immigrants, especially those who are studying, many then close their businesses due to the lack of transactions. The Government's policy that prohibits interaction to reduce the spread of Covid 19 forces the Regional Government to immediately make policy innovations to save the sustainability of MSMEs. This research identified a breakthrough by the Regional Government, in this case the DIY Cooperative and UKM Service in its efforts to save MSMEs, by launching the SiBakul Jogja Program (Information System for Development of Cooperatives and Business Actors in Jogja). What are the opportunities and obstacles in the future. The author conducted this research to provide input for the SiBakul Jogja application as a mainstay of UMKM in DIY. The author uses the interview method and the Secondary Data Analysis method, namely research from various types of documents such as books. The results of the study show that the existence of SiBakul has helped SMEs a lot to survive in the pandemic era, and even then "levelled up" in sales and marketing of their products, but there are still a number of things that need to be improved and perfected to make them more effective.

In solving math problems, especially HOTS-based math problems, students often have difficulty solving them. One effort that can be done to overcome students' difficulties in solving HOTS-based math problems is by describing the difficulties and factors that result in students having difficulty completing HOTS-based math problems based on Polya heuristic stages. The stages of Polya's heuristics in solving problems are: (1) Understanding the problem; (2) Devising A Plan; (3) Carrying Out The Plan (implementing the plan) and (4) Looking Back (looking back at the completion).
