Abstract

This research analyses the hell-or-high-water clause in aircraft leasing contracts in the context of the principle of freedom of contract. Focusing on the review of the principle of freedom of contract based on UNIDROIT Principles of International Commercial Contract (UPICC) 2016 and Indonesian Civil Code,  this research uses normative juridical method with analytical descriptive approach. The findings show that the hell-or-high-water clause has a high binding force, providing legal certainty, especially for the lessor. However, its application must be in line with the principle of freedom of contract regulated in UPICC 2016 and the Civil Code. The application of this clause is suggested to consider three limitations stipulated by the UPICC 2016: first, the principle of freedom of contract that allows businesses to choose partners and transaction terms; second, the exclusion of certain sectors in the public interest by the state; and third, mandatory rules that limit the content of the contract. Therefore, the hell-or-high-water clause should be applied with due regard to the implementation of the principle of freedom of contract as well as national law or the existence of compelling national regulations.

Abstract

The asset freeze imposed by the United Kingdom(UK) on Roman Abramovich raises a critical legal issue regarding its classification as indirect expropriation under international investment law. A legal gap exists in interpreting economic sanctions as acts of indirect expropriation, particularly their compatibility with protections provided under Bilateral Investment Treaties (BITs). The research addresses whether such sanctions constitute unlawful indirect expropriation and examines the protection of Abramovichs rights as a foreign investor under international law. Using a normative juridical approach, the analysis draws on international treaties, arbitration case law, and BIT provisions between Russia Federation and the United Kingdom. Findings indicate that the sanctions meet the criteria for indirect expropriation, causing substantial economic loss and disruption to Abramovichs investments, including Chelsea FC. This paper contributes to the discourse on balancing state sovereignty, regulatory powers, and investor protections, offering insights into the broader implications of politically motivated actions on foreign investments.

Abstract

Indonesia is one of the countries that has implemented the telex release process in the implementation of the transportation of goods by sea. Telex release is the process of digitizing the bill of lading because the delivery of the document is sent via email from the carrier to the sender. However, the regulations governing the operation of sea transportation in Indonesia have not explicitly accommodated telex releases, even though in practice telex releases have been used in the implementation of sea transportation in Indonesia. Efforts that can be made to optimize the use of telex releases are by accommodating the principles contained in international instruments related to sea transportation law, making rules and norms related to the use of telex releases, considering Indonesia's membership in international organizations in the field of sea transportation, and creating the process of organizing sea transportation in Indonesia becomes more effective and efficient through the use of telex releases.

Abstract

The implementation of equipment standardization and occupational health and safety (OHS) in construction projects in Indonesia is regulated through several laws and regulations and refers to international guidelines such as ILO Convention No. 155 of 1981 concerning Occupational Health and Safety and FIDIC. Although these regulations require compliance with technical, safety, and occupational health standards, their implementation still experiences various obstacles. This can be seen from the continued use of obsolete and uncertified equipment, as well as the high number of work accidents. To improve the effectiveness of standardization, the supervision and law enforcement system in Indonesia can be compared with other countries such as the Philippines. Therefore, reform efforts are needed in supervision, enforcement of sanctions, and increased education to increase awareness and compliance with OHS standards, so as to protect workers and create a safe and sustainable work environment.

Abstract

The development project of Nusantara Capital City in Indonesia (NCC) requires a cost of IDR 466 trillion with a financing scheme from the State Budget and the rest is obtained through the KPBU Scheme or private investors. In order to attract business actors to invest in NCC the government provides investment facilities by providing fiscal and non-fiscal incentives, one of which is the provision land rights for 2 (two) cycles for a period of 95 (Ninety Five) Years and 80 (Eighty) Years for cultivation rights, building use rights, and Rights to Use above management rights OIKN which are regulated in PP 12/2023 which has been amended by PP 29/2024. The purpose of the study was to determine the legal certainty of granting a land rights period in NCC reviewed with land regulations in Indonesia, namely based on Law Number 5 of 1960 concerning Basic Agrarian Principles and PP Number 18 of 2021 concerning Management Rights, Land Rights, Apartment Units and Land Registration in an effort to create a conducive business climate for investment. The research method used is normative juridical using descriptive analysis research specifications. The research stages used are library research and field research with data collection techniques by means of document studies by collecting data and reviewing secondary data related to the problem being studied, this library research was conducted to obtain primary legal materials, secondary legal materials and tertiary legal materials and interviews conducted with Legal Experts for the Deputy for Planning and Land Affairs of OIKN and one of the investors in the field of education who is currently in the process of establishing a university in Nusantara Capital City. This study found that the implementation of the Land Rights period based on PP 12/2023 which was amended by PP 29/2024 for business actors in Nusantara Capital City. does not provide legal certainty because the regulations are contrary to those stipulated by UUPA, PP 18/2021 and UUPM. A conducive business climate in the IKN has not been achieved optimally because one of the reasons is the failure to fulfill legal certainty regarding land rights in the Nusantara Capital City.. However, the provision of investment facilities in the PP apart from land Rights, is another consideration for business actors to invest and has shown an increase in investment interest influenced by other incentives provided by the government such as ease in business licensing, and reductions in various taxes such as income tax and 0% BPHTB.

Abstract

This article discusses the urgency of reformulating the Definition of International Arbitration Awards as a legal implication following the Constitutional Court Decision No. 100/PUU-XXII/2024 on the implementation of international arbitration awards in Indonesia. The removal of the phrase "deemed" from Article 1 number (9) of the AAPS Law marks a shift towards a more assertive territorial approach in determining the international status of an arbitration award. Although this step strengthens legal certainty, there are still serious challenges related to the unclear concept of "place of arbitration" in the AAPS Law and the absence of explicit parameters to define the elements of international arbitration. Through normative legal methods and comparative studies of arbitration practices in countries such as Singapore, Australia, England, Hong Kong, and France, this article suggests a more comprehensive reformulation of the definition of international arbitration. This reformulation needs to include clear legal boundaries, a distinction between national and international arbitration, and a more structured execution mechanism to support a modern and pro-investment arbitration system in Indonesia.

Abstract

Risk allocation is a key feature in government-business partnerships. In the Public Private Partnership scheme, risk allocation is a difficult thing. The transfer of risk to the private sector has an impact on the price of the project. Likewise, allocating risk to the public sector which in practice tends to reduce Value For Money. In addition, project risk is dynamic and changes throughout the life of the project so it cannot be predicted with certainty. This normative research aims to examine the guiding principles for increasing the effectiveness of risk allocation and maximizing Value For Money from existing regulations in Indonesia and Government Cooperation agreements with Business Entities based on best practices in several other countries. The approach used in this paper uses a conceptual and comparative approach. The results obtained from this paper are that it is necessary to identify and anticipate risks including alternative solutions that are adjusted to the principle of risk allocation to minimize risk, as well as adjustments to the matrix that have been made by PT PII, risk allocation principles, best practices and related regulatory frameworks in Indonesia. Result, risks in KPBU projects are often an obstacle in the success of KPBU implementation in Indonesia. To minimize the risks that will be faced or may be faced, it is necessary to identify and anticipate risks including alternative solutions that are adjusted to the principle of risk allocation. In developing an effective risk matrix, innovative thinking is needed that is adapted to the characteristics of the KPBU project and the principles of risk management. This must also be adjusted to the matrix that has been made by PT PII, the principles of risk allocation, best practices and related regulatory frameworks in Indonesia are used as references. If properly implemented, this principle is expected to result in a lower risk premium and lower project costs, thus having a positive impact on the project's stakeholders.

Abstract

Port closure as an effort to slow the spread of the Covid-19 virus has had various impacts, such as port congestion which has led to delays and drastically increased transportation costs. This study examines the impacts caused by port closures and legal remedies that can be taken based on international sea transport law. Losses due to port closures cannot be borne by the carrier based on the conventions of sea shipping law as long as the carrier can prove that the fault was not his own. The closure of the port can be categorized as a hardship, in which there are fundamental changes that affect the agreement, namely the increase in shipping costs and delays. efforts that can be made based on the UPICC are renegotiation, and if it fails, the parties can seek a dispute settlement through the courts. In implementing the agreement, the parties must prioritize the principle of good faith and prove that the losses incurred and losses did not originate from themselves.

Abstract

Penelitian ini mengeksplorasi isu kepastian hukum terkait posisi direktur yang merangkap sebagai pendiri dalam perseroan perorangan yang berupaya meningkatkan statusnya menjadi perseroan terbatas. Fokus penelitian terletak pada aspek hukum yang mencakup proses perubahan status di hadapan notaris. Analisis dilakukan terhadap kerangka hukum yang mengatur peralihan status perusahaan, dengan mempertimbangkan implikasi dan tanggung jawab hukum yang mungkin timbul. Temuan penelitian ini diharapkan dapat memberikan pemahaman yang lebih baik terkait aspek hukum dalam upaya meningkatkan status perusahaan.

Abstract

Perjanjian titip jual yang dilakukan melalui sosial media dalam pelaksanaannya tidak selalu berjalan dengan mulus, dimana pihak penjual dapat melakukan wanpretasi terhadap pembeli. Tujuan dari penelitian ini adalah untuk mengkaji penerapan kepastian hukum dalam perjanjian titip jual melalui sosial media dengan dikaitkan dengan hukum perjanjian serta untuk mengetahui penyelesaian wanprestasi pada perjanjian titip jual di sosial media yang merugikan pembeli dikaitkan dengan asas kepastian hukum. Penelitian ini menggunakan metode yuridis normatif untuk menelaah kaidah hukum positif dengan spesifikasi penelitian deskriptif analitis mengenai peraturan perundang-undangan yang berlaku. Penelitian ini juga dilakukan dengan studi kepustakaan mengenai peraturan perundang-undangan terkait seperti KUH Perdata, buku-buku, dan literatur terkait lainnya serta melakukan studi lapangan dengan wawancara pihak makelar dan perjanjian titip jual dalam bentuk yang tersedia sebagai objek penelitian. Analisis terhadap studi kepustakaan tersebut dilakukan secara kualitatif untuk mengungkapkan kenyataan yang ada berdasarkan hasil penelitian berupa deskripsi atau penjelasan terkait penyelesaian masalah dalam penelitian ini. Hasil penelitian ini menunjukkan bahwa kepastian hukum dalam pelaksanaan perjanjian titip jual melalui sosial media ini belum dipenuhi dengan baik. Penyelesaian wanprestasi yang merugikan pembeli kemudian diselesaikan secara kekeluargaan yang menimbulkan wanprestasi kepada makelar, dimana makelar secara hukum memiliki hak menuntut penjual atas wanprestasi yang dilakukannya.
