Abstract

Pemerintah secara terus-menerus melakukan perbaikan iklim usaha, salah satunya dalam upaya mengintegrasikan proses perizinan melalui sistem pelayanan perizinan berusaha terintegrasi secara elektronik atau dikenal dengan Online Single Submission. Sistem perizinan tersebut dalam praktiknya belum sepenuhnyaberjalan dengan sempurna. Artikel ini bertujuan untuk mengetahui kepastian status dan kegiatan usaha PT PMA yang telah melakukan pembubaran pasca berlakunya PP Pelayanan Perizinan Berusaha Terintegrasi Secara Elektronik dan mengetahui solusi bagi PT PMA yang telah dibubarkan dalam hal pencabutanperizinan kegiatan usaha penanaman modal pasca berlakunya PP Pelayanan Perizinan Berusaha Terintegrasi Secara Elektronik. Metode penelitian yang digunakan berupa pendekatan yuridis normatif, penelitian difokuskan untuk mengkaji penerapan kaidah-kaidah atau norma-norma hukum positif Indonesia. Teknik pengumpulan data dilakukan dengan cara studi kepustakaan, yakni melalui bahan hukum primer, sekunder, dan tersier, serta studi virtual melalui informasi yang bersumber dari internet. Adapun metode analisisdata yang digunakan adalah metode normatif kualitatif. Berdasarkan pembahasan artikel ini, didapatkan hasil sebagai berikut: Pertama, kepastian kegiatan usaha dari PT PMA yang melakukan pembubaransebelum berlakunya sistem OSS tersebut sudah berhenti atau tidak lagi melakukan kegiatan usaha, sementara status izin usaha penanaman modal dianggap tidak berlaku dengan hanya dicatatkan pada sistem SPIPISE di BKPM. Kedua, solusi bagi PT PMA yang telah dibubarkan dalam hal pencabutan perizinan kegiatan usaha penanaman modal pasca berlakunya PP Pelayanan Perizinan Berusaha Terintegrasi Secara Elektronik adalah PT PMA membuat akun OSS perseorangan dengan memilih opsi pendelegasian oleh likuidator, namun ketentuan tersebut belum ada peraturan yang mengaturnya secara tegas.

Abstract

Facing the liberalization of trade and services in international trade, further in the development of the 21stMaritime Silk Road concept that aims to improve connectivity and open the widest trade routes, making tariff rates as one of the factors to win the competition. Meanwhile, the existence of the cabotage principle which prevents foreign sea transportation from carrying out transportation activities in Indonesian waters is not in line with the concept of the 21st Maritime Silk Road. The purpose of this study was made to determine the role of Cabotage Principle in the midst of Indonesia’s commitment in facing the MSR’s concept. Based on the results of the study, the consistency in implementing Cabotage Principle in Indonesia will eventually supports Indonesia’s commitment in the concept of 21stMaritime Silk Road. keyword: Cabotage Policy, 21stMaritime Silk Road

Abstract

Contractors and Employers often experience additional or reduced work, especially on EPC Projects due to the complexity of the project. Based on this, the Contractor or Employer submits a claim for the addition or revocation of the work. In practice, Contractors often experience misery related to work together with the actions of dominant Employers because there are no rules in positive law in Indonesia. This raises signs of non-compliance which is reflected in practice with the FIDIC Silver Book 2017 guidelines. This study aims to see the conformity of the implementation of verbal added-less claims on the EPC Project with the construction contract requirements in the FIDIC Silver Book 2017 with Law Number 2 of 2017 concerning Construction Services jo. Presidential Regulation Number 16 of 2018 concerning Procurement of Government Goods/Services, as well as knowing the form of legal protection for Contractors in the event of claims for work overload at the EPC Project by linking Indonesia's Positive Law with the FIDIC Silver Book 2017. This study uses a research method that has a normative legal approach and a comparative legal approach to construction claim settlement agreements. The specification of the research is descriptive analysis by providing a detailed and systematic description. Based on the research results, it can be concluded two things. First, in the terms of the FIDIC Silver Book 2017 construction contract, claims for additional work must be made in writing and are not permitted in oral form, while Law Number 2 of 2017 concerning Construction Services jo. Presidential Regulation Number 16 of 2018 concerning Government Procurement of Goods/Services does not stipulate additional or less verbal job requirements. Second, actions that can be taken to provide legal protection to Contractors listed in Article 20 of the FIDIC Silver Book 2017 which expressly provides for a claim process for additional or less work if the Contractors in this case has the right to an extension of time, settlement or additional payment, submitted within a maximum period of 28 days, whereas in Law Number 2 of 2017 concerning Construction Services jo. Presidential Regulation Number 16 of 2018 concerning Government Procurement of Goods/Services does not provide a clear form of legal protection for Contractors

Abstract

Cyberattack issue in the shipping industries which was happened through some incidents towards ships, made the protection of cargo owners need to be reviewed. The seaworthiness obligation which interpreted as a means for a vessel to be fit to face the foreseeable perils in a voyage, makes cyberattack create its own discourse. This should not be separated with the cyberattack threat which has not been understood as an ordinary peril of a voyage. Moreover, the regulations in Indonesia which does not adopt the Hague-Visby Rules 1924, makes the industry fully rely on the Indonesian Shipping Law as a legal basis. The normative juridical research method makes the emphasis of the research on the use of library sources. The research specification uses an analytical descriptive that describes a literature study on the obligation of seaworthiness in dealing with the threat of cyberattack both in practice and regulation. The results of this study found that, first, the implementation of due diligence by the carrier in order to fulfil its seaworthiness obligations must also be applied to deal with the threat of cyberattack. The nature of the cyberattack that attacks the ship's information systems and technology, should make this attack predictable in a voyage. Moreover, the carrier's compliance with the cyber risk management guidelines on the ship should make the carrier declared to have fulfilled its seaworthiness obligations. Second, there is a legal vacuum in Indonesian positive law in regulating seaworthiness obligations in the face of cyberattack threats. Moreover, the legal gap between Indonesia's positive law and the 1924 HVR makes it difficult for Indonesian practitioners to follow global standards.

Abstract

Sebagai salah satu negara penghasil batubara terbesar, kegiatan perdagangan batubara di Indonesia didominasi dengan kegiatan ekspor yang terkadang berimplikasi pada timpangnya kebutuhan batubara dalam negeri dan jumlah batubara yang diekspor ke luar negeri. Penelitian ini bertujuan untuk menguji apakah perubahan kebijakan DMO di Indonesia dapat diklasifikasikan sebagai suatu keadaan hardship dengan kewajiban renegosiasi sebagai alternatif ketika para pihak dihadapkan dengan keadaan tersebut serta pemberlakuan klausula hardship dalam kontrak di Indonesia dengan mengadopsi prinsip-prinsip dalam UPICC berdasarkan asas kebebasan berkontrak. Jenis penelitian menggunakan penelitian normatif dengan menggunakan metode pendekatan yuridis normatif. Hasil penelitian ini diperoleh bahwa prinsip keadaan sulit atau hardship merupakan suatu prinsip yang telah dianut oleh beberapa sistem hukum kontrak di dunia dan diadopsi oleh instrumen-instrumen hukum internasional sebagai upaya dalam mendorong perkembangan hukum kontrak di dunia. Pemberlakuan klausula hardship di Indonesia dapat dilakukan dengan mengadopsi instrumen hukum kontrak internasional yang dapat diadopsi salah satunya adalah UPICC.

Abstract

Port closure as an effort to slow the spread of the Covid-19 virus has had various impacts, such as port congestion which has led to delays and drastically increased transportation costs. This study examines the impacts caused by port closures and legal remedies that can be taken based on international sea transport law. Losses due to port closures cannot be borne by the carrier based on the conventions  of sea shipping law as long as the carrier can prove that the fault was not his own. The closure of the port can be categorized as a hardship, in which there are fundamental changes that affect the agreement, namely the increase in shipping costs and delays. efforts that can be made based on the UPICC are renegotiation, and if it fails, the parties can seek a dispute settlement through the courts. In implementing the agreement, the parties must prioritize the principle of good faith and prove that the losses incurred and losses did not originate from themselves.

Abstract

Village-Owned Enterprises (BUM Desa) is a business entity that carries out business in the economic sector and/or public services. The status of BUM Desa is confirmed as a legal business entity in the Law on Job Creation. This article discusses efforts that can be made to optimize the legal entity status of BUM Desa after the enactment of the Law on Job Creation to increase cooperation and management of BUM Desa assets after the enactment of the Job Creation Law. The research method used is normative juridical, namely research based on legal sources and their findings. The research results show that first, determining the legal entity status of BUM Desa has implications for optimizing the intensity of cooperation with third parties. Clarity on the legal entity status of BUM Desa can optimize opportunities for BUM Desa cooperation with third parties, because third parties will feel more secure in collaborating with legal entities as legal subjects who have separate assets. Second, after the establishment of BUM Desa as a legal entity, it is necessary to manage BUM Desa assets separately from Village assets, based on the statutory regulations governing BUM Desa, Good Corporate Governance Principles, and internal regulations of BUM Desa, as well as cooperation agreements with third parties if the object of cooperation is BUM Desa assets.

Abstract

ABSTRACTShare divestment in foreign mining has been a significant focus for the Indonesian Government as its purpose to reverted national sovereignty through the state-control over natural resources and attempt to gain direct access to profits of the multinational companies through an ownership stake. Under Law No. 4 of 2009 on Mineral and Coal Mining (Mining Law), all foreign companies in mining are required to divest 51 percent of their interest in stage to the national participant. The State has indeed the right to protect its economy as a manifestation of permanent sovereignty. In an age of globalization, however, it is also necessary to maintaining their external sovereignty rights, including the right to establish relationships outside. This research aims to examine the implementation of shares divestment scheme in Mining Law to host state sovereignty. The method used is normative legal research and specification of descriptive analysis. The finding shows that the intention of the divestment obligation challenging to attain due to the process of the implementation of the divestment obligation is not in line with the fundamental principles of investment law and the concept of international economic sovereignty of Indonesia. The main goal of which is to devise series of recommendations and whether the alternative solution based on the other countries’ experience, which expected will be applied to reduce the risk for both host state and foreign investors in the mining sector.Keywords: Share Divestment, Mining Law, Sovereignty, Foreign Investment

Abstract

The uncertain conformity between the characteristics of the condition attributable to the inability of mergers and acquisition contract performance due to COVID-19 and the characteristics of force majeure and hardship leads to the use of material adverse change (MAC) as an alternative clause for contract non-performance as a perennial consequence of COVID-19 pandemic in the post pandemic era. This study aims to analyze the implications of COVID-19 pandemic with the use of MAC according to the laws of the nations and the adherence of MAC as a clause with UNIDROIT’s six general principles of international contract during and post pandemic as issued in UNIDROIT Principles of International Commercial Contract. The method of writing used was normative juridical approach with descriptive analytical research specifications. The writing process taken in drafting this study was through a process of literature review from primary, secondary, and tertiary sources. Data analysis method used in this study was through qualitative juridical normative method. The outcome of the analysis shows that the use of MAC as an alternative clause for contract non-performance differs between one national law to another; one of the outstanding characteristics is that the basis of the use of MAC depends on the agreed definition and the burden of proof of MAC set forth in the contract. The use of MAC as an alternative clause for contract non-performance in mergers and acquisitions is compliant with UNIDROIT’s principles of international contract, with considerations of the limitations and exceptions of the international contract principles.
