Abstract

Companies are also an important business component and are widely available in the world, including in Indonesia where they are legal entities. The integrity of a member of the company's board of directors and board of commissioners to maintain their loyalty as the party entrusted with managing the company properly and correctly as a responsibility to stakeholders. This action is known as the Piercing the Corporate Veil doctrine, which in this paper is at issue if it turns out that there is a nominee agreement between the directors and shareholders of a third party who is actually the party who is one of the shareholders and what is the potential risk of legal action? If a dispute occurs in the company due to the nominee agreement, the company will experience the risk of loss. The author researches with normative legal research, which involves studying documents or written data, research on legal systematics, legal theory. In the initial stage the author conducted research on documents related to the subject of this discussion. Apart from that, use is based on the internet, newspapers and electronic media. In this case, the action of Piercing the Corporate Veil Shareholders in a Limited Liability Company turns out to be the discovery of a nominee agreement between the directors and shareholders from a third party who is actually the party who is one of the shareholders, so in this case the Nominee Agreement can be null and void by law and an attempt to smuggle the law because the Nominee Agreement has violated several regulations in Indonesia, namely Article 33 of the Investment Law and Article 1320 of the Civil Code and is not valid. The potential risk of a company lawsuit if a dispute occurs is due to the nominee agreement which results in the company experiencing a risk of loss because seen from the position of the Piercing the Corporate Veil Doctrine, it cannot be implemented properly because the agreement between shareholders and directors has been violated. regulations in Indonesia, namely Article 33 of the Investment Law and Article 1320 of the Civil Code. So there is less accountability.

Abstract

Many researches prove that SMEs (Small Medium Enterprises or SMEs) are thepillars of an economy. SMEs absorb a lot of labor and have a significant contributionto the economic growth of a country and region. SMEs also have a very large numberand are spread in every existing business sector, so SMEs receive serious attentionfrom both academics, researchers and the government. This study has a specificpurpose, namely to analyze and test the influence of perceived difficulties, responsesto difficuties, open-mindedness culture, creativity as well as adaptive ability),Individualism, power distance, uncertainty avoidance and masculinity / femininity),learning Capability (LC), Intellectual capital, Knowledge management, socialnetwork) on innovation culture, which is an aspect of originality or novelty in thisstudy. This study used a sample of SMEs in North Sulawesi Province and usedmultiple regression analysis techniques. The results of the analysis show thatperceived difficulties (X1), responses to difficulties (X2), open-mindedness culture(X3), creativity (X4) and adaptive ability (X5) have a significant effect (below 5%)on Innovation culture. The results of the analysis show that Learning Capability(LC) (X6), Intellectual capital (X7), Knowledge management (X8), social network(X9) have a significant effect (below 5%) on Innovation culture. The analysis resultsshow that Individualism (X10), uncertainty avoidance (X12) and masculinity /femininity (X13) have a significant effect (below 5%) on the culture of innovation.However, the power distance variable (X11) does not significantly affect the cultureof innovation. The results of the analysis show that the influence of perceiveddifficulties (X1), responses to difficulties (X2), open-mindedness culture (X3),creativity (X4) and adaptive ability (X5) has a significant effect (below 5%) oninnovation culture, remains significant even though it has been controlled for aspectsof the owner's age, ethnicity and business age. The results of testing the effect ofinternal factors (Learning Capability (LC) (X6), Intellectual capital (X7),Knowledge management (X8), social network (X9) on innovation culture (Y), showdifferent results specifically on the Learning Capability (LC) variable (X6), wherewhen controlled for aspects of ethnicity and business age, this variable becomesinsignificant on innovation culture. For the results of testing the effect of culturalcultural factors (Individualism (X10), power distance (X11), uncertainty avoidance(X12) and masculinity / femininity (X13) on innovation culture (Y), with variablecontrol of owner age, ethnicity and business age, no impact on innovation culture.

Abstract

Mamdani's fuzzy algorithm enables the use of fuzzy logic to overcome the uncertainties and ambiguities associated with inventory predictions. This study describes implementing the Mamdani fuzzy algorithm to predict web-based inventory. Fuzzy algorithms allow specific reasons to deal with the uncertainties and ambiguities associated with inventory predictions. We collect relevant inventory data, including input variables such as the number of items sold, customer demand, and other factors that affect inventory. We also use historical inventory data to create the Mamdani fuzzy model. We implement fuzzification by specifying a linguistic variable for each input variable and converting the numeric to a linguistic value using a predefined membership function, then build a  rule-based fuzzy Mamdani which includes a set of rules that relate language values as input variables with linguistic values of output variables., i.e., inventory prediction. After the inference process, we apply defuzzification using the Mamdani method to convert the linguistic values of the output variables into numeric values that can be used in practice. Through this implementation, we managed to integrate the power of Mamdani's fuzzy algorithm with web technology so that users can access the inventory prediction system online. This system can assist inventory managers in making better decisions in production planning, stock procurement, and delivery schedule. This system is expected to increase efficiency and optimize inventory availability in a rapidly changing business environment.

Abstract

This study aims to determine the effect of career development and compensation variables on turnover intention with job satisfaction as an intervening variable for employees of Hotel Leuweung Geledegan Ecolodge Bogor. This sampling uses a saturated sample technique or non-probability sampling, with a total of 50 permanent employees except the General Manager. Measurement in the questionnaire using a 5-item Likert scale. The data analysis technique in this study used the IBM SPSS v25 software application with the path analysis method. The analysis used in this study includes a validity test, reliability test, normality test, coefficient of determination test, F test, t-test, and Sobel test to determine the mediating effect. The results in this study indicate that 1) Career development and compensation simultaneously have effect and significant on job satisfaction, 2) Career development has a positive and significant effect on job satisfaction, 3) Compensation has a positive and significant effect on job satisfaction, 4) Career development, compensation and job satisfaction simultaneously and significantly on turnover intention, 5) career development has a negative and significant effect on turnover intention, 6) compensation has a negative and significant effect on turnover intention, 7) job satisfaction has a negative and significant effect on turnover intention, 8) career development has no indirect effect on turnover intention through job satisfaction, 9) compensation does not have an indirect effect on turnover intention through job satisfaction.

Abstract

The research aims to explore the effectiveness of online promotion strategies through the Go-Food application for culinary MSMEs in Jakarta. This research explores the benefits and disadvantages of using online promotional strategies through the Go-Food application. Effectiveness is measured by the number of advantages obtained compared to the losses experienced. The research method is a case study with a qualitative approach. Data collection techniques were carried out using interviews, observation, documentation and literature study. The number of informants studied was 5 informants. The research results show that the online promotion strategy through the Go-Food application has benefits: increasing the number of consumers, expanding the market, increasing income, as a promotional medium, time efficiency and increasing credibility, while the disadvantages can be overcome by technological development carried out in the Go-Food application. Thus, the advantages of using an online promotion strategy through the Go-Food application outweigh the disadvantages, so it can be concluded that the online promotion strategy through the Go-Food application is effective for culinary MSMEs.

Abstract

According to the World Health Organization (WHO), there are around 7 million breast cancer patients each year, with about 5 million of them dying. Based on Globocan 2018 data, the death rate from breast cancer averages 17 per 100,000 people with incidents of 2.1 per 100,000 people attacking women in Indonesia. Hence breast cancer causes spread genetic mutations in the DNA of breast epithelial cells that radiate to the ducts. The purpose of this study was to classify the type of cancer (benign or malignant) that was suffered. The difference between previous research and this research is in the algorithm testing method chosen. In this study the algorithm used is SVM and Logistic Regression by applying the SMOTE technique. The K-fold cross validation method is used in testing this research. The accuracy results obtained are 1.0, precision 1.0 and recall 1.0.While the highest evaluation results for the model without SMOTE were Accuracy 0.97, precision 1.0 and recall 0.90 with the LR method. So based on the results of the comparison, it shows that the evaluation of models using SMOTE tends to be higher than models without SMOTE

Abstract

The botheration that occurs in government offices such as the Regional Planning and Development Agency, the Community Empowerment Service, and the Sijunjung Regency Kesbangpol is the abridgement of agent activity to assignment in accordance with the eyes and mission of Sijunjung Regency. In addition, the abridgement of acceptable administration from the administration makes the assignment ambiance bad for Sijunjung Regency employees. The purpose of this abstraction was to assay the aftereffect of the assignment ambiance on agent assurance in Sijunjung Regency, West Sumatra Province. This abstraction uses a quantitative approach. The abstraction citizenry consisted of 3,504 Accompaniment Civilian Apparatuses in Sijunjung Regency. The sample in this abstraction was bent through a stratified sampling address consisting of 104 respondents. Abstracts was calm through a check with a Likert Calibration altitude and analyzed application a simple Beeline Corruption Technique. The after-effects of this abstraction announce that there is a cogent access of the assignment ambiance on agent assurance in Sijunjung Regency.

Abstract

The primary objective of this study was to examine the impact of funding decisions, investment choices, managerial ownership, and institutional ownership on financial distress. Additionally, we aimed to assess the moderating role of an independent board of commissioners about these independent variables and their effects on financial distress. This research employed a quantitative approach and utilized WarpPLS for analysis. Data collection was carried out through purposive sampling, focusing on a population of 53 companies listed on the IDX, with a sample size of 46 companies. The findings of the research indicated that investment decisions had a significant positive influence on financial distress, whereas funding decisions had no significant impact. Managerial ownership also showed no significant effect, while institutional ownership had a notable negative impact on financial distress. Notably, the independent board of commissioners did not moderate the effect of investment decisions on financial distress but did moderate the impact of funding decisions, managerial ownership (fully), and institutional ownership (partially) on financial distress. The implications of this study are valuable for improving financial management practices in manufacturing companies.

Abstract

This study aims to examine the effect of corporate governance, intellectual capital and financial policy on firm performance conducted on 14 pharmaceutical companies listed on the Indonesian stock exchange. The data obtained was processed using warp pls software 7.0. The results of the study indicate that corporate governance has no significant positive effect on financial policy and firm performance. Meanwhile, intellectual capital has a negative and significant effect on financial policy and a significant positive effect on firm performance. Next, financial policy has a significant positive effect on firm performance.

Abstract

This research aims to determine the influence of the problem-based learning model, project-based model, and multicultural-based learning model on the prosocial behavior of elementary school students in Surabaya. The research applied is experimental research. The design in this research uses a nonequavalent Control Group Post-test Design. The research population is SDN Surabaya with research samples of fifth-grade elementary school students at SDN Margerejo I, SDN Sumur Welut III Surabaya, SDN Dukuh Menanggal 601 Surabaya. The data collection technique uses a questionnaire with 30 questions, while the research instrument uses the Measure of Prosocial Tendencies by adapting Carlo's. The data analysis technique uses the T-test. From the results of data processing, it can be concluded that there is an influence of the Model Problem Based Learning, Model Project Based Learning, and Model Multicultural Based Learning on the prosocial behavior of elementary school students in Surabaya
