Abstract

Many MSMEs in Indonesia are PT legal entities. MSMEs had a positive impact on the Indonesian economy that can't be separated from the presence of Law No.11/2020. This law introduces the concept of individual companies for MSMEs. After experiencing various dynamics, Job Creation Law finally changed to Law No. 6/2023. This research discusses the position of individual company organs in MSMEs in the New Job Creation Law which consists of one founder who is also the shareholder and director. There are inconsistencies in New Job Creation Law, but they can be solved using the principle "lex posterior derogat legi priori". Apart from that, the duties and responsibilities of individual company organs adhere to a one-tier board system which combines directors and commissioners. This normative legal research uses primary and secondary legal materials collected through library research and analysing with a statute and conceptual approach.

Abstract

The current development of digital technology has significantly influenced the way humans conduct transactions in their daily lives, including in commercial activities or buying and selling. This research is conducted to analyze legal issues concerning legal protection for consumers bound by electronic contracts with exoneration clauses. The research method employed is normative or doctrinal. The government has ensured consumer protection by establishing legal provisions through Law Number 8 of 1999, which regulates the prohibition of including exoneration clauses by business entities. Consequently, businesses that include exoneration clauses can be sentenced to criminal law. However, in practice, law enforcement in consumer protection has not been as effective as it should be due to the presence of business entities, specifically e-commerce, that include exoneration clauses in standardized electronic contracts. Furthermore, based on the case of Angga Saputra Ariyanto, e-commerce as a business entity fail to fulfill their obligation to provide compensation. Therefore, it is necessary to address this issue through government oversight of standard clauses that involve the transfer of responsibility.

Abstract

The existence of insurance in human life can provide a sense of security because in carrying out its duty, it is carried out in accordance with the principle of utmost good faith. However, the principle of utmost good faith cannot always be perfectly implemented. There are many factors that influence the implementation of the principle of utmost good faith in the world of insurance. One of them is related to the implementation of the principle of good faith by insurance companies during the suspension of payment (PKPU) period regarding the rights of policy holders. This research was carried out in a normative juridical manner using library approach techniques. The research results show that there is a polemic regarding the scope and time limits for applying the principle of utmost good faith as well as the position of policy holders in filing PKPU lawsuits. Thus, it is still necessary to evaluate the applicable laws and regulations and to provide legality to policy holders so that the rights and obligations of the parties can be carried out even though the insurance company is in the PKPU period.

Abstract

Establishing a single person limited company is a concept for establishing a company that emerged after the Job Creation Law was passed. Single person limited company allow a company to be established with only one person. This is of course regarding the debate regarding shifting the paradigm regarding the principles and concepts of responsibility that have been adhered to in the corporate legal regime. In this research, the author aims to examine the concept of establishment and responsibility for the formation of single person limited companies after the enactment of the Job Creation Law. This research is normative legal research using conceptual and statutory approaches. In fact, the paradigm shift from the concept of a capital partnership which can be established by a single shareholder is not something new because this has been explained in Article 7 paragraph (5) of the Limited Liability Company Law which states that a company can be established with only one shareholder entity such as an entity. State-Owned Enterprises (BUMN). Single person limited Companies that provide flexibility to shareholders to create a company that can be established by a single shareholder provided that it meets the existing criteria for Small and Medium Enterprises (UMK). The liability of this single person limited company remains the same as that of a Limited Liability Company which has liability limited to the shares owned by the shareholder as explained in article 153 J paragraph (2) of the Job Creation Law as long as there are no matters excluded in that article.

Abstract

In a company, the interests of majority shareholders often take precedence over those of minority shareholders, and shareholder agreements can be used by majorities to regulate matters that primarily benefit them. To safeguard the rights of minority shareholders, they can create several provisions in shareholder agreement. The research question that forms the basis of this paper is: (i) What is the legal status of shareholder agreements in Indonesia?; (ii) What are the general provisions included in shareholder agreements?; and (iii) What special provisions in shareholder agreements offer legal protection for minority shareholders? Ultimately, the following conclusions were reached: (i) Shareholder agreements are legally binding contracts based on Article 1320 of the Indonesian Civil Code; (ii) While there are several general provisions found in shareholder agreements in Indonesia, there are no standard rules governing them; and (iii) The rights of minority shareholders that can be regulated through these agreements include shareholders remedies, rights based on their share class, tag along rights, drag along rights, rights of first offer, and rights of first refusal.

Abstract

Monopolistic practices are prohibited in business competition because their impact can create imbalances in the market or in other words can create unfair business competition. In this research, the author brings up the topic of the existence of Consumer Lock-In practices. Business competition in the Bottled Drinking Water market or commonly known as AMDK. In practice, the sale of bottled drinking water uses the gallon exchange method which, if examined further, can result in consumer dependence which has implications for the difficulty of other business actors to enter the same market. On the other hand, the commonality of the practice makes its position unclear whether it is classified as prohibited under Law No. 5 of 1999 on the Prohibition of Monopolistic Practices and Unfair Business Competition. This research uses doctrinal research methods using secondary data consisting of laws and regulations, books, scientific magazines, clippings, journals, papers, internet sites and other data sources. In closing, the author intends to convey that the practices carried out by business actors in the bottled water market have the potential to harm fair business competition.

Abstract

This research aims to analyze legal regulations related to the distribution of excise-free cigarettes in Indonesia and law enforcement efforts. The research method used is normative juridical legal research with a conceptual and problem approach. The research results show that the distribution of illegal cigarettes has become a significant problem in Indonesia, with a large number of the population purchasing cigarettes outside the registered system. Even though Law Number 39 of 2007 concerning Excise has relevant provisions, there are still problems in enforcing the law against illegal cigarettes. Law enforcement is carried out both preventively and repressively, but there are still obstacles such as lack of awareness of producers and the public, weak regulations, as well as obstacles in supervision and enforcement. However, there are criminal and administrative sanctions that have been regulated to deal with the distribution of illegal cigarettes. In conclusion, the existing legal regulations are relatively effective but further efforts are still needed in enforcing the law against the distribution of illegal cigarettes in Indonesia.

Abstract

The demand for housing creates business opportunities for private individuals to venture into the residential property sector. Housing development companies, also referred to as developers, can face bankruptcy. When declared bankrupt, the developer often maintains a legal relationship with the homebuyer, based on the Sale and Purchase Agreement. This research aims to determine the legal status of a house in situations where the developer goes bankrupt, in accordance with Law Number 37 of 2004 concerning Bankruptcy and Postponement of Debt Payment Obligations. This study employs a qualitative research method with a normative approach, focusing on statutory aspects. The research findings indicate that, as per the Bankruptcy Law, the Sale and Purchase Agreement between the developer and the homebuyer is voided. This occurs because ownership rights to both the land and house remain with the developer, making them assets subject to bankruptcy proceedings. Consequently, the homebuyer may apply as a creditor simultaneously, seeking compensation.
