Abstract

Technological developments have a major influence on the banking world, one of which is remittance activities. With the rapid development of technology, one of the banks in Indonesia wants to create a remittance service application called BNI Mobile Remittance developed by BNI Singapore Overseas Branch Office (KCLN). Based on this description, the author is interested in discussing further about how to carry out the development of banking products in the form of BNI Mobile Remittance in accordance with applicable laws and regulations and their obstacles? This research is a normative research supported by interviews with related resource persons using primary and secondary data. The results of this research are that the implementation of BNI Mobile Remittance banking product development can be carried out after obtaining approval from the Financial Services Authority where the approval will be given after BNI meets the requirements set out, but obstacles in licensing the implementation of BNI Mobile Remittance are discrepancies in the licensing which is other than Financial Services Authority, BNI needs to obtain additional approval from Bank Indonesia and there is ambiguity over the status given by Financial Services Authority in submitting the product. In the system, the BNI Mobile Remittance permit application only states that "we have received the application file", not "application approved".

Abstract

The era of the digital economy has brought convenience to consumers and has provided threats to the protection of personal data for consumers. Furthermore, data, which is currently considered as an asset, has become an important commodity for business actors to expand their market share through efforts in order to understand consumer behavior through big data. As a result, business actors are not only obliged to maintain the protection of consumers' personal data vertically, but they also should pay attention to their competitive behavior in the market horizontally with other business actors which could potentially violate consumer rights. By using a doctrinal research method which conducted a study of statutory regulations, it shows that regulations regards to the protection of personal data in the fields of consumer protection law, electronic transaction law, and personal data protection law are quite comprehensive and they accommodate consumers' privacy rights over their personal data. However, in order to prevent the concentration of market power in companies which control big data due to corporate actions and in order to increase the protection of consumers' personal data more optimally, integration between business competition authorities, consumer protection and personal data protection is needed.

Abstract

In running a company, the Board of Directors and Commissioners are certainly not exempt from errors, mismanagement, or fraudulent activities that may lead to actions detrimental to the company and shareholders. Therefore, there must be legal protection for the company and its shareholders. One solution to this legal protection issue is derivative lawsuits, as exemplified by Prosper China Investments Limited. Based on the above description, the author is interested in conducting research and discussion on whether the derivative action filed by PT Merge Energy Sources Development constitutes a form of legal protection for a Foreign Investment Company (PMA). Additionally, it examines the challenges and issues associated with derivative actions within the legal provisions in Indonesia. This research employs a normative juridical method, utilizing secondary data through a literature review. The findings of this study indicate that the derivative action taken by PT. Merge Energy Sources Development's shareholders is in accordance with applicable laws, as it is regulated in Article 97, paragraph (6) of the Company Law concerning directorial lawsuits and Article 114, paragraph (6) of the Company Law concerning commissioner lawsuits. However, the mechanism of derivative action as a legal protection tool in Indonesia is not yet sufficient, primarily due to the limited regulations regarding derivative actions in Indonesia compared to Common Law countries, and even in comparison to Civil Law countries.

Abstract

Future developments in the business world and the opportunity to carry out an Initial Public Offering (IPO) process using a company with a Special Purpose Acquisition Company (SPAC) model are increasingly in demand and developing in the International and Asian Capital Markets. SPAC is known as a shell company that has no previous operational history, business activities or assets that generate business income during the Initial Public Offering or IPO process. A SPAC is a shell company formed specifically to acquire one or more operating companies through a business combination. SPAC has the goal of conducting an IPO by using IPO proceeds along with an equity rollover to fund a business combination. However, as regulated in provision III.1.1. Indonesian Stock Exchange Regulation Number I-A concerning the Listing of Shares and Equity Securities Other than Shares Issued by Listed Companies limits that legal entities that can list their shares on the Stock Exchange are legal entities in the form of Limited Liability Companies. Thus, a legal basis is needed for SPAC to be implemented.

Abstract

Investment in the era of globalization cannot be separated from a series of international agreements. Joint venture agreement in the context of foreign investment in Indonesia is the first step to form a joint venture which is required for foreign investors who plan to invest in Indonesia. The joint venture agreement sets out the objectives and policies of the joint venture company which can be used to interpret the agreements made by the company with its partners. Based on the description above, the author is interested in conducting research on How is the regulation regarding the position of foreign investors when making decisions in joint ventures in Indonesia? And How is the supervision carried out by the government on foreign investment in accordance with the regulations governing it? This research uses normative juridical method with literature study using secondary data. The result of this research is a Joint Venture company established in the form of a limited liability company, the important thing about the relationship between foreign investors and national investors who become majority shareholders and minority shareholders lies in the GMS which is subject to Law No. 40 of 2007 concerning Limited Liability Companies, if referring to the Law, basically shareholders in a limited liability company have no power in the management of the company, shareholders do not interfere in the management of the company.

Abstract

Board of directors hold a fundamental role when it comes to company’s growth. When managing a company, board of directors must follow certain guidelines. Fiduciary duty is one of the many rules that board of directors must abide to while managing a company. Ordinarily, board of directors have a perk where they do not personally liable for company loss, but when board of directors neglect their fiduciary duty while taking an action on behalf of the company and that action caused the company to suffer loss or harm, then the board of directors are personally liable and must compensate the loss or harm that the company suffers. This happened due to piercing the corporate veil. This research used normative juridical approach and literature study with secondary data. As a conclusion, the final result of this research showed that fiduciary duty that enacted in Indonesia is slightly differs from America, due to Law Number 40 of 2007 Concerning Limited Liability Company, the Indonesian company law adheres semifiduciary duty, while the American adhere full fiduciary duty. Therefore, the regulation regarding piercing the corporate veil in America is more detailed and broader than the ones in Indonesia.

Abstract

The fulfillment of workers' rights in the form of health insurance is a program in accordance with the mandate of the Constitution. Realized through Law of the Republic of Indonesia Number 40 of 2004 concerning the National Social Security System regulates the basic rights to a sense of security owned by workers /employees. Among them, the right to welfare includes health insurance programs, work accident insurance (JKK), death insurance (JKM), and old age insurance (JHT). The formulation of the problem in this study is: 1). How is the arrangement or protection of health insurance for private workers with probation status or probation period in Padang City?, 2) Factors that play a role in fulfilling the right to health insurance for workers with probation status or probation period in Padang City?. This research uses normative juridical methods that focus their studies by viewing law as a complete system, including a set of legal principles, legal norms, and legal rules, in this study in addition to using secondary data also using empirical data, but does not eliminate the nature of this research as normative research. The results of this study are: 1) Non-implementation of the Law and all regulations governing health insurance for private workers with Probation status in general, 2) There must be a policy issued by the government strictly regarding the sanctions given if workers do not get health insurance.

Abstract

The operational implementation of BUMNag Gastra experienced various problems which made it difficult to develop properly. These problems include, among others, the Human Resources Manager is still low, resulting in one of the accountability BUMNag not being carried out properly. Therefore the author examines the following problem formulation: 1) How is the Operational Implementation of BUMNag Gastra Nagari Gadut 2) What is the accountability of the Operational Executive of BUMNag Gastra Nagari Gadut. The research method that the author uses is Juridical Empirical, namely research that focuses on how the implementation of BUMNag Gastra Nagari Gadut operations in the field. The results of the research are presented in the form of descriptive analysis relying on primary data in the form of field data (interviews) supplemented by secondary data. As for the results of the author's research, it can be concluded, firstly, the operational implementation of BUMNag Gastra Nagari Gadut is still simple and not fully in accordance with management functions. The two accountability reports have not been properly presented, so they are not in accordance with legal objectives, namely certainty and justice. In the future, efforts are expected to promote BUMNag, namely 1) increasing human resources 2) increasing capital 3) instilling a sense of ownership of BUMNag which is still low. 4) improvement of facilities and infrastructure

Abstract

Penelitian hukum ini bertujuan untuk memberikan pengetahuan mengenai penyerahan pembayaran ganti rugi yang diberikan oleh pemerintah, khususnya Pemerintah Daerah, atas pengadaan tanah bagi pembangunan untuk kepentingan umum, yang akan dianalisis melalui dua isu hukum, yakni 1) Kewajiban pemberian ganti kerugian oleh Pemerintah Daerah dalam pelaksanaan pengadaan tanah bagi pembangunan untuk kepentingan umum, dan 2) Perlindungan hukum bagi pemegang hak atas tanah dalam ganti rugi pengadaan tanah bagi pembangunan untuk kepentingan umum. Penelitian ini merupakan tipe penelitian hukum (Legal Research) yang bertujuan untuk memecahkan isu hukum yang dihadapi. Pengadaan tanah untuk kepentingan umum dilaksanakan dengan pemberian ganti kerugian yang layak dan adil. Adapun berdasarkan Pasal 36 UU No. 2 Tahun 2012 Jo. Pasal 74 PP No. 19 Tahun 2021, bentuk ganti kerugian dalam pengadaan tanah untuk kepentingan umum dapat diberikan dalam bentuk uang, tanah pengganti, permukiman kembali, kepemilikan saham, atau bentuk lain yang disetujui oleh kedua belah pihak. Berdasarkan fakta dan analisis hukum, Para Penggugat memiliki hak untuk mendapat ganti kerugian dari Pemerintah Kota sebagai pihak yang melakukan pengadaan hak atas tanah untuk kepentingan umum. Pihak Tergugat sebagai pelaksana pengadaan hak atas tanah untuk kepentingan umum tetap memiliki kewajiban untuk memberikan ganti kerugian yang layak dan adil kepada pihak yang berhak, yang dalam hal ini merupakan pihak Penggugat.

Abstract

Perbankan merupakan salah satu industri jasa keuangan yang memegang peranan penting dalam hal meningkatkan kegiatan perekonomian. Perkembangan ekonomi justru memaksa perbankan untuk terus melakukan inovasi terutama ke ranah digitalisasi. Era digitalisasi telah menempatkan peran teknologi informasi dan komunikasi di pada posisi yang amat strategis karena menghadirkan suatu dunia tanpa batas, jarak, ruang, dan waktu, yang berdampak pada peningkatan produktivitas dan efisiensi. Pengaruh globalisasi dengan penggunaan sarana teknologi informasi dan komunikasi telah mengubah pola hidup masyarakat, dan berkembang dalam tatanan kehidupan baru serta mendorong terjadinya perubahan sosial, ekonomi, budaya, keamanan, dan penegakan hukum. Tingkat keamanan Bank Digital tersebut masih menjadi pertanyaan, bentuk pengawasan pada uji dan standar pelaksanaan dibutuhkan guna menghindari hal-hal yang dapat merugikan berbagai pihak. Penelitian ini akan menjawab permasalahan hukum untuk menemukan suatu solusi demi kepentingan nasabah yaitu, pertama Penelitian ini menggunakan metode penelitian hukum (doctrinal research) dengan pendekatan undang-undangan (statue approach) dan pendekatan konseptual (conceptual approach). Hasil penelitian ini menjelaskan bahwa Perlindungan nasabah atas layanan perbankan digital dapat dilakukan dengan mencegah atau menanggulangi keadaan yang tidak diharapkan nantinya oleh nasabah yang masih berdasarkan ketentuan perlindungan nasabah perbankan digital masih sama dengan perbankan konvensional. Upaya hukum nasabah pada bank digital tidak ada perbedaan dan sama seperti penyelesaian sengketa konsumen pada bank umum lainnya yang telah diatur. Pengembalian nilai kerugian terhadap nasabah bank digital masih mengacu pada ketentuan Pasal 7 huruf f UU Nomor 8 Tahun 1999 yang menjelaskan bahwa “pelaku usaha berkewajiban untuk memberi kompensasi, ganti rugi, dan/atau penggantian atas kerugian akibat penggunaan, pemakaian, dan pemanfaatan barang dan/atau jasa yang diperdagangkan.
