Abstract

This study examines the validity of share purchase and sale agreements in limited liability companies that have not yet obtained legal entity status. The issue arises because shares, as objects of corporate law, only come into existence after the company is registered with the Minister of Law and Human Rights and obtains proof of registration in accordance with Article 7(4) of the Limited Liability Companies Act, as amended by the Job Creation Law. The results of the discussion indicate that a share purchase and sale agreement entered into before the company obtains legal entity status does not yet result in a legal transfer of rights to the shares, but rather constitutes only an obligatory relationship between the parties. Therefore, legal protection must be ensured through legal certainty and the application of the principle of prudence.

Abstract

Necrophilia, or sexual intercourse with corpses, presents challenges in criminal law, particularly regarding its legal regulation. This study aims to analyze the legal gaps related to necrophilia in positive law in Indonesia following the enactment of Law Number 1 of 2023 concerning the Criminal Code. The research method used is a juridical-normative approach, using a statute approach, a case approach and a concept approach. The results indicate that the Indonesian legal system lacks legal certainty regarding the rules and legal standing of perpetrators of necrophilia. Therefore, this study recommends reforming criminal law in Indonesia to provide legal certainty without diminishing humanitarian values in handling perpetrators of crimes with deviant sexual preferences.

Abstract

This study examines the legal politics dynamics of the Constitutional Court (Mahkamah Konstitusi/MK) as an institution for resolving regional election (Pilkada) disputes in Indonesia in 2024, using Decision Number 69/PHPU.BUPXXIII/2025 concerning the electoral dispute in Pulau Morotai Regency as a case study. The study employs normative legal research with a statutory and case-based approach, supported by three theoretical frameworks: Montesquieu's separationof-powers (trias politica) theory, Mahfud MD's legal politics theory and Jürgen Habermas's deliberative democracy theory. Primary legal materials, comprising the Constitutional Court's decision and relevant legislation, are analyzed descriptively and qualitatively. The findings show that the Constitutional Court's authority over regional election disputes has undergone significant institutional change, from the transfer of authority through Decision Number 97/PUU-XI/2013 to its permanent consolidation through Decision Number 85/PUU-XX/2022. In Decision Number 69/PHPU.BUP-XXIII/2025, the Court declared the petition inadmissible because the petitioner failed to meet the vote-margin threshold under Article 158 paragraph (2) letter a of Law Number 10 of 2016, so that the Court's legal politics is reflected in the strict application of this formal filter without any examination of the substance of the alleged violations. The decision carries juridical implications for electoral legal certainty in Pulau Morotai Regency while raising questions about the balance between procedural efficiency and substantive justice from the standpoint of deliberative democracy.

Abstract

This article analyzes the different mechanisms for resolving gross human rights violations through the Human Rights Court under Law Number 26 of 2000 and the Aceh Truth and Reconciliation Commission under Aceh Qanun Number 17 of 2013. Using normative legal research with statutory and conceptual approaches, it finds that the two mechanisms do not conflict de jure because their powers, procedures and legal outputs are distinct. The Human Rights Court focuses on criminal accountability, whereas the Aceh TRC emphasizes truth-seeking, reparations and reconciliation. De facto, however, they continue to operate in parallel without protocols for data exchange, case referral, witness and victim protection and the implementation of reparations. Integration is scientifically necessary not to homogenize their mandates, but because victims’ rights to justice, truth, protection, recovery and guarantees of non-recurrence are interdependent. Without integration, victims face repeated testimony, data confidentiality risks, disconnected legal referrals and unimplemented recovery recommendations. An integrative model should therefore link the Aceh TRC, LPSK, Komnas HAM, the Attorney General’s Office, the Human Rights Court and government institutions while preserving institutional independence, victims’ consent, confidentiality and due process of law.

Abstract

This study aims to analyze the determination of defects of consent in land sale and purchase agreements based on Article 1321 of the Civil Code through a study of the Blitar District Court Decision No. 34/Pdt.G/2024/PN Blt. The study employs a normative legal method using both a statutory and a case-based approach. This study addresses this research gap by examining the Decision of the Blitar District Court Number 34/Pdt.G/2024/PN BLT using causation theory, presumption theory and relevance theory. The research focuses on determining the existence of defects of consent and their legal consequences for land sale and purchase agreements. The findings indicate that the court did not thoroughly assess the elements of defects of consent, placing greater emphasis on proving land ownership rights than on the causal relationship between defects of consent and the annulment of the agreement. As a result, the causal relationship between the existence of a defect of consent and the rescission of a land sale agreement has not been explicitly analyzed, so the legal basis for rescission under Article 1321 of the Civil Code has not been fully applied.

Abstract

Legal protection for women with mental disabilities who experience sexual violence in domestic settings requires both criminal accountability and victim recovery. This normative legal study applies statutory and case approaches to Decision Number 44/Pid.Sus/2022/PN Kng. Law Number 23 of 2004 on the Elimination of Domestic Violence is treated as the legal basis applicable to the case, while Law Number 3 of 2026 on Witness and Victim Protection, Law Number 20 of 2025 on the Criminal Procedure Code, Law Number 8 of 2016 on Persons with Disabilities and Law Number 12 of 2022 on Sexual Violence Crimes are used as current evaluative standards for victim protection. The findings show that the decision provided repressive protection through punishment and recognized the victim's vulnerability in the evidentiary assessment. However, the judicial reasoning did not expressly address the victim's rights and restitution, assistance, psychological rehabilitation and social recovery were not incorporated into the operative part of the judgment. Under the current legal framework, victim protection should include security, information, assistance, disability accommodation, restitution and sustained recovery.

Abstract

This study analyzes legal protection for human trafficking victims in Decision Number 1614/Pid.Sus/2021/PN Tng, using Law Number 21 of 2007 and Law Number 3 of 2026 on Witness and Victim Protection as a contemporary benchmark. Normative legal analysis shows that the decision punished the offenders but did not order restitution, rehabilitation, or victim recovery. Analysis of legal substance, structure and culture identifies weak recovery integration, limited coordination and an offender-centered orientation. The ratio decidendi satisfies legality but does not fully reflect substantive justice for victims. Therefore, strengthening victim protection and recovery mechanisms through the application of restitution, rehabilitation and more effective inter-agency coordination within the criminal justice process is essential.

Abstract

The non-consensual dissemination of indecent photographs through social media violates dignity and privacy and may cause psychological harm to victims. This normative legal research examines Decision Number 12/Pid.B/2025/PN.Tdn using statutory, case and conceptual approaches. The findings show that the defendant satisfied the elements of Article 45 paragraph (1) in conjunction with Article 27 paragraph (1) of the Electronic Information and Transactions Law applicable when the case was decided, as well as the requirements of criminal liability, namely capacity for responsibility, intent and the absence of grounds excluding liability. No new detention was ordered because the defendant was already serving another sentence and remained under state custody. From a victim-protection perspective, the sentence considered the harm suffered by the victim, but recovery remained incomplete because the judgment contained no restitution, content-removal order, psychological recovery measure, or specific measure to prevent further dissemination. The more recent standards under Law Number 3 of 2026 on the Protection of Witnesses and Victims reinforce the need for victim-oriented recovery in criminal adjudication.
