The scope of JHP is analytical, objective, empirical, and contributive literature on the dynamics and development of legal studies, specifically in Indonesia. JHP welcomes scientific papers on a range of topics from research studies, judicial decisions, theoretical studies, literature reviews, philosophical and critical consultations that are analytical, objective, and systematic. However, from a wide range of topics that researchers can choose from, JHP puts more attention to the papers focusing on the sociology of law, living law, legal philosophy, history of national law, customary law, literature studies, international law, interdisciplinary, and empirical studies. Abstract

In the franchise business, there are several aspects of IPR involved in it, such as trademark, copyright, patent either ordinary or simple, industrial design, and trade secrets. Each field of IPR has its own character and forms of legal protection that differ from one another, while the most basic aspects of IPR in the world of the franchise business, name brands and trade secrets. This study aims to analyze the correlation between aspects of Intellectual Property Rights and the franchise business format and which aspects of the IPR correlate with the format of the franchise business. The results show that the franchise agreement can be categorized as a principal agreement, involving the government, and the parties, while additional agreements, which are purely an agreement between the franchisor and the franchise, can be in the form of an agreement to maintain company secrets.

Abstract

If the value in the ethics of a particular profession is attributed to the property of that particular profession, then the judgment of a 'good faith' offense can only be traced through a mutual consensus agreed upon by those in the profession. However, in this case, the Researcher is not in a position to say an Advocate can not be convicted. The researcher is more respectful of the value that should be heard and raised surface on the hegemony of legal norms.

Abstract

The purpose of this study seeks to uncover the meaning of Law No. 19 of 2003 and Article 33 of the 1945 Constitution of the Republic of Indonesia, and identify the essence of the roles and functions of SOEs in implementing the economic constitution. The study of SOEs in the realm of constitutional economics is seen as very important as a reflection of the rapid change in national and global economic development. The findings of the study lead to the philosophical understanding of economic constitution for the Republic of Indonesia by the role of state companies in national economic development. The theoretical description of the results of this study contributes to the knowledge of political economy and political democracy. The benefits practically have implications for the practice of public management about the governance of state enterprises, as well as corporate management for SOEs or other state-owned companies.

Abstract

Transactions among ASEAN member countries are increasingly open with the release of the ASEAN Economic Community (MEA). Entrepreneurs in ASEAN countries are expected to make more transactions with their business partners in the Southeast Asian region. Increasing business relations in the ASEAN region will in part affect the increase in disputes among ASEAN entrepreneurs. This study aims to provide an idea regarding the establishment of the ASEAN Regional Arbitration Agency as an effort to overcome the issue of the execution of arbitration decisions by utilizing regional unification. This research is descriptive analytical using a normative juridical approach. The results of the study show that ASEAN should be a place for resolving international commercial disputes, especially on business transactions carried out in the ASEAN member countries, if ASEAN has a regional arbitration forum, the procedure for resolving business disputes in this region will be simpler, more effective and easier. Legal system barriers can also be overcome if there are procedures that are jointly recognized.

Abstract

Legal disputes between entrepreneurs and consumers are currently caused by several things, one of which is the inclusion of an exoneration clause. The inclusion of the clause has clearly contradicted Law Number 9 of 1999 concerning Consumer Protection and has detrimental to the rights held by the Consumer. In addition, in terms of the Agreement Law, the entreprenurs that includes the exoneration clause clearly does not heed the principle of good intentions by utilizing the weak position of the consumer. The violation of the rights held by consumers, consumers can claim compensation and sue the entrepreneurs through various legal remedies. given by law. In this study also will discuss the legal consequences and legal efforts that can be submitted by the Consumer for the application of the Exoneration Clause in an agreement. The research method that will be used in this research is normative juridical, namely the approach using various data sources such as articles of legislation, various legal theories, and scientific works of scholars. The data used in this study comes from secondary data and tertiary data collected in accordance with the object written. After that, all legal materials that have been collected are inventoried and identified according to the problems that have been formulated. The conclusion of this study is to provide a legal understanding to consumers who are disadvantaged by the inclusion of an exoneration clause and provide advice in the form of legal remedies that can be taken.

Abstract

This study aims to examine the theories, regulations, and practices at the commercial court in Indonesia regarding the possibility of charging director of limited liability companies (LLC, Perseroan Terbatas(PT)) with personal bankruptcy as a form of personal liability due to mismanagement causing the company to go bankrupt. This is an interesting issue to study because, in general, the rights and obligations of the company, and specifically LLC in this article, are separated from the rights and obligations of the directors. Therefore, the company’s liability cannot be requested upon its directors’ personal liability. Nonetheless, this general principle is revocable if the director makes an error which causes the company to go bankrupt. This study uses the normative (doctrinal) legal research method with statute approach, conceptual approach, and cases approach. The study results revealed that directors could be asked for personal liability if they create problems which lead to a company going bankrupt. The director's liability comes in the form of the obligation to file bankruptcy for the director him/herself. In this study, several cases were found that punished the director with the director's personal bankruptcy, like in the case of  personal bankruptcy of director  PT QSAR and  in the case personal bankruptcy of director of PT CHK.

Abstract

E-KTP Corruption is an organized crime that occurs in Indonesia. The corruption that has been established is to form an organized network due to the phenomenon "baystander effect" where it is a phenomenon of social psychology due to the loss of a sense of virginity to act to do something on an incident that Characterized by the interdependent nature of each other which eventually nothing moves one.  This research aims to prove the existence of a matter of silence because it is triggered by personal interests or "self-interest" of the persons involved until difficult to control by the State apparatus. This method of research refers to the reference of legislation, information submitted by the media, statements from politicians and bureaucracy officials, court decisions and also reference books. The results of the study showed that the corruption that ensnares the bureaucracy officials and the politicians in fact has also dragged corporations. Participating in the case of the persons in corruption cases of intertwining creates a crime that is organized in such a way to harm the country and cause millions of people to be injured in the sleep. When they feel benefited over this corruption case then they choose silence, this is the phenomenon called "baystander effect" thus complicating the investigation in dismantling this corruption case.

Abstract

AbstractThe problem of judicial review of regional regulations in the Supreme Court is a serious academic and practical issue that needs to be resolved after the issuance of the decision of the Constitutional Court Number 137 / PUU-XIII / 2015. There are two problems in this paper, first, the legal implications of the Constitutional Court Decision Number 137 / PUU-XIII / 2015 on institutional and legal procedures for judicial review of regional regulations in the Supreme Court, secondly, how is the concept of the Supreme Court judicial review carried out through renewal of procedural law Trial Judicial Review in the Supreme Court? Based on the discussion above, we can conclude two things, first, the legal implications of the Constitutional Court Decision Number 137 / PUU-XIII / 2015 on the institutional and legal procedures for judicial review of regional regulations in the Supreme Court are the stronger and increasing authority of judicial review in Supreme Court. This decision ended the dualism of review of local regulations from judicial review by the Supreme Court and executive review of regional regulations by the Ministry of Home Affairs to only a judicial review by the Supreme Court, also potentially increasing the number of cases of judicial review in the Supreme Court. Second, the concept of the implementation of a judicial review by the Supreme Court is carried out through legal renewal of the judicial review proceedings in the Supreme Court by including several important substances, related to hearings that are open to the public, the existence of a preliminary examination, hearing, verdict and decision making that are more open and fair.Keywords: Regional Regulation, Judicial Review, and Reformation  ABSTRAKProblem judicial review Perda di Mahkamah Agung menjadi persoalan akademik dan praktikal serius yang perlu dipecahkan pascakeluarnya putusan Mahkamah konstitusi Nomor 137/PUU-XIII/2015. Terdapat dua masalah dalam tulisan ini, pertama, implikasi hukum Putusan Mahkamah konstitusi Nomor 137/PUU-XIII/2015 terhadap kelembagaan dan hukum acara judicial review perda di mahkamah agung, kedua, bagaimanakah konsep pelaksanaan judicial review perda oleh mahkamah agung dilakukan melalui pembaharuan hukum acara persidangan judicial review di mahkamah agung?. Berdasarkan pembahasan di atas maka dapat disimpulkan dua hal , pertama, implikasi hukum Putusan Mahkamah konstitusi Nomor 137/PUU-XIII/2015 terhadap kelembagaan dan hukum acara judicial review perda di mahkamah agung adalah semakin kuat dan meningkatnya kewenangan judicial review di mahakamah agung. Putusan ini mengakhiri dualisme review perda dari judicial review oleh MA dan executive review perda oleh kemendagri menjadi hanya judicial review oleh Mahkamah Agung, juga berpotensi meningkatkan jumlah perkara judicial review perda di mahkamah agung. Kedua, konsep pelaksanaan judicial review perda oleh mahkamah agung dilakukan melalui pembaharuan hukum acara persidangan judicial review di mahkamah agung dengan memasukan beberapa substansi penting, terkait sidang yang terbuka untuk umum, adanya proses pemeriksaan pendahuluan, pemeriksaan persidangan, pembuktian dan pengambilan putusan yang lebih terbuka dan fair.Kata Kunci : Peaturan Daerah, JudicialReview, dan Pembaharuan.

Abstract

This paper aims to reassess the term “elected democratically” in Article 18 (4) of Indonesia’s revised 1945 Constitution which resulted in the competing interpretation over the appropriate method for selecting heads of regional governments in Indonesia. In fact, the flexibility of such a term was challenged and negotiated to formulate an appropriate mechanism to select heads of regional governments. In 2004, the Constitutional Court concluded that the legislative body was the ultimate institution to interpret “elected democratically” so that this institution can opt whether a regional head election or an indirect election to define such a term. While the regional head election was applied, including its dispute settlements over electoral results to the Constitutional Court, this Court considered a different argument. In 2013, the Constitutional Court reinterpreted such an article by highlighting that the regional head election should be exempted from the general election subjected to Article 22E (2) of 1945 Constitution. In 2014, President Yudhoyono’s rejection from his agreement after the enactment of the Selection of Heads of Regional Governments Bill put further juridical contentions in which the President finally revoked the adoption of the regional head voting by the Regional People’s Representative Council or Dewan Perwakilan Rakyat Daerah (DPRD). As a consequence, the regional head election has been re-adopted and this regional election has remained to be expected to improve the performance of local democracy. The introduction of this direct election model at the regional level, however, questions the important role of political parties because the adoption of this election was substantially to answer public distrust against them. In particular, the debate whether political parties work becomes intense after non-party candidates are allowed to contest to this election.

Abstract

AbstrakKonsep subjek hukum adalah salahkonsep inti dalam hukum. Dalam teori tradisional, konsep ini hanya dimaknai hanya berkaitan dengan hak dan kewajiban belaka. Sementara Hans Kelsen melihat bahwa ada persoalan kuasa dalam hak dan kewajiban. Namun, kuasa ini bukanlah kuasa terutama dalam konsep subjek hukum, karena menurut teori tradisional, ada kuasa di baliknya yang menentukan sesuatu itu adalah subjek hukum yang memiliki kuasa hak atau tidak. Relasi antarkuasa ini berpotensi tidak adil, dan bahkan berpotensi menjadi jahat, karena secara potensial ada manipulasi berbaur fiksi atas nama keyakinan agama atau pandangan sosial tertentu, sehingga si penguasa ini dapat menentukan sesuatu itu adalah subjek hukum yang memiliki kuasa atau tidak. Jikalau tidak memiliki kuasa, maka sanksi akan disiapkan untuk menghukum perilaku yang dianggap menyimpang. AbstractThe concept of legal subject is one of the core concepts in law. In traditional theory, this concept is only interpreted in its relation to the rights and obligations. While Hans Kelsen sees that such concept is related to power in rights and obligations. However, this power is not the supreme power in the concept of legal subjects, because according to traditional theory, there is another power behind it which determines the existence of a legal subject whether it has power or not. This power relation is potentially unfair, and even vicious, because there is plausible manipulation mixed with fiction in the name of a religious belief or a social view, hence such power can determine whether a legal subject has power or not. If it has no power, then sanctions will be defined to punish certain behavior that is considered socially improper.
