Abstract

Corporate takeover or acquisition is a legal act performed by a legal entity or naturalperson to take over the company's shares , by way of purchase of shares or in part or in fullfrom the assets of the company company . Acquisition can be forced to occur ( unfriendlytakeover / hostile takeover ) and voluntary / friendly ( friendly takeover ) . The acquisitionhas several advantages that companies still use the old name and does not require a licensefor a new business . The method used in this paper is the normative method . Due to thelegal status of the company's acquisition of the company being taken over control of thecompany is switching of shares taken over , while the legal consequences of the status ofworker liability company that was taken over is not terminated unless agreed otherwise inthe takeover agreement , the working relationship between workers and employers will endif one party does not want anymore to cooperate with other parties.

Abstract

Mertha Suci is a company in Bangli which is run in food sector, expeditions, andthe arts. All of the company must gives legal protection to all its labor. Legal protection oflabor is protection so that the workers can do a decent job for humanity.The type ofresearch is field research and library researchForm of legal protection that has beencarried out in accordance with the terms are 1) Serve nutritious food and drink and bonusfor workers overtime, 3)Provide a break or leave for its workers, and 4) Give first aidfacilities. While, form of legal protection that has Number been carried out are 1) HaveNumber provide the shuttle transportation for the labor and 2) Have Number the differenttoilet for ladies and gentleman. Things that inhibit the implementation of the legalprotection are the economic orientation of the entrepreneur, the labor who are concernedwith the financial without think about the health and safety, and the absence of laws thatclearly addresses the legal protection for workers with physical disabilities, especiallyregarding the protection of wages.

Abstract

Penulisan karya ilmiah ini membahas tentang pemutusan hubungan kerja terhadap tenaga kerja kontrak sebelum berakhirnya perjanjian kerja waktu tertentu. Latar belakang diangkatnya permasalahan ini dikarenakan dalam hubungan kerja biasanya terjadi pemutusan hubungan kerja, yang dalam hal ini dialami oleh tenaga kerja kontrak yang pemutusan hubungan kerjanya terjadi sebelum berakhirnya perjanjian kerja waktu tertentu. Tujuan dari karya ilmiah ini untuk mengetahui ketentuan yuridis pemutusan hubungan kerja terhadap tenaga kerja kontrak sebelum berakhirnya perjanjian kerja waktu tertentu. Karya ilmiah ini menggunakan metode penelitian hukum normatif. Kesimpulan yang dapat ditarik dalam pembahasan ini yaitu dalam Pasal 62 Undang-Undang Nomor 13 Tahun 2003 tentang Ketenagakerjaan telah diatur apabila salah satu pihak mengakhiri hubungan kerja sebelum berakhirnya perjanjian kerja waktu tertentu, pihak yang mengakhiri hubungan kerja diwajibkanmembayar ganti rugi kepada pihak lainnya sebesar upah pekerja/buruh sampai batas waktu berakhirnya jangka waktu perjanjian kerja.Kata Kunci: Pemutusan Hubungan Kerja, Tenaga Kerja Kontrak, Perjanjian Kerja Waktu Tertentu

Abstract

Dewasa ini kebutuhan manusia sangatlah beraneka ragam dan tingginya biaya hidup manusia. Sehingga dalam mendapatkan biaya untuk memenuhi kebutuhan hidup mereka dapat dengan meminjam uang di Bank, koperasi, maupun orang lain. Rumusan masalah dalam jurnal ini adalah bagaimana tanggung jawab penjamin kepada kreditur apabila debitur tidak dapat memenuhi prestasinya dan bagaimana upaya penyelesaian kredit apabila debitur tidak dapat memenuhi prestasinya kepada kreditur. Penelitian ini menggunakan metode penelitian normatif. Hasil analisis menunjukan bahwa penjamin tidak bertanggung jawab secara mutlak karena terdapat jaminan kredit antara kreditur dan debitur, serta upaya penyelesaian kredit bermasalah dapat dilakukan melalui tiga tahapan yaitu penjadwalan kembali, persyaratan kembali, dan penataan kembali. Kata Kunci : Tanggung Jawab, Kredit, Penjamin, Debitur, Kreditur

Abstract

IPR (Intellectual Property Rights) is described as property rights are born ashuman intellectual abilities. Indonesia has a biological resource that is a sourceof germplasm and can be used to assemble high-yielding varieties that stronglysupports the future development of the agricultural sector. In connection with therampant piracy of plant varieties that formed the Law No. 29 Year 2000 regardingPlant Variety Protection. This paper aims to explain how to determine theuniformity requirement of a new crop varieties and legal protection of plantbreeders over plant varieties produced in accordance with Law No. 29 of 2000with normative legal research methods in this paper have a conclusion how todetermine the uniformity requirement of a new crop varieties with the petition file,the discovery proves novelty properties, properties of new crop varieties privilegeand legal protection to plant breeders over plant varieties produced are of specialprotection rights.

Abstract

Agreement is a an activity commonly conducted by society to initiate term and condition regarding trade activity, lending and others business activity. Agreement could be conducted verbally and written. Verbal agreement also commonly known as gentlemen agreement conducted in traditional society to conservatively bonding the commitment between one party to another party. Meanwhile the written agreement were conducted by the modern society regarding business matter with sophisticated legal system. The discussion in these research will show the commitment that bond a agreement. The purposeof this literature to acknowledge the commitment capacity of the verbal agreement that made by stake holder. The method that will used in these research is Normative method, in which we will focused on the legal Principe also to analyze the written laws. In the practice the verbal agreement is a agreement that had to be fulfilled by the stakeholder due to the dealing term that already made by the stake holder. With strong legal basis the stakeholder were expected to fulfill the right and obligation from what already been committed.

Abstract

The background of this writing in a company bankruptcy caused thetermination of employment relationships (LAYOFFS) and of course give rise tobarriers to the Curators in the fulfillment of rights – the rights of workers. In the caseof a company that is experienced in bankruptcy, labor should have precedence ofpayment, wages of workers often occur unnoticed by Curators. The purpose of thiswriting is to know the responsibility of the curator on manpower in – LAYOFFS in alimited liability company that was declared bankrupt. So from that research will bediscussed regarding the barriers – barriers that will be faced by curators in takingcare of and deal with property in bankruptcy related to the wage labor is in – layoffsand the responsibility of the curator of the workforce at the company's bankrupt onLAYOFFS –. In this study the juridical normative research methods used to comparethe provisions of laws – an invitation to the Laws Number 37 of 2004 aboutbankruptcy and Suspension of payment with the Laws Number 13 Year 2013 aboutEmployment. Conclusion in this writing to know the barriers – barriers curator intaking care of and deal with property in bankruptcy and to determine theresponsibility of the curator of the workforce laid off at a limited liability companythat was declared bankrupt.

Abstract

Mediation is the one of the dispute resolution that do by a third party which is calledas mediator. The use of mediation have to done first when it conducted in the first trial ofcivil case and it aimed at resolving the civil case appropriate trilogy principles of justiceand reduce the cumulate of civil case in court. The result can be shape consent judgmentand amicable agreement. The purpose of this paper is knowing how far the power of lawresolved through mediation. Metrology supervision and consumer protection should involve all parties that have arealionship and the interdependence of consumers as users of the goods or services of the worldas a producer. Purpose of this paper is to investigate the implementation of control metrologyentreoreneurs who commit fraud in official authority measuring instruments and industrial andtrade Bali is in giving legal sanction to offenders who commit fraud in measuring devices.Method in this research is to use the type of research that is empirical juridiction toconceptualize an empirical phenomenon that can be observed in real life. Of this study is thework done by the department of industrial and trade Bali is a measuring tool for tackling fraudis by monitoring is carried out properly, so as to provide protection to consumers and service ofindutrial and trade Bali is not authorized to impose sanctions on offerders attempt to commitfraud. Department of industrial and trade Bali province that has limite functions provideoversight and guidance.

Abstract

Penulisan ini membahas tentang hubungan hukum antara induk perusahaan dengan anak perusahaan, dan tanggungjawab induk perusahaan sebagai penanggung utang anak perusahaannya saat terjadi wanprestasi dalam suatu perjanjian kredit. Permasalahan yang terjadi bahwa ketentuan mengenai hubungan hukum antara induk perusahaan dengan anak perusahaan dalam perusahaan grup belum diatur secara jelas dan cermat, sehingga menimbulkan suatu persoalan hukum saat anak perusahaan melakukan perjanjian kredit dengan bank. Tujuan penelitian ini untuk memahami dan mengerti tentang hubungan hukum induk perusahaan dengan anak perusahaan dalam perusahaan grup dan untuk mengetahui tanggungjawab induk perusahaan sebagai penanggung ketika anak perusahaannya melakukan wanprestasi dalam perjanjian kredit. Metode yang digunakan dalam penelitian ini adalah penelitian hukum normatif dengan menggunakan pendekatan perundang-undangan dan pendekatan konseptual. Hasil penelitian menunjukan bahwa hubungan hukum induk perusahaan dengan anak perusahaan memiliki kedudukan yang mandiri, dimana induk perusahaan sebagai pemilik saham dari anak perusahaan. Ketika anak perusahaan wanprestasi dalam perjanjian kreditnya, induk perusahaan sebagai penanggung dapat dimintakan pertanggungjawaban sesuai dengan perjanjian yang telah disetujui dengan pihak bank. Kata Kunci: Tanggungjawab, Induk Perusahaan, Anak Perusahaan, Penanggungan
