Abstract

This paper examines the legal paradox posed by the statutory finality of court orders authorizing the convening of General Meetings of Shareholders (GMS) under Article 80 (6) of Law No. 40 of 2007. Although the provision declares such orders is “final and has permanent legal force,” interpretive tension emerges where an order is issued ex parte in violation of the fundamental contradictory principle — notably audi et alteram partem — and subsequently annulled by the Supreme Court. Employing statutory, conceptual, and case-analysis approaches, the study analyzes the legal consequences of the landmark dispute concerning a GMS convened pursuant to District Court Order No. 1759/Pdt.P/2019/PN Sby, subsequently declared invalid ex post facto by Supreme Court Judgment No. 3241 K/PDT/2022. The inquiry contends that statutory finality is conditional rather than absolute, asserting that an order procured through procedurally defective proceedings is devoid of substantive legitimacy and may therefore be lawfully overturned. The Supreme Court’s annulment confirms that finality depends on observance of procedural guarantees and that annulment operates ex tunc, rendering resolutions adopted under the flawed Order void ab initio and stripping attendant notarial instruments of executorial force — with significant implications for corporate governance, registry practice, and the balance between legal certainty and due process.

Abstract

The principles of Good Corporate Governance (GCG) have become an essential foundation for ensuring business sustainability, stakeholder trust, and competitiveness in modern corporate practices. In Indonesia, the urgency of implementing GCG has increased following corporate scandals that revealed weaknesses in transparency, accountability, and oversight, often resulting in costly business disputes. This study aims to analyze the role of GCG in both preventing and resolving business disputes in Indonesian companies. Using a qualitative method with a systematic literature review, the research integrates findings from scholarly articles, regulatory documents, and case studies. Data were examined through thematic content analysis to identify patterns and relationships between governance practices and dispute outcomes. The results indicate that companies with strong GCG are significantly more effective in dispute prevention and resolution through mechanisms such as arbitration and mediation, thereby minimizing reliance on lengthy litigation. Case studies of PT Bank Century and PT Jiwasraya highlight how governance failures escalated disputes, while examples from PT Telkom illustrate the benefits of transparency and fairness in enabling constructive settlement. The findings suggest that GCG serves a dual role: as a preventive shield reducing the likelihood of disputes and as a dispute-resolution framework ensuring efficiency and fairness when conflicts arise. This study contributes to both academic discourse and practical policy recommendations, emphasizing that GCG is not merely regulatory compliance but a strategic necessity for corporate resilience and sustainable growth in Indonesia.

Abstract

Keadilan restoratif merupakan paradigma baru dalam sistem hukum modern yang menempatkan pemulihan relasi sosial dan tanggung jawab moral pelaku sebagai inti keadilan, bukan sekadar pembalasan pidana. Penelitian ini bertujuan untuk menganalisis pendekatan teoritis dan praktik penerapan keadilan restoratif dalam kerangka hukum kontemporer dengan fokus pada transformasi nilai-nilai hukum menuju sistem yang lebih manusiawi dan berkeadilan sosial. Metode penelitian menggunakan pendekatan normatif-yuridis dan komparatif dengan menelaah teori hukum, peraturan perundang-undangan, serta praktik penerapan di berbagai yurisdiksi. Hasil penelitian menunjukkan bahwa keadilan restoratif memiliki efektivitas tinggi dalam menurunkan angka pengulangan kejahatan, meningkatkan kepuasan korban, dan memperkuat kohesi sosial. Implementasinya di Indonesia mulai berkembang melalui berbagai kebijakan nasional, namun masih menghadapi kendala struktural, budaya hukum retributif, dan ketidaksiapan kelembagaan. Penelitian ini menegaskan bahwa keadilan restoratif perlu diintegrasikan secara sistematis dalam sistem hukum nasional melalui penguatan regulasi, kapasitas kelembagaan, dan kesadaran sosial, agar tercipta hukum yang substantif, partisipatif, dan berkeadilan bagi semua pihak

Abstract

ABSTRAK Prinsip Most Favoured Nation (MFN) merupakan prinsip sentral dalam General Agreement on Tariffs and Trade (GATT 1994). Sebagai negara anggota WTO, Indonesia memiliki kewajiban untuk mematuhi ketentuan yang ada dalam GATT 1994. Pada tahun 2018, Pemerintah Indonesia mengeluarkan kebijakan bea masuk tindakan pengamanan berdasarkan hasil penyelidikan Komite Pengamanan Perdagangan Indonesia. Dalam hasil penyelidikan tersebut terbukti telah terjadi lonjakan impor dan ancaman kerugian serius terhadap industri dalam negeri. Penerapan kebijakan bea masuk tindakan pengamanan tidak sejalan dengan prinsip MFN namun GATT 1994 mengakui beberapa pengecualian terhadap prinsip MFN. Penulisan ini bertujuan untuk mengetahui apakah bea masuk tindakan pengamanan yang dikeluarkan oeh Pemerintah Indonesia konsisten dengan GATT 1994. Penelitian ini dilakukan dengan metode yuridis normatif berdasarkan peraturan-peraturan hukum, yaitu dengan meninjau Peraturan Menteri Keuangan Nomor 119 Tahun 2018 tentang Pengenaan Bea Masuk Tindakan Pengamanan Terhadap Impor Ubin Keramik dengan GATT 1994. Abstract

General Background: The delegation of Indonesia's Flight Information Region (FIR) over the Riau Islands and Natuna to Singapore has raised concerns about national sovereignty and international law. Specific Background: The Chicago Convention asserts that countries have complete sovereignty over their airspace, but Indonesia’s FIR management by Singapore challenges this principle. Knowledge Gap: The potential risks to sovereignty and security arising from this delegation have not been fully addressed. Aims: This study analyzes the implications of FIR delegation on Indonesia’s sovereignty and security, proposing steps for regaining control. Results: The study finds that Singapore's role is administrative, not a transfer of sovereignty, though it creates security risks. Novelty: The analysis offers new insights into the legal and strategic implications of FIR management. Implications: Recommendations focus on modernizing air navigation infrastructure and strengthening Indonesia's sovereignty. Highlights: Delegation of FIR to Singapore raises concerns over Indonesia's airspace sovereignty. The Chicago Convention ensures full sovereignty over airspace, yet the delegation remains an administrative issue. Abstract

This article examines the validity of the undergraduate diploma of Indonesia’s 7th President, Joko Widodo, within the context of defamation offenses under Indonesian criminal law. The main focus of this study is to analyze whether allegations of diploma forgery disseminated to the public can be classified as defamation, and to explore the evidentiary mechanisms in such cases. The research adopts a normative juridical approach by analyzing relevant legislation, including the Indonesian Penal Code (KUHP) and the Electronic Information and Transactions Law (ITE Law), as well as reviewing the law enforcement processes involving allegations against public officials. The findings indicate that accusations directed at the President concerning a forged diploma may constitute defamation if not supported by valid evidence. The evidentiary process in such cases involves official documents, testimonies from related parties, and digital traces of the dissemination of the allegations. This study also provides recommendations for more transparent and prudent law enforcement in addressing defamation cases in the digital era.
