Abstract

Law No. 11, 2020 concerning Job Creation was enacted with the objectives to increase the business climate and to open as many as possible job opportunity. In the regulation, it is recognized a new form of company that is individual company of micro and small business. This business can be founded by an individual who owns the company’s shares. It certainly raised questions considering that limited company and the small business are two different things. This writing will discuss about the potential conflict of interest and violation of the principle of accountability in managing an individual company. The method used in this research was juridical normative with statute and conceptual approaches. The research specification was descriptive analytical. The research found that the Job Creation Act stipulation on the establishment of individual small business as an individual company is incorrect. When a particular company can be established by an individual who owns all the shares, it can create a huge conflict of interest. It surely can make the company so untransparent that the decisions made by the organ of the company to be subjective. In addition, it can make the organ of the company difficult in carrying out its duties in accordance with its duties and responsibilities. Keywords: Omnibus Law, Individual Company

Abstract

Registering and protecting Beras Pandanwangi CIANJUR aims to avoid counterfeit product. Protected Geographical Indications are a relevant and effective tool to showcase the quality of the products, protect their names and reputations, and develop profitable market. A Book of Specification of Geographical Indications as the main requirement of registration decribes the good and the production methods. the registration system is first to file. Inter professional organization of Beras Pandanwangi CIANJUR which bring together all kind of operators such farmers, processors and traders contribute all the information into the book, submit and manage the registration.  The result revealed that the Geographical Existing rules (Peraturan Pemerintah Nomor 51 Tahun 2007 Tentang Indikasi Geografis) only determine standards of information. Due to technical constrains and lack of cultural documentation, it is need to set up a technical  standardization how to fiil in the information. The effort shall begin with strategic planning by local government by forming the Inter Professional organization (MPIG) of Beras Pandanwangi Cianjur and distributing task according to their competencies.Keyword: Book, Specification, Geographical Indications, Pandanwangi. ABSTRAKBelum terdaftarnya Beras Pandanwangi Cianjur di Dirjen HKI sebagai produk yang berkarakteristik Indikasi Geografis, mengakibatkan penegakkan hukum terhadap praktik-praktik pemalsuan produk tersebut sulit dilakukan. Kendala teknis dan kurangnya budaya pendokumentasian menyebabkan terhambatnya penyusunan Buku Persyaratan yang merupakan prasyarat Pendaftaran Hak Indikasi Geografis. Untuk itu, perlu ditemukan langkah-langkah penyusunan Buku Persyaratan melalui permasalahan apakah terdapat standarisasi dalam penyusunan Buku Persyaratan dan bagaimana langkah penyusunan Buku Persyaratan Beras Pandanwangi Cianjur. Penelitian ini menggunakan metode yuridis normatif dengan spesifikasi deskriptif analitis. Hasil penelitian mengungkapkan bahwa Peraturan Pemerintah Nomor 51 Tahun 2007 Tentang Indikasi Geografis baru mengatur standarisasi uraian yang harus dimuat dalam Buku Persyaratan sementara standarisasi teknisnya belum diatur. Langkah penyusunan Buku Persyaratan Indikasi Geografis diawali dengan penyusunan renstra oleh Pemerintah Kabupaten Cianjur dan dinas terkait untuk membentuk lembaga Masyarakat Perwakilan Indikasi Geografis (MPIG) dan distribusi tugas untuk mengisi uraian Buku Persyaratan sesuai kompetensinya.Kata Kunci: Buku, Persyaratan, Indikasi Geografis, Pandanwangi.

Abstract

Perbuatan curang dalam penggunaan produk Indikasi Geografis masih terjadi dalam banyak kasus. Pada dasarnya Indonesia telah memiliki perangkat peraturan berupa Peraturan Pemerintah Nomor 51 tahun 2007 tentang Indikasi Geografis yang ditujukan salah satunya untuk mencegah terjadinya perbuatan curang dalam penggunaan produk Indikasi Geografis. Akan tetapi, perbuatan curang dalam penggunaan produk Indikasi geografis belum dapat dikenai oleh aturan hukum apabila produk Indikasi Geografis tersebut belum didaftarkan ke Dirjen HKI. Abstract

The purpose of this research is to examine the adequacy of laws and regulations governing investment implementation by the Savings and Credit Cooperative (KSP) and formulate legal constructs related to the determination of investment interest rates by KSP through the regulations of the Indonesian Deposit Insurance Corporation (IDIC/LPS) concerning the Determination of the Deposit Insurance Interest Rate in the form of IDIC Regulation (Surat Edaran). The research method uses a normative juridical approach, descriptive-analytical research specifications, the systematic interpretation and the legal construction of analogy. The results showed that the statutory regulations governing investments made by KSP were insufficient, especially in the section relating to the determination of investment interest rates. There were still many KSPs that set high interest in their investment programs. Law Number 11 of 2020 concerning Job Creation and Government Regulation Number 7 of 2021 concerning Ease, Protection, and Empowerment of Cooperatives and Micro, Small and Medium Enterprises also does not accommodate provisions regarding investment programs that KSP can carry out. It is feared that several new provisions in the two regulations will lead to high-interest investment practices by KSP that prioritize the interests of their institutions over the welfare of members. Through the analysis of legal construction, it was found that the IDIC Regulation (Surat Edaran) regarding the Determination of the Deposit Insurance Interest Rate at Commercial Banks and Rural Banks can be used as a reference by the Ministry of Cooperatives and SMEs to encourage KSP to set investment interest rates fairly. Tujuan penelitian ini adalah untuk mengkaji kecukupan peraturan perundang-undangan yang mengatur tentang penyelenggaraan investasi oleh Koperasi Simpan Pinjam (KSP) dan merumuskan konstruksi hukum terkait penetapan suku bunga investasi oleh KSP melalui peraturan Lembaga Penjamin Simpanan (LPS) tentang Penetapan Tingkat Bunga Penjaminan Simpanan dalam bentuk Surat Edaran LSP. Metode penelitian menggunakan pendekatan yuridis normatif, spesifikasi penelitian deskriptif analitis dan metode analisis data yang digunakan adalah penafsiran sistematis dan konstruksi hukum analogi. Hasil penelitian menunjukkan bahwa peraturan perundang-undangan yang mengatur mengenai investasi yang dilakukan KSP tidak cukup memadai khususnya pada bagian yang berkaitan dengan penetapan suku bunga investasi sehingga masih banyak KSP yang menetapkan bunga tinggi dalam program investasinya. Undang-Undang Nomor 11 Tahun 2020 tentang Cipta Kerja dan Peraturan Pemerintah Nomor 7 Tahun 2021 tentang Kemudahan, Perlindungan dan Pemberdayaan Koperasi dan Usaha Mikro Kecil dan Menengah, juga tidak mengakomodasi ketentuan tentang program investasi yang dapat dilakukan KSP. Beberapa ketentuan baru dalam kedua peraturan tersebut dikhawatirkan memunculkan banyak praktik investasi berbunga tinggi oleh KSP yang lebih mengutamakan kepentingan lembaganya dibandingkan kesejahteraan anggota. Melalui analisis konstruksi hukum, ditemukan bahwa Surat Edaran Lembaga Penjamin Simpanan (LPS) tentang Penetapan Tingkat Bunga Penjaminan Simpanan pada Bank Umum dan Bank Perkreditan Rakyat dapat dijadikan rujukan oleh Kementerian Koperasi dan UKM untuk mendorong KSP dalam menetapkan suku bunga investasi secara wajar

Abstract

The principle of responsibility as one of the principles of GCG is reflected in the Company Law that every company may not carry out activities that are contrary to the law. This responsibility principle is also applied to companies engaged in the capital market. Financial planning companies are companies whose activities are connected to the capital market and can support the capital market. However, the regulations regarding financial planners have not been specifically regulated in statutory provisions. The existence of a legal vacuum regarding financial planners is used as an opening to commit violations by one of the financial planning companies so that it results in losses for consumers. This study used a normative juridical approach using a descriptive analytical research specification. The data collection technique used is through literature study using laws, books, journals and the internet related to the topic of the problem which will later be used as a reference for solving problems as part of data analysis. The analytical method used legal construction through the analogy method which is used to find specific provisions that become general provisions so that they can be applied to financial planning companies. The conclusions obtained from this research are: First, the regulation regarding financial planners in Indonesian laws and regulations has not been specifically and specifically regulated so that the existence of financial planners has not received legal certainty. Second, responsibility for financial planning companies providing investment programs that harm consumers can be subject to administrative, civil and criminal sanctions.

Abstract

The complexity of fintech lending practice has resulted in two problems: first: the regulation of illegal fintech, and second: the corporate liability of illegal fintech lending in terms of consumer protection in the case of PT Vega Data Indonesia. This research uses normative judicial methods by analyzing the laws related to the practice of fintech lending and aimed at illegal fintech lending corporates. The research has found that: first, rules and regulations on illegal fintech lending corporate cannot be found in any Indonesian laws. There has been no sufficient rules and regulations to settle illegal fintech lending problems and this disadvantages consumers. Therefore, special regulations on illegal fintech lending corporation must be set up immediately. Second, both civil and penal liability were imposed on illegal fintech lending corporate PT Vega Data Indonesia through systematic legal interpretation method based on corporate criminal liability doctrine. It is expected that this research may contribute to the efforts to handle illegal fintech lending cases through corporate liability in order to support the attempts of legal protection for customers.Bahasa Indonesia Abstrak: Kompleksitas penyelenggaraan fintech lending menimbulkan permasalahan, yaitu: pertama, pengaturan korporasi fintech lending ilegal dalam hukum positif Indonesia. Kedua, tanggung jawab korporasi fintech lending ilegal dalam perspektif perlindungan konsumen pada kasus PT Vega Data Indonesia. Metode penelitian secara yuridis normatif dengan menganalisa peraturan perundang-undangan yang berkaitan penyelenggaraan fintech lending serta dihubungkan dengan kasus korporasi fintech lending ilegal. Hasil penelitian menyimpulkan: pertama, dalam hukum positif Indonesia tidak ada yang mengatur mengenai korporasi fintech lending ilegal. Aturan-aturan terkait fintech lending belum cukup mengakomodir dan menyelesaikan permasalahan penyelenggaraan fintech lending ilegal yang mengakibatkan lemahnya perlindungan terhadap konsumen, sehingga perlu pembentukan undang-undang secara khusus yang mengatur korporasi fintech lending ilegal. Kedua, selain tanggung jawab secara perdata, tanggung jawab pidana juga dibebankan kepada korporasi fintech lending ilegal PT Vega Data Indonesia melalui metode penafsiran hukum sistematis dan mengacu pada doktrin pertanggungjawaban pidana korporasi. Hasil penelitian ini diharapkan memberi kontribusi terhadap upaya penanganan perkara fintech lending ilegal melalui penerapan pertanggungjawaban pidana korporasi agar dapat memberikan perlindungan hukum yang berkeadilan bagi konsumen.

Abstract

Abstract: The Board of Directors is an organ of the company responsible for the performance of the company, which in its duties must adhere to fiduciary duties, duties of skill and statutory duties. The purpose of this research is First, to review the responsibility of the board of directors of PT. Asabri against high-risk investments based on the laws and principles of Sharia economic law, Second, to review sanctions against violations of the principle of responsibility committed by the board of directors of PT. Asabri for high-risk investments. The method used in this research is normative juridical, analytical descriptive research specification with systematic interpretation data analysis method. The results of this study concluded. First, the responsibility of the board of directors of PT. Asabri is a personal responsibility, and responsibility in a rented way with members of the board of directors of PT. Asabri because of his negligence and indiction violated the principle of responsibility and violated the principle of Sharia economic law, thereby harming the company and having to reimburse a certain amount of losses. Second, sanctions against violations of the principle of responsibility, namely civil sanctions based on articles 1365 and 1366 of the Criminal Code, and criminal sanctions if the actions of the directors do not comply with the principle of responsibility can be ensnared with articles 398 and 399 of the Criminal Code.

Abstract

Abstract: This research is based on landslide that happened in Bojong Kondang village, Cimanggung sub-district, Sumedang regency; due to reckless development in sloping land. There are various permits and codes that need to be fulfilled and followed before a housing construction company builds constructions especially on a hillside as water catchment area. The company should adhere precautionary principle and applies a proper drainage system. This study aims to review Islamic law and national legislation regulate housing construction activities in water catchment areas. The other aim is to examine the responsibility of the company that caused landslides due to Cihanjuang Regency drainage construction. The study applied normative legal method and analytical descriptive specifications. The collected data in form of primary and secondary data were analyzed with systematic interpretation. This research concluded that according to the positive law, any company whose project is on sloping area should adhere the spatial zoning, take into consideration the geographical conditions and soil stability of the area. Both national and Islamic law stated that the company should guaranties and provides safety, benefit, and advantages for the people and environment. For the damage and casualties caused by the construction related landslide, the company is responsible to compensate the loss to the victims. In case the total payment exceeds the company’s assets, the company board of director shall compensate from personal assets if it is proven that there is an element of negligence in the decision making.Abstrak: Penelitian ini didasarkan pada kejadian longsor di Kampung Bojong Kondang, Kecamatan Cimanggung, Kabupaten Sumedang yang menyebabkan kerugian bagi masyarakat kampung tersebut. Longsor tersebut dipicu oleh ketidak-hati-hatian developer perumahan yang tengah melakukan pembangunan drainase di lahan miring. Penelitian ini bertujuan pertama untuk menelusuri ketentuan perundang-undangan dan Hukum Islam tentang pembangunan perumahan di lahan dengan kemiringan tertentu dan kawasan resapan air. Kedua, untuk mengkaji bagaimana pertanggung jawaban developer atas pembangunan drainase yang berdampak pada terjadinya longsor pada perumahan Cihanjuang Regency. Metode yang digunakan dalam penelitian ini adalah yuridis normatif, dengan spesifikasi deskritif analitis, yang bersumber dari data sekunder berupa buku, jurnal, dan wawancara, dengan metode analisis data berupa penafsiran sistematis. Hasil penelitian ini menyimpulkan, pertama, perusahaan dalam membangun proyek perumahan pada lereng harus memperhatikan zonasi tataruang, kondisi geografis dan kestabilan tanah. Sesuai dengan perundang-undangan dan hukum islam, bahwa perusahaan berkewajiban untuk memberikan keselamatan, kemanfaatan, serta kemaslahatan bagi manusia dan lingkungan. Kedua, pertanggung jawaban developer perumahan atas pembangunan drainase yang berdampak pada terjadinya longsor di Cihanjuang Regency berupa penggantian kerugian terhadap korban bencana longsor. Apabila penggantian kerugian melebihi aset yang dimiliki perusahaan, maka direksi perusahaan harus mengganti kerugian dari aset pribadi manakala terbukti terdapat kelalaian atas keputusan yang diambilnya.

Abstract

The problems studied in this research are: First, the role of State-Owned Enterprises (SOEs) in producing high quality goods/service through the SOE management and control based on the GCG principles; second, the role of SOEs in promoting the small scale industries/cooperatives development through Corporate Social Responsibility (CSR). The method used in this research is normative juridical. This research finds and concludes that: First, in any aspects, the implementation of SOE roles is still far from ideal as stipulated in the Article 33 of Constitution 1945, which should be beneficial for the prosperity and welfare of the community. In fact, the SOEs have already implemented the GCG principles in their management and control as the effort to optimize the role of SOEs. Second, the role of SOEs to promote the development of the farmers’ small scale industries/cooperatives through the implementation of CSR can at least help create the independence economic of the farmers as long as the implementation is sustainable and involve the participation of all farmer community.

Abstract

The book term of Geographical Indication is a prerequisite for protecting Pandanwangi and Cianjur rice as Geographical Indication products since its registration requirements must be equipped with Geographical Indications book which provides us with a comprehensive and detailed description of the quality, reputation, and distinctive character of the product. Thus, it is highly suggested that the applicant institution represents the stakeholders of Pandanwangi and Cianjur rice have great competence and well expertise to its formulation in accordance with the applicable rules. On this basis, the research problems in this study are formulated as follows, first, are there any obstacles found in the compilation of the Book Term of Geographical Indications of Pandanwangi and Cianjur Rice? Second, how is the Participatory Model in compiling the Book Term of Geographical Indications? The method used in this study is a socio-legal research based on the approach of legal science and social sciences. The study concluded that, first, the constraints in the preparation of the Book Term of IG of Cianjur and Pandanwangi Rice include technical constraints, the legal culture of the society, and the lack of understanding of the benefits of IG protection. Second, a participatory model to guide the preparation of the Terms of IG of Cianjur and Pandanwangi Rice is applied through active cooperation between the Government, AP3C, and Universities.
