Abstract

a Limited Liability Company is regulated under Law Number 40 of 2007 concerning Limited Liability Companies. In a Limited Liability Company, there is a capital partnership consisting of Authorized Capital and Issued/Paid-up Capital. In determining an agenda at the General Meeting of Shareholders (GMS), shares play a significant role in determining the outcome of resolutions. Shares are classified according to the share classifications stipulated in Article 53 paragraph (4) of the Company Law. In decision-making, voting shares are required. The research method used in this study is normative juridical research by examining secondary data through library research. The legal materials used are based on statutory regulations and literature materials such as books, journals, and other references. The validity of changes to the management structure without the approval of the majority shareholders is generally considered invalid. Important aspects that must be considered relate to the procedures of the GMS, namely the summons procedure; the implementation of the GMS, including attendance quorum, approval quorum, and the venue of the GMS; and the submission of data into the Legal Entity Administration System (SABH). If these procedures have been carried out in accordance with the applicable laws and regulations, then the changes to the management structure may still be deemed valid. However, in this case, the changes to the management structure were invalid because shareholders holding voting rights were not involved in the decision-making process regarding the changes to the management structure. The liability of the Notary who executed the deed of amendment to the management structure without a valid GMS may result in civil sanctions, causing the deed executed by the Notary to become null and void by operation of law.

Abstract

Legal Obligations, Health Services, BPJS Health services are the right of every person as stated in the 1945 Constitution, namely, article 28 H paragraph (1) which confirms: "every person has the right to live in physical and spiritual prosperity, to have a place to live, and to have a good and healthy living environment and to receive health services". BPJS or Social Security Administering Body is a legal entity whose aim is to organize social security programs to ensure that all people can fulfill the basic needs of a healthy life. BPJS is organized based on the principles of humanity, benefit and social justice for all Indonesian people. The high need for national health experiences problems when it is not accompanied by an increase in health services. Therefore, what are the government's obligations in ensuring health insurance for all levels of society? This research uses a juridical-normative approach. The approach method taken is a statutory approach and a sociological approach. Based on the research results, it was found that the government was negligent in its legal obligations in providing health services to BPJS patients in the form of health facilities, transparency or openness of service information and performance monitoring. The government has a legal obligation to ensure that every citizen without exception obtains their rights and provides legal protection to BPJS patients from acts of discrimination

Abstract

Law enforcement against drug abusers in Indonesia has predominantly prioritised a repressive penal approach rather than a rehabilitative one. In reality, drug abusers are essentially victims of medical and psychosocial dependency. This study seeks to examine the relevance and urgency of implementing a restorative justice approach through rehabilitation for drug abusers as part of the reform of criminal law in Indonesia. The research employs a normative juridical method, drawing upon literature studies and analyses of statutory regulations and relevant court decisions. The findings indicate that rehabilitation, as an embodiment of restorative justice, offers a more humane form of justice, reduces financial burdens, and has the potential to lower recidivism rates. A reformulation of criminal policy is required by distinguishing between users and traffickers, while strengthening the authority of law enforcement agencies and rehabilitation institutions in the diversion process. An inclusive reform of criminal law that embraces the principles of restorative justice is a strategic step towards addressing drug-related crime in a more sustainable and equitable manner.

Abstract

This study examines the implementation of public administration digitalization policy under the framework of Law No. 27 of 2022 concerning Personal Data Protection (PDP) in Indonesia. Using a qualitative approach through literature review and interviews, the findings reveal that while digitalization has improved public service efficiency, the integration of personal data protection principles faces challenges such as weak inter-institutional coordination, resource limitations, and low awareness among government officials. Key findings highlight the misalignment between rapid digitalization and the adoption of privacy by design principles, along with inadequate data management practices. The study recommends institutional capacity building, regulatory harmonization, and enhanced public participation to balance digital innovation and privacy protection. The policy implications underscore the need for a holistic approach to public administration digital transformation that prioritizes citizens' rights.

Abstract

This study aims to analyze the criminal liability of the press in the use of Artificial Intelligence (AI) for news writing based on the Press Law and the Second Amendment ITE Law. The use of AI in the world of journalism poses legal challenges related to liability for the news produced, especially if the news violates the law such as spreading hoaxes or misleading information. The method used in this study is normative legal research, which examines applicable legal regulations, as well as journalistic ethical principles in relation to AI. The study identifies who is criminally responsible if news generated by AI breaks the law, as well as explores potential ethical violations that may arise due to inaccuracies in information published by AI. The results of the study show that although the Press Law provides for press freedom, criminal responsibility remains on media that use AI in news production. In addition, the Second Amendment of the ITE Law emphasizes criminal sanctions for perpetrators who disseminate harmful electronic information, including fake news produced with AI. This study also found that the implementation of the Journalistic Code of Ethics (KEJ) is a big challenge, considering that AI cannot always meet journalistic ethics standards that prioritize truth, balance, and objectivity. This study suggests that there should be clearer regulations regarding the use of AI in journalism to maintain public trust and avoid violations of the law that have the potential to harm society.

Abstract

Children's rights are part of the human rights enshrined in the 1945 Constitution of the Republic of Indonesia. As a nation governed by the rule of law, Indonesia must protect human rights. However, as a democratic nation, Indonesia must implement the principle of democracy or people's sovereignty, namely guaranteeing the role of and citizens in the decision-making process. One effort to realize the principles of democracy is through general elections (Pemilu), in which political parties are among the participants. Problems begin to emerge when, in a state based on the rule of law and democracy, children's human rights are still not optimally protected in election practices, one of which is reflected in the misuse of children in political activities. Furthermore, in a democratic state, political education is necessary for every citizen, including children. Based on this, The practice of the rule of law and democracy must be implemented harmoniously. This can be achieved through the implementation of general elections that protect the rights of the people. right basic child that is election general Which friendly Children

Abstract

This study examines the communication strategies used by the leaders of Sanur Traditional Village and a regional council member of the Denpasar City DPRD (Municipal House of Representatives) to encourage community participation in infrastructure development in Sanur Kaja, Bali. The research is significant as most previous studies have focused solely on either village authorities or legislative members, leaving a gap in assessing communication strategies from both perspectives. A qualitative descriptive method with a single-case study design was employed, involving 11 purposively selected informants, including traditional village leaders, DPRD members, and community representatives. Data were gathered through in-depth interviews, observation, and document analysis, and analysed thematically in five stages. Credibility was ensured through triangulation of data sources and member checking. The findings show that strategies combined dialogical approaches, such as meetings, hearings, and socialisation, with monological approaches, such as announcements of final decisions, supported by digital media including WhatsApp and social platforms. Community participation largely remained at the stage of consultation, shaped by barriers such as unequal access to information, economic and psychosocial constraints, time limitations, structural challenges, and policies beyond village awareness. The study recommends expanding integrated communication channels that adapt to community routines, ensuring transparency, and strengthening MSME (Micro, Small, and Medium Enterprises) programmes. Its key contribution is the proposal of a communication strategy model rooted in the context of Bali’s traditional villages, which may serve as a reference for fostering inclusive participation in local development.

Abstract

The free-to-play game industry is growing rapidly in Indonesia, characterized by the high number of active players and the use of social media as the main source of gaming information. In this context, player loyalty is key to long-term success for game developers. Genshin Impact as one of the popular games in Indonesia uses social media marketing to build relationships with players while creating a strong brand experience. This study aims to analyze the influence of social media marketing and brand experience on brand loyalty, with brand equity as a mediating variable. This study uses a quantitative approach with the paradigm of pospositivism and descriptive design. Data collection was carried out through an online survey of 414 respondents of active Genshin Impact players who followed the game's official social media accounts. Data analysis was conducted using Structural Equation Modeling (SEM) techniques with WarpPLS 8.0. The results of the study show that social media marketing and brand experience have a significant positive effect on brand equity and brand loyalty. In addition, brand equity strengthens the relationship between independent variables and brand loyalty. These findings underscore the importance of social media-based marketing strategies and positive brand experiences in increasing players' long-term attachment to games.

Abstract

This study examines the role of interpersonal communication as an adaptive strategy to reduce burnout among final year students at Dr. Soetomo University, Surabaya. Using an exploratory qualitative approach, this study involved five participants from various disciplines who experienced high academic stress due to the demands of their final projects. Data were collected through in-depth semi-structured interviews and analyzed thematically. The findings show that interpersonal communication plays a central role in reducing burnout through emotional support, emotional venting, reflective dialogue, effective communication media, and collaborative problem solving. Supportive communication from the inner circle, such as friends, partners, family members, and academic advisors, helps students regain motivation, regulate emotions, and strengthen psychological resilience. Conversely, ineffective communication characterized by judgment, inappropriate humor, or role imbalance tends to exacerbate stress levels. This study highlights the importance of interpersonal communication as a context-based non-clinical coping mechanism, offering practical and theoretical implications for the development of peer support systems, communication training, and academic mentoring programs. This study also emphasizes the need for educational institutions to create a supportive communication environment as part of a preventive mental health strategy.
