Abstract

This study examines the implementation of key doctrines in corporate law related to directors’ liability in limited liability companies in Indonesia. The doctrines analyzed include Piercing the Corporate Veil, Business Judgment Rule, Ultra Vires, and Fiduciary Duty. This research employs a normative legal method with statute, conceptual, and case approaches. Legal materials were collected through literature studies and analyzed qualitatively to understand the application of these doctrines in corporate legal practice in Indonesia.  The findings indicate that these doctrines play an important role in determining the limits of directors’ responsibilities in corporate management. The doctrine of Piercing the Corporate Veil allows courts to impose personal liability when the corporate entity is misused, as illustrated in the case involving PT Effem Foods Inc. The Business Judgment Rule provides legal protection for directors in making business decisions in good faith, as reflected in the case of PT Merpati Nusantara Airlines. The Ultra Vires doctrine emphasizes that corporate actions must remain within the scope of the company’s objectives, as shown in the PT Condato Grup Indonesia case. In addition, the Fiduciary Duty doctrine highlights directors’ obligations to act with due care and loyalty in managing the company, as seen in the PT Bakara Bumi Energi case.

Abstract

This study analyzes the fair pricing strategy of Irvan WiFi Blitar, a local Internet Service Provider (ISP), through the lens of Maqashid Shariah and its impact on competitive advantage. Facing aggressive competition from national providers, this research uses a descriptive qualitative case study approach, gathering data through in-depth interviews and observations. The findings reveal that Irvan WiFi integrates the five pillars of Maqashid Shariah into its business model: protecting religion (contract transparency), life (price stability), intellect (information accessibility), lineage (safe domestic digital environment), and property (social benefit distribution). This maslahah-based approach creates a unique service differentiation and fosters high customer loyalty, providing a sustainable competitive advantage. The study contributes a theoretical model for MSME resilience in the technology sector by transforming theological values into strategic business instruments. In conclusion, fair pricing serves not only as a profit mechanism but as a foundation for business longevity and community welfare. These results offer a vital reference for local ISPs to thrive amidst corporate hegemony by prioritizing ethical and social value.

Abstract

The global ecological crisis stems from the ontological failure of the linear economic system, which separates material activity from spiritual values. This study aims to formulate an integrative framework between the Islamic prohibition of isrāf (excessiveness) and contemporary circular economy transformations to foster a regenerative model. Using a qualitative library research method, this research analyzes authoritative Islamic texts alongside regenerative economic discourses. The results confirm that while the circular economy provides technical mechanisms for resource retention, the concept of isrāf acts as a vital "moral brake" against overconsumption. This synthesis creates "Transcendental Circularity," shifting the paradigm from secular anthropocentrism to a theocentric-khilafah approach. The findings demonstrate that integrating transcendental values corrects the systemic "rebound effect" of modern technology and provides a solid ethical foundation for sustainable production and consumption. This research contributes to the Islamic economic discourse by offering a holistic guide for green policy-making. In conclusion, the synergy between modern science and spiritual ethics is essential to resolve the ontological failures of modern economics and ensure ecological justice for future generations.

Abstract

Globalization is a multidimensional phenomenon that has brought significant impacts on the social, economic, and ecological life of coastal communities, particularly traditional fishing communities. This study aims to analyze the impact of globalization on changes in the socio-economic structure of traditional fishermen in the coastal areas of Tuban Regency, as well as to identify adaptation and empowerment strategies that can enhance their competitiveness and welfare. This research employs a qualitative approach with a case study design, conducted in five coastal districts of Tuban Regency. Data were collected through participatory observation, in-depth interviews, Focus Group Discussions (FGDs), and documentation, involving traditional fishermen and relevant stakeholders as key informants. Data analysis was carried out interactively through data reduction, data display, and conclusion drawing, and was strengthened by source and method triangulation. The findings indicate that globalization has intensified economic inequality between traditional and modern fishermen due to disparities in access to technology, capital, and markets. In addition, changes in the social structure were identified, characterized by the weakening of mutual cooperation values, increasing individualism, and shifts in work patterns and social relations within fishing communities. From an ecological perspective, globalization-driven pressures have contributed to the overexploitation of marine resources, adversely affecting the sustainability of traditional fishermen’s livelihoods. This study highlights the importance of fisherman empowerment strategies based on strengthening local capacities, policy protection, and sustainable marine resource management, in line with the achievement of the Sustainable Development Goals (SDGs). The findings are expected to serve as an academic reference and policy recommendation for inclusive and sustainable coastal development.

Abstract

This study aims to analyze the use of e-commerce in improving the competitiveness of Micro, Small, and Medium Enterprises (UMKM) in Nusa Indah Village, Bengkulu City. The development of information and communication technology has driven a shift in marketing patterns from conventional to digital, making e-commerce an importantstrategy for UMKM to expand market reach, improve cost efficiency, and strengthen their competitive position. The research method used is a qualitative approach with data collection techniques through interviews, observations, and documentation of UMKM actors in the research area. The results show that some UMKM have utilized e-commerce through social media and marketplaces as a means of promotion and sales. This utilization has had a positive impact in the form of increased product visibility, easier consumer access, and wider market opportunities. However, there are such as limited digital literacy, minimal human resources, and a lack of understanding of effective digital marketing strategies. Therefore, support from thegovernment, related institutions, and ongoing training are needed so that the use of e-commerce can be optimized and can increase the competitiveness of UMKM in Nusa Indah Village in a sustainable manner.

Abstract

This study aims to determine the influence of local product taste quality and service influencers on customer purchase decisions at Coffee Shope Shadow Co Rantauprapat. The sample size was 171 respondents, namely Coffee Shope Shadow consumers. This study used validity tests, reliability tests, classical assumption tests, multiple linear regression tests, t-tests, F-tests, and coefficients of determination using SPSS 27. The study was conducted to examine how independent variables influence the dependent variable and the percentage level of influence of the research variables by distributing research questionnaires to respondents and conducting tests. The results showed that all independent variables influenced the dependent variable, with all t-values ​​> t-table and significance values ​​<0.05. With a determination level of 0.619, or 61.90%, the effect was positive and significant.

Abstract

MSMEs (Micro, Small and Medium Enterprises) are one of the main economic sectors that contribute greatly to economic development in Indonesia. In its development, every MSME needs funding for the development of its business. Financial institutions play an important role in helping funding for MSMEs. One of the financial institutions that assists MSMEs in achieving their funding is the Sharia microfinance institution, namely Baitul Maal Wat Tamwil. One of the functions of BMT as a social institution is that BMT has a program that combines economic and social functions by empowering waqf funds for MSMEs. This study uses a descriptive qualitative research method that functions to determine the role of the waqf fund empowerment program for the welfare of MSMEs fostered by KSPPS BMT Mandiri Sejahtera East Java. Based on the results of the research carried out, it was found that the waqf fund empowerment program carried out by KSPPS BMT Mandiri Sejahtera plays a role as a capital provider and has a positive role in helping fostered MSMEs achieve prosperity based on sharia maqashid indicators.

Abstract

This study aims to analyze the development of the exhibition booth contracting industry in the Jakarta, Bogor, Depok, Tangerang, and Bekasi area within the context of the MICE sector. The exhibition industry plays a vital role as an effective direct marketing medium, thereby increasing the demand for innovative and functional booths. This study employs a qualitative approach, utilizing data collection methods that include a questionnaire administered to 60 companies and interviews with 5 exhibition booth contractors. The results indicate that the booth contractor industry has experienced significant growth over the past five years, driven by the post-pandemic recovery of the MICE sector and increasing corporate branding needs. However, the industry also faces challenges such as price competition, fluctuations in production costs, and technical and technological complexities. Key factors influencing purchasing decisions include price, design quality, functionality, technological innovation, and vendor reputation. This study contributes to understanding industry dynamics and serves as a basis for strategic decision-making.

Abstract

This research aims to analyze the implementation of the ijarah contract in the money bouquet business in Tulungagung Regency, specifically focusing on RN Buket and Nepi Buket, with reference to the legal review by the Tulungagung Indonesian Ulema Council (MUI). The phenomenon of using cash as decorative objects requires legal clarity to avoid usury (riba) and uncertainty (gharar). A descriptive qualitative method was employed, with data gathered through observation, documentation, and in-depth interviews with business owners and representatives of the Fatwa Commission of MUI Tulungagung. The data were then visually validated using NVivo software. The research findings indicate that transactions in both MSMEs are declared valid according to the view of MUI Tulungagung as they meet the criteria of the ijarah (service) contract. The sellers' profits are derived purely from assembly fees and raw material costs rather than the difference in the money's nominal value. Furthermore, price transparency and the use of protective plastic to maintain the physical integrity of the money align with the principles of liability (dhaman) and maqashid sharia in the aspect of hifdz al-mal (safeguarding wealth). The confirmation from MUI Tulungagung serves as a reinforcement that this business is sharia-compliant as long as the nominal value of the money is not traded and the physical money remains protected.

Abstract

Islamic boarding school-based women's empowerment through hand-drawn batik businesses is a strategic effort to improve the economic welfare of the community. The Pesantren utilizes the potential of hand-drawn batik to promote economic independence and strengthen women's roles. This study aims to analyze the model and role of women's empowerment in improving economic welfare through hand-drawn batik businesses run by the Pesantren Kanzun Najah in Batu City. The research method used descriptive qualitative research with an instrumental case study approach, using primary and secondary data sources. Informants were selected using purposive sampling, with 11 informants, consisting of Islamic boarding school leaders and members, as criteria for empowerment members. The results show that women's empowerment is implemented through a gradual and participatory empowerment model, encompassing three stages: (1) socialization and awareness-raising, (2) hand-drawn batik training, and (3) ongoing mentoring. This model enables women to acquire batik technical skills and increases self-confidence. Empowerment plays a role in improving economic welfare, while strengthening women's independence and role in family economic decision-making. However, empowerment still faces challenges such as limited skills, unstable production, and dependence on mentoring from Islamic boarding school administrators. On the other hand, there are significant opportunities for developing hand-drawn batik businesses through the product's cultural value or regional characteristics, Islamic boarding school support, and sustainable access to promotion.
