Abstract

Present development in performance measurement only considers the financial aspects of company that focuses on the past performance or lag indicator. Companies need other indicators to be used as lead indicators, to look after future performance. It needs a new method to integrate goals and performance measurement in a company, and to achieve vision and mission of the company. Balanced Scorecard system included, performance measurement based on financial aspect and non-financial aspects.Besides using the Balanced Scorecard as performance measurement, some companies use it as a strategic management system to manage its strategy for the long term. The Balance Scorecard, still could not response rapid concerns of society in environmental problems. Increasing of environmental awareness in the global society makes companies should not consider only on four perspectives in Balanced Scorecard, but also on environmental perspectives on companies' environment. Company's vision, mission and strategy should be reflected and inspired in the five aspects in Environmental-Balanced Scorecard.Tight competition in the industry and people's concern in reducing pesticide in the environment compels a company to develop strategies which can be used to satisfy its stakeholder. Environmental-Balanced Scorecard implementation as a management strategic system will help the company developing its competitive strategy and will satisfy society's demand to overcome negative environmental impact from its product.

Abstract

This study aims to determine the effect of corporate governance on financial performance and financial performance on dividend policy, then examining the effect of financial performance and dividend policy on firm value. The research approach is quantitative with panel data type. The sample are companies listed in the manufacturing industries on the Indonesia Stock Exchange. This study found that independent commissioners' existence does not affect financial performance. The size of the board of commissioners, audit committee members, and the number of board meetings do not affect financial performance. The study also found that financial performance and free cash flow affect the company's dividend policy. Finally, the results show that financial performance affects firm value while dividend policy does not affect it. These results have theoretical implications for supporting agency theory. The independent commissioners will reduce conflict and thus improve the financial performance.

Abstract

Pupose: The existence of market uncertainty can increase agency problems that raise doubts about future cash flows, such as dividend payments. This study aims to analyze the effect of corporate governance such as the proportion of female commissioners, the proportion of female independent commissioners, the board size, board independence, board meeting, and audit committee size towards a dividend payout ratio. Method:The sample of this research is manufacturing sector companies listed on the Indonesia Stock Exchange (ISE) and the Thailand Stock Exchange (TSE). The company should have published financial reports that have been audited regularly during the study period, and the company has no negative retained earnings. This study uses a quantitative approach with two least square regression analysis models. Result: The observations on the ISE shows that the proportion of female independent commissioners and audit committee size has a significant positive effect on the dividend payout ratio. This result is because female commissioners can take control of minority shareholders by making larger payments and audit committee members can monitor more effectively and control opportunistic behavior. However, board independence and board meeting significantly adversely affect the dividend payout ratio, this is because more members of board independence and more frequent meetings can use dividends as a substitute role in reducing agency problems so that dividend payment will be below. The observations on the TSE shows that the proportion of female independent commissioners and board meetings significantly positively affects the dividend payout ratio. However, board independence has a significant adverse effect on the dividend payout ratio. This result is because board independence tends to reduce agency costs, so using dividends as a substitute role to reduce dividend payments.

Abstract

To accomplish long-term goals, one of the strategic steps taken by the company is investing in innovation through Research and Development (R&D) spending. Numerous studies show that R&D activities can improve company performance. However, fewer studies discuss the factors involved in R&D investment, especially in Indonesia. In addition, the versatile results of previous studies make this research still relevant. This study aims to determine which factors are involved in R&D expense decisions from a company's resource and corporate governance perspective. This research uses multiple linear regression with the Ordinary Least Square (OLS) estimation method. Based on the stability test, the Covid-19 pandemic affects the relationship between several factors in R&D expense. In all samples, only the proportion of independent commissioners positively affects R&D expenses. There is shifting in the variables of company ownership, profitability, and tangible assets toward R&D expense. But, debt has no significant effect on R&D expenses before and during the pandemic. Thus, ownership concentration, independent commissioner, and company resources, such as tangible assets and other financing sources, have a role in the R&D investment decision. This research shows the crucial role of corporate governance in managing a company's resources to sustain a competitive advantage through R&D activities.
