Abstract

The uncertain conformity between the characteristics of the condition attributable to the inability of mergers and acquisition contract performance due to COVID-19 and the characteristics of force majeure and hardship leads to the use of material adverse change (MAC) as an alternative clause for contract non-performance as a perennial consequence of COVID-19 pandemic in the post pandemic era. This study aims to analyze the implications of COVID-19 pandemic with the use of MAC according to the laws of the nations and the adherence of MAC as a clause with UNIDROIT’s six general principles of international contract during and post pandemic as issued in UNIDROIT Principles of International Commercial Contract. The method of writing used was normative juridical approach with descriptive analytical research specifications. The writing process taken in drafting this study was through a process of literature review from primary, secondary, and tertiary sources. Data analysis method used in this study was through qualitative juridical normative method. The outcome of the analysis shows that the use of MAC as an alternative clause for contract non-performance differs between one national law to another; one of the outstanding characteristics is that the basis of the use of MAC depends on the agreed definition and the burden of proof of MAC set forth in the contract. The use of MAC as an alternative clause for contract non-performance in mergers and acquisitions is compliant with UNIDROIT’s principles of international contract, with considerations of the limitations and exceptions of the international contract principles.

Abstract

The rise of exchange rates other than the official state currency in the digital world raises its own problems. The development of the digital economy that is currently developing is supported by digital economic infrastructure, one of which is the official state medium of exchange. Therefore, this is a demand for the public's need for official state exchange instruments that can apply in the digital world. This was then answered by Bank Indonesia through the concept of Digital Rupiah and its derivatives in various Bank Indonesia Regulations. However, there are problems regarding the Digital Rupiah policy and the implementation of secure use of the Digital Rupiah sistem. This research was conducted using a normative juridical method, and the writing stage was carried out through a literature search which was carried out by examining secondary data including primary legal materials, literature, articles, opinions and teachings of experts and their implementation in laws and regulations. Based on the discussion, it can be concluded that policies related to Digital Rupiah as a modernization of financial market infrastructure are still contained in various regulations, including Law Number 4 of 2023, Bank Indonesia Regulation Number 23/11/PBI/2021, and Bank Indonesia Regulation Number 23/10 /PBI/2021. Digital Rupiah security arrangements in Indonesia refer to Bank for International Settlements (BIS) guidelines and include secure technology infrastructure, cloud-based cybersecurity services, risk management and compliance sistems, as well as application and infrastructure security integration through DevSecOps. Reliability certificates are regulated in Government Regulation Number 71 of 2019.

Abstract

This article discusses the Maqāshid al-Sharī'ah approach to protecting personal data in the context of structural leadership training. Maqāshid al-Sharī'ah, as a framework of Islamic legal principles, provides a strong foundation for understanding and implementing personal data protection in leadership training. This article elucidates how the training institution can incorporate measures to safeguard participants’ personal data in leadership structural training in accordance. This study employs a normative legal approach, scrutinizing the personal data protection act and structural leadership training maintenance guidelines through qualitative prescriptive research methods. It collects data from observations and relevant reference documents and employs deductive data analysis techniques. The results of this study indicate that implementing these principles requires strict policies, sophisticated security technology, staff training, and awareness about the importance of personal data. By considering the alignment between data protection and Maqāshid al-Sharī'ah, this research aims to contribute to a more robust data governance framework within leadership development programs. To implement this protection, the contribution of an officer who can serve as a data protection officer for participants in structural leadership training is required.

Abstract

Within the last five years it is noted that the people of Indonesia has become more aware of their privacy on personal data since their personal data is being collected, distributed and disseminated without their prior consent both by the government and businesses and their co-ventures . These businesses tend to commit violations by using and disseminating customers's data without the consent of their respective customers. This article focuses on Indonesian legal framework on the Privacy on personal data. It is argued that although there is existing laws in the privacy on personal data, however, those legal framework still developed in very sectoral nature. It is submitted that the most suitable regulatory concept for Indonesia is a combination regulatory concept, or hybrid concept., which protect Indonesian's and foreigner parties's interests privacy on personal data. To investigate existing laws in personal data protection, this research examines both national as well as international and regional legal framework in personal data protection. Comparison between Indonesia and the practice of other ASEAN states is also conducted to determine the most suitable approaches in addressing the protection of personal data.

Abstract

Smart contract merupakan suatu teknologi tergolong baru dalam umat manusia. Penggunaannya diharapkan lebih efesien dan murah biaya. Hal ini dikarenakan tidak adanya pihak ketiga, seperti pemerintah, pengadilan, dan broker yang dapat mengintrupsi smart contract. Dikarenakan adanya sifat kemandirian tersebut, pelaku tindak pidana dapat dengan mudah menggunakan smart contract sebagai wadah dalam melakukan hubungan kontraktual tanpa adanya yang mengawasi. Penulisan hukum ini dibuat atas dasar tujuan untuk mengetahui terkait keabsahan dalam pelaksanaan smart contract apabila ditinjau dari ketentuan dalam KUHPerdata dan UU ITE, serta menganalisis terkait tindakan hukum yang dapat dilakukan apabila terdapat perbuatan melawan hukum dalam isi smart contract ditinjau dari ketentuan dalam hukum positif di Indonesia.

Abstract

This research will discuss the urgency to regulate the transparency obligation of targeted advertising. Being the most popular method of marketing in today’s digital era, targeted advertising continuously becomes a target of controversy among consumers. Concern over targeted advertising ranges from the data collection process to how it is targeted towards consumers. This creates uncertainty among consumers due to the opacity of targeted advertising algorithms. Through a normative juridical method, this research will examine the adequacy of Indonesia’s regulations in addressing the issue of targeted advertising, ranging from the Consumer Protection Law, EIT Law, PSTE Regulation, and PMSE Regulation compared to the European Union’s Digital Services Act. Abstract

Pelindungan data pribadi terhadap integrasi data antar instansi pemerintah menjadi langkah strategis guna meningkatkan efisiensi layanan publik yang kolaboratif, aman, dan akuntabel. Penelitian ini membahas implementasi pelindungan data pribadi dalam konteks integrasi data dengan mengacu pada prinsip-prinsip yang diatur dalam Undang-Undang Nomor 27 Tahun 2022 tentang Pelindungan Data Pribadi, meliputi kewajiban hukum pengendali data, optimalisasi lembaga pengawas, serta mekanisme keamanan dan penanganan  terhadap insiden kebocoran data terhadap data yang terintegrasi berdasarkan konsep Whole of Government. Namun, proses ini menimbulkan tantangan serius dalam pelindungan data pribadi karena belum adanya mekanisme tata kelola yang kuat serta harmonisasi regulasi terhadap keamanan informasi yang bersifat lintas instansi. Hal tersebut menjadi urgensi bagi pemerintah untuk segera merumuskan regulasi yang memuat mekanisme tata kelola keamanan informasi, pengawasan serta penanganan terhadap data terintegrasi antar instansi dan penguatan lembaga pengawas independen guna menegakkan standar pelindungan data serta mengkoordinasikan keamanan informasi, sesuai dengan amanat UU PDP. Dalam penelitian ini, penulis menggunakan metode yuridis normatif dengan pendekatan deskriptif analitis, serta pengumpulan data melalui studi kepustakaan dengan mengkaji Peraturan Perundang-Undangan yang berlaku serta Standar Operasional keamanan informasi dari instansi terkait, dan wawancara semi-terstruktur.

Abstract

The fast-evolving landscape of Artificial Intelligence (AI) is transforming industries worldwide, including Indonesia’s financial sector. While AI presents immense opportunities for innovation and efficiency, it also poses complex challenges in data governance. This paper explores the need for Indonesia to establish a comprehensive and forward-thinking data governance framework tailored to AI implementation in the financial sector. Using a literature review method and drawing on global and local regulatory developments, the paper outlines key principles for AI-related data governance, including transparency, accountability, specificity, enforceability, and adaptability. By reimagining its approach to data governance, Indonesia can mitigate the risks of data misuse, enhance personal data protection, and foster an environment conducive to responsible AI innovation. The research addresses the foregoing issues by offering a conceptual foundation for policymakers, regulators, and financial institutions in Indonesia to develop better rules and practices for managing AI-related data to strengthen Indonesia’s technological sovereignty, particularly in the financial sector. The study finds that Indonesia’s current data governance framework in the financial sector is not yet optimal for supporting AI implementation. Indonesia’s data governance framework requires adjustments in key areas, namely specificity, enforceability, and adaptability, while also promoting stronger cooperation among stakeholders.

Abstract

The fast advancement of information and communication technology has had a positive influence on society. The free and open transmission of knowledge is the ideal condition for its application. Meanwhile, information technology itself serves as a channel for information dissemination. Customer data received by telecommunications service providers is a trade secret of the corporation since it has economic worth, is confidential, and is kept confidential. Customer personal data, on the other hand, is sensitive and deemed harmful since telecommunications service providers indirectly gain from someone's privacy. This paper will compare the legal framework if there is a legal conflict between personal data and trade secrets based on positive law in Indonesia that applies the GDPR principles to the personal data protection system adopted by other nations, take, for example, the United States, Europe, also Australia. In accordance with the attached case, namely a data breach by Optus, an Australian telecommunications company, the author wishes to examine it within the scope of positive law in Indonesia by comparing legal settlements that have been implemented in Australia, so that if a data breach occurs in Indonesian territory as a result of telecommunications industry mergers and acquisitions, the author will be able to analyze it within the scope of positive law in Indonesia and can be a basis for answering questions regarding legal protection and accountability.

Abstract

The development of social commerce in Indonesia faces legal challenges due to the transaction ban stipulated in Permendag 31/2023. This regulation prohibits social commerce platforms from facilitating direct transactions within their systems, leading to the closure of TikTok Shop in October 2023. However, TikTok Shop resumed operations after acquiring Tokopedia, sparking debates over regulatory compliance and legal certainty for business actors. This study employs a normative juridical method to analyze the legal protection for social commerce providers regarding the transaction ban. The findings indicate that this policy impacts micro, small, and medium enterprises (MSMEs) and creates legal uncertainty. Moreover, the ban contradicts the partnership principle in trade law and Mochtar Kusumaatmadja's legal development theory, which emphasizes that law should drive economic growth. This study recommends regulatory adjustments to align with technological advancements while ensuring protection for business actors and consumers in the digital ecosystem
