Abstract

Salah satu unsur hubungan kerja adalah “perintah”. “Perintah” sebagai salah satu elemen hubungan kerja amat penting, tetapi peraturan perundang-undangan tidak mengaturnya dengan jelas. Isu hukum di dalam penelitian ini adalah apa makna “perintah” sebagai salah satu unsur hubungan kerja. Tulisan ini berdasarkan penelitian hukum normatif. Pendekatan yang digunakan dalam penelitian ini adalah pendekatan undang-undang dan pendekatan konsep. Bahan hukum yang digali adalah bahan hukumprimier dan bahan hukum sekunder. “Perintah”sebagai salah satu unsur hubungan kerja bermakna pernyataan lisan atau tulisan pengusaha, langsung atau tidak langsung, terhadap pekerja dengan unsur (1) perintah itu perintah untuk melakukan pekerjaan, (2) perintah itu ada di lingkup hubungan kerja, dan (3) perintah itu dilakukan dalam kekuasaan atau kewenangan.Kata kunci: perintah, hubungan kerja

Abstract

Justice in the field of land as a constitutional mandate is a foundation that must be regulated as contained in the provisions of Article 33 Paragraph (3) of the 1945 Constitution of the Republic of Indonesia which states, "Earth and air and the natural resources contained therein are controlled by the state and be used for the greatest prosperity of the people.”1 In order to achieve justice according to the mandate of the constitution, at least it can be realized through infrastructure development efforts in the national strategic project plan. This is in accordance with one of the priorities on President Joko Widodo's agenda to accelerate and continue infrastructure development. One of the many infrastructures that has become the object of a national strategic project is a network of toll roads or usually called toll roads.

Abstract

The paradigm shift in the establishment of a Limited Liability Company by an individual has implications for Company Law in Indonesia. Some of these implications relate to accountability and aspects of supervision in the governance of Limited Liability Companies (good corporate governance), because in an individual company there is no known GMS and the Board of Commissioners. This paper will analyze the paradigm shift in the establishment of a Limited Liability Company in a new approach that has never been used before, namely the perspective of agreement and institutional theory. The method used is normative legal research. The results of the research show that both before the amendment and after the amendment to Law no. 40 of 2007, the legal framework for Limited Liability Companies still adheres to a blend of contract theory and institutional theory. Likewise with the organ structure of the Limited Liability Company also did not experience changes in Law no. 6 of 2023, which consists of GMS, Board of Directors and Board of Commissioners, although it has been recognized that there are individual companies. The result of the absence of GMS and the Board of Commissioners in an individual company is the absence of checks and balances and oversight mechanisms that have the potential to violate the principles of good corporate governance, such as transparency, accountability and responsibility. Pergeseran paradigma pendirian perseroan terbatas oleh perseorangan telah membawa implikasi terhadap hukum perseroan di Indonesia. Beberapa implikasi tersebut menyangkut pertanggungjawaban dan aspek pengawasan dalam tata kelola Perseroan Terbatas (good corporate governance), sebab dalam perseroan perorangan tidak dikenal adanya RUPS dan Dewan Komisaris. Tulisan ini akan mengananalisis pergeseran paradigma pendirian Perseroan Terbatas dalam pendekatan baru yang belom pernah digunakan sebelumnya, yakni perspektif teori perjanjian dan kelembagaan. Metode yang digunakan adalah penelitian hukum normatif dengan menggunakan pendekatan konseptual, peraturan perundang-undangan, dan perbandingan. Hasil penelitian mengetengahkan bahwa baik sebelum perubahan maupun setelah perubahan UU No. 40 Tahun 2007, kerangka hukum perseroan terbatas masih menganut perpaduan antara teori perjanjian dan teori kelembagaan. Struktur organ perseroan terbatas juga tidak mengalami perubahan dalam UU No. 6 Tahun 2023, yakni terdiri dari RUPS, Direksi, dan Dewan Komisaris, meskipun telah diakui adanya perseroan perorangan. Pertentangan norma kemudian semakin terlihat dalam Pasal 7 ayat (2) huruf g PP No. 8 Tahun 2021 yang menyiratkan bahwa organ dari perseroan perorangan hanya terdiri dari direktur (direksi) yang juga merangkap sebagai pemegang saham. Artinya tidak terdapat RUPS dan Dewan Komisaris. Akibat dari tidak adanya RUPS dan Dewan Komisaris dalam perseroan perorangan adalah tidak adanya mekanisme check and balances dan pengawasan yang berpotensi melanggar prinsip good corporate governance, seperti transparansi, akuntabilitas, dan tanggung jawab.

Abstract

Introduction: The concept of a limited liability company based on Law Number 11 of 2020 concerning Job Creation (UU Cipta Kerja) through Government Regulation in Lieu of Law Number 2022 concerning Job Creation (Perppu Cipta Kerja) after being declared conditionally unconstitutional by the Constitutional Court, has now found its foundation again.Purposes of the Research:  This article examines the normativity of limited liability companies after the Perppu Cipta Kerja in two focuses. First, it relates to the legal ratio for the establishment of an individual company, and second, the normativity of an individual company from the perspective of Critical Legal Studies.Methods of the Research: This paper uses a normative juridical approachResults of the Research: Based on the type of normative research supported by conceptual, statutory, and philosophical approaches, this article concludes two: First, the legal ratio for the establishment of individual companies in the Perppu Cipgta Kerja is the government's great desire to provide convenience for MSEs in doing business and creating jobs. Second, based on the analysis of trashing, deconstruction, and genealogy, individual companies in the Perppu Cipta Kerja are still full of liberal individualism with a capitalist economic system style.

Abstract

This study discussed the Balinese customary law regarding the position and inheritance rights of natural children who were adopted by their grander. This study used an empirical legal study, which was a method of legal study that sought to see and examine the law can work in people’s lives. The results of the study showed that the adoption of a natural child by his grandfather was legal according to Balinese customary law, the position of a natural child adopted by his grandfather was the same as his biological child. State law only had a role to strengthen the prevailing customary law. The right to inherit natural children who were adopted by their grandfathers were the same as biological children, including the inheritance of their rights and obligations both as a child and as a member of an indigenous village community.

Abstract

This paper aims to reveal the conceptualization and opportunity of the concept of the cyber notary as one of the other notary authorities as stated in the explanation of Article 15 Section (3) of Law Number 2 of 2014 concerning Amendments to Law Number 30 of 2004 concerning Position of Notary Public (UUJN). This paper is a normative study using the statute approach and conceptual approach. The concept of a cyber notary can be interpreted as a method for a notary in carrying out their duties and authorities by using electronic equipment (cyber), but their authority has limitations for the authority of certification of transactions conducted electronically. Opportunities for the concept of a cyber notary can be reviewed in the drafting of the results of the General Meeting of Shareholders based on Article 77 of Law Number 40 of 2007 concerning Limited Liability Companies and storage of the Notary protocol in electronic form. The application of cyber notary is still constrained by UUJN which has not yet opened up opportunities for deed making through electronic media.

Abstract

This study is legal research aiming to find out the essence of Divine Principles in Indonesian Contract Law from the review of the Natural Law theory, the Sunt-Servanda theory, the Awareness and Legal Obedience Grundnorm theory, and Truth theory. This research reveals that the Divine Principle's essence is the most fundamental principle or guideline derived from God but exists in humans, aiming to find the truth and regulate the parties in making agreements. The application of the Divine Principle aims to find the truth and regulate the parties in the agreement's field.  Indonesian citizens could realize and practice the Precepts of Godhead in their agreement activities. In establishing the agreement, the parties are applying the teachings of their respective religions. This study reveals that the Divine principle needs to be incorporated into one of the upcoming National Agreement Laws principles, especially in the contract born because of the agreement. This study maintains that the divine principle can be applied comprehensively for Indonesian citizens who are parties to the agreement, not only limited to the Indonesian Muslim citizens.

Abstract

Penelitian ini bertujuan untuk mengkaji dan menganalisis bagaimana perlindungan data dan informasi pelanggan debitur dalam perspektif hak asasi manusia. Metode penelitian yang digunakan adalah penelitian hukum dengan pendekatan perundang-undangan, pendekatan filosofis, dan pendekatan konseptual. Hasil penelitian ini menunjukkan bahwa perlindungan data dan informasi pelanggan debitur dilakukan dengan menerapkan aturan kerahasiaan bank. Namun, aturan kerahasiaan bank di Indonesia masih tidak memadai, karena ruang lingkup perlindungannya sempit, hanya mencakup pelanggan penyimpan dan simpanan dari pelanggan penyimpan. Hal ini telah melanggar hak-hak pelanggan debitur. Perlindungan data dan informasi merupakan hak asasi manusia yang fundamental, sebagaimana diakui dalam UDHR dan ICCPR, serta di Indonesia mencerminkan Pancasila sila kedua, yang dilindungi oleh konstitusi, hukum hak asasi manusia, dan undang-undang perlindungan data pribadi. Sebagai negara hukum, Indonesia menjunjung pendekatan yang seimbang terhadap hak asasi manusia, memastikan hak pelanggan debitur untuk perlindungan data sambil mempertimbangkan hak publik untuk mengakses informasi tertentu dalam kasus-kasus mendesak. Keseimbangan ini sejalan dengan teori utilitarianisme hukum alam, yang menekankan baik pada privasi maupun transparansi yang diperlukan.Kata Kunci: Perlindungan Hukum, Data Pribadi, Debitur, Perbankkan This research aims to examine and analyse how the protection of debtor customer data and information in the perspective of human rights. The research method used is legal research with a statutory approac h, philosophical approach and conceptual approach. The results of this study indicate that the protection of debtor customer data and information is by implementing bank secrecy rules. However, the rules of bank secrecy in Indonesia are inadequate, because the scope of protection is narrow, covering only depositing customers and deposits of depositing customers. This has violated the rights of debtor customers. The protection of data and information is a fundamental human right, as recognized in the UDHR and ICCPR, and in Indonesia, it reflects the 2nd Precept of Pancasila, safeguarded by the constitution, human rights law, and personal data protection law. As a rule-of-law state, Indonesia upholds a balanced approach to human rights, ensuring debtor customers' right to data protection while considering the public's right to access certain information in urgent cases. This balance aligns with the utilitarian theory of natural law, emphasizing both privacy and necessary transparency.Keywords: Legal Protection, Personal Data, Debtors, Banking

Abstract

Health insurance is implemented with the aim of ensuring that participants receive health care benefits and protection to meet their basic health needs. However, many companies still violate Article 19 (1) or (2) of the BPJS Law, which states that companies have not complied with collecting, paying, and depositing premiums that are the responsibility of employees from their company to the Social Security Agency for Health (BPJS Kesehatan), resulting in many companies defaulting on BPJS Kesehatan insurance premiums and directly harming their employees who cannot utilize health insurance when they need health services. This study aims to analyze the application of criminal sanctions for companies non-compliance with BPJS Kesehatan insurance premium payments. The research method used is socio-legal empirical research. Employees who have not registered as BPJS participants and have never paid premiums cannot be categorized as participants. There are three conditions that lead to the imposition of criminal sanctions under Article 55 of the BPJS Law: (1) the company does not collect premiums that should be covered by the employees themselves; (2) the company have collected premiums that should be covered by employees, but the company didn’t deposit them to BPJS; (3) company do not pay and deposit premiums that are their responsibility to BPJS.
