Abstract

As outlined in the AEC Blueprint, all ASEAN member states (AMSs) will endeavour to introduce competition policy by 2015. At present 7 (seven) AMSs, namely: Indonesia, Singapore, Malaysia, Thailand, Vietnam, Philippines, Myanmar have the national competition laws to supervise anti-competitive conduct in the domestic market. But the question is what if happened unfair competition between ASEAN member states, due to the agreement or businesses activities by business actors that harm competition? ASEAN has an ASEAN Regional Guidelines on Competition Policy (ARGCP) that developed by ASEAN Experts Group on Competition (AEGC) as framework for member states to develop its own competition law or policy and as a guideline in measuring that directly affect the behaviour of enterprises and the structure of industry and markets. Regional Guideline is just to help AMSs in increasing of awareness of important policy, not to sustain the competition among ASEAN member countries. Until now there is no ASEAN Competition Law and Institution to oversee competition among ASEAN member countries. In this era, ASEAN economic integration it is a certainty that anti-competitive among AMSs will happen.

Abstract

The presence of application-based taxis such as Grabcar and Gocar is a challenge for conventional taxis. Its existence can be reduced to conventional taxi company turnover. On March 22, 2016 thousands of conventional taxi drivers held a demonstration against the existence of online taxis, because online taxis were declared in violation of the Traffic Law and consequently the streets in Jakarta were chaotic. The existence of online taxis cannot be avoided any more, due to technological developments. Online taxis provide benefits and convenience for passengers in ordering and the rates are cheaper than conventional taxi rates. Anyone who has a cellphone and downloads the application, can order the online taxi and pick him up at the place where the passenger booked it. Therefore, the Government through the Ministry of Transportation issued Ministerial Regulation No. 32/2016 which recognizes the existence of online taxis in Indonesia and this Ministerial Regulation is revised through Ministerial Regulation No. 26/2017 and revised again to become Ministerial Regulation No. 108/2017.

Abstract

The capital market is a place for fund owners to invest in companies listed on the Exchange. The company will conduct share trading such as a public offering which has a mandatory requirement to submit a registration statement to the OJK. The process will be assisted by capital market support professionals, one of which is a notary. The length of the process, the high cost, and the uncertainty of getting the statement are the reasons for Backdoor listing. This research aims to discuss the legality of backdoor listing in Indonesia in relation to Article 70 paragraph (1) of the Capital Market Law as well as the roles and responsibilities of capital market notaries in the preparation of Company Deeds that conduct backdoor listing. This research is in the form of normative legal research with the nature of qualitative analysis in which the data is obtained through literature study with secondary data consisting of primary, secondary, and tertiary legal materials. Based on the research results, backdoor listing violates Article 70 of the UUPM because the registration statement from OJK as a sign of fulfillment of the requirements for an IPO does not exist. In addition, the role and responsibility of a notary in a backdoor listing is to make the Minutes of the GMS with the schedule of the backdoor listing plan, which in making it must be in accordance with the provisions and obligations stated in the UUJN, UUPT, and UUPM. If it is appropriate, then the notary gets legal protection, but if not, the notary must be responsible.Bahasa Indonesia Abstrak: Pasar modal merupakan wadah bagi pemilik dana untuk berinvestasi pada perusahaan yang terdaftar di Bursa. Perusahaan tersebut akan melakukan perdagangan saham seperti penawaran umum yang mempunyai syarat wajib untuk mengajukan persyaratan pernyataan pendaftaran kepada OJK. Proses tersebut akan dibantu oleh profesi penunjang pasar modal, salah satunya notaris. Lamanya proses, mahalnya biaya, dan belum pastinya akan lolos hingga memperoleh pernyataan itu menjadi alasan adanya backdoor listing. Penelitian ini bertujuan untuk membahas legalitas backdoor listing di Indonesia sehubungan dengan Pasal 70 ayat (1) UUPM serta peran dan tanggung jawab notaris pasar modal pada pembuatan Akta Perusahaan yang melakukan backdoor listing. Penelitian ini berupa penelitian hukum normatif dengan sifat analisis kualitatif yang cara perolehan datanya melalui studi kepustakaan dengan data sekunder yang terdiri dari bahan hukum primer, sekunder, dan tersier. Berdasarkan hasil penelitian, backdoor listing melanggar Pasal 70 UUPM karena pernyataan pendaftaran dari OJK sebagai tanda terpenuhinya persyaratan untuk IPO tidak ada. Selain itu, peran dan tanggung jawab notaris dalam backdoor listing adalah membuat Risalah RUPS dengan jadwal rencana penyelenggaraan backdoor listing, di mana dalam pembuatannya wajib sesuai dengan ketentuan dan kewajiban yang tercantum dalam UUJN, UUPT, dan UUPM. Jika sesuai, maka notaris mendapatkan perlindungan hukum namun jika tidak maka notaris harus bertanggung jawab.

Abstract

Cartel behavior is one of the activities that has received serious attention in Indonesian competition law. In some cases, cartels are also carried out by the same business actors, who in previous cases, have been found guilty of cartel. This article proposes that the optimal way to deal with cartels in Indonesia requires the imposition of criminal sanctions, such as imprisonment, against individuals who are responsible for the occurrence of cartels. Imprisonment will have a deterrent effect on the offenders of criminal acts. This paper is carried out with an analytical descriptive method with a normative legal approach by analyzing the Commission’s awards that punish the same business actors for repeatedly cartel offenses and also analyzing the laws and regulations of business competition and the Criminal Code as well as related laws and regulations applicable in Indonesia. The criminalization of individuals responsible for the occurrence of cartels is very urgent to be applied in Indonesia to provide a deterrent effect to cartel perpetrators.

Abstract

Law Number 37 of 2004 on Bankruptcy and Suspension of Debt Payment Obligations (UU KPKPU) only requires the provision that a Bankruptcy/PKPU application to be submitted by one creditor, and that it can be proven that the public company has at least two creditors, one of which is past due. Financial Services Authority (OJK) has the authority to regulate and supervise activities in the capital market field or sector carried out by public companies. OJK should be responsible for providing legal protection for public companies that submit applications for bankruptcy. The research method used is a normative legal research method. The results of this research confirm that Article 55 paragraph (1) of the OJK Law and Article 8 paragraph 4 of Law Number 4 of 2023 on the Development and Strengthening of the Financial Sector (P2SK Law) are the legal basis or legal protection that gives the authority to the Financial Services Authority to carry out regulation and supervision of financial services activities in the capital markets sector, where financial services activities in the capital markets sector are also carried out by public companies. There must be rules that are made firmly and explicitly so that the OJK is given responsibility, function and authority in protecting public companies from bankruptcy by carrying out insolvency tests. This means that before a public company is submitted for bankruptcy, the OJK must first carry out an insolvency test to determine whether the public company is in a state of insolvency or is actually in a state of solvency. If the results state that the public company is indeed insolvent, then the OJK must provide a product stating either in the form of a cover letter or a certificate that the public company is suitable for the debtor to submit a bankruptcy petition.

Abstract

Violations in the Competitor Sliding Program at PT Arta Boga Cemerlang refer to actions that are contrary to business rules and ethics, which aim to unlawfully defeat or harm competitors. The case of PT Arta Boga Cermerlang (ABC Battery) as the Reported Party can be a clear example of violation of the principle of fair business competition, as regulated in Law Number 5 Year 1999. This study employs a legal analysis method to investigate the violations committed by PT Arta Boga Cemerlang (ABC Battery) within the framework of competition law in Indonesia. In this case, PT Arta Boga Cemerlang is proven to have committed unfair business competition practices by entering into a closed agreement that discriminates against products from competitors through exclusive cooperation that provides special benefits to PT Arta Boga Cemerlang's partners. This practice violates Article 15 Paragraph 3 (Closed Agreement) and Article 19 letter (a) (Discrimination) in Law No. 5 Year 1999. Companies that have a dominant position can discriminate in providing services to customers or distributors. Discussing this case in a paper provides an opportunity to analyze how competition law is applied in the context of a market economy, as well as how violations like this can undermine a fair market ecosystem. In addition, the case is also relevant for understanding the challenges of enforcing fair competition principles in a simple and clear manner.

Abstract

The procurement of fingerprint ink in the 2004 Election has become a serious concern due to indications of collusion in the tender process involving auction participants and KPU officials. This case reflects the complexity of violations that are not only related to business competition law as regulated in Article 22 of Law No. 5 of 1999, but also involve elements of corruption in accordance with Law No. 31 of 1999 in conjunction with Law No. 20 of 2001. This study uses a normative juridical method to analyze the form of collusion that occurred, its implications for the procurement system of goods and services, and coordination between KPPU and law enforcement officers in handling this case. The results of the study indicate that weak supervision and lack of synergy between institutions hamper the effectiveness of law enforcement, so that regulatory reform and increased transparency are needed to prevent similar practices in the future.

Abstract

This study analyzes the alleged discriminatory practices by PT Telekomunikasi Indonesia (Persero) Tbk and PT Telekomunikasi Seluler (Telkom Group) against Netflix in the provision of internet access services. The issue arose when Telkom Group blocked access to Netflix in 2016, citing concerns over inappropriate content and consumer protection. However, similar platforms such as HOOQ, Viu, and Iflix were not subjected to the same restrictions, raising concerns about unequal treatment and potential anti-competitive behavior. Using a normative juridical approach combined with statutory, conceptual, and comparative methods, this research examines the case through the lens of Law No. 5 of 1999 on the Prohibition of Monopolistic Practices and Unfair Business Competition and Law No. 36 of 1999 on Telecommunications. The analysis incorporates the principle of non-discrimination and the "essential facilities" doctrine to assess whether the actions of Telkom Group potentially violated competition law. Although the Indonesian Competition Commission (KPPU) concluded there was no legal violation, this decision remains controversial and highlights the need for stronger regulatory frameworks and clearer enforcement mechanisms in Indonesia’s digital economy. Ensuring fair and non-discriminatory access to digital services is vital for fostering innovation, consumer choice, and a competitive ecosystem.

Abstract

Kegiatan Pengabdian kepada Masyarakat sangat bermanfaat bagi masyarakat, dalam hal ini masyarakat Desa Betimus Mbaru, Kecamatan Sibolangit, Kabupaten Deli Serdang Propinsi Sumatera Utara. Penyuluhan hukum mengenai sertifikat tanah dan penyelesaian sengketa tanah yang dilakukan di Sibolangit, memberi motivasi dan menambah wawasan tentang Hukum Tanah/Agraria yaitu hak-hak atas tanah penting dibuktikan dengan surat tanah/sertifikat sebagai bukti yang memiliki kekuatan hukum. Tanah mempunyai nilai ekonomis, semakin banyak kebutuhan akan tanah maka semakin tinggi nilai tanah, tidak terhindar akibatnya semakin bertambah konflik tanah. Disamping permasalahan hukum atas hak-hak warga Desa Betimus Mbaru berkaitan dengan hak atas tanah. Upaya penyelesaian masalah hukum mengenai hak milik atas tanah dapat dilakukan di luar pengadilan yaitu musyawarah adat, atau diselesaikan di pengadilan dengan mengajukan gugatan. Metode penelitian yang diterapkan untuk memecahkan masalah sertifikat tanah sebagai alas hak dan bukti kepemilikan tanah melalui penelitian yuridis normatif empiris, dengan data pustaka dan didukung dengan tanya jawab dalam penyuluhan hukum yang disampaikan di Sibolangit kepada Masyarakat Desa Betimus Mbaru. Pentingnya bukti kepemilikan hak atas tanah sebagai alas hak warga masyarakat Desa Betimus Mbaru, sehingga dapat ditindaklanjuti melalui kegiatan penyuluhan hukum selanjutnya akan membahas pengurusan sertifikat tanah pada Badan Pertanahan Nasional (BPN).
