Abstract

The purpose of this paper is to analyze the position of the Board of Directors in a Limited Liability Company according to Law Number 40 of 2007 concerning Limited Liability Companies, and the application of the Piercing the Corporate Veil doctrine in the accountability of the Board of Directors in relation to Law Number 40 of 2007 concerning Limited Liability Companies. The research method used in this research is descriptive analytical, with a normative juridical approach. This research was conducted by means of library research and field research with data collection techniques through documentation studies and interviews as well as data analysis methods used in this study using qualitative juridical analysis. Based on the results of the discussion above, it can be concluded: First, UUPT to some extent acknowledge the validity of this theory of Piercing the Corporate Veil. The application of this theory to the actions of a company causes legal responsibility not only to be requested from the company (even though it is a legal entity), but legal liability can also be requested from its shareholders, Directors or Commissioners. Second, The actions of the Board of Directors which are not based on the principle of fiduciary duty that cause losses to the PT, the Board of Directors can not only be fully responsible personally for the losses that occur in accordance with Article 97 paragraphs (3) and (4) of the Company Law, the Board of Directors must be responsible for the losses incurred by the company due to his or her mistakes and omissions.

Abstract

This study aims to analyze relationship of transformational leadership style of head room and performance of implementing nurse in the Inpatient Room at Bandung General Hospital and Prof. Dr. Boloni Medan General Hospital. This research is a quantitative research with associative correlative research design. The population in this study are head room of the Inpatient Room at General Hospital as many as 31 people consisting of 17 people at Bandung General Hospital and 14 people at Prof. Dr. Boloni Medan General Hospital. The sample in this study is the entire population as the research sample (total population) as many as 31 head room of the Inpatient Room at Bandung and Prof. Dr. Boloni Medan General Hospital. The data analysis method used bivariate analysis. The results show that there is relationship of transformational leadership style of head room and performance of implementing nurse in the Inpatient Room at Bandung General Hospital and Prof. Dr. Boloni Medan General Hospital.

Abstract

The research with the title First To File principle in the resolution of GOTO brand disputes aims to find out how the dispute resolution against trademarks should use the First To File principle. This article uses normative legal research with a legal and conceptual approach. Trademark registration in Indonesia adheres to a constitutive system, as stated in Article 13 of Law Number 20 of 2016 concerning Marks and Geographical Indications where the applicant whose application is submitted first and registered first, then that party is entitled to the protection of the mark. However, in practice there are not a few disputes that arise due to the similarity of naming the brand. However, in practice, there are many disputes that arise due to similarities in naming brands or similarities in essence. Therefore, it is necessary to have legal certainty for rights holders who have registered their trademarks first.

Abstract

Social Responsibility or what we are better known as CSR today is an inseparable aspect of the company. Providing CSR assistance in the field of education with the "Wika Teaching" program by PT Wika Beton Tbk, can increase wider knowledge and also learn about the world of work which can help improve welfare. The purpose of this study was to analyze the implementation of CSR PT. Wika Beton, Tbk-PPB North Sumatra in the field of education through the "Wika Mengajar" program at Smk Negeri 2 Binjai. Analyzing and the constraints faced in the implementation of CSR PT. Wika Beton, Tbk-PPB North Sumatra in the field of education through the "Wika Mengajar" program at Smk Negeri 2 Binjai. This type of research is descriptive qualitative research. The method used to collect data in this study is observation, interviews and documentation, in this research the data is analyzed by means of data reduction, data display, and Drawing conclusions and verification. The results of the research on the Implementation of the Wika Teaching Program at SMK Negeri 2 Binjai from several indicators taken according to the implementation theory of the Merilee S Grindle Model from the aspect of policy content, namely the influencing interests, the benefits generated, the degree of desired change, the location of decision making, program implementation and resources. which is used while in the aspect of the policy environment, namely the power, interests and strategies of the actors involved, as well as the characteristics of the institutions and regimes in power and the level of compliance and the response from the implementers.The target of the Wika Mengajar program is to fulfill corporate responsibility through the implementation of CSR by creating the Wika Mengajar program and to provide assistance to its steak owners through the program company PT. Wika Concrete.

Abstract

This study aims to to describe the implementation of the values of the Basic Constitution of the State, namely the 1945 Constitution Article 33 paragraphs 2 and 3 as well as the Fifth Precepts of Pancasila, namely "social justice for all Indonesian people" towards the readiness and security of energy, especially fuel oil for people in disadvantaged, frontier and outermost areas of Indonesia, because with the vast territory of the Unitary State of the Republic of Indonesia, there are challenges in providing energy in underdeveloped, frontier and outermost areas and how opportunities to realize this role. The supply of fuel oil in underdeveloped, frontier and outermost areas. Fuel Oil is often obtained by illegal means, illegal activities of misuse of fuel oil (BBM) are carried out by the community either by purchasing, transporting or storing to fulfill fuel needs because of the need for availability. Fuel is a basic need of the community in order to encourage their economic needs. Meanwhile, the government has not been able to fully guarantee the availability of fuel oil in the disadvantaged, frontier and outermost areas of Indonesia.  At the end of the discussion, this article discusses how the Government as the regulator should include a sustainable approach so that the Disadvantaged, Frontier and Remote Areas can fulfill their rights in the availability of Oil Fuel Energy.

Abstract

The present paper critiques and analyses three articles ‘Measuring Employee Expectations in a Strategic Human Resource Management Research: Job Satisfaction’ which appeared in the journal ‘Procedia Social and Behavioral Sciences’, published in 2011, ‘Shattered but smiling: Human resource management and the wellbeing of hotel employees during COVID-19’ which appeared in the journal ‘International Journal of Hospitality Management’, published in 2021, and ‘Innovation Culture and Strategic Human Resource Management in Public and Private Sector within The Framework Of Employee Ownership’ which appeared in the journal ‘Procedia Social and Behavioral Sciences’, published in 2015. This review will begin by summarising the articles. It will then briefly analyse the effectiveness of the article based on how it was structured – investigating how the information is set out and whether the readers can access it effectively and with ease. And finally the article will be critiqued based upon its authority and accuracy, and how current and relevant the information presented is. The review will also analyse any graphs and tables before finally judging the article’s accessibility and credibility. The central theme of the paper is to present a ‘conceptual framework encompassing a range of organization's overall issues relevant to strategic human resource management’. The framework provides a foundation for organising the existing and the growing literature on international competition and ‘creating a map of the field’. The chosen articles can be used for both teaching and future research, but more importantly they are most beneficial for manager of multinational corporation. Which is aimed at providing then with ‘relating and synthesizing the different perspectives and prescriptions that are currently available for global strategic management’.

Abstract

This study aims to identify and explain the application of cumulative criminal sanctions and judges' legal considerations in imposing cumulative penalties based on Law Number 5 of 1997. The research method uses a normative juridical approach to legislation. The results show that the application of cumulative criminal sanctions on criminal acts of psychotropic abuse from ineffectiveness to the degree of effectiveness in the clarity of the formulation of the substance of the legal rules regulated in the Psychotropic Law requires sentencing guidelines for judges in determining the limit on the number of illegal psychotropic possessions in order to determine the weight. The lightness of cumulative criminal sanctions against the adverse effects of illicit trafficking and abuse of psychotropic substances in the life of society, nation, and state. The judge's legal considerations in imposing cumulative penalties through the ratio descending approach are based on the subject matter of the Public Prosecutor's indictment and prove the elements of the indicted articles are the basis for the judge's decision in the application of cumulative criminal sanctions based on the Psychotropic Law.

Abstract

The purpose of this study was to examine and determine the effect of customer experience and food quality on customer satisfaction of culinary SMEs in Jakarta moderated by entrepreneurial character. The sampling technique used was accidental sampling and the samples used in this study were 210 MSME customers in Jakarta. The data collection technique uses a questionnaire instrument and then the data that has been collected is processed by data analysis methods in the form of SEM-PLS and Smart PLS Version 03 software. The results of this study indicate that customer experience and food quality have a positive and significant effect on customer satisfaction, while entrepreneurial character has an effect on positive on customer satisfaction. Based on the moderating variable, the entrepreneurial character has not been able to strengthen the influence of customer experience on customer satisfaction, while the entrepreneurial character is able to strengthen the influence of food quality on customer satisfaction.

Abstract

This research aims at identifying the kinds of flouting maxim performed in the Zootopia movie and finding out the effect of flouting maxim in the movie. The method used in this research is descriptive qualitative method. The data of this research are forty-eight dialogues of the Zootopia movie containing flouting maxim. Based on Cooperative principle, used Grice’s theory, the researcher found that all character of the movie flouted all each type of maxim. The most flouting maxim used in the Zootopia movie is floating maxim of quantity and the least flouting maxim used in the Zootopia movie is flouting maxim of quality. For the effects, there are eight effects based on Austin’s Perlocutionary effect theory to the other character of the movie. The eight effects based on Austin’s theory are annoying, boring, convincing, causing, getting the hearer realize something, getting the hearer to do something, and insulting. Further, the effect that mostly occurs in the Zootopia movie is Convincing effect and the le ast effect used in the Zootopia movie is surprising effect.

Abstract

The objective of this causal research was to obtain information concerning: (1) the effect of work culture toward organizational commitment; (2) the effect of personality toward organizational commitment; and (3) the effect of work culture toward personality. The research was conducted by using a survey method with path analysis of this hypothesis testing. This research, teachers on Public Junior High School – Kei Kecil-Southeast Maluku has been choosen as a unit analysis and 112 samples of teachers were selected in random. The results of the research are as follows: (1) there is a direct positive effect of work culture toward organizational commitment; (2) there is a direct positive effect of personality toward organizational commitment; and (3) there is a direct positive effect of work culture toward personality.
