Abstract

The increasing issue of the global environmental crisis has prompted the UN to launch 17 Sustainable Development Goals (SDGs). Although Indonesia has a strong commitment to achieving the SDGs, its implementation is still lagging behind, one of the reasons being the suboptimal application of Environmental, Social, and Governance (ESG) at the company level, especially in the banking sector. This creates uncertainty, implementation obstacles for companies, and opens up loopholes for ESG-washing practices. This study aims to formulate a regulatory formulation for the ESG concept in the banking sector as a strategy to accelerate sustainable development in Indonesia. The research method used is normative legal research that is prescriptive with a statutory approach and a conceptual approach. The types and sources of legal materials use primary legal materials and secondary legal materials. The results of the study conclude that an effective regulatory formulation is needed including a revision of POJK 51/POJK.03/2017 to require integrated reporting and adoption of the double materiality concept. In addition, it is recommended to strengthen the role of Good Corporate Governance (GCG), establish standard and measurable ESG reporting standards, require independent assurance (verification) of sustainability reports, and enforce legal sanctions against ESG-washing practices.

Abstract

Technologies enable organizations to support and improve knowledge management practices. First, it will be easier to define augmented and virtual reality concepts to better understand them. Artificial Intelligence technology enables organizations to support and improve knowledge management practices. The research aims to explain the current trend of artificial intelligence-augmented reality in science learning. A review is conducted on the state-of-the-art methods using the preferred reporting items for reviews and meta-analyses (PRISMA) guidelines. An innovation in educational technology to support learning is the existence of AI technology. Technology may speed up education when used wisely and responsibly. The development of artificial intelligence technology can help pupils become more independent. The teacher does not have to play such a dominant role, but his responsibilities are laid out in the context of offering illumination through significant keywords. The basis for every use of technology for teachers is to continue to prioritize the essence of teaching, namely managing the morale and behavior of students.

Abstract

Introduction to the Problem: The development of information technology has given rise to various types of electronic contracts in the form of adhesion contracts. Unfair legal issues surround the contract formation process and the content of new electronic contract models, such as browser wrap agreements and sign-in wrap agreements. In several cases that have been decided by the Court, the panel of judges has its own standards for deciding disputes based on a fair electronic contract. Purpose/Study Objectives: This paper aims to elaborate on the nature of contractual fairness from an electronic contract perspective. Design/Methodology/Approach: This study employed the statute approach and the case approach. This research examines various regulations relating to agreements, electronic contracts, the doctrine of unconscionability and examizing a number of decisions pertaining to electronic contracts from courts in Indonesia as well as various other nations. Findings: The research results can be concluded that nature of fairness in electronic contracts can be tested through two indicators, the process of forming the contract and clauses in the agreement. Electronic contracts are considered procedurally unfair if the weak party does not know and realizes that they are bound by a contract. An electronic contract is considered substantively unfair if a clause in the contract places an unreasonable burden on the weaker party. In addition to the doctrine of unconscionability, the principles of transparency, duty to read, and reasonable expectation must also be used to ensure fairness in electronic contracts. These principles need to be formulated into the norms of the Indonesian Information Transaction Act to protect consumers from unfair contracts. Paper Type: Research Article

Abstract

Kompleksitas permasalahan dalam penanganan perubahan iklim telah menuntut adanya inovasi dalam sistem penurunan emisi gas rumah kaca. Kesadaran untuk menyelesaikan permasalahan tersebut ditandai dengan Paris Agreement yang menjadi seruan bagi seluruh negara agar dapat berkontribusi dalam menjaga batas pencemaran lingkungan dan menunjukkan komitmennya untuk  memperbaiki kualitas lingkungan hidup. Implementasi Undang-Undang Nomor 4 Tahun 2023 tentang Pengembangan dan Penguatan Sektor Keuangan menjadi landasan bagi pemberlakuan bursa karbon sebagai salah satu sarana untuk mencapai Net Zero Emision di Indonesia. Permasalahan muncul ketika aktivitas ini belum sepenuhnya dapat berjalan dengan optimal karena minimnya jumlah korporasi yang terlibat langsung dalam perdagangan karbon di Bursa Efek Indonesia. Pengabdian ini dilaksanakan dengan menggunakan pendekatan preskriptif, pragmatis, persuasif dan evaluatif untuk memperkuat peran Galeri Investasi dalam mensosialisasikan bursa karbon kepada pelaku Industri yang ada di wilayah Solo Raya. Pengabdian ini dilakukan dengan memberikan sosialisasi kepada perwakilan PT. Konimex serta menganalisis potensi keuntungan dari aktivitas industri tersebut dalam bursa karbon. Hasil observasi dalam proses pengabdian menunjukkan bahwa PT. Konimex telah memiliki pedoman komitmen pencapaian PROPER Biru dalam proses produksi yang dilakukan dengan menggunakan teknologi ramah lingkungan. Kendati demikian, belum ada agenda untuk terjun dalam bursa karbon. Dari hasil sosialisasi yang dilakukan oleh IDX Carbon, telah terlihat peluang dan strategi yang perlu dipertimbangkan oleh PT. Konimex untuk dapat ikut serta dalam perdagangan karbon di Indonesia. Pendekatan dan agenda serupa perlu terus dilakukan terhadap industri-industri skala nasional yang ada di Solo Raya.

Abstract

Backdoor listing is a method used by companies to enter the capital market without going through the lengthy and costly initial public offering (IPO) process. This practice typically involves the acquisition of a public company by a private company, allowing the private company to be listed on the stock exchange through the acquired public company. One of the main requirements for listing shares on the stock exchange is that the business must be a limited liability company. In this context, notaries play a crucial role in ensuring legality and compliance with applicable regulations. Legal protection for notaries in backdoor listing practices is crucial given the complexity and potential legal risks involved. Notaries must ensure that all documents and processes related to backdoor listing comply with the Limited Liability Company Law (UUPT), the Capital Market Law (UUPM), and other relevant regulations. However, due to the lack of detailed legal regulations regarding backdoor listing in Indonesia, notaries must exercise caution and ensure that every step taken complies with applicable legal principles.

Abstract

This article examines the regulation of disgorgement in Indonesia. This research is prescriptive normative legal research with statutory approach. The data used were primary, secondary, and tertiary legal materials. Data collection techniques carried out by literature study or document study with deductive syllogism legal material analysis techniques. The results of the research and discussion show that disgorgement is important in the effectiveness of law enforcement by punisihing criminals a direct punishment, it can reduce crime in the capital market itself.

Abstract

This article examines the legal issues regarding the regulation of peer-to-peer lending in Indonesia. This research is a prescriptibe normative legal research with statutory approach. The data used were primary, secondary, and tertiary legal materials. Data collection techniques carried out by literature study or document study with deductive syllogism legal material analysis techniques. The results of the research and discussion show that the regulation of P2P Lending in Indonesia is not comprehensive enough to regulate the P2P Lending industry, which leads to the emergence of several legal issues as follows: a) There is no mechanism for registering a lending platform before it can be accessed by the public; b) breach of security and privacy of personal data; c) the rise of illegal P2P Lending platforms; d) there are no clear dispute resolution steps; e) there is no proper billing mechanism.

Abstract

Artikel ini mendeskripsikan dan mengkaji permasalahanapa sajakah problematika hukum dalam kontrak standar PT. Experian dalam pengadaan software. Artikel ini adalah penelitian hukum empiris bersifat deskriptif. Jenis datapenelitian adalah data primer dan data sekunder. Hasil penelitian menunjukkan bahwa pada umumnya proses pengadaan software oleh Bank dengan Vendor selaku penyedia software melalui 3 tahap besar yaitu, tahap pengadaan/ tender/seleksi umum, tahap implementasi (delivery), dan tahap pemeliharaan (maintenance). Dalam kontrak pengadaan PT. Experian, terdapat problematika hukum dalam kontrak standar PT. Experian dalam pengadaan software yaitu perbedaan persepsi terhadap kebutuhan bisnis dan realisasi jangka waktu. Penyelesaian problematika hukum pada Kontrak Pengadaan software PT Experian dilakukan dengan negosiasi sebagai tahap awal.

Abstract

This articles aim to identify legal problems in the use of Blockchain technology in the financial services industry in Indonesia. In addition, this study also analyzes theurgency  of  forming  laws  and  regulations  on  Blockchain  technology  in  the Indonesian financial services industry sector. This type of research is normative legal research. The research approach used in this research is the statute approach. Legal materials used in this research are primary and secondary legal materials. The data collection technique used is literature study. The results showed that Blockchain technology has been utilized in several sectors of the financial services industry in Indonesia. However, the use of Blockchain technology still leaves some room for problems. From the legal aspect, some of these problems include the absence of laws and regulations governing Blockchain, risk and legal issue the using Blockchain technology for Financial Crime and not optimal monitoring of the use of Blockchain technology. This condition certainly creates serious risks related to transaction security, data breaches and monetary system stability. In this regard, the use of Blockchain technology has an urgency to be regulated in the laws and regulations in Indonesia.

Abstract

Penulisan hukum ini didasarkan pada semakin berkembangnya praktik jual beli akun driver online yang terjadi pada layanan jasa transportasi online. Penulisan ini menggunakan metode penelitian  hukum normatif bersifat  preskriptif.  Hasil penulisan  ini  menyimpulkan  bahwa praktik jual beli akun driver online yang sedang marak ini. Dapat mengakibatkan terjadinya celah tindakan kriminal seperti pencurian, perampokan, pelecehan seksual dan tindakan kriminal lainya yang dapat merugikan Pengguna  alias masyarakat luas. Hal ini dikarenakan identitas yang  tertera pada aplikasi bukan identitas asli Pengemudi. Terkait demikian, apabila ada pelanggaran atau hal-hal yang menyebabkan Pengguna tidak nyaman, Pengguna tidak dapat melaporkan kinerja Pengemudi. Berdasarkan hal tersebut, maka dalam praktik jual beli akun driver online pada layanan jasa tranportasi online ini merupakan praktik yang ilegal. Hal tersebut didasarkan pada ketentuan yang ditegaskan dalam KUHPerdata dan peraturan perundangundagan lain yang berlaku terkait informasi dan transaksi elektronik.
