Abstract

The Board of Directors, as an organ of the company, has the authority and responsibility to manage the company in accordance with the principles of good faith and prudence as stipulated in the Limited Liability Company Law. In practice, directors may act beyond their authority or engage in negligent or intentional conduct that causes losses to the company or third parties. This study aims to analyze the forms of directors’ liability for unlawful acts based on Article 1365 of the Civil Code and the Limited Liability Company Law. The research employs a normative legal method using statutory and conceptual approaches. The results indicate that directors may be held personally liable if they are proven to have committed fault or negligence in performing their duties resulting in losses, and if they fail to comply with the principles of fiduciary duty and duty of care. Therefore, personal liability of directors serves as an important legal instrument in promoting good corporate governance and providing legal protection for the company and third parties.

Abstract

The development of the television broadcasting industry in Indonesia has demonstrated an increasing trend of consolidation through acquisitions, potentially resulting in vertical integration between content producers and broadcasting channel operators. This article aims to analyze acquisitions as a form of vertical integration in the television broadcasting industry and their implications for business competition under Law Number 5 of 1999 concerning the Prohibition of Monopolistic Practices and Unfair Business Competition. This research employs a normative legal method using statutory and conceptual approaches, supported by an analysis of the structural characteristics of the broadcasting industry. The findings indicate that although Article 14 of Law No. 5 of 1999 textually regulates vertical agreements, acquisitions that create control across different market levels may be qualified as vertical integration under a systematic and effects-based interpretation. Vertical integration through acquisition is not strictly prohibited but is assessed using a rule of reason approach by balancing efficiency gains against the risk of vertical foreclosure, particularly in industries characterized by limited distribution channels and high entry barriers. Therefore, the legality of such acquisitions depends on whether they restrict market access and distort competitive market structures.

Abstract

The development of peer-to-peer lending (P2P lending) as part of financial technology has increased access to financing, but also creates legal risks in the form of default, which are detrimental to lenders. This study aims to analyze legal certainty in resolving default disputes in P2P lending in Indonesia and examine the legal remedies available to lenders. This research is a normative legal study with a statutory and conceptual approach, utilizing primary and secondary legal materials analyzed qualitatively through deductive reasoning. The results indicate that default can be legally qualified as a breach of contract, which entitles lenders to demand fulfillment of obligations or compensation. Furthermore, dispute resolution is carried out in stages through internal platform mechanisms, non-litigation, and litigation. Although regulations have provided formal legal certainty, in practice, weaknesses remain in the protection aspect for lenders, primarily due to the use of standard electronic contracts and the unequal position of the parties. Therefore, legal certainty in P2P lending needs to be interpreted not only as clarity of norms but also as a guarantee of substantive protection for injured parties.

Abstract

A grant is a free gift from the grantor to the grantee made while both parties are still alive. The grant agreement is the authority of the Land Deed Making Officer (PPAT) which is also stated in Article 40 of Government Regulation Number 24 of 1997 concerning Land Registration that the PPAT has an obligation to register the deed of grant he made and submit the deed along with the relevant documents to the Land Office no later than 7 (seven) working days from the date of signing the deed in question. However, there are still PPATs who are negligent in complying with these regulations, resulting in delays in registering the deed of grant to the Land Office, of course, this negligence causes losses for the grantee. This study aims to analyze the legal consequences of the delay in registering the deed of grant by the Land Deed Making Officer (PPAT) on the status of transfer of land rights and to examine the form of legal protection for the grantee regarding the delay in registering the deed of grant. The research method used is normative juridical legal research with a statutory approach and a case approach with this research being prescriptive. The results of the study indicate that the delay in registering the deed of gift results in the inability to transfer land rights, so that the transfer of rights is not recorded administratively with the land rights still registered in the name of the grantor. This also has an impact on the weak legal position of the grantee and has the potential to cause disputes such as blocking the grant object by the grantor, in this case the grantee does not get legal certainty because the transfer of rights cannot be continued. Although the deed of gift has been signed, it remains valid despite the delay in registration, but the deed has not yet transferred rights, therefore the grantee does not have legal force over the grant object. Furthermore, this negligence can result in the opportunity for disputes because the grantee has not been legally registered as the owner of the rights to the grant object legally. Legal protection for grantees consists of preventive and repressive protection. Preventive protection is obtained through the existence of regulations regarding registration obligations by PPAT within a predetermined time period, while repressive protection is provided by filing a lawsuit with the court and demanding compensation against the PPAT for his negligence. Thus, it is necessary to increase awareness of compliance by PPAT in carrying out his duties and authorities, including his obligations, as well as legal protection for grantees.

Abstract

AbstractCorporate Social Responsibility (CSR) is an obligation that imposed on a company under Article 74 of Law No. 40 Year 2007 regarding Limited Liability Company (UUPT). CSR implementation has some problems because of the lack of regulations (UUPT) that thera no sanctions for the companies that do not implement CSR. Currently, many companies that do not implement CSR maximally. So that the implementation of CSR is currently less of legal responsibility. Therefor,  it is necessary to formulate a model of CSR’s accountability in order to fill the legal vacuum that occurs at this time in order to improve the welfare of society. This research used research and development / R&D method. The location of research consits of PT Pertamina Hulu Energi (PHE) in Jakarta and some companies in Surakarta. The data used is derived from the primary data from informants, while secondary data in the form of journals, papers, reports, results of previous studies and other relevant publications. The Instrument collecting data using interviews, questionnaires, focus group discussions (FGD) and literature study. For the analysis used qualitative analysis techniques. AbstrakTanggung jawab sosial perusahaan atau Corporate Social Responsibility (CSR) merupakan kewajiban yang dibebankan kepada suatu perusahaan berdasarkan Pasal 74 Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas (UUPT). Pelaksanaan CSR masih menjadi persoalan karena belum adanya peraturan pelaksanaan dari UUPT tentang pengawasan dan sanksi bagi perusahaan yang tidak melaksanakan CSR. Saat ini banyak perusahaan hanya melakukan CSR secara suka-suka tanpa ada pedoman yang jelas. Sehingga pelaksanaan CSR saat ini kurang dapat dipertanggungjawabkan secara hukum. Untuk itu perlu dirumuskan model pertanggungjawaban pelaksanaan CSR guna mengisi kekosongan hukum yang terjadi saat ini guna meningkatkan kesejahteraan masyarakat. Penelitian ini menggunakan metode penelitian dan pengembangan (research and development / R&D). Lokasi penelitian meliputi PT Pertamina Hulu Energi (PHE) di Jakarta dan beberapa Perusahaan di Surakarta. Data yang dipergunakan yakni data primer berasal dari informan, sedangkan data sekunder berupa jurnal, makalah, laporan, hasil penelitian terdahulu dan publikasi lainnya yang relevan. Instrumen pengumpul data menggunakan wawancara, kuesioner, Focus Group Discussion (FGD) dan studi kepustakaan. Untuk analisis digunakan teknik analisis kualitatif.

Abstract

ABSTRACT This article aimed at investigating the implementation of suppression and eradication of terrorism and its organizational existence in Indonesia for the sake of humanity. Apart from the less perfect Law of Terrorism Eradication and no Law specially governing terrorism funding responsively, the law enforcers have successfully used the existing legislations to make Indonesia obey the UN Security Council’s Resolution Number 1267. The verdict against the cases of Zarkasih and Abu Dujana was the first verdict punishing the corporation in Indonesia, by stating that Al Jamaah Al Islamiyah is a forbidden corporation. It also proved the presence of terrorism funding for the first time. In addition, for the first time some assets were taken from Al Jamaah Al Islamiyah through fine of 10 million rupiahs imposed on JI’s administrators, Zarkasih and Abu Dujana respectively. This case handling also proved that law is dependent not only on the legislations but also on the law enforcers themselves

Abstract

This article analyzes the feasibility of incorporating reciprocal financial data into Indonesia's open banking system by studying its implementation in the United Kingdom and other countries. The methodology employed is conceptual, statutory, and comparative legal, utilizing data gathered from secondary legal sources. The study discovered that reciprocal data finance could be a supplementary measure to enhance data portability rights. This approach enables banks to provide compensation for access to account data, utilizing the concept of "paying by data". Indonesia should contemplate the adoption of data reciprocity alongside the portability rights outlined in Article 13 of the PDP Law. Subsequently, it can be configured inside the SNAP settings. Before proceeding with this development, it is crucial to establish Open banking in Indonesia by effectively balancing the goals of personal data rights and market competition. This circumstance will encourage Bank Indonesia to collaborate with other regulatory bodies, such as competition authorities, data protection regulators, and sector regulators. Despite potential differences in their objectives, this collaboration is necessary as reciprocal data portability initiatives may involve multiple regulatory domains.

Abstract

The problem relies on the suboptimal fulfillment of incentives and allowances for Indonesian health professionals. It becomes urgency that health professionals are the front liner in the treatment and countermeasures of COVID-19, especially with the high work risk burden that is faced, thus, making the government strive to fulfill at its best. The problem always repeats due to an unsynchronized implementation by the central and the local government until now, so it also worsens the unfulfilled rights of health professionals. The method used in this research was the socio-legal method. The data were collected from the existing laws and regulations and the result from sociological observation. The results indicated that there is a study on rights fulfillment for health professionals based on the laws of the rights of health professionals in Indonesia. The study elaborates on the problem that is currently happening with COVID-19 cases in Indonesia and the reality of the rights fulfillment of health professionals. This article also discusses legal reality in the making of laws and regulations das sollen and das sein.

Abstract

Di tengah dinamika persaingan global dan tuntutan resiliensi ekonomi, kolaborasi sinergis antara Usaha Mikro, Kecil, dan Menengah (UMKM) dengan Usaha Besar memiliki potensi transformatif dalam meningkatkan daya saing, inovasi, dan keberlanjutan khususnya dalam sektor ekonomi mikro. Saat ini dunia dan Indonesia telah memiliki Tujuan Pembangunan Berkelanjutan atau Sustainable Development Goals (SDGs) yang telah memberikan arah dalam pembangunan maupun pengembangan termasuk penguatan ekonomi mikro. Penelitian ini menganalisis peran strategis kemitraan antara UMKM dengan Usaha Besar sebagai katalisator dalam mewujudkan penguatan ekonomi mikro yang berkelanjutan. Melalui pendekatan literatur terhadap berbagai sumber terkait dengan kemitraan UMKM-Usaha Besar serta penguatan ekonomi mikro berkelanjutan. Selain itu penelitian ini menganalisis mekanisme operasional, transfer sumber daya, dan dampak jangka panjang kemitraan terhadap pertumbuhan, penciptaan nilai tambah, serta aspek sosial dan lingkungan dalam ekosistem ekonomi mikro. Temuan penelitian menyoroti faktor-faktor krusial yang menentukan keberhasilan kemitraan UMKM-Usaha Besar yang berkelanjutan, termasuk komitmen jangka panjang, keselarasan tujuan, dan mekanisme berbagi manfaat yang adil. Implikasi dari studi ini memberikan kontribusi teoretis dan praktis bagi perumusan kebijakan yang mendukung kemitraan inklusif dan berkelanjutan, serta bagi pelaku usaha dalam membangun kolaborasi yang memberdayakan UMKM dan memperkokoh pondasi ekonomi mikro yang resiliensi.
