Abstract

Kredit atau pembiayaan tentunya tidak terlepas dari jaminan, salah satunya jaminan fidusia karena jaminan fidusia memberi keuntungan pada pihak yang meminjam setelah menerima pinjaman, si peminjam juga masih memiliki hak atas bendanya. Perjanjian fidusia secara akta notariil saja tidak cukup, akan tetapi harus dilanjutkan dengan pendaftaran fidusia. Penelitian ini bertujuan untuk mengetahui kekuatan hukum akta notariil jaminan fidusia yang tidak didaftarkan di kantor pendaftaran fidusia. Metode penelitian yang digunakan adalah penelitian hukum normatif, yaitu penelitian hukum yang dilakukan dengan cara mengkaji peraturan perundang-undangan atau yang diterapkan terhadap suatu permasalahan hukum tertentu. Pendekatan penelitian yang digunakan adalah pendekatan undang-undang dan pendekatan konseptual. Hasil penelitian menunjukkan bahwa kekuatan hukum akta notariil jaminan fidusia yang tidak didaftarkan pada kantor pendaftaran fidusia, akta notariil jaminan fidusia kekuatannya akan menurun karena sudah tidak menjadi alat bukti tetap dan utama / preferent, dengan tidak didaftarkannya akta notariil jaminan fidusia maka tidak terbit sertifikat jaminan fidusia yang mengakibatkan kerugian negara karena tidak adanya penerimaan negara bukan pajak pada pemerintah.

Abstract

Law Number 17 of 2023 on Health has erased the requirement to allocate 5% to the health sector from the State Revenue and Expenditure Budget and 10% from the Regional Revenue and Expenditure Budget. It was previously required under Law Number 36 of 2009 concerning Health. This paper analyzes the fulfillment of the right to health following the removal of the mandatory spending provision. The authors employ legal methodology, adopting both normative and conceptual approaches. The study reveals that the government erased the mandatory spending norm for several reasons. Some of these stem from limited fiscal space and program flexibility, constrained by budget efficiency arising from the existence of the national health insurance, the emergence of new areas of corruption in the health sector, and the misallocation of the health budget. The legal policy of the Health Law should explicitly allocate 10%–20% to the health sector and include targeted, structured, and well-planned programs to achieve the greatest possible prosperity for the people. This allocation amount is comparable to expenditures in the education sector, underscoring that mandatory health spending reinforces the responsibility of both central and local governments to allocate sufficient health budgets as a national priority.

Abstract

The Board of Directors, as an organ of the company, has the authority and responsibility to manage the company in accordance with the principles of good faith and prudence as stipulated in the Limited Liability Company Law. In practice, directors may act beyond their authority or engage in negligent or intentional conduct that causes losses to the company or third parties. This study aims to analyze the forms of directors’ liability for unlawful acts based on Article 1365 of the Civil Code and the Limited Liability Company Law. The research employs a normative legal method using statutory and conceptual approaches. The results indicate that directors may be held personally liable if they are proven to have committed fault or negligence in performing their duties resulting in losses, and if they fail to comply with the principles of fiduciary duty and duty of care. Therefore, personal liability of directors serves as an important legal instrument in promoting good corporate governance and providing legal protection for the company and third parties.

Abstract

The development of the television broadcasting industry in Indonesia has demonstrated an increasing trend of consolidation through acquisitions, potentially resulting in vertical integration between content producers and broadcasting channel operators. This article aims to analyze acquisitions as a form of vertical integration in the television broadcasting industry and their implications for business competition under Law Number 5 of 1999 concerning the Prohibition of Monopolistic Practices and Unfair Business Competition. This research employs a normative legal method using statutory and conceptual approaches, supported by an analysis of the structural characteristics of the broadcasting industry. The findings indicate that although Article 14 of Law No. 5 of 1999 textually regulates vertical agreements, acquisitions that create control across different market levels may be qualified as vertical integration under a systematic and effects-based interpretation. Vertical integration through acquisition is not strictly prohibited but is assessed using a rule of reason approach by balancing efficiency gains against the risk of vertical foreclosure, particularly in industries characterized by limited distribution channels and high entry barriers. Therefore, the legality of such acquisitions depends on whether they restrict market access and distort competitive market structures.
