Abstract

Limited Liability Company (PT) is very attractive to investors in the business world. In fact, almost all over the world, the rate of establishment of Limited Liability Companies (PT) is increasing. In Indonesia, the establishment of a Limited Liability Company (PT) by foreign and domestic investors cannot be separated from positive legal regulations. Regarding Limited Liability Companies (PT), it is regulated in Law No. 40 of 2007. It can be said that a Limited Liability Company (PT) is one of the pillars of economic development in Indonesia. Limited Liability Company (PT) was chosen as a form of company, because of its ease of management and transfer of shares. In addition, the Limited Liability Company (PT) also has the status of an independent legal entity. In doing so, there are limited responsibilities for shareholders, Directors and Commissioners. There is also protection for shareholders, both majority and minority. Minority shareholders are usually seen as not having full rights. So, there will be many assumptions about the absence of a right for minority shareholders. In fact, these minority shareholders also have several rights.

Abstract

Latar belakang: Dalam dekade terakhir ini, di Indonesia terdapat perkembangan yang luar biasa yaitu dalam hukum perusahaan. Perusahaan yang identik dengan perseroan terbatas, sering disebut dengan PT, telah mengalami perubahan makna. Perubahan tersebut sangat fundamental, bahwa pendiri PT tidak harus lebih dari satu orang, sekarang pendirian PT dapat didirikan oleh satu orang. Pendirian PT dengan satu orang pemegang saham ini dapat memantik perdebatan dipelbagai kalangan. Dengan pendirian PT oleh satu orang maka menampik keberadaan perjanjian dalam pendiriannya. Di samping itu, akibat dari pendirian hanya oleh satu orang pemegang saham, PT tersebut tidak perlu terdiri atas persekutuan modal. Modal hanya berasal dari pendirinya yang hanya satu orang pemegang saham tersebut. Metode penelitian: penelitian ini merupakan penelitian hukum normatif yang bertumpu pada riset terhadap normat-norma tematik dengan pendekatan peraturan perundang-undnagan dan pendekatan konspetual. Hasil penelitian: Berdasarkan kajian perseroan terbatas memiliki unsur-unsur sebagaimana unsur-unsur yang terdapat dalam perseroan terbatas. Unsur-unsur tersebut meliputi: badan hukum, PT adalah persekutuan modal, didirikan berdasarkan perjanjian (oleh undang-undang), melakukan kegiatan usaha, dan modalnya terdiri dari saham-saham. Sedangkan, perseroan terbatas perorangan memiliki unsur-unsur dalam kategori yang terdapat badan hukum. Unsur-unsur perseroan terbatas perorangan meliputi: adanya harta kekayaan yang terpisah, mempunyai tujuan tertentu, mempunyai kepentingan sendiri, dan adanya organisasi yang teratur, dinyatakan sebagai badan hukum oleh undang-undang. Kesimpulan: perseroan terbatas perorangan dapat diklasifikasikan sebagai perseroan terbatas dan badan hukum.

Abstract

This article is a research-based in a study library reseacrh. The theme raised in this study is Sharia Stocks as an Issue of Halal Capitalization in Indonesia. Sharia stocks are investments in the capital market which are based on Islamic-based rules. Investors in Islamic stocks are not only from Muslims but, non-Muslims can also invest in sharia shares. There are three important questions in this research. First, what is meant by Islamic stocks? Second, how the interaction of investors on Islamic stocks so that it becomes a national capitalization issue? Third, what is the implications of Islamic stocks as a national capitalization issue? With a phenomenology approach to explaining the interaction of investors on Islamic stocks so that it becomes a national capitalization issue and the implications of Islamic stocks as a national capitalization issue. Whereas, the purpose of Islamic stocks is explained in the analysis content approach. The result of this research is that Islamic stocks are one of the most attractive investments for investors because of the principle of justice that is upheld and they can also invest according to personal will because there is no relation to government licensing.

Abstract

This research is an analysis of fraud based on library research, while the theme of this research is Fraud Analysis as a Violation of Business Ethics from a Positive Legal Perspective in Indonesia. There are three problem formulations. First, what are the forms of fraud in business ethics? Second, how is fraud as a violation of business ethics from a positive legal perspective in Indonesia? Third, what are the implications of fraud as a violation of business ethics in Indonesia? The content analysis approach is used to examine the forms of fraud, the positive legal perspective of fraud in Indonesia, and the implications of fraud as a violation of business ethics in Indonesia. The results and discussion in this study indicate that fraud has a bad influence on the economy in Indonesia. Therefore, regulations regarding business ethics and consumer protection are made to protect and benefit the wider community.

Abstract

Every company has a social responsibility. There are measurements of social responsibility that are carried out to achieve usefulness, one of which is Islamic banking. Although Islamic banking is only considered a labeling issue. However, with the role of DPS which is realized through CSR, it indicates that Islamic banking contributes and is responsible for various social aspects and nation building as a common goal as stated in the 5th principle of Pancasila. This study aims to determine the authority of the Sharia Supervisory Board (DPS) as mandated in laws and regulations and the implications for the realization of Corporate Social Responsibility (CSR) in Islamic banking. This research method is normative juridical, with a statutory and conceptual approach that refers to legal doctrines. The results of the study indicate that DPS has an important role in preventive efforts for activities in Islamic banking as well as the actuality of social responsibility that is realized through CSR.

Abstract

The management of oil and gas (Migas) in Indonesian energy law has witnessed a shift towards national control, including provisions in the 1945 Constitution that establish natural resources as state wealth. Law No. 22/2001 regulates various technical, economic, environmental, and community participation aspects of the oil and gas sector. Decisions by the Constitutional Court (MK) have clarified the state's ownership of Migas resources in accordance with the constitution. Renewable energy is crucial for Indonesia's sustainable development, with collaboration between the government and the private sector aimed at increasing the penetration of renewable energy, overcoming financial barriers, and protecting the environment. The MK's decision regarding Law No. 22/2001 supports state sovereignty, the interests of the people, and the goals of preserving natural resources and sustainable development. The key issue at hand is the nature of oil and gas management in Indonesian energy law and whether the legal considerations in the Constitutional Court's decision No. 36/PUU-X/2012 align with Indonesian energy law. The research method employed in this study is a normative juridical approach, also referred to as doctrinal research, which involves the examination of legal documents and literature. Through this research, Indonesia aims to fulfill its commitment to reducing environmental impact and dependence on fossil fuels through renewable energy sources.

Abstract

Penelitian ini mengkaji tentang implikasi Putusan Mahkamah Konstitusi Nomor 18/PUU-XVII/2019 terhadap Pelaksaan Eksekusi Jaminan Fidusia di Indonesia. Penelitian ini bertujuan menganalisa implikasi berlakunya putusan Mahkamah Konstitusi Nomor 18/PUU-XVII/2019 terhadap pelaksanaan eksekusi jaminan fidusia serta mengkaji secara mendalam akibat hukum berlakunya Putusan Mahkamah Konstitusi Nomor 18/PUU-XVII/2019 bagi kreditur. Penelitian ini menggunakan metode penelitian hukum normatif, dengan pendekatan perundang-undangan, konseptual dan pendekatan kasus. Hasil analisis menunjukkan bahwa putusan mahkamah konstitusi Nomor 18/PUU-XVII/2019 melahirkan implikasi pada pelaksanaan titel eksekutorial yang telah diberikan oleh undang-undang jaminan fidusia. Kekuatan eksekutorial yang terdapat dalam Sertifikat Jaminan Fidusia Pihak kreditur pemegang Sertifikat Jaminan Fidusia tidak lagi dapat melaksanakan eksekusi tanpa melalui bantuan pengadilan. Proses eksekusi objek jaminan harus melalui tahapan sebagaimana eksekusi putusan hakim yang telah memperoleh kekuatan hukum tetap pada umumnya. Proses tersebut dimulai dari permohonan eksekusi, aanmaning, penetapan ketua pengadilan, sita eksekusi hingga penjualan objek eksekusi. Implikasi yang lebih luas dari putusan Mahkamah Konstitusi Republik Indonesia harmonisasi peraturan tentang yang mengatur tentang titel eksekutorial dalam perundang-undangan yang lain.

Abstract

The purpose of this study was to determine the right to obtain decent work for Persons with Disabilities carried out in the employee recruitment process at the Jember Regency Government. And to find out whether the process of recruiting employees with disabilities is in accordance with Law No. 8 of 2016. This study uses a qualitative approach, with the type of empirical research/ Field Research. Data collection techniques use observation, interviews and documentation. Data analysis techniques use purposive and snowball. Data validity with triangulation techniques (combined). The results of this study are that the employee recruitment process in Jember Regency has been carried out based on procedures and provisions from the central government, but this is still not in accordance with the field. That there are still several groups of people with disabilities who cannot work in the government realm. The Jember Regency Government is trying to fulfill the rights of people with disabilities by providing a quota of 2% for people with disabilities. Regarding the accommodation facilities provided by the government are inadequate and do not support the existence of employees with disabilities. The employee recruitment process at the Jember Regency Government has been carried out based on article 45 of Law No. 8 of 2016. However, the number of quotas received has not yet fully met the quota set by law.

Abstract

Spaylater is a payment method that provides loans to its users. When carrying out transactions on Shopee e-commerce, legal protection is very necessary when there is a problem with late payments by users, viewed from the perspective of consumer protection law and civil law. The focus of this research is: 1) What is the Shopee application spaylater agreement system according to consumer protection law and civil law. 2) What is the impact of delays in Sypalater payments for Shopee users and Spaylater owners according to consumer protection law and civil law? 3) What is the legal protection against delays in spaylater payments for Shopee users according to consumer protection law and civil law. This research uses a sociological approach to law and legislation, with an empirical research type. The research results and conclusions are: 1) the Spaylater agreement system has aspects that require more attention from the perspective of consumer protection law and civil law. Although in general this agreement is valid according to civil law, there are still several inconsistencies with the principles regulated in the UUPK. 2) SPayLater payment delays can have a bad impact on Spaylater users. For loan service providers, late payments can be considered a breach of contract on the loan agreement. However, the application of sanctions or fines must still take into account the principles of consumer protection and must not burden consumers unreasonably. A balance is needed between protecting consumer rights and the interests of loan service providers in the context of late SPayLater payments. 3) Legal protection for Spaylater users who experience delays in payment must pay attention to the provisions in the Consumer Protection Law and Civil Law. In the UUPK, SPayLater service providers are required to provide clear and transparent information, and treat users fairly without discrimination. Meanwhile, in Civil Law, although late payment can be considered a breach of contract, the imposition of sanctions must still take into account the principles of propriety and good fait

Abstract

Village Owned Enterprises which are often called BUMDes can be interpreted as a form of business run by and government system. Policies in village-owned enterprise regulations have changed a lot from time to time. Law number 11 of 2020 concerning village-owned enterprises is the final rule regarding the development, establishment, mechanism and status of village-owned enterprises, which in turn is government regulation number 11 of 2021 is the implementing regulation. Thus it is necessary to examine the nature of bumdes law based on the Perpu. The focus of the research is first, what is the legal nature of village-owned enterprises according to government regulation number 11 of 2021 concerning village-owned enterprises? secondly, can a village-owned enterprise be classified as a legal entity? This study uses normative legal research methods with statutory and conceptual approaches. The conclusion from this research is the nature of BUMDes law based on Permen number 11 of 2021, namely regarding the establishment and management objectives of BUMDes based on Law number 11 of 2020. Whereas BUMDes itself is a public legal entity. To the village government to maximize the management of BUMDes in accordance with applicable regulations. Regulations regarding BUMDes are updated according to the needs and position of BUMDes.
