Abstract

The Deed of Statement of Meeting Resolution, as an authentic deed, must be read and signed before a notary in accordance with Article 16 paragraph (1) letter (m) of the Notary Office Law. In practice, however, this requirement is often neglected, leading to legal uncertainty. This study aims to analyze the legal consequences and legal certainty of deeds that are not read and signed before a notary. The research applies normative juridical methods with legislation, case, and conceptual approaches, supported by legal literature as primary and secondary sources. The analysis uses legal interpretation and construction techniques. The findings show that the absence of reading and signing before a notary nullifies the authenticity of the deed, resulting in new legal conditions, the alteration or termination of legal relationships, and potential sanctions. Legal certainty requires clear regulations, consistent application, approval by citizens, independent judiciary, and enforceable court decisions. The study recommends legal outreach by supervisory councils to notaries regarding due diligence principles and updated regulations, as well as public legal education on the validity of authentic deeds.

Abstract

Akta Notaris merupakan salah satu alat bukti otentik yang mempunyai kekuatan hukum yang sempurna di Pengadilan. Salah satu kegiatan yang didukung oleh jabatan Notaris sebagai salah satu profesi penunjang adalah pasar modal, dalam hal ini mengenai peralihan saham.Dalam pelaksanaannya sering kali dijumpai Akta Notaris terkait peralihan kepemilikan saham dalam kegiatan Pasar Modal tidak dilaksanakan oleh penjual maupun pembeli saham, sehingga tidak jarang menimbulkan terjadinya wanprestasi, yang pada akhirnya akta jual beli saham tersebut dibatalkan oleh pengadilan.Peneliti mencoba meneliti rumusan masalah tentang akibat hukum terhadap akta jual beli saham yang dibatalkan oleh Pengadilan, dan tentang kepastian hukum terhadap akta Notaris yang dibatalkan oleh Pengadilan akibat adanya wanprestasi. Dengan menggunakan teori Akibat Hukum dari Soeroso dan Kepastian Hukum dari Jan Michiel Otto. Metode yang digunakan dalam penelitian ini dengan jenis penelitian yuridis normatif yaitu penelitian hukum kepusatakaan atau data sekudner dengan sumber bahan-bahan hukum primer, sekunder, dan tersier. Dari hasil penelitian dapat diperoleh bahwa akibat hukum terhadap akta jual beli saham yang dibatalkan maka terhadap akta pemindahan hak atas saham/akta jual beli saham yang dibuat dapat diajukan pembatalan pada lembaga peradilan dan bila dibatalkan oleh pengadilan maka jual beli saham tersebut memiliki kepastian hukum dan berakibat terhadap akta yang dibuat Notaris tersebut dianggap tidak pernah terjadi.

Abstract

Notaries play a crucial role in ensuring the validity of legal transactions through authentic deeds with strong evidentiary power. However, procedural violations such as deeds not being read aloud or signed before the notary contradict Article 16 paragraph (1) letter m of Law No. 2 of 2014 on the Notary Position and may render the deed legally flawed, reducing it to the status of a private deed. This study aims to examine legal remedies available to the parties and the certainty provided by such flawed deeds. Using a normative legal research method supported by literature review, statutory analysis, and interviews with legal practitioners, the study finds that such deeds undermine legal certainty, and recommends stronger disciplinary enforcement against violating notaries.

Abstract

Dalam penelitian ini digunakan teori kepastian hukum yang dikemukakan Gustav Von Radburch, yang menyatakan kepastian hukum "that law should be certain, that it could not be interpreted and applied in one way today and in another tomorrow, in one way here and in another way there.” Yang artinya (Hukum itu harus pasti, bahwa itu tidak dapat ditafsirkan dan diterapkan dalam satu cara hari ini dan dengan cara lain besok, dalam satu cara di sini dan dengan cara lain di sana). Jenis Penelitian yang dipergunakan dalam penelitian ini yaitu penelitian hukum yuridis normatif, dimana penelitian hukum yuridis normatif adalah penelitian hukum yang dilakukan secara meneliti bahan Pustaka atau data sekunder saja. Penelitian ini disebut juga dengan penelitian hukum kepustakaan. Sedangkan yang menjadi hasil dari penelitian ini adalah agar dalam pembentukan maupun perbaikan peraturan terkait jual beli saham mengharuskan dibuatnya akta pemindahan hak termasuk jual beli saham, agar dibuat dengan akta otentik yang dibuat oleh pejabat yang berwenang melakukan pembuatan akta otentik yaitu Notaris, guna meminimalisir terjadinya sengketa dalam jual beli saham akibat akta/perjanjian yang dibuat adalah akta/perjanjian yang dibuat dengan akta dibawah tangan.

Abstract

In today’s society, ethical behavior is increasingly being practiced based on what is permitted or prohibited, rather than on intrinsic values of good and bad. This ethical decline is also observed in corporate environments, where some Christian leaders fail to reflect the character of Christ in their leadership. Such leadership shortcomings are particularly concerning as non-Christian employees often observe and assess the integrity of Christian leaders, who are expected to embody moral and spiritual values. This study aims to explore the role of Christian ethics in shaping effective and spiritually grounded leadership in corporate settings. Using a qualitative research method, the study conducts an in-depth literature analysis of sources related to Christian ethics, leadership principles, and biblical teachings. The findings highlight the importance of the leader-shepherd model, where a Christian leader serves with the heart of a shepherd—caring for employees with love, patience, and sacrifice. This model fosters a spiritually nurturing environment that enhances trust, productivity, and ethical workplace culture. The research implies that integrating Christian ethics into leadership not only strengthens the moral integrity of leaders but also serves as a powerful witness to others in the organization. The study contributes to the discourse on faith-based leadership by offering a biblically grounded perspective on ethical leadership practices in the modern corporate world.

Abstract

The study purpose was to examine the legal protection for heirs of account owners whose bank accounts are unlawfully blocked by banks without a valid court decision or the consent of the heirs. This issue arises because such actions contradict the principle of prudence in banking operations and may cause losses to the heirs, thus raising questions regarding the authority of banks and the legal remedies available. The research aims to analyze: (1) the authority of banks to block the accounts of deceased customers against their heirs; and (2) the legal protection available to heirs when banks commit unlawful blocking of accounts. This research employed a normative juridical legal research method, relying on secondary data obtained from primary, secondary, and tertiary legal sources. The approaches used included the Legislation Approach, Case Approach, Analytical Approach, and Conceptual Approach. Data were collected through literature study, identifying and inventorying statutory regulations, legal doctrines, and relevant case studies. The legal analysis techniques applied consisted of Grammatical Interpretation, Systematic Interpretation, and legal construction methods. The findings demonstrate that banks have no authority to unilaterally block the accounts of deceased customers, as this contradicts Article 29 paragraph (3) of Law Number 10 of 1998 concerning Banking. The action is deemed unlawful since it disregards the principle of prudence and the obligation to protect customer rights. Heirs who suffer losses due to such acts are entitled to legal protection and may file a civil lawsuit under Article 1365 of the Indonesian Civil Code to demand recognition and restoration of their rights. The study concludes that unilateral blocking of deceased customers’ accounts by banks constitutes an unlawful act. Legal protection for heirs is available through civil remedies, ensuring the protection of property rights and upholding justice in banking practices.
