Abstract

An agreement is a legal relationship between two or more parties who agree to carry out an action. An agreement begins with a statement of commitment from the parties. One of the principles that must be respected when drafting an agreement is freedom of contract, which means giving the parties the opportunity to reach an agreement. However, freedom of contract raises legal challenges, especially because it protects the interests of the parties. Therefore, legal review of freedom of contract in venture capital investment agreements has an important role in ensuring that freedom of contract and adequate legal protection are balanced to avoid disputes that may arise.The type of research used is normative, employing qualitative analysis techniques, which are then described and analyzed using descriptive methods. The approach used in this study is a statutory approach, namely by understanding and reviewing regulations related to this research.The results of the research and discussion in this study are that the principle of freedom of contract in venture capital investment agreements is implemented through the freedom of the parties in determining the form of the agreement content, capital participation, profit sharing and the mechanism for terminating the agreement. Legal protection for the parties is also realized through the principle of good faith and the principle of balance from the formation stage of the agreement to its termination. Freedom of contract in venture capital investment agreements is also limited by applicable legal provisions including, among others, the requirements for the validity of the agreement as regulated by the Civil Code and special regulations in the field of venture capital.

Abstract

This study examines the phenomenon of child labor in the fisheries sector in Medan Belawan District, which is triggered by poverty and low educational motivation. Although national regulations prohibit child exploitation, this practice continues due to weak oversight and cultural normalization. Using a normative-empirical legal research method with an empirical juridical approach, data were collected through on-site observation and interviews. The results show that legal protection is normatively regulated in Law No. 35 of 2014 and Law No. 13 of 2003, but its implementation has not been effective due to internal (economic and educational) and external (cultural and weak oversight) barriers. A synergy of preventive measures and firm repressive measures is needed to guarantee children's rights in coastal areas.

Abstract

Fenomena korupsi di Indonesia terus menjadi isu hangat dan tidak pernah habisnya. Padahal jenis kejahatan yang tergolong extra ordinary crime ini selalu target utama oleh pemerintah yang berkuasa dari setiap periodisasi Presiden. Namun faktanya saat ini korupsi terus terjadi dan tak pernah hilang dari tanah Indonesia. Oknum pejabat dan/atau masyarakat khususnya pelaku tidak takut melakukan korupsi bahkan bangga sebagai koruptor dan tidak punya rasa malu, sementara kondisi keuangan negara terus terkuras dan tidak tepat sasaran pembangunan. Penelitian normatif ini menyimpulkan bahwa instrumen civil forfeiture sangat berguna melindungi hak rakyat karena target kebijakannya adalah aset itu sendiri, bukan pemilik atau pelakunya, sehingga aset cepat kembali. Sementara criminal forfeiture tidak efisien untuk merampas aset tak bertuan, karena pelakunya wajib dihadirkan di persidangan. Civil forfeiture merupakan jalan keluar untuk mengatasi stagnasi perampasan aset hasil korupsi di Indonesia, mengingat regulasi terkait perampasan aset selama ini sangat bergantung pada terbukti atau tidaknya terdakwa di persidangan pidana. Ini sangat menarik dan efisien untuk dapat diterapkan dan dibuat kebijakan baru dalam penanggulangan korupsi mengingat kuantitas dan kualitas kejahatan korupsi saat ini semakin meningkat dan sistemik di Indonesia

Abstract

The rapid development of information and communication technology has made social media a primary means of promoting products and services. Influencers play a strategic role in shaping public opinion and broadly influencing consumer purchasing decisions. However, behind the effectiveness of such promotions, there is the potential for misleading, non-transparent, or inconsistent promotional practices. This situation has the potential to cause losses, both material and immaterial, for buyers as consumers. This phenomenon raises legal issues regarding the extent of influencers' legal responsibility for their product promotions, as well as the forms of legal protection available to consumers who suffer losses. This study aims to analyze the legal regulations related to product promotion activities by influencers on social media, examine the forms of legal liability that can be imposed from the perspective of unlawful acts, and identify legal protection mechanisms for consumers who suffer losses due to misleading promotions. The research method used is normative legal research with a descriptive-analytical nature. This approach is carried out by examining relevant laws and regulations, particularly the Civil Code, the Consumer Protection Law, and regulations related to digital promotional activities. The research data sources include primary legal materials in the form of laws and court decisions, secondary legal materials in the form of legal doctrine and literature, and secondary data studies related to digital promotion practices and consumer protection issues. The results of the study indicate that influencers can be held legally accountable if proven to have committed unlawful acts through misleading, dishonest, or negligent product promotions. Article 1365 of the Civil Code serves as the primary basis for assessing the existence of elements of unlawful acts, which include actions, errors, losses, and the causal relationship between the promotion and the losses experienced by consumers. Legal protection for consumers needs to be carried out comprehensively through civil lawsuits, alternative dispute resolution such as mediation, increasing digital literacy and education, and monitoring promotional content on social media. This study emphasizes the importance of the principles of transparency, honesty, and social responsibility in digital marketing practices to create equitable consumer protection.

Abstract

This study aims to analyze constitutional engineering in the presidential and vice presidential election systems in Indonesia through a study of the Constitutional Court Decision No. 62/PUU-XXII/2024 which abolished the presidential threshold provisions. Over the past two decades, the threshold for presidential candidacy of 20% of the House of Representatives seats or 25% of the national valid vote has sparked debate because it is considered to limit the constitutional rights of political parties and narrow the people's choice in elections. Through the decision, the Court emphasized that Article 222 of Law Number 7 of 2017 is contrary to Article 6A paragraph (2) of the 1945 Constitution, because the constitution does not stipulate a certain percentage of support requirements for presidential candidacy.            This research uses normative legal methods with legislative, case, and conceptual approaches, and is supported by an analysis of constitutional engineering doctrines (Giovanni Sartori), democratic theory (Robert Dahl), and the principle of proportionality. Data were collected through literature studies on primary legal materials (1945 Constitution, Law No. 7/2017, Constitutional Court Decision) and secondary (academic literature, journals, and expert opinions).            The results of the study show that before the Constitutional Court Decision No. 62/PUU-XXII/2024, the presidential threshold system formed an elitist political configuration and closed the space for inclusive competition. Through teleological and proportional interpretation, the Court returns the presidential nomination mechanism to the essence of people's sovereignty by opening access for all political parties participating in the election. This decision is a tangible form of judicial constitutional engineering, where the Constitutional Court not only upholds norms, but also redesigns the democratic structure to be more representative, equitable, and in line with the principles of Indonesia's constitutional democracy.

Abstract

Manusia dan korporasi merupakan subjek hukum sebagai pembawa hak dan kewajiban, di mana manusia bersifat kodrati sedangkan badan hukum dibentuk untuk kepentingan manusia. Pertanggungjawaban pidana timbul jika terdapat perbuatan melawan hukum yang disertai kesalahan, baik sengaja maupun lalai. Dalam perseroan terbatas, direksi berwenang mengurus dan mewakili perseroan sesuai UU No. 40 Tahun 2007, namun dalam praktik dibantu manajer melalui pendelegasian tugas. Penelitian normatif ini menunjukkan bahwa tindakan manajer merupakan perpanjangan tangan direksi, sehingga apabila terjadi tindak pidana lingkungan hidup, direksi sebagai pengurus korporasi dapat dimintai pertanggungjawaban pidana atas perbuatan bawahannya serta termasuk pertanggungjawaban korporasi berdasarkan doktrin vicarious liability yang berkembang
