Abstract

The Board of Directors is one of the organs of the Limited Liability Company in charge of managing the Company. For this reason, Law Number 40 of 2007 stipulates that the board of directors in managing the Company must have good intentions. However, the law does not determine and formulate the meaning of good faith, so legal certainty is needed. This research uses normative legal research, namely research on secondary data in the form of primary, secondary, and tertiary legal materials. The legal materials were obtained through literature study. Then the secondary data is processed and analyzed descriptively qualitatively. The results of the study show that first, the meaning of good faith in the management of the company by the directors based on the opinion of M. Yahya Harahap, among others, is being honest, referring to the aims and objectives of the company, as well as laws and regulations and being loyal to the company. Second, every member of the board of directors who does not have good intentions in managing the company is personally responsible for the company's losses.

Abstract

Currently, cigarettes are one of the products with a relatively high level of consumption in the community. The problem of smoking is also still a national problem and efforts to overcome it are prioritized because it involves various aspects of problems in life, namely economic, social and political aspects and especially health aspects. Data on the tobacco epidemic in the world according to the World Health Organization (WHO) shows that 1 death due to tobacco worldwide occurs every 6 seconds. Deaths due to tobacco in 2005 were recorded at 5.4 million people and during the 20th century, there were 100 million deaths due to tobacco. If this is allowed, there will be 8 million deaths in 2030 and it is estimated that 1 billion people will die from tobacco during the 21st century. By 2030, It is projected that 80% of tobacco-related deaths occur in developing countries. Medan City Government stipulates Medan City Regional Regulation No. 3 of 2014 concerning Smoking-Free Areas to support the creation of a smoke-free environment so that the City of Medan can be protected from the negative impacts of smoking. Therefore, this research focuses on the process of implementing the Medan City Regulation No. 3 of 2014 concerning Non-Smoking Areas in Medan City in several places by Article 7 to Article 15 of Medan City Regulation No. 3 of 2015. The aim is to see to what extent the Medan City Regulation No. 3 of 2014 concerning Non-Smoking Areas is implemented by the community, government, and law enforcement. The locations that were targeted as well as research locations were 3 schools in Medan, Amplas Terminal, Medan Mayor's Office, and Medan City DPRD. The research method used is descriptive qualitative by collecting primary and secondary data through interviews, direct observation, and recording documents. The data that has been obtained is then analyzed descriptively qualitatively.

Abstract

Given the COVID-19 and normality of new, colleges and universities around the world must take action to secure the conditions of students and their staff, as well as members of the community.The pandemic of Coronavirus Disease (COVID-19) give a serious impact on access to higher education around the world. UNESCO Data mentioned in the year 2020 there were 1.1 billion students in the world (ranging from kindergarden to college) that apply the method of learning from home. In addition, there are about 63 million lecturers and teachers around the world who can't go teach. there are as many as 144 countries that apply the closure of the area or lockdown.One of the programs that must be quick in adaptation is to prepare human resources who are capable of adaptive in the era of the new normal. Specifically for college how in printing graduates involves the process of teaching and learning that focuses on the use of advanced technology, but at the same time human-centered that prioritizes the educational process by way of an interactive, two-way communication, collaborative and based on the spirit of long life learning.In the new normal era it is very important for educational institutions to develop innovative learning media will attract learners in following learning and will have an impact on learning outcomes both cognitively, affectively and psychomotorly. The attitude and behavior of friendly teachers, skills, and ownership of creative ideas owned by teachers can increase the motivation of learners.

Abstract

The background of this research is how to find out the effectiveness of the use of electronic money that is applied to the transportation system so that it can help the payment system to be more sophisticated and can help the wider community in making payments quickly in various sectors. The method used in this study is to use the literature review method and use quantitative methods, which use survey tools, with a survey, the data will be confirmed as real data, which can be useful in data processing so that you can find out the results of the data in field. The problem raised in this research is how to make payments quickly on a transportation system that is already advanced and sophisticated. With an electronic money payment system, it will be able to solve the problem of this research so that it can be seen that the payment system is more effective than the previous payment system. The purpose of this research is how to find out a variable is considered effective if it affects other variables, with a variable that is considered effective, the other variables will follow from the variables raised in this study, the variable raised in this study is electronic money, smart transportation payment system on the transportation system in Jakarta.

Abstract

Strategy Human Resource development at the level of middle management important companies in the era disrupsi this. The development of human resources in the middle-management level is performed to form a personal quality skills, ability to work, and loyalty in the company. Strategy human resource development at the level of middle management can be done with many ways to develop it. Some of the strategies that can be learned by companies in developing and find the human resources in the middle-management level needed one of them through a training program that is hardwired. Training is carried out by developing individual in the form of increased skills, knowledge and attitude. Training is not only useful for employees, but also the company. In order to improve managerial ability, especially on the line of middle management in the company in need of improvement and continuous human resource development in order to create synergy and teamwork company. That the development and competition of the current human resources to be a major factor in the success in winning the competition. The ability and capacity of middle management will be different from one company to another. The critical point of the growth of the company existing on the capacity and capability of middle management.Thus, the need training programs applicable and integrated for the development of human resources in the middle-management level that exists as one of the main assets to a company that everlasting growth. This Program must be supported by all parties corporate executives for the achievement of the vision, mission and goals of the organization. Human resource development at the level of middle management is done through training to improve the ability of the performance of the personal there. The form of the development of human resources in the middle-management level can be done in formal or non-formal for their careers. Abstract

This study stems from the moral decline that occurs in the younger generation. Many cases of juvenile delinquency are carried out by learners such as bullying, drugs, fighting between students and so on. The implementation of the curriculum in educational institutions needs to be emphasized on character assistance, so that learners are expected to have good character. The focus of this research is how the vision, mission, and objectives of the institution in shaping the character of learners. How to construct the character-based learning process in shaping the character of learners. How to internalize character values in shaping the character of learners.The research method used is qualitative research with data collection techniques using interviews, observations, and documentation. The conclusion of this research is thatthe vision, mission, and objectives of the institution develop in programmatic activities, construct the institution's curriculum with scientific and paikem approaches, internalize character values in teaching and learning activities also intra- and extra-curricular activities.

Abstract

Building the character of millennials in the era of revolution 5.0 in filling independence is an obligation as a large-populated country such as the Unitary State of the Republic of Indonesia. In facing it, it is necessary to prepare a resilient and characterful generation facing the challenges in revolution 5.0, which is growing at this time, namely applying Pancasila values for the younger generation that can be implemented in the right momentum. In reality, some young people are now damaged by morals because of various things that affect them. Influences include the adverse effects of globalization, friends, increasingly sophisticated electronic media, drugs, liquor, and other harmful things. This research aims to direct the younger generation in building the nation. Research methods using literature studies are data collection techniques by conducting study studies of books, literature, and others. The results of this research confirm that the younger generation at the time of revolution 5.0 still needs direction and understanding in the life of the nation and state. The conclusion is that the younger generation, as the holder of the leadership relay, needs to be equipped with a national character with Pancasila spirit. So that the relay of the continuity of the nation to be maintained by the republic will be the unity and unity of the country and the realization of our national goals.

Abstract

Restriction of Community Activities is an effort made by the Government to limit activities carried out by the community in interacting with other citizens, to prevent the possible spread of coronavirus disease 2O19 (COVID-19) outbreak that uses public spaces, public transportation modes, and public buildings. Restriction of Community Activities is carried out with several supervision and enforcement activities. The research method used to compile this scientific work uses normative juridical research, namely by analyzing secondary data in the form of legal materials, especially primary legal materials and secondary legal materials, by understanding the law as a set of favorable rules or norms in the system of legislation governing human life. Violations committed by the community whether it is necessary to apply criminal sanctions for Perpetrators of Violations of Community Activity Restrictions, this certainly needs attention from the government and the need for equal perceptions about the application of criminal acts for perpetrators of violations of community activity restrictions and standards of prosecution. The function of sanctions in criminal law is not merely to scare or threaten the violators. However, more than that, the existence of sanctions must also educate and improve the perpetrator. The sanctions can be applied to violators of health protocols, especially for those who do not wear masks and do not heed the advice of physical distancing by being given administrative sanctions in the form of verbal reprimands, social sanctions, administrative sanctions, and fines.

Abstract

Information technology has a very important role, both now and in the future. In reality, although there are a number of laws and regulations that prohibit hate speech in public spaces, there are still few people who realize that this act is a violation of the law, not only the perpetrators but also the victims and even the officers. This journal aims to find out the implementation of Law No.19 of 2016 concerning Information and Electronic Transactions in the development of criminal crimes that occur in Indonesia, especially in cybercrimes. The author intends to directly describe social phenomena based on indicators whether or not the phenomenon under study regarding the implementation of the Law on Information and Electronic Transactions and Pancasila regarding law enforcement related to cybercime in Indonesia is currently happening. Therefore, it is the joint responsibility of the government, law enforcement officers/Polri and TNI as well as all elements of society to combat the turmoil of cyber crime, SARA, etc., based on relevant legal materials, namely primary legal materials, secondary legal materials and tertiary legal materials. The basis for law enforcement that can answer the demands of society must be responsive law, otherwise the law will lose its spirit. Morals and justice are the spirit of the law. Legal reform must look back at the solidity of morality that lives, grows and develops in society. Against this note, the author views that the choice of revision of the Law on Information Electronic and Transactions does not have to come from the DPR. The President as one of the law-forming institutions, based on the provisions of Article 5 paragraph (1) of the 1945 Constitution of the Republic of Indonesia is also authorized to propose revisions to the Law Information and Electronic Transactions which urgently needs to be carried out.

Abstract

Children are a bounty that must be maintained and protected by parents, families, and countries. Children must also get welfare because children are the next generation of the nation. The violence that occurs in children makes a problem that must be taken and resolved seriously because it impacts the growth and development of children. One of them is child abuse that occurs in households involving people closest to the child. It is essential to know what factors are the background to the criminal acts of domestic violence against children and how illegal policies in tackling domestic violence against children. This research uses normative juridical types with descriptive-analytical research specifications using primary and secondary data sources and qualitative analysis methods. The settlement of domestic violence crimes needs to get special attention and provide protection to children as victims of domestic violence. The Criminal Code only regulates the crime of violence in general in the Criminal Code, there are weaknesses, and to overcome these weaknesses. The violence against children occurs due to low educational factors, unhealthy environments, economic factors, and parents who vent anger at children. Applying protection to children who experience domestic violence must be enforced to protect children, both by penal and non-penal efforts.
