Abstract

Abstract

The Deed of Statement of Decisions of the General Meeting of Shareholders constitutes an authentic deed with perfect evidentiary value as regulated in Article 1868 of the Civil Code. In practice, there are still cases where a Deed of Statement of Decisions of the General Meeting of Shareholders is drawn up based on meeting minutes containing false information, which gives rise to legal problems concerning the legal consequences of the deed and the liability of the notary as a public official. This study aims to analyze the legal consequences of a Deed of Statement of Decisions of the General Meeting of Shareholders made on the basis of meeting minutes containing false information, as well as the forms of notarial liability arising from the preparation of such a deed. This research employs a normative legal research method using statutory and case approaches. The data used consist of secondary data in the form of laws and regulations, legal doctrines, and court decisions. The analysis is conducted using the theory of legal consequences and the theory of legal liability. The results of the study indicate that a Deed of Statement of Decisions of the General Meeting of Shareholders made on the basis of falsified meeting minutes remains valid as an authentic deed as long as it has not been annulled by a final and binding court decision. However, if it is proven to contain false information, the deed may be annulled and give rise to civil, criminal, administrative, and ethical liability for the notary. This study emphasizes the importance of the principle of prudence for notaries in examining meeting minutes and shareholder attendance lists in order to ensure legal certainty.

Abstract

The abuse of circumstances (misbruik van omstandigheden) is an act that exploits an unbalanced position between parties in an agreement to obtain economic benefits, which can force one party to enter into an agreement with disproportionate performance. This phenomenon often occurs in the creation of joint agreement deeds for debt payments, as seen in several court rulings, where the economically or psychologically stronger party exploits the weaknesses of the other party. This contradicts the principles of freedom of contract and consensualism in the Indonesian Civil Code (KUH Perdata), thus requiring legal protection for the aggrieved party. This research aims to examine and analyze the legal protection for parties harmed by the abuse of circumstances in the creation of joint agreement deeds for debt payments, as well as to analyze the legal consequences arising from such abuse. This research employs a normative juridical legal research method with approaches encompassing legislation, case studies, analysis, and concepts. Primary legal sources include the Civil Code (KUH Perdata), the Notary Public Law, and court decisions, while secondary and tertiary sources are derived from library materials such as books, journals, and legal dictionaries. Data collection techniques are conducted through literature studies, and data analysis utilizes descriptive analytic qualitative methods to describe and construct an understanding of the related legal issues. The research results show that the legal consequences of abuse of circumstances are that the agreement can be annulled or void by law, so the agreement is considered never to have existed and can be restored to its original condition, provided that the aggrieved party submits an application for annulment. Legal protection for the aggrieved party can be obtained through the mechanism of applying for annulment of the agreement based on the doctrine of abuse of circumstances as a defect of will, which allows the judge to annul the agreement if it is proven that there is exploitation of a weak position. This research provides theoretical and practical contributions to the development of legal science as well as considerations in making fair agreements

Abstract

In a limited liability company, which is a limited legal organization with liability limited to paid-up capital, shares are defined as proof of a legal subject's participation in capital ownership. Shares can be bequeathed, pledged, transferred, gifted, and kept in trust. A limited liability business can be invested in, for example, by buying and selling shares. Therefore, by taking into consideration joint assets, inherited assets, or marriage agreements, it is required to include the spouse's permission in the transfer of rights in order to offer legal certainty regarding the presence of assets' separation in a limited liability business
