Abstract

Pemegang saham minoritas yang salah satunya menderita gangguan jiwa seringkali menghadapi banyak tantangan untuk mendapatkan perlindungan hukum yang memadai, di mana keterbatasan dalam memberikan perlindungan hukum juga akan berdampak pada hak-hak pemegang saham secara keseluruhan. Penelitian ini bertujuan untuk memastikan bahwa pemegang saham dengan kondisi kesehatan jiwa tertentu tetap mendapatkan perlindungan dan perlakuan yang adil dalam keikutsertaannya sebagai pemegang saham di perusahaan PT. Metode yang digunakan dalam penelitian ini adalah metode yuridis normatif, dengan menggunakan kajian melalui peraturan perundang-undangan yang sesuai dengan permasalahan yang diangkat. Pemegang saham minoritas memiliki hak-hak khusus, seperti hak atas informasi, menghadiri RUPS, dan menerima dividen. Mereka juga dapat menuntut perusahaan jika terjadi kerugian atau gangguan psikologis. Perlindungan hukum, seperti prinsip super mayoritas dan hak penilaian, perlu diberikan kepada pemegang saham minoritas untuk melindungi kepentingan dan hak-hak mereka dengan baik. Dalam kasus kerugian perusahaan, perusahaanlah yang memiliki hak untuk menuntut dan tidak ada hak bagi pemegang saham minoritas untuk mengambilnya dari manajemen.

Abstract

While it's true that some mutations try to improve workers' wellbeing, others cause Termination of Employment (PHK) as a result of refusal of transfers. Consequently, it is essential that the regulation of employee transfers be carefully considered to ensure compliance with all applicable laws. This study has shown that the legislative provisions pertaining to the termination of employment (PHK) have been met by the action taken by KSP Nasari Makassar against Plaintiff Idiamin Sartian Umar so that it does not harm the party concerned. plaintiff's workers' rights. Then, the transfer carried out by KSP Nasari Makassar was aimed at improving welfare through increasing salaries and promotions for the Plaintiff. However, the Plaintiff refused for personalreasons which violated the Nasari Savings and Loans Cooperative (KSP) Regulations which emphasized that workers must prioritize the interests of the Cooperative above personal reasons. During these negotiations, the Plaintiff was also not present to fulfill his obligations as a worker at the company even though he had received a warning letter. Thus, the Judge decided that the Plaintiff had no right to demand severance pay from the company. In order to accomplish its research goals, this study used a normative research methodology that relied on legislative approaches, a case approach, and the collection of both primary and secondary legal documents.

Abstract

Online commerce has significantly expanded the circulation of various commodities, including kratom, whose legal status in Indonesia remains controversial. At present, kratom is regulated solely for export purposes and lacks a clear legal basis for domestic trade, creating legal uncertainty in online sale transactions. This study examines the validity of kratom powder sale agreements conducted through e-commerce platforms under Article 1320 of the Indonesian Civil Code and analyzes the legal responsibility of platform providers for facilitating such transactions. The research employs a doctrinal legal method using statutory and conceptual approaches, complemented by an empirical review of kratom listings on major Indonesian e-commerce platforms. The findings indicate that online kratom transactions potentially fail to satisfy the objective requirements of a valid contract, particularly regarding lawful object and lawful cause, due to the absence of explicit domestic regulatory authorization. Empirical observations further reveal inadequate age-verification mechanisms, raising concerns over transactions involving legally incapacitated consumers. This study underscores the urgent need for comprehensive national regulation on kratom and strengthened legal obligations for e-commerce platforms to ensure consumer protection and contractual legality in digital markets.Keywords: contract; validity; kratom; e-commerce platforms; platform liability
